No. Existing Clause Revised Clause 1. General Minimum Qualification Requirements applicable for all three roles For Indian Company Bidder should be a registered company in India as per Companies Act 1956/2013 established at least 2 years before the EOI submission date a. Self-Attested Copy of Certificate of Incorporation AND b. Self-Attested copy of Memorandum of Association (MoA) and Article of Association (AoA) For an International Company Bidder or its Parent company should be in existence for last 3 years and it should have a channel partner in India for last at least one year before the EOI submission date. c. Self-Attested Copy of Certificate of Incorporation of the Parent and Declaration of the relationship between Parent and the Bidding company AND d. Self-Certificate of having Channel partner in India with its registered name and registered address Bidder should have positive net-worth in last 3 financial years ending on Mar (or latest financial year ended for the Bidding company) Copy of Audited Statement of Accounts duly

2 certified by CA along with certificate stating the Turnover and Net worth.

No Existing Clause Bidder should be Original Equipment Manufacturer (OEM) or Authorized Distributor of the proposed technology or material for respective category Required:- Self-Certification on company Letterhead or Manufacturer Authorization Form (MAF) from OEM. Bidder should not have been blacklisted by any of the Federal Government Authorities/Agencies or provincial authorities (in case of foreign companies) or by Government of India or any / state government or any entity controlled by them under any central / State Govt. act / rule as on the date of EOI submission Bidder should have ISO 9001:2008 and CMMI Level 3 (or above) Certifications Self-Attested Copy of Valid Certificates Bidder should have at-least permanent resource strength of 100 working in India/ abroad Self-Certification on company Letterhead signed by authorized signatory and company HR Head both. Revised Clause Bidder should be Original Equipment Manufacturer (OEM) or Authorized Distributor or Partner or reseller of the proposed technology or material for respective category s required:- Self-Certification on company Letterhead or Manufacturer Authorization Form (MAF) from OEM. This clause has been deleted Bidder should have at-least permanent resource strength of 50 working in India/ abroad Self-Certification on company Letterhead signed by authorized signatory and company HR Head both. 2. Minimum Qualification Requirements for Smart Meters Suppliers Bidder should be in the business of manufacturing of static energy meters for at-least 3 years as on date of EOI Submission date Factory License Certificate / MoA Mentioning nature of Business. Purchase Orders / Framework agreements for this duration or other documents that prove this aspect

4 2. 2 Bidder should have following minimum experience of manufacturing and supply (to Power Distribution Companies) of static energy meters in India or abroad 1. 1 million Single Phase Meters million Three Phase Meters million LT-CT Meters Copy of Work Orders & Performance Certificate.

5 S. No Existing Clause The bidder should have in-house NABL accredited Laboratory since last 3 years A Valid Registration certificate mentioning issue / renewal / expiry date. Bidder should have valid ISO Certification on the EOI submission date. Self-Attested Copy of Valid Certificate. Bidder should have manufactured and supplied / commissioned at-least 10,000 smart meters in India or abroad using the RF / GPRS / Hybrid Technology. With Completion Certificate and client document showing 6 months of successful O&M. Bidder should provide undertaking that there BIS certified (16444) Smart meter shall be ready within 3 months from the date of selection. Undertaking on Company Letterhead. Note Only BIS certified Smart Meters would be offered to our clients Bidder should have minimum average annual turnover of Rs. 200 Crores (equivalent to USD 30 million) in last three financial years. Copy of Audited Statement of Accounts duly certified by Chartered Accountant or Company Auditor along with certificate stating the Turnover and Net worth. Revised Clause This clause is deleted Bidder should have valid ISO Certification on the EOI submission date. Self-Attested Copy of Valid Certificate. Or Bidder s Self- certified Undertaking that the same certificate shall be provided within the 3 Months of empanelment. Bidder should have manufactured and supplied / commissioned atleast 10,000 smart meters in India or abroad using the RF /GPRS/LORA/LTE/4G/NBIOT/ PLC/Hybrid Technology etc. With Completion Certificate or client document or client testimonial showing 6 months of successful O&M. 3. Minimum Qualification Requirements for Communication Solution Provider

6 3. 1 Bidder must have implemented at-least 2 projects in India or abroad in last 5 years in any utility using the RF Mesh Canopy / GPRS / HYBRID technology. Each project must have minimum consumer base of 500,000 points. Bidder must have implemented at-least 2 projects in India or abroad in last Seven years in any utility using the RF /GPRS/LORA/ LTE/4G/NBIOT/ Hybrid Technology etc.

7 S. No Existing Clause With Completion Certificate and client document showing 6 months of successful O&M. Bidder should provide an undertaking that proposed Communication solution has provision of interoperability and integration with at-least 3 different makes of smart meters. Supporting undertaking from three (3) meter manufacturer (OEMs) need to be submitted. Required Undertakings on the company Letterhead of different smart meters manufacturers. Proposed Communication system should be complete for transferring the data from Meter to Meter Data Management System. All the hardware / software like HES, Router, Collector, RF / GPRS NIC Card etc. should be part of the proposed solution. Self-Certificate Revised Clause With Completion Certificate or client document or client testimonial showing 6 months of successful O&M. Proposed Communication system should be complete for transferring the data from Meter to Meter Data Management System. All the hardware / software like HES, Router, Collector, RF /GPRS/LORA/ LTE/4G/NBIOT/ Hybrid Technology etc, NIC Card etc. should be part of the proposed solution Proposed solution should support IPv6/ IPv4 network addressing. OEM-Certificate All the proposed communication network equipment should be certified by WPC, GoI for operation in license free frequency band. OEM-Certificate Bidder should have minimum average annual turnover of Rs. 50 Crores (equivalent to USD 7.5 million) in last three financial years. Copy of Audited Statement of Accounts duly certified by Chartered Accountant or Company Auditor along with certificate stating the Turnover and Net worth. Self-Certificate This clause is deleted 4. 8 4. 1 Bidder must be an OEM / Authorised Partner of proposed MDM and Analytics Software and have implemented same for at-least two clients in utility sector in last five years. Each project must have covered at-least 50,000 consumer base. 10 4. 5 Bidder must have experience of setting up Backend IT Infrastructure (On Premise / Cloud) directly / through sub-contractors for at-least two different clients and each setup must cover at-least 100 end users in last five years. Copy of Work Orders / Agreement with performance certificate. General Terms and Instruction to Bidders 4. In case the bidder is a start-up company as per gazette notification dated 17 Feb 2016, G.S.R. 180(E), this clause will not be applicable Interested bidders may also download the tender documents from TATA POWER DELHI DISTRIBUTION LIMITED website with effect from In the event detailed tender documents are downloaded from TATA POWER-DDL website or are received through from TATA POWER- DDL, the Tender Fee of INR 1,000/- shall be compulsorily submitted along with bids any such bid submitted without this Fee shall be rejected. 4. Instructions to Bidders, Clause 7- Submission of Bid Documents.. The technical bid shall be properly indexed and is to be submitted in hard copy at the below address. 12 Instructions to Bidders, Clause 14- Earnest Money Deposit. Bidders shall submit, Earnest Money of Rs. 50,000/- (Rs. Fifty Thousand only) in the form of irrevocable Bank Guarantee (BG) from a nationalized/scheduled Bank as per Performa enclosed as "Annexure-II" or Bank Draft drawn in favor of The Tata Power Company Limited payable at Mumbai and shall initially be kept valid up to 180 days. However, bidder shall extend the validity of EMD if process of empanelment stretches beyond 210 days for aforesaid reasons. Tender response not No EMD is to be submitted by the bidders with EOI for any category. EMD requirement has been omitted.

13 S. No Existing Clause accompanied by the requisite amount of Earnest Money shall be rejected. 4. Instruction to Bidders, Clause 15, Performance Bank Guarantee Performance Bank Guarantee of Rs 10,00,000/- (refundable) (equivalent to USD 15,000) is to be submitted on acceptance of Empanelment with Tata Power in form of Demand Draft / Bank Guarantee issued in favour of The Tata Power Company Ltd and payable at Mumbai valid for empanelment period i.e. 03 years plus 03 months claim period. In case of extension of the empanelment period, the validity of PBG shall be extended accordingly as required by Tata Power. PBG will also depend on case to case basis depending on joint business initiative/proposal/ work award etc. Above mentioned PBG is only for the empanelment purpose. However after the selection of bidder, when a joint bidding will be done for a business opportunity and Tata Power wins the opportunity, then selected partner to provide the respective PBG of that opportunity for its share of work to Tata Power. 4. Instruction to Bidders, Clause 2 Mandatory documents required along with the Bid. Copy of PAN, GST, PF and ESI Registration (In case any of these documents is not available with the bidder, same to be explicitly mentioned in the Schedule of Deviations ) Revised Clause Performance Bank Guarantee of Rs 5,00,000/- (refundable) (equivalent to USD 7,500) is to be submitted on acceptance of Empanelment with Tata Power in form of Demand Draft / Bank Guarantee issued in favour of The Tata Power Company Ltd and payable at Mumbai valid for empanelment period i.e. 03 years plus 03 months claim period. Additional Documents Required:- Following documents are to be submitted by the bidders, as part of the bid document, for quality assurance practices.. ISO 9001:2008 or higher CMMI Level 3 or higher ISO/IEC or equivalent

14 3. The General Terms & Conditions (GCC) published earlier with RFP has been omitted and should not be considered by the bidders. 4. The EOI Submission date schedule is revised as follows :- a) Due date & Time for EOI Submission 1500 Hours on b) Due Date & Time for Technical Bid Opening 1600 Hours on The tender document stands modified to the extent stipulated herein above in this document.
