2 Corporate Governance Generally, for Organisations, process and workplace safety is a Corporate Governance issue. What exactly is Corporate Governance? Corporate Governance is the system of rules, practices and processes by which a company is directed and controlled. Corporate Governance involves balancing the interests of a company's many stakeholders, such as shareholders, management, customers, suppliers, financiers, government and the community. There is no doubt that good Corporate Governance places Organisations and our society for success. In 2012, the Chemical Accidents Programme presented the OECD document Corporate Governance for Process Safety and recommends a framework based upon improving: Leadership and Culture Risk Awareness Information Competency Action Our Corporate Governance approach comprises: Auditing Establishing the baseline is critical and Applied KPI provide a comprehensive range of auditing services associated with: Process Safety Management (PSM) Environmental Compliance Health and Safety Compliance Policies and Procedures Reviewing existing Policies and Procedures for completeness and effectiveness. Developing and implementing policies and procedures based upon audit or risk assessment findings. Performance Assessment Reviewing relative performance (i.e., comparative). Establishing Key Performance Indicators (KPI) for Leadership review and continuous improvement in process and workplace safety aspects. 3 Hazard Identification and Risk Assessment (HIRA) Abbreviated to HIRA, Hazard Identification and Risk Assessment (or Risk Analysis) typically addresses three main risk questions: Hazard What can go wrong? Consequences How bad could it be? Likelihood How often might it happen? HIRA s play a pivotal role regarding managing risks and determining acceptability. They form the foundation for process safety management activities. Once Hazards have been identified and associated risks assessed, the acceptability of the risk can be judged. It is critical that HIRA s are carried out with the relevant expertise and knowledge of process safety requirements because inaccurate assessments leads to vulnerability. At Applied KPI, we have significant expertise in conducting Qualitative and Quantitative HIRA studies. We can also offer semi-quantitative HIRA studies to allow ease of prioritisation for critical actions identified. Our HIRA approach comprises: Hazard Identification Select appropriate HIRA methods. Gather appropriate data to identify and establish hazards. This is conducted using a variety of methods such as (but not limited to): Interviews with key personnel Site reconnaissance Desktop studies (P&IDS, Design Reports etc) Review of past incident records Document identified hazards for risk assessment. Risk Assessment Risk assessment involves considering the possible results of someone being exposed to a hazard and the likelihood of this occurring. Assessment techniques make use of risk tolerance criteria and can be Qualitative, Semi-quantitative or Quantitative. Applied KPI has expertise in the following techniques for Risk Assessment: Hazard Identification Studies (HAZID) Hazard Operability Studies (HAZOP) Quantitative Risk Assessments (QRA) Layers of Protection Analysis (LOPA) Extensive range of workplace risk assessments (Task or Process Specific)

4 Performance Management All Organisational activities employ resources (i.e., people, money, equipment etc) and activities have specific objectives and targets. Performance Management (PM) includes activities which ensure that goals are consistently being met in an effective and efficient manner. PM can focus on the performance of an organisation, a department, employee, or even the processes to build a product or service. PM frameworks generally adopt a template that is based upon the principles of: Define Measure Analyse Our Performance Management approach comprises: DEFINE Define the problem Typically, via Gap Analysis or Audits. The process complements our Corporate Governance capability. MEASURE Quantify the problem Establish measurement criteria and undertake monitoring to supplement existing data/ records. ANALYSE Establish the cause Review monitored data and existing records relative to bespoke criteria. Where data reveals shortfalls, establish root cause events. Improve Control ACT IMPROVE Develop/Implement solutions Progress can only be made if progress is measured. Having measured and analysed relative to criteria, this will facilitate corrective action improvement plans. The first 5 items, DMAIC (pronounced duhmay-ik ), represents the 5 lean phases of Six- Sigma. Applied KPI has adopted and extended the 5 Lean Phases to include ACT for complementing the Plan-Do-Check-Act Cycle. CONTROL Maintain improvements Develop and implement appropriate policies, processes and procedures. ACT Keep on top of things Review periodically with Leadership and fine tune as needed, for continuous improvement.

5 Process Safety Management (PSM) Process Safety Management (PSM) is the application of management principles and systems to the identification, understanding and control of process hazards to prevent processrelated injuries and incidents. Process Safety is different from Occupational Safety. Process safety is a blend of engineering and management skills focused on preventing catastrophic accidents and near misses, particularly structural collapse, explosions, fires and toxic releases associated with loss of containment of energy or dangerous substances such as chemicals and petroleum products (Ref: Energy Institute). There are several different PSM Models defined but in essence, they are all very similar in that they comprise of layers for integrating an organisation s process technology with their operating procedures and standard management programs. Applied KPI can offer PSM support based upon any selected PSM framework. We work very closely with our Clients to ensure that their selected model meets requirements (i.e., regulatory and/or industry best practice). Our PSM approach: We offer comprehensive support services with regard to existing and new PSM Systems (i.e., develop and implement). Our approach is based upon Plan-Do- Check-Act and includes (but not limited to) the following: GAP ANALYSIS. We will thoroughly review current HSE Management System, processes and safety activities. PSM FRAMEWORK PROPOSAL/ SELECTION We will propose the optimum framework taking all aspects into consideration (e.g., risks, resources and costs). DEVELOPMENT & IMPLEMENTATION Having selected the PSM Model, we will develop appropriate policies, procedures, training programmes, KPI etc and collaborate closely with our Client for successful implementation. SURVEILLANCE MONITORING / FINE TUNING Working closely with our Clients, we will periodically review the PSM System and propose/ apply corrective actions to ensure alignment. REVIEW / AUDITING We will provide a high-level review/ audit of the PSM System and work closely with key stakeholders and leadership to ensure continuous improvement.

6 Risk Management There is a magnitude of risk in everything we do and risk management is critical for ensuring success in terms of economic performance, professional reputation, societal outcomes, environmental and safety performance. Worldwide, there are many risk management standards providing a framework for covering a diverse range, which includes insurance, business continuity, process and workplace safety, environmental, corporate governance, engineering, planning and financial services. Our Risk Management approach comprises: Gap Analysis Comprehensive review of existing management policies, procedures and practices. Risk Identification Reviewing existing and identifying potentially new risk sources for completeness. Risk Analysis Detailed review of risk sources and events, their causes and potential consequences, using industry recognised and/or established risk rating criteria. Risk Management is coordinated activities to direct and control an organisation with regard to risk (Ref: ISO 31000:2009 Risk management Principles and guidelines). It is important to note that risk is different from a hazard. A hazard is something that can cause harm, e.g. electricity, chemicals, working up a ladder, noise etc. Risk is the chance, high or low, that any hazard will actually cause somebody harm. With significant experience in Hazard Identification and Assessment (HIRA), Human Factors and Process Operations, Applied KPI is uniquely positioned to offer Risk Management expertise in Process and Workplace Safety Risk Prioritisation Identification and analysis typically reveals numerous actions. It is important to stay focused and have a pragmatic approach with the resources available. Following analysis, collaboration is essential to ensure objectives (Internal, External or Regulatory) are taken into consideration otherwise the new risk will be not managing the existing risks. Risk Reduction / Management Plan Having identified, analysed and prioritised it is imperative that periodic review is incorporated.
