2 The Freight Rates of GYSEV CARGO Zrt. (hereinafter referred to as "Freight Rates") includes the prices applicable to the carriage of consignments defined in the General Terms and Conditions of Rail Freight (wagonload, intermodal transport unit, rail vehicles running on its own wheels), to the carriage of block trains and to the services provided in connection with the handling of consignments as well as the conditions of the price determination. The Freight Rates consists of three parts. Part I: Conditions of freight rates, wagon prices, train prices Part II: Ancillary charges Part III, Annexes Annex 1. Harmonised Commodity Code (separately) GYSEV CARGO Zrt. informs its customers of its valid freight rates on its homepage ( as well as in its service centres. Changes in the Freight Rates are marked by GYSEV CARGO Zrt. with a vertical line next to the modified condition, the price, the unit price or the carriage charge as well as a serial number. The effective date of the changes can be found in the table of amendments. Valid from

4 Part I: Conditions of freight rates, wagon prices, train prices A) GENERAL CONDITIONS OF FREIGHT RATES 1. Scope 1.1. On the basis of the contracts of carriage that had been concluded according to the conditions of the General Terms and Conditions of Rail Freight of GYSEV CARGO Zrt. train prices are valid for Hungary s rail network and wagon prices are valid for wagonloads and ITU (Intermodal Transport Unit) transported on the rail network of GYSEV Zrt For the purpose of this freight rates, the consignments which had to be transhipped due to technical defects of the vehicle or official regulations are deemed to be consignments carried in the same wagon, irrespective of whether the transhipment was carried out by the railway company or by another party on behalf of the railway company In case of a change of the contract of carriage the carriage charge will be determined by the railway company taking into account the following circumstances: In case of a change of the contract of carriage the carriage charge for the consignment has to be determined on the basis of the distance measured in km between the station of dispatch and the new station of destination according to the new contract of carriage, as well as according to the conditions and rates of this Freight Rates. For the modification of the contract of carriage, the railway company shall charge the price defined in the section Ancillary charges. 2. Currency of the freight rates The carriage charges and ancillary charges are given in forint (HUF) or in euro (EUR). The conversion of the prices into the currency used for the payment shall be made at the official exchange rate published by the Hungarian National Bank on the day the service is provided. 3. Value-added tax (VAT) The rates indicated in the Freight Rates are exclusive VAT. 4. Administrative fees and costs According to the applicable legislation, the railway company is entitled to charge the taxes and administrative fees defined in the legislation and to recover them from the person liable for payment. In determining the taxes and other administrative fees, the calculated amounts shall be rounded by the railway company in accordance with the relevant legislation. 5 Additional services provided on the basis of an order Notification of the status of the consignment GYSEV CARGO Zrt. undertakes to send a written notice about the consignments being underway to the person authorised according to COTIF / CIM in the event that carriage is impeded for any reason. 5 5.2. Re-consignment For consignment no changes (reforwarding) at crossborder or inland stations the person entitled shall commission the Transport Management of GYSEV CARGO Zrt., H-9400 Sopron, Mátyás király u. 19 (hereinafter referred to as: Transport Management) or the border station in writing. The price of the re-expedition/re-consignment is included in Appendix 1 to the Freight Rates of GYSEV CARGO Zrt. (Ancillary charges). The order for the re-expedition /re-consignment must be submitted to the Transport Management on the form according to Annex No. 1.j. (is available for download on the homepage of GYSEV CARGO Zrt.) until o'clock one working day before the due date of the re-expedition /re-consignment. GYSEV CARGO Zrt. also accepts orders that are submitted in writing with the same details as in the form. The documents which are necessary for the fulfillment of the re-expedition /re-consignment and are required by the authorities must be provided to GYSEV CARGO Zrt. together with the order. If the re-expedition /re-consignment is impracticable due to the incorrectness or incompleteness of the information, GYSEV CARGO Zrt. shall inform the consignee immediately in writing and is entitled to charge a wagon demurrage charge from the time of sending the notification until the arrival of the practicable instruction. The price of the re-expedition /re-consignment and the prices and costs of the services associated with the execution of the re-expedition /re-consignment shall be charged by GYSEV CARGO Zrt. to the customer on a weekly basis. The consignment notes shall also be sent to the customer on a weekly basis, at the expense of the customer. Ad hoc postal deliveries must be requested separately by the customer in the order. 6 B) WAGON PRICES 1. Calculation unit Freight wagon (depending on the number of wheelsets) 2. Determination of the carriage charge 2.1. Wagon load consignments implemented with the Rail Cargo Group If the carriage of wagonload consignments is carried out together with Rail Cargo Hungária or Rail Cargo Austria, the terms and conditions of Rail Cargo Hungária and its annexes shall be applicable to the organization and the execution of the carriage as well as to the carriage charges and ancillary charges. 2.2 Wagon load consignments organised and implemented by GYSEV CARGO If the carriage of wagonload consignments is organized only by GYSEV CARGO Zrt., the execution and the settlement of the carriage shall always take place on the basis of the offer given by the Sales Department of GYSEV CARGO. The bases for the determination of the freight costs are: - the actual transport distance between the station of dispatch and the station of destination - type and mass of the goods - place of dispatch and delivery - conditions of the delivery of the wagon(s) to the place of dispatch - status and weight of the wagon - possible shunting services The prices of other services related to rail transport are set out in Appendix 1 of the Freight Rates Ancillary charges. C) TRAIN PRICES 1. Calculation unit Train: loaded and/or unloaded wagons running as a closed unit with a traction vehicle. 2. Charging distance Distance for freight calculation GYSEV CARGO Zrt. determines the charging distance on the basis of the Network Statement (Hung. abbr. HÜSZ see with the distance being rounded up to the nearest full kilometer. GYSEV CARGO Zrt. calculates the freight charges based on the transport route and the kilometer distance specified in the Network Statement. 3. Train prices The train price will be determined by GYSEV CARGO Zrt. on an individual basis, upon special request, taking into account the following factors: Valid from

7 3.1. Distance of the transport route 3.2. Train composition: - Number of wagons, - status (propriety) of the wagon, - type of goods, - gross weight of the train - train length Traction vehicle: - type of haulage, - type of the traction vehicle - train parameters - costs of diesel fuel 3.4. Costs of infrastructure services used for the purpose of the carriage: The prices for the use of services (basic services, ancillary and additional services) provided on the infrastructure of MÁV Zrt. and GYSEV Zrt. shall be charged in accordance with the conditions of the Network Statement published on the homepage of VPE Kft. - train path allocation charge (HUF/train), - charge for infrastructure use (HUF/train km + HUF/gross weight of the train km) - station usage fee (HUF/train) - catenary usage fee (HUF/e-train km) - price of traction energy - costs of other additional and ancillary services (technical wagon inspection, train inspection, brake test, train takeover, preparation of train etc.) - service costs (usage of shunting loco with crew in accordance with the station technology) Services beyond the scope of the Network Statement, which are indispensable for the transport of trains, will be rendered either by GYSEV CARGO Zrt. or bought from third parties. 4. Costs of services provided by GYSEV CARGO Zrt. The costs incurred in connection with the services of GYSEV CARGO Zrt. will be included by the company in the offer submitted for individual requests, taking into account all circumstances of the carriage. 5. Conditions of carriage of block trains Trains running from a station of dispatch/arrival border station or formation yard (marshalling yard) to a station of destination/departing border station without shunting, with a certain mass of the goods, with a gross weight and length permitted for the entire route, where the full business risk of the transport and of the train utilization is borne by the principal. 8 The customer must take the following measures if he wishes to have his consignment transported on the basis of an agreement on the carriage of goods in a block train: - The customer must notify the beginning of the transport in good time so that the railway company can set the measures necessary for the carriage of the block train; the train must be ordered in writing from the railway company at least 14 days before the scheduled time of operation; - The train parameters necessary for the train transport (train length, net weight of the goods, gross weight, timetable requests, etc.) must be provided in writing. The gross weight and the length of the train must not exceed the values permitted for the transport route; - For the takeover of exceptional consignments (e.g. High Cube Containers in the case of ITU (Intermodal Transport Unit), the takeover permit must be applied for and renewed if necessary; - The customer must notify the railway company of changes in the composition or the transport of block trains without delay, but not later than five working days before the due date of the transport; - The permitted gross weight and the train length must not be exceeded. The railway company has the right to transport quantities exceeding the specified train parameters separately. Consignments transported separately will be charged by the railway company separately. 6. Accompanying documents According to the General Terms and Conditions of Rail Freight of GYSEV CARGO, the COTIF-CIM, the SMGS and the relevant legislation, a block train can run apart from the prescribed documents a) with a consignment note and a wagon list appropriate to the transport or b) with a consignment note and a wagon list for each consignment. 6.1 In the consignment note, the number of the contract of carriage / transport agreement must be indicated in the sender's column. 9 Part II: Ancillary charges When calculating the ancillary charges on the basis of weight, the mass of the goods must be taken into account and rounded up to the nearest 100 kg. When calculating the ancillary charges on the basis of time, all started hours and calendar days shall be regarded as full. Code. Serial no.
