N.B.:- These conditions should be read very carefully by the Organizers before filling their rates, individual page of these terms and conditions should be signed by the Organizer in token of its acceptance... 1) The Tenders must be enclosed and delivered in properly sealed in two bid envelope marked as one for technical bid/competency details and another for price bid. A) The rates per unit should be quoted in words as well as in figures. There should be no alternations or over writing in the rates quoted by the parties. However, if it becomes inevitable the corrections should be made by encircling figures to be altered/ over writing duly attested by the Organizer. Any correction not attested in any tender form will lead to rejections of the Tender. B) The Organizer shall be deemed to have carefully examined the conditions, the seed, its variety & other relevant details to be supplied. If, he shall have any doubt as to the meaning of any conditions or portion thereof, he shall get it clarified before signing the contract. 2) The Maharashtra State Seeds Corporation Ltd, is interested to produce & procure fresh good quality standard Certified/Truthful seed stock of the following varieties out of the production programme organized during RABI season as per below mentioned delivery schedule. I) C/S, T/L SEED PRODUCTION PROGRAMME RABI SEASON. Sr. Crop Variety Delivery Schedule No. 1 Pea ARKEL, AP-3, & HFP th April, Radish J. White, P Chetki 30 th April, ) Each offer should essentially be accompanied by Earnest Money of Rs. 50,000/- (RS. FIFTY THOUSAND ONLY) by way of Demand Draft of Nationalized bank drawn in favour of "MAHARASHTRA STATE SEEDS CORPORATION LIMITED" payable at AKOLA. This earnest money is required irrespective of the quantity of seed being offered to MSSC and is refundable / adjustable after the finalization of contract. DD must be enclosed in envelop No.1 i.e. Technical Bid / Competency Details. 2/--

3 --2 4) The successful Organizer shall be required to organize seed production programme during RABI season to deliver the contracted quantity to the MSSCL within scheduled time. He is required to indicate quantity of Foundation/Certified seed available with source and the source of FS/CS seed being procured by him so as to ascertain its authenticity. The MSSCL will have access to the premises of production and processing of the Organizer at all times and shall have the authority to inspect and examine the fields and material intended to be supplied. It is absolutely essential that the Organizer must be indicate the area of production and processing such as District(s), Town(s) in the State(s) for the seeds to be produced, processed and supplied. The Officers of the MSSCL on inspection and supervision are likely to give instructions to the Organizer which should be strictly followed. If the instructions so given are not followed by the Organizer the production programme and or the produce of its at any stage shall be rejected by the Corporation and will not have any financial liability towards losses of the tenders. The Organizer should furnish details for the quantities of seeds being produced and tendered to MSSCL in envelope No. 1. 5) The seed produced out of seed production programme organized should be cleaned, graded and processed at Mechanical processing Plant as approved by the Seed Certification Agency. In no case hand processing material shall be accepted. Only those Organizers who have mechanized processing facilities alongwith gravity separator need therefore to participate in the tender. For the purpose of better supervision the Organizer will have to process all the contracted produced seed stock strictly at one location only. For this purpose the Organizer should furnish the details in envelope No. 1. 6) The Organizer shall be required to furnish the competency details as enlisted below to enable the Corporation to judge the competency of the Organizer. The Tender will be accepted or rejected on the basis of competency details:- A) FACTUAL DATA: The past performance of the organizer in respect of seed supplies of Certified /Truthful and Foundation seed to MSSCL during last year should be furnish in envelope No. 1. B) The reputed seed Company means it should have good image all over the state or country and should indicate about technical support for high quality production, processing and supplies of desired quantity of Certified Seeds. Please mention in competency details. C) Organizer should give details of availability of Foundation/ Breeder seed to the company in competency details. 7) The Organizer shall supply only Certified seeds Certified by the competent Certification Agency of the concerned State as per minimum seed certification standards and also specifications of the Seed Act The seeds shall be supplied from the fresh stock and not from the revalidation stocks. 8) Even if the seed meets the Certification standards, the Corporation reserves the right to reject the stocks if they are rain touched, lacking luster and on the grounds of admixture found in the growing stage by the supervisory staff of the Corporation. The Certified/Truthful seed can also be rejected at the receiving ends of the Corporation if the container is found damaged or torned or unsealed during the transit. 9) The Organizer shall supply only standard certified seed in Cloth bags/pouches/ Hessian bags, HDPE bags supplied by the MSSCL as per the cropwise specification of the processing materials. It will be obligatory for the successful Organizer to use MSSC's cloth bags/poly Pouches/Corrugated Boxes/ Hessian / HDPE bags and truthful labels for entire supplies so as to maintain uniformity of cropwise containers

4 ) The Company shall supply printed cloth bags, Hessian / HDPE bags /Poly Pouches/Corrugated Boxes at its cost for cropwise standard packing of Certified/ Truthful seed stock. The other processing material such as Gunny bags for outer packing, thread, lead seals etc. have to be arranged by the Organizer at his own cost. In case of Vegetable crop if MSSCL desired the seed to be dispatched in bulk packing, then the required Gunny Bags for bulk packing will have to arrange by organizer at his own cost. 11) The details of the lot(s) supplied to each consignee of the Corporation shall be indicated to the Corporation's Head Office / Regional Office alongwith the bill. 12) The Organizer shall be required to transport seed at his cost anywhere at the block headquarter in the State of Maharashtra. Normally the supply destination/s will be of one full truck load but it may contain maximum 2 to 3 consignees of different blocks in the same district and it will be the responsibility of Organizer to ensure timely supplies as per instructions. It will be the obligatory on the part of organizer to supply the seed in proportionate manner to all districts/regions of Maharashtra State as per movement order given by Regional/Head Office. To arrange the transportation would therefore be the responsibility of the Organizer and the sole risk during the transit would also be that of the Organizer. 13) The rates should be quoted on per quintal basis without cloth bags/ Hessian bags/ Poly Pouches/Corrugated Boxes /HDPE bags and truthful labels for fresh Certified processed, bagged and further packed in gunny bags wherever applicable FOR destination anywhere in the State of M.S. The Octroi and unloading charges shall be borne by the Corporation, but taxes, if any levied in the production state(s) will have to be borne by the Organizer including market fees. 14) The certified seed is to be supplied by the Organizer from the programme organized in early sown areas to the extent of 100% committed quantities as per the delivery schedule indicated in Clause No-2 FOR destination, failing which it shall be deemed that the Organizer has failed to fulfill the contract and is liable to the pay the compensation/liquidated damages as per the Clause No ) The un-used/excess cloth bags/hessian bags/ Poly Pouches/Corrugated Boxes/ HDPE bags, and truthful labels supplied by the Corporation should reach Regional Office within a week from the date of last consignment dispatched by the Organizer, duly acknowledged by Regional Office MSSC Representative at nominated center. 16) In case of short supply of the contracted quantity of the certified seed within the time schedule, the Organizer shall be liable to pay compensation at the rate of 10% of the total value of such shortfall for Hy. varieties and 05% of the total value of such shortfall for straight varieties which shall be worked out on the purchase/procurement rate agreed upon. 17) In case of short fall as a result of rejection of any quantity of seed under any of the clauses from 7 to 9 the Organizer/supplier shall be liable to pay compensation/damages at the of the total value of the quantity so rejected and the same shall be worked out at purchase/procurement rate agreed upon. 18) During the course of organization of production programme and supply of seed to MSSCL, if any losses incurred to organizer, corporation will not be responsible for damages, losses. 19) The guarantee of genetic purity and germination would be given by the Organizer. In case of any complaint, the Organizer would be responsible for making good losses to the farmers and/ or the Corporation. For this 5 % of the total amount payable to the Organizer shall be retained as a retention money which will be released not earlier than 28 th Feb-2016 and will not carry any interest. The MSSCL shall conduct the Grow out test at his own/government land for identifying the genetic purity and only lots qualified in the Grow out test will be procured by the MSSCL. 20) The seed will be graded with prescribed standard sieve size specified by Certification Agency and tolerance limit of 03% of lowgrade will be observed in case of processed and certified seed lots. 21) The Organizer shall prepare the Tax Invoice in the name of MSSC Ltd., Akola induplicate and submit the same alongwith the proof of delivery in respect of each consignment, duly certified by MSSCL representative, to Regional Office. There after within 15 days 95 % payment shall be released. The bill should essentially be accompanied with a Certificate incorporating that the seeds are supplied out of fresh produce and not from revalidated stocks. The invoice should also contain the lot wise details. The VAT / CST No. should be invariably indicated in the bills

5 ) Where the procurement rates are APMC or Committee based, it will be the sole responsibility of the organizer to convince their seed producing growers/ farmers. MSSCL has no way concern with any seed grower about the rate so fixed by the organizer. 23) The rejected seed stocks by the Corporation at their receiving ends or in the processing plants of the successful Organizer shall not be used for resale by the supplier in the Corporation's container. 24) The successful Organizer shall have to execute the agreement on general stamp paper of required value within 10 days of awarding the tender to him at his cost. The successful Organizer/s will have to produce attested copy of partnership deed in case of limited Company and also power of attorney on stamp paper in favour of authorized representative for execution of agreement and setting all matters related to this contract. 25) The security deposit in the form of Demand Draft or irrevocable Bank Guarantee of any Nationalized Bank on per quintal basis for total contracted quantities shall have to be furnished within 10 days of the order by the successful Organizer. The Bank Guarantee should be made valid upto 28 th Feb ) The amount of security deposit will be released when the deal is deemed to have been completed satisfactorily and there are no serious complaints from the consumer farmers, regarding the germination and quality of the seeds supplied. 27) The offer would be valid for one month from the date of opening of the tenders. The rates so quoted in the tender shall remain effective irrespective of market fluctuations and the successful Organizer shall be required to supply the seed at the agreed rate only. 28) The Contract can be terminated at any time due to non-performance on any or all the terms and conditions of the agreement to the satisfaction of the Corporation. 29) The Managing Director reserves the right to accept or to reject either in full or in part any or all offers without assigning any reason/s thereof. The Managing Director further reserves the right to award the tender to more than one Organizer. After analyzing the rates offered by organizers, the same will be negotiated if required. 30) In case of any dispute arising out of the contract or any repercussions thereof the party shall agree to refer the matter for sole arbitration to the Managing Director, MSSCL, Akola of whose decision shall be binding on both the parties. 31) The organizer shall be solely responsible for any complaint with regards to quality aspects in seed supplied by him. If any dispute arises about seed supplying quality at any point the organizer shall be responsible to pay the legal expenses and compensation etc. as per order of consumer court/ MOU committee/ other court or any other authority. 32) In case after allotment of seed production programme to the organizers, if organizer do not implement the said seed production programme/execute agreement/deposit SD within time schedule, then amount of EMD deposited will be forfeited without assigning reasons thereof. 33) The Court of Law situated at Akola M.S. shall only have the jurisdiction for any matter relating to this tender or any subsequent agreement irrespective of the place of execution of the contract/agreement. 34) It is the responsibility of organizer to keep the stock safe in good condition where the Corporation has paid advance / adhoc payment. It will be the responsibility of the organizer to insure the stock for fire, flood and theft at his own cost. The policy should be in the name of MSSCL

6 ) The organizer will not hypothecate, pledge, sale or move the stock where corporation has paid raw seed advance. However the corporation has right to sale or to move or dispose of such stock. The breach of this condition by the organizer shall be treated as criminal offence. 36) That Organizer should offer the varietywise quantity & rate of supplies for fresh quality certified /Truthful seed in Annexure of price bid in separate envelope. 37) The Organizer has to submit attested copies of seed license/cst/vat certificate from concern government department of respective state and also copies of APMC license/ certificate alongwith tender form. 38) The Tenders should only be signed by Proprietor in case of proprietary concern, Managing Partner in case of Partnership concern and Managing Director in case of the Limited Company will only be required to sign agreement documents of this transaction. In case, any person other than those mentioned about is to execute the agreement, a power of attorney in stamp paper should be furnished. 39) Conditional Tenders will not be accepted. 10 Annexure II MAHARASHTRA STATE SEEDS CORPORATION LIMMITED AKOLA CERTIFIED/ TRUTHFUL SEED PRODUCTION POGRAMME RABI SEASON IN UTTAR PRADESH / UTTARAKHAND. PRICE BID (Important point to be noted before filling up the tender form) 1) The procurement policy for vegetable seed is MSSCL Committee rate plus service charges. 2) The organizer has to store the good seed in separate godown. 3) Payment strategy : a) No advance payment shall be released against the raw seed receipt of any crop/ varieties. b) The payment to the extent of 95 % on C/S & T/L seed will be released on submission of acknowledgement of receiving unit along with original SCA release orders/ Form No. I & II c) Balance 5 % payment will be released after 28 th Feb subject to satisfactory completion of transaction, however the seed supplied in Kharif season, the retention money will be released after 30 th September d) The security deposit in the form of D.D. / Cash/ B.G. of Nationalized Bank at on per qtl basis of total contract will have to deposited with MSSCL, the cropwise S.D. per qtl to be deposited are as under Sr. No. Crops Security Deposit Rate (Rs./qtl.) 1 Pea Radish 300 e) Non-supply of contracted /agreed quantity will attract penalty. e) The seed will have to be delivered FOR Maharashtra. f) The delivery schedule for supply of seed shall be as per clause No. 2.
