5 CHAPTER I Purpose Article 1.- DEFINITIONS In this Regulation, the following terms shall have the meanings indicated below, in accordance with the provisions of the standards listed in Chapter V of this Regulation: 1.1 Customs agent: Individual or legal entity authorized by the State, which officially represents consignees or owners of the cargo to the Customs Authority. 1.2 Shipping agent: Legal entity incorporated in the country approved by the competent authority to intervene, upon designation of the general agent or representing the shipping company or operator in the operations of the ships in port terminals. 1.3 Storage: It s a service that consists in the permanence of the cargo in warehouses, sheds and patios. Including the resources and activities necessary for the provision of such services 1.4 Customs warehouses: It s an area for the temporary custody of the goods whose administration can be carried out by the customs authorities, other public agencies, individuals or legal entities, understanding as such temporary storage and customs warehouses. 1.5 Berth: It s a physical area designated in the terminal for the docking and undocking of the ship. 1.6 Docking and undocking: Service provided to ships at berth to receive and secure the ropes, change to a mooring point to another. 1.7 APM TERMINALS Callao S.A.: APM TERMINALS 1.8 Tonnage: Total volume of all enclosed spaces of a ship, in accordance with the International Convention on Tonnage Measurement of Ships, National Port Authority (APN): Technical specialized body of the National Port System under the Ministry of Transportation and Communications, attached to the Minister, with legal personality under public law, own patrimony and administrative, functional, technical, economic and financial autonomy as well as regulatory power by delegation of the Minister of Transportation and Communications. 6 1.10 Docking: Operation of driving the ship at a site provided for in the dock. This ends when it is moored out last Dock bollard 1.11 BAPLIE (EDI): Electronic document in which the location, category, type and position of the containers on the ship is indicated CAL (Container Announcement List): It is the list of containers showing the identification of containers being loaded on each ship 1.13 Cargo: Loading of set of merchandise or goods that for their transportation from one port to another are stowed and embark on a ship 1.14 Consolidated cargo: Group of goods that for its transportation from one port to another are stowed and embark on a ship Cut off: Deadline date and time that the load can be received by APM TERMINALS for shipment to a specific ship. The Cut off shall be determined by a specific date and time schedule, prior to the scheduled departure of the ship IMDG code: International Maritime Code for Dangerous Goods 1.17 Concession agreement: Is the contract for the design, construction, financing, maintenance and operation of the Multipurpose North Terminal in the Callao Terminal Port, concluded between the Peruvian government and APM Terminals Callao SA on May 11 th, 2011, approved by Supreme Decree No MTC Bill of Lading B/L: Document proving the possession and/or ownership of the cargo Consignee: Individual or legal entity in whose name the merchandise arrives or that acquires it by endorsement of the transportation document 1.20 Crew: It s a group of longshoremen who in a port are in charge of stowing the goods on board ships, as well as their landing. Their number will depend on if it s a manual gang that physically manipulates the goods or mechanical crew using mechanized equipment for handling the goods, the nature of the load operation being performed or customs of the port Unmooring: Loosen the ropes of a ship Undocking: Operation whereby a ship retires from the dock, ending when the last drop is out. 7 1.23 DICAPI: Directorate General of Captaincy and Coast Guards of the Navy of Peru holds the Maritime, River and Lake Authority, is responsible for regulating and ensuring the safety of human life, environmental protection and natural resources and suppress acts illicit; exercise control and monitoring of all activities performed in the aquatic environment, in compliance with the law and international agreements, thus contributing to national development Stowage: The process of accommodating cargo in a warehouse space, dock, patio or conveyance Length: Length of the ship contained in the Certificate of Registration issued by the State of the Flag List of passengers: It s the official document IMO-FAL 65, which indicates the nominal list of the passengers transported by a vessel upon its entrance and exit of the port List of the crew: It s the official document IMO-FAL 65, which indicates the nominal list of the crew of a vessel upon its entrance and exit of the port Applicable laws and provisions: It is the group of Peruvian legal provisions governing this Regulation. They include rules with the force of law, the rules issued by the NPC, regulations, directives and resolutions that are in force and as may be issued by any competent government authority Cargo manifest: Official document submitted by the Shipping Agent that collects information of all cargo transported by the ship, the cargo manifest can be for the port, cargo in transit or transshipment 1.30 Handling: It s the action of moving and placing the cargo from the storage yard or from the dock area on the transportation unit so that it can be transported or vice versa Goods: Cargo transported or that has been and/or will be carried on board a ship or vessel Dangerous goods: Classified as dangerous goods for which there are strict regulations regarding their acceptance procedure, packaging, storage, transport documentation and either local or international transfer Vessel: Main shipbuilding designed to navigate, with propulsion and steering. Its members and accessories, such as rigging, machinery and instruments not part of the same structure used in his service at sea, river or lake, and port parts are included. Page 7

8 1.34 Port operator: Legal entity incorporated or domiciled in the country, which is authorized to provide, in port areas, services to ships, cargo and / or passengers 1.35 Port: Geographical location and economic unit of a locality where the terminals, infrastructures and facilities, land and water, natural or artificial, put up for the development of port activities are located Port area: Area included between protection works or external line of demarcation of aquatic operating area and land perimeter boundary of the area where port facilities are located SADA: Advance Customs Clearance System 1.38 Ships Particular: Data sheet of the ship 1.39 Tariff: Document containing the list of Rates and Prices set by APM TERMINALS SA, which will be charged to users for services rendered to them arising from the operation of the Multipurpose North Terminal at the Callao Port Terminal TDR: Terminal Data Report. Report on the operation of the ship at our facilities Port terminal: It is the Multipurpose North Terminal at the Callao Port Terminal whose modernization, maintenance and operation has been given in concession to APM TERMINALS User: It s any individual or legal entity using the port infrastructure as a downstream user or end user UDL: (Unit Discharge List) It is the list of goods to be unloaded from a ship, which shows the identification of the packages and characteristics of these. Article 2º.-PURPOSE: To establish a clear and objective regulation of operational performance and provision of services in the Multipurpose North Terminal at the Callao Port Terminal (hereinafter "Port Terminal"), managed and operated by APM Terminals Callao S.A. (hereinafter "APM TERMINALS"). Establishing the rights, duties, powers and responsibilities of APM TERMINALS and Users of the Port Terminal, ensuring safe operation for human life, for the load to ship to port facilities and efficient, achieving better infrastructure optimization port and resources, so that services provided by APM TERMINALS are made with economy, efficiency and security under the principles of sustainability, nondiscrimination, neutrality and prohibition of cross-subsidies, and organize access to the use of services and facilities available at the Port Terminal. 9 CHAPTER II SCOPE Article 3º.-SCOPE: The Regulation lays down the general rules for the agencies in the operating area of APM TERMINALS and applies to individuals or legal entities, public or private, having access to the Port Terminal or applying the standard amenities and/or special lend in the Port Terminal and also applies to the staff of the Port Terminal. 3.1 Nature of the services Under the Concession Agreement, are all APM TERMINALS port services directly or through third parties, provided in the concession area to all users who request it. These services include: Regulated services a) Standard services Those services provided on a regular basis and under standard methods, safe and efficient that APM TERMINALS shall provide to any user who so requests and includes those operational and administrative to conduct the loading or unloading goods in an efficient activities. APM TERMINALS shall not condition the provision of the Standard Service to the hiring by the user of Special Services, in accordance with the provisions of clause 8.19 and 8.20 of the Concession Agreement. It also should consider the provisions of clause 8.21 of the concession contract relating to service levels and productivity. The Standard Services are divided into: Services according to the ship Services according to the cargo a.1 Services according to the ship: It comprises the use of the berths of the Port Terminal. The fee for this concept applies to the ship length meter per hour or fraction of an hour. It is calculated by the total time that the ship remains moored to the berth, computed from the time it passes the first spy in the docking operation until the time it takes the last spy in the undocking operation. The rate includes docking and undocking service of the ship. This tariff will be charged to the ship based on the overall length (LOA) of the ship confirmed by its Ship's Particulars. Page 9

10 a.2 Services according to the cargo: Includes download services and/or shipment under standard methods of cargo that arrives regularly at the Port Terminal, and the use of infrastructure and equipment available at the Port Terminal. a.2.1 Loading and unloading of containers in general This service includes: i. The download/shipment service, including loading/unloading using the infrastructure and necessary equipment; ii. Traction service between the side of the ship and the storage area, or vice versa in the shipment; iii. Handling service in the storage area, patio and ship for receiving cargo from the ship and loading to the means of transportation designated by the user, or vice versa to the shipment; iv. Lashing or release service; v. The cargo verification service for the sink, including electronic transmission of the information to the shipping agent; vi. Weighing, vii. The review of seals as long as necessary; and viii. Other services related to customs procedures referred to in applicable laws and regulations, to be provided solely on the Port Terminal by APM TERMINALS. This does not include, if applicable, the services related to the movement of the load to check the capacity or the like within the Port Terminal. The provision of these services shall, in any way, affect the fulfillment of obligations of customs regulations that apply to the various foreign trade operators, according to the regulations, if the services are requested one (01) days prior to its realization. ix. The load may remain stored in the Port Terminal freely available to the user according to the Tariff Regulation. Page 10

11 In the case of transshipment made entirely in the Port Terminal, the Standard Service depending on the load it is charged once and includes from downloading until boarding on the other ship (full cycle transfer). Also it includes forty-eight (48) hours of free use of operational area. This service also applies to cabotage containers entering and leaving a ship in another ship. In the case of transshipment containers between terminals, the fee to be billed for that service, applies by motion and not cycle according to the Tariff. a.2.2 Loading and unloading of liquid bulk This service includes: i. Stevedoring or unloading operations, unloading / loading as applicable ii. iii. Weighing, including the electronic transmission of information and The use of infrastructure (wharf usage). a.2.3 Loading and unloading of solid bulk This service includes: i. Stevedoring or unloading operations; unloading / loading with conveyors and other equipment under normal load conditions. ii. Handling service - in the area of storage (silos), or maneuver area for receiving the ship loading and loading to the means of transportation designated by the user, or vice versa in the shipment. iv. Weighing, iv. The use of infrastructure (wharf usage). v. Other services related to customs procedures referred to in applicable laws and regulations, to be provided solely on the Port Terminal by APM TERMINALS. Not included, if applicable, the services related to the movement of the load capacity for the realization of, or the like within the Port Terminal. The provision of these services in any way affect the fulfillment of obligations of customs regulations that apply to the various foreign trade operators, according to the regulations provided that such services are requested with anticipation not less than one (01) day. 12 a.2.4 Loading and unloading of breakbulk This service includes: i. It s the download/shipping service under standards and efficient methods using the infrastructure and standard equipment in accordance with the provisions of the concession contract. Special equipment must be provided by the ship or the importer / exporter. ii. Service traction between the side of the ship and the storage area, or vice versa in the boarding, as long as it is standard commodity and meets the established teams in the concession contract. Special equipment must be provided by the ship or the importer / exporter. iii. The handling service - in the area of storage yard and warehouse - to receive the load of the ship and handling the means of transport designated by the user, or vice versa in the boarding, as long as either standard goods and counted with teams established in the concession contract. Special equipment must be provided by the ship or the importer / exporter. iv. Visual verification service of load for performing the sink. v. Weighing service. vi. Other services related to customs procedures referred to in applicable laws and regulations, to be provided solely on the Port Terminal by APM TERMINALS. Not included, if applicable, the services related to the movement of the load capacity for the realization of, or the like within the Port Terminal. The provision of these services in any way affect the fulfillment of obligations of customs regulations that apply to the various foreign trade operators in accordance with the rules in force as long as these services are requested with anticipation not less than one (01) day. vii. Lashing and release a.2.5 Loading and unloading of rolling cargo This service includes: i. The download / shipment service for its own means and / or using the infrastructure and equipment needed. ii. Driving service of vehicles between the ship and the storage area, or vice versa in the shipment. Page 12

13 iii. Handling service for receiving cargo in the patio and the next shipment in the Ship and the positioning of the rolling load the means of transport indicated by the user, for the removal of this. iv. The visual verification service of the load for the realization of the sink by the carrier. v. Weighing service; at the entry / exit as required by applicable customs regulations. vi. Other services related to customs procedures referred to in applicable laws and regulations, to be provided solely on the Port Terminal by APM TERMINALS. Not included, if applicable, the services related to the movement of the load capacity for the realization of, or the like within the Port Terminal. The provision of these services in any way affect the fulfillment of obligations of customs regulations that apply to the different operators of foreign trade, according to the regulations provided that such services are requested with anticipation not less than one (01) day. a.2.6 Embarkation and disembarkation of passengers This service includes: i. The embarking/disembarking service of passengers while ensuring secure access from the ship to the point of documentary immigration inspection equipment and providing necessary resources and preparing the environment for receiving the passenger. ii. Boarding pass control service of passengers at the time of embarkation / disembarkation. iii. Baggage control service through x-ray and of the passenger through a metal detector gate. These controls are independent of customs controls carried out by SUNAT in the exercise of the customs authority. iv. Embarking/disembarking service for the crew, ensuring at all times, secure access from the ship to the point of documentary immigration inspection, having the equipment and resources to do so. v. 24 hours emergency medical service for passengers if necessary. vi. Document management service required on passengers. Page 13

14 b) Special services Are all port services other than APM TERMINALS Standard Services is authorized to provide, directly or through third parties, which charged a fee, as has been determined in the Concession Agreement Not regulated a) Special services All port services are different from the Standard Services and Special Services Regulated that APM TERMINALS is empowered to lend directly or through third parties, for which a price is charged. CHAPTER III DUTIES AND RESPONSIBILITIES SUB CHAPTER I DUTIES AND RESPONSIBILITIES OF APM TERMINALS Article 4º.- APM Terminals is a private company under private law responsible for administering and operating the port terminal, which has as its main objective, port services always provide them safely above all, efficiently and expeditiously to those who request it. Article 5º.- APM Terminals is responsible for disseminating this Regulation to all users and authorities. Article 6º.- APM Terminals is responsible for providing uninterrupted service, 24 hours a day, 365 days a year, according to the conditions established in the Concession Agreement. Article 7º.- It is the responsibility of APM TERMINALS: to plan, coordinate, communicate and execute operations, according to the standards established in the Concession Agreement. Article 8º.- APM TERMINALS will provide services to the ship, cargo and passengers, who so request, in accordance with the rules and/or provisions to operations carried out, provided for in this Regulation. Article 9º.- The Operations Area of APM TERMINALS is responsible for the planning, coordination, execution and control of all aspects of operations that take place in the Port Terminal, verifying strict compliance with the provisions of this Regulation. Article 10.- In the event that by its nature, by the type of stowage, or other factors, the vessel does not meet the minimum conditions of safety and pose an imminent risk to human life and are duly supported, APM TERMINALS reserves the right to refuse ship delivery service. 15 SUB CHAPTER II DUTIES AND RESPONSIBILITIES OF THE USER Article 11º.- Request services to the ship, cargo, crew, passengers and complementary according to the Tariff in force, respecting the time limits contained in this Regulation. Article 12º.- To request the Security and Environment Management of APM TERMINALS (HSSE), the temporary authorization for the entry of vehicles, personnel, equipment and machinery to the facilities of the Port Terminal, considering all the minimum safety requirements. Article 13º.- Submit claims duly documented, by controversies in the care and billing of services. Claims must be submitted to Commercial Department of APM TERMINALS (Customer Service). The damage to the ships, cargo or equipment must be reported to the Duty Manager immediately in order to carry out relevant and to determine the responsibilities according to the Regulations on Claim Management and Dispute Resolution APM TERMINALS research. Article 14º.- For all legal, regulatory and commercial effects, the user requesting the services covered by this Regulation shall be liable for the payment thereof. The user acknowledges and accepts the rates, rules and other provisions in force and is liable for payment of the damages incurred. Article 15º.- Users must comply with the rules and/or regulations applicable to the operations of the Port Terminal, provided for in this Regulation. CHAPTER IV TERM Article 16º.- This Regulation shall enter into force upon its approval by resolution of the General Management of the National Port Authority (hereinafter "NPA"). Article 17º.- In the case of amendments to this Regulation, they shall comply with the provisions of the NPA as well as observations and/or modifications it deems appropriate, the General Manager of APM TERMINALS. APM TERMINALS states that can issue directives or other complementary provisions of this Regulation, after coordination with the NPA, in order to regulate a certain operation or procedure. CHAPTER V LEGAL BASIS Article 18º.- This Regulation has been prepared based on the provisions of Ministerial Resolution No MTC, dated April 19 th, 2001, corresponding Annex, dated May 2 nd, 2001, as amended. Article 19º.- In this Regulation the following standards have been considered: Page 15

Board Resolution No CD/OSITRAN "Regulation for the use of Airport and Port Terminals" of December 29 th, ee. Regulation of Tariffs and Trade Policy of APM TERMINALS of June 25 th, CHAPTER VI GENERAL PROVISIONS SUB CHAPTER I GENERAL PROVISIONS Article 20º.- APM TERMINALS will implement a program of internal audit that will be conducted annually to ensure full compliance with all operational standards, safety, health and environment. This plan will be submitted to the NPC in the fortnight of December of each year. These audits include inspection or monitoring programs relevant to the activities carried out in the port terminal. Article 21º.- The application of the provision of services by users represents a declaration of knowledge of the contents of this Regulation, so that port operations are conducted safely, efficiency and economy without adverse effects on the environment. Article 22º.- The Finance Management of APM TERMINALS is entitled to suspend the provision of services to the user that does not meet the payment of amounts due or fails to comply with commitments made with APM TERMINALS. 19 Article 23º.- APM TERMINALS will give free access to the users to perform a specific function in the terminal. For these purposes, the income shall be allowed when applying for a permit for use of port infrastructure and its presence is necessary for operation (see access rules applicable to Chapter IX of this Regulation). The requirements for entry into APMTC and operational area are detailed on our website.pe The working hours to request service of load and/or ships are from Monday to Saturday from to Article 24º.- Maritime Agencies and Companies Providing Basic Port Services must submit to the Port Terminal, the corresponding operation license granted by the NPA, and a copy of the letter of annual renewal of the operating license in force. Also, the Maritime Agencies and Companies Providing Basic Port Services should appoint their representatives and present the record corresponding authorized signatures. Article 25.- The Customs agents, Logistics Operators and Customs Warehouse shall submit to the Port Terminal, copy of Final Operating License issued by the National Customs Authority, duly legalized or signed and sealed in original with registered firms to APM TERMINALS. Also, Customs agents, Logistics Operators and Customs Warehouse should appoint their representatives and present the corresponding record of authorized signatures. Article 26.- The Freight companies must be authorized by the Directorate General of Land Transportation of the Ministry of Transportation and Communications, and shall comply with all current regulations required by the various authorities and the safety of APM TERMINALS. Article 27º.- In case of congestion in the request for use of infrastructure and equal rights to users, the Operations of APM TERMINALS determine the order of attention, as indicated in Article 100 of this Regulation, in order to provide services with economy, efficiency and safety, following the principles of non-discrimination and neutrality and the rules issued by the NPA on the matter. Article 28º.- They may land, ship and handle by the docks or any other area of the Port Terminal, goods, supplies, materials, luggage or other items, whatever their class or form, provided they meet the requirements of the NPA, Customs, Immigration and APM TERMINALS, and the rules contained in this Regulation and Procedures for each type of load of APM TERMINALS. Article 29º.- Compliance with the standards laid down in this Regulation, does not exonerate users and authorities, to comply with the Page 19

20 requirements and current provisions issued by the NPA, and other authorities exercising specific functions in port activities according to law, such as immigration authorities, sanitary, phytosanitary, sea, narcotics, environmental monitoring, among others. Article 30º.- The originators or cause damage to the facilities or equipment of the Port Terminal or the environment, whatever was the cause that produces it, will assume the total direct and indirect costs of such repair and / or corresponding remediation. Article 31.- In accordance with current regulations, APM TERMINALS will establish provisions which shall contain the regulation, which must be approved by the NPC for further communication and compliance of users. Article 32º.- The service of weighing of goods shall be provided in accordance with the customs regulations in force, the same official status. Additional amenities weighing of goods will only be prior authorization and Port Terminal according to APM TERMINALS tariff regime in force provided. Article 33.- Users are obliged to comply with all rules and safety standards set by the Internal Health and Safety Regulation of APM TERMINALS. Article 34º.-APM TERMINALS reserves the right to care for those sub-standard ships that do not meet minimum safety conditions for implementing operations without exposure to accident risks. Article 35º.- Everyone that is a customer, contractor, supplier, user, authority, crews of ships or tugs entering the operational area of APM TERMINALS must necessarily use personal protective equipment in accordance with the provisions of the applicable legislation. Article 36º.- Container Ships SUB CHAPTER II ARRIVAL PROVISIONS The Shipping Agent of the ship must communicate via to the Port Terminal, with no less anticipation than seventy-two (72) hours, the arrival of the ship with express indication of date and time, depth, type of operation and information preliminary loading and unloading. For those ships that have less than 72 hours transit information is completed immediately after the departure of the port of origin. In case of not providing the information, the entry of the ship will be scheduled according to the availability of moorings and subject to send the information requested for planning operations by APM TERMINALS. Article 37º.-General cargo ships (Fractional, Liquid Bulk, Solid Bulk and rolling stock). Page 20

21 The Shipping Agent shall inform the ship leaving the port of embarkation, with no less anticipation than seventy-two (72) hours, via to the Port Terminal, the arrival of his ship with express indication of date and time, draft, type of operation and cargo, special equipment required for stowing and preliminary information and / or end of volumes, according to the point "e" of Article 57 of this regulation. For those ships that have less than 72 hours transit information is completed immediately after the departure of the port of origin. Article 38º.-Passenger ships The Shipping Agent of the ship must communicate with three (3) months in advance, the full itinerary of the various ships call at the Port Terminal. Similarly, you must reconfirm with anticipation not less than seventy-two (72) hours, via to the Port Terminal, the arrival of his ship with express indication of date and time, draft, list of passengers, crew and special requirements. For those ships that have less than 72 hours transit information is completed immediately after the departure of the port of origin. Article 39.- It is considered as forced arrival, in the following cases: a. Having onboard crew and/or passengers who require specialized medical attention. b. Weather conditions that make it impossible to continue with safe navigation. c. Accident or incident which renders the ship in safe navigation. d. Duly substantiated damage that requires repair. e. Any other force majeure that requires the ship to take that decision Article 40.-Procedure for forced arrival For cases of forced arrival the following procedure (applicable to all types of ship) shall apply: a. In case of forced arrival of a ship, the representative of the same, the shipping agent communicates via to APM TERMINALS Traffic Office, the type of emergency by the ship, requesting therein a berth available. b. Traffic coordinator assess and confirm the berth available, and then makes the necessary arrangements with APN, Security and Environment Management of APM TERMINALS (HSSE) and other respective areas, depending on the type of emergency. 22 c. The Shipping Agent shall immediately dispose of a pilot and tug assistance for berthing of the ship, according to schedule. d. Once the ship is docked, APMT TERMINALS within its powers, provide the necessary support in the emergency, in coordination with the representative of the ship shipping agency. SUB CHAPTER III BERTH PRIORITIES Article 41º.- The Traffic area of APM TERMINALS will determine the place of berthing of ships, taking into account the ship type, the type of operation to be performed, length, depth, storage areas, other operations being carried out simultaneously in the same dock operations that were previously carried out and can leave the dock in unsuitable conditions to start another operation as well as the number of ships operating simultaneously at the terminal and operating time. The general order of priority for berthing of ships of containers, general cargo and others is as follows and will be valid until March 31 st, 2014, after which the NPA must approve a new order of priority for berthing: a. Passenger ships b. Container ships with docking window. c. General cargo ships with docking window d. Container ships (gearless) e. Mineral ships. In the case of ships docking minerals it will be made through berth 5B. As of November 2013, that berth will also be used, as appropriate, for the liquid discharge vessels belonging to the mining industry. The docking of mineral ships may also be made on the dock 5C, provided no windows docking previously agreed under the Concession Contract Multipurpose North Terminal is affected. e. All others according to their date, time of arrival and availability of Docks according to the criteria for allocation of berths according to the Matrix Docking part hereto as Exhibit "I" Taking into account the above criteria and respecting the principles established in the Concession Agreement and applicable law, APM TERMINALS may change the priority attention of the ships arriving at the Port Terminal, communicating by any means, such a change to the NPA. Article 42º.- APM TERMINALS according to the Concession Agreement may sign agreements for reserving berths for ships of regular service. Article 43º.-Container Ships Notwithstanding the regulated in the previous article: Page 22

23 43.1 The priority of container ships will be determined by a system of "docking windows", which will be previously agreed with the shipping lines. Ships enjoy a docking window will have priority within the agreed docked docking and undocking operations time The ships arriving more than four (4) hours after the start of the window docking, mooring lose their right unless there is a prior acceptance by APM TERMINALS APM TERMINALS will facilitate the exchange of docking windows, consultation and communication with the shipping lines involved The berthing windows will be reviewed every three (3) months in order to assess compliance with them by the shipping lines. Those who violate shipping lines in more than three (3) repeatedly lose their berth window if there is demand from other shipping line, unless there is other trade agreements Ships that do not have docking windows, will dock according to the information provided by the Shipping Agents about the arrival of these ships: Estimated Time of Arrival (ETA) In the event that two (02) or more ships arrive at the same date and time, priority attention will be for those ships that do not have their own cranes. In the event that two (2) or more ships with their own cranes arrive at the same date and time, APM TERMINALS determine the order of berthing, and inform the shipping agents, in order to avoid controversy The ships whose stay is prolonged in the dock and create a conflict with the assigned to another ship window must end its operations and undock before the start of the window docking of the ship following. This undocking shall be given no later than two (2) hours before the start of the next window In the event that a ship projecting term operations within the assigned to another line, APM TERMINALS in coordination with the aforementioned line window, schedule the end of the operations of the first ship, which undertakes to undock if the case so as not to interfere with the care of the next window docking. In the event that two (2) or more ships with their own cranes arrive at the same date and time, APM TERMINALS determine the order of berthing, and inform the shipping agents, in order to avoid controversy The ships whose stay is prolonged in the dock and create a conflict with the window of another ship, should be completed and undocking operations before the start of the window docking of the ship following. This undocking shall be given no later than two (2) hours before the start of the next window In the event that a ship projecting term operations within the window of another line, APM TERMINALS in coordination with the line, will program the end of the operations of the first ship, which undertakes to undock if any, to so as not to interfere with the care of the next window docking. To re-enter, APM TERMINALS you plan for a second berth to the ship required General cargo ships that do not have a docking window will enter Dock according to ETA and the availability of moorings, according to Matrix Dock part hereto as Exhibit "I" For reasons of security risk or low productivity attributable to the ships, APM TERMINALS reserves the right not to accept entry of a ship or reject it to continue operations. Article 45º.-PASSENGER SHIPS Passenger ships berthing shall have priority over all other ships. Article 46º.- MILITARY SHIPS National military or foreign flag ships, school ships and ships on an official visit, that have been announced previously by the Navy of Peru, will dock on the docks of Port Terminal, for the time necessary for protocol formalities, the rest of the time should stay anchoring area. 25 Article 47º.- Loss of berthing shift in the following cases: a. When the ship does not have permits and/or statutory certificates issued by the competent authorities. b. When the cargo ship is not available and there is a danger of interrupting the continuity of operations. c. When a ship has not submitted the documentation required by APM TERMINALS or information presented outside the stipulated time. d. For reasons of security or public order. e. For failure to ensure proper functioning of equipment and specialized gear own ship for loading or unloading. f. Breach of the itinerary announced. g. By arriving four (4) hours later than the date and time stipulated docking window. h. For lack of payment i. Article 48º.- Shipping lines, through their shipping agents, undertake to coordinate with maritime pilots and tugs for ships to dock at the scheduled time for the start of operations in the relevant shift. When for reasons caused by pilots or tugs the ship berths after the start of operations scheduled time, corresponding according to the current rate of APM TERMINALS charge will apply. SUB CHAPTER IV UNDOCKING PRIORITIES Article 49º.- The undocking priority is as follows: a. Passenger ships b. Container ships with docking window. c. General cargo ships with docking window d. Container ships (gearless) e. All other depending on the type of vessel and / or cargo. Article 50º.- APM TERMINALS will inform the term of operations of shipping lines through their shipping agents, who are committed to coordinate with maritime pilots and tugs so that the ships are ready for undocking at most within twenty (20) minutes after finishing the bet operations and APM TERMINALS application should be required. Otherwise the appropriate fee will be charged for non-release of berth Article 51º.- In case of deterioration of one of the cranes of the ship or other damage to it, which causes paralysis of unloading or loading for more than eight (8) continuous hours, the Maritime Agency must withdraw assigned ship berth, in order to clear the mooring to other ships planned. 26 If the ship is not withdrawn, the rate established for the non-release of the berth will apply. Article 52º.- The undocking of a ship will be ordered in the following cases: a. For reasons of safety, security or public order. b. When the ship's safety inspection that is carried on board before the start of operations as a result which does not provide security guarantees for board work will proceed according to the procedures for each type of load set by APM Terminals that are part of these rules. c. When weather conditions, equipment conditions and / or materials mooring and maneuver does not provide the necessary security conditions for the stay of the ship at the pier. d. When failing to meet any of the points mentioned in item "e" of Article No. 57 of this Regulation. e. Where it is noted poor performance attributable to the same conditions of the ship and cargo conditions that do not guarantee the optimal use of the pier. It means underperformance when the levels required in Annex 3 of the Concession Agreement is not reached. f. When health authorities detects in shipments of animal or vegetable origin, any phyto-sanitary problem. When health authorities detect, on ships, crews and passengers with infectious diseases. g. Where the conditions under Article No are met. h. When due to justifiable reasons the Operations Management of APM TERMINALS orders the undocking of the ship. When the problem is fixed, the ship must undergo reprogramming of docking. The ship has a (01) hours after receipt of the notice or order for undocking, otherwise the rate and the corresponding penalty in accordance with the provisions of our Rules of APM Terminals rates apply. 27 SUBCHAPTER V CHANGE OF LOCATION Article 53.- Maritime Agencies whose ships have to make site changes should manifest via , with a minimum of twenty-four (24) hours in advance. CHAPTER VII PLANNING AND COORDINATION OF OPERATIONS SUB CHAPTER I Communications between the provider entity and users Article 54º.- APM TERMINALS will coordinate with users registered in the Port Terminal, the provision of their services. APM TERMINALS authorized for companies that develop activities at the facility, should assign a person to coordinate and supervise the work and respond by staff during the execution of operations. Article 55º.- Communications between users and APM TERMINALS are made via or any other means documented. The communications will include aspects related to the ships, loading and unloading operations of merchandise, cargo handling, storage, transport, special and dangerous goods safety provisions and other requirements of the users. Article 56º.- The planning of port operations will be carried out in order to organize, coordinate, allocate and control resources Port Terminal for operations that are requested by users. Includes the following actions: a. Planning and delivery arrangements for the conduct of operations. b. Assess the extent of each operation, resources, possibilities of congestion and measures to be adopted. c. Planning the assignment of berths. d. Plan the allocation of storage areas. e. Schedule receipt and clearance of cargo through the appointment system Page 27

28 SUB CHAPTER II DOCUMENTS PRIOR TO THE ARRIVAL, AND DEPARTURE OF THE SHIP Article 57º.- Prior to the arrival of the ship: The Shipping Agent shall submit to APM Terminals, the following documents a. Application number, attaching "Ship's Particular and International Tonnage Certificate of the ship. b. Berth request, indicating the date of arrival and ship operations in their first arrival or as updated and sheet ship (Ship's Particular), with an anticipation of no more than seventy-two (72) hours prior to arrival. c. Authorization for entry of a ship with dangerous cargo. Cargo ships are boarding, unloading or transit, with substances or Class 1 (explosives) dangerous goods shall attach the following documentation, not earlier than forty-eight (48) hours prior to arrival: i. Entry clearance of the Ship to the Port Terminal, issued by the NPA. ii. List of dangerous goods with their corresponding safety data sheets (MSDS) iii. List of explosives in transit considered in class 1 of the IMDG Code of IMO. d. Ships carrying containers: The Shipping Agents of those ships carrying containers predominant merchandise shall be required to submit the following information in electronic form: i. Discharge list electronic file (CDL). This document shall be sent via according to the format described in Annex II of this Regulation, to the office of APM TERMINALS operational planning, including information concerning the SADAs and in the case of establishing point of arrival at APM TERMINALS specify whether SADA Terminal Port (APMTC) or Temporary Deposit SADA (code 3014). ii. Electronic file BAPLIE (EDI) with the cargo manifest for import and transshipment of cargo of the ship. Transshipment cargo should include name and number of travelers to board the next ship, as the next port of discharge. iii. The documents listed in paragraphs i) and ii) above should be sent twenty-four (24) hours before the date and time of arrival of the vessel. Page 28

29 iv. Electronic file of the list of containers to embark (CAL) must be issued via to the office of APM TERMINALS operational planning, in order to initiate the entry of containers. The final CAL must be sent twenty-four hours (24 hours) before the date and time of arrival of the vessel. v. Electronic filing of cargo projections (MOVINS) must be issued via to the office of APM TERMINALS operational planning. Electronic file with export cargo projections and transshipment by warehouse. Should send four (24 hours) before the date and time of arrival of the vessel. vi. UN/EDIFACT file (BAPLIE), should be sent via to the office of APM TERMINALS operational planning. Electronic file that establishes the definition cellar plan (Bayplan). Should send four (24 hours) before the date and time of arrival of the vessel. vii. Information of over-sized cargo including photos, diagrams, dimensions, weights, center of gravity and lifting points. He must submit this information prior to its shipment from the port of origin. Failure to provide such information will be considered a fault with these rules, therefore, the entry of the ship will be at the free discretion of APM TERMINALS for planning docking program may even refuse entry of the ship to dock Shipping Agents must inform shippers and others, the time limit for entering the Port Container Terminal, for later shipment. Stowage plan segregated by type of cargo and B/L indicated by cellar. b. Cargo Manifests c. Bill of lading (preferably not chartered) d. UDL (Discharge Unit List) e. Project cargo Survey Report, indicating mode, lifting points, center of gravity, dunnage (spreader) how was shipped in source port when appropriate. f. The type and capacity of lifting materials with which it must work. g. Failure to provide the above information, it is considered a failure with these rules, therefore, the entry of the ship will be at the free discretion of APM TERMINALS for planning the program of docking, even being able to refuse entry of the ship to dock. The break bulk and rolling cargo to be shipped will have a cut off twentyfour (24) hours before the docking of the ship. The solid and liquid bulk cargo to be shipped to a ship will have a cut off five (5) hours before the scheduled completion of loading operations. All cargo that is intended to enter after the above stipulated time must be reported to the Planning area APM TERMINALS, via , which will authorize their untimely income, which does not guarantee shipment. Shipment of authorized representative of the load (Agent Marine, Customs Warehouses, or other) must apply and pay the costs of late arrival of containers, according to the Tariff of APM TERMINALS. Passenger and Military Ships Shipping Agents must provide twenty-four (24) hours before the estimated time arrival of the vessel, the following documentation: i. List of passengers. ii. iii. List of crew. Special requirements. Article 58.- Upon the arrival of the ship: APM TERMINALS will request all ships the International Tonnage Certificate, Ships Particular, the crew list and passenger list. Article 59.- Uno the departure of the ship: a) Container ships APM TERMINALS will send to the command (captain or his substitute) of the ship and its shipping agents the following documents: Page 31

TDR (this document is only for the shipping agents). b) General Cargo Ships APM TERMINALS shall submit to the command (captain or his substitute) of the ship, consignee and their shipping agents the following documents: i. Final Vessel Operation Report ii. 33 Notwithstanding the foregoing, the Board Operations carry out a preliminary development programming operations at the Port Terminal. This schedule may be subject to changes by various factors, following the principles and rules of this Regulation. SUB CHAPTER IV SPECIAL REQUIREMENTS Article 62.- Every ship that transports explosives in transit must comply with regulations established by the NPC and the Competent Authorities. Article 63.- The maintenance and/or repairs on board ships should be requested via by the shipping agent of the vessel or their legal representative, the Department of Operations and Safety APM TERMINALS, for permission. Article 64.- It is the responsibility of the shipping agents, customs brokers, representatives of cargo, Customs Warehouses and/or exporters containers containing hazardous cargo, entering with stickers identifying due IMO its category. APM TERMINALS not accept, within its facilities, containers that do not meet the aforementioned specifications. Article 65.- It is the responsibility of the shipping agents, customs brokers, representatives of cargo, Customs Warehouses and / or exporters that all containers containing cargo or not, entering with due seal. Article 66.- An officer of the ship must remain on board and present during the entire operation of the ship, allowing easy communication and coordination with terminal staff. Page 33

34 SUB CHAPTER V SERVICE REQUEST Article 67º.- The request of any service or use of any facility of the Port Terminal, must be carried out by the legal representative authorized to represent the users, whose name and signature appears in the register. Article 68º.- The ships of any nationality, requiring enter the area of operations of the Port Terminal for any activity, are required to apply the respective services, through a Yacht Broker or its officers duly authorized representatives. Article 69º.- The change of Shipping Agent of a ship should be communicated properly documented, the Department of Traffic APM TERMINALS for incoming and outgoing Yacht Broker without prejudice to the right of the owner, master or General Agent to perform such communication. The new Agent will assume the full cost of services to the ship after the presentation of the document where the change is communicated. Article 70º.- The user can request the services of staff of the Port Terminal for any workday. In case of total or partial inactivity of the day for reasons attributable to the user, the corresponding fees according to the Tariff will apply. CHAPTER VIII OPERATIONS AND SERVICES Article 71.- The Regulations of the National Port System Act, approved by Supreme Decree No MTC, as amended, establishes the classification and relationship of basic services and general services to be provided in port areas. SUB CHAPTER I PILOTAGE Article 72.- APM TERMINALS does not provide pilotage services, however, APM TERMINALS rights granted access to its infrastructure so that this service can be provided from the Port Terminal. APM TERMINALS may also provide information and advice to captains and / or expertise with regard to the depths, dimensions and limiting the Dock for driving ships for docking, undocking, departure, exit, lining, berthing, changing the Dock and other maneuvers that take place within the Port Terminal. Article 73º.- This service must be provided by pilotage companies that meet all legal requirements to the NPC and the Directorate of Captaincy and Coastguards - DICAPI. Article 74.- Pilotage companies must ensure and maintain a pilot always in stand by and readily available in case of emergencies. Page 34

35 SUB CHAPTER II TOWING Article 75º.- APM TERMINALS does not provide towing service. However APM TERMINALS rights granted access to its infrastructure so that this service can be provided on the Port Terminal. The towing service will be provided by companies that, with the current license granted by the NPC, boats and human resources, meet the requirements, standards and procedures issued by the competent authorities. Likewise, companies and towing operations are subject to the rules of this Regulation, as they are applicable. SUB CHAPTER III MOORING AND UNMOORING Article 76º.- The mooring or unmooring service of ships will be provided by topmen staff of APM TERMINALS for all their moorings. The Port Terminal shall have topmen staff available for support in the handling of ships in dock, for mooring, unmooring, changing berth and ship run. Staff will be available before each operation in accordance with the provisions issued by the NPC. To perform the docking and undocking maneuvers of ships, they must comply with the safety standards contained in Article No. 9 of the RAD APN / DIR. SUB CHAPER IV BERTH USE Article 77º.- It comprises the use of the berths of the Port Terminal. The fee for this concept applies to the ship length meter per hour or fraction of an hour. It is calculated by the total time that the ship remains moored to the quay, computed from the time you pass the first spy in the docking operation until the time of the last undocking operation. SUB CHAPTER VI SUPPLY TO THE SHIPS Article 81º.- The supply of electricity, water, telephone service and other will be provided according to availability Port Terminal and according to the Tariff of APM TERMINALS. 37 SUB CHAPTER VII FOOD SUPPLY TO THE SHIP Article 82º.- The food supply of the ship will enter the Port Terminal upon presentation of the documentation approved by the National Superintendency of Tax Administration. Food supplies will be provided only to those ships that are in the dock at APM TERMINALS. For these purposes should also comply with the provisions of the Security Regulation of APM TERMINALS Article 83.- Loading SUB CHAPTER VIII LOADING AND UNLOADING a. To make the loading of the goods, the shipper, customs broker, or his substitute, should ask the Port Terminal, the respective shipment authorization. b. In the case of temporary storage must submit a copy of the customs shipping documents according to the formalities stipulated in each scheme, the wheel of export clearance and shipment authorization, with sixteen (16) hours prior to ETB (Estimated Time Docking) for general cargo and dry containers; and eight (8) hours prior to the case of refrigerated cargo. Article 84.- Unloading a. The operation is controlled by an electronic verification note via Hand Held per container, break bulk cargo per B / L, and the load rolling chassis. b. 38 Article 85º.- Before starting and during loading and/or unloading operations personnel and security of APM TERMINALS carried out an inspection of the ship, in order to check the overall condition of the work area and its approaches; condition of the cargo and its stowage on board; conditions and safety features; and cargo handling equipment. The captain of the ship or his representative shall present the load without damage or deterioration in their packaging or evidence of alteration in its content. Otherwise, the Port Terminal will record this fact and raise the corresponding protest, attaching the evidence of the fact. Article 86º.- Permission to start loading and unloading operations is given by APM TERMINALS prior authorization of commencement of operations by the APN. Article 88º.- Cargo inspections: a. APM TERMINALS will determine together with the National Superintendence of Tax Administration the area of port terminal facilities where the inspection to the load may be made. b. 39 Article 89º.- In case of rain, bad weather, fog, irregular waves, or the like, during the execution of operations, APM TERMINALS may determine continuation or suspension of operations of the ships that are operating in the port, in order to safeguard the physical safety of both staff and cargo. SUB CHAPTER IX STORAGE Article 90º.- The load may remain stored in the Port Terminal freely available to the User in accordance with the provisions of the Tariff of APM TERMINALS and regulations of the SUNAT. SUB CHAPTER X OPERATIONS WITH DANGEROUS GOODS Article 91º.- Dangerous Goods operations are governed by the Internal Code of Safety Harbor Terminal, under the title regulating safety practices in operations with the goods SUB CHAPTER XI PASSENGER AND/OR CREW SERVICES Article 92.- The shipping agent of the vessel shall provide to the Port Terminal the list of passengers and crew to conclude or begin their journey in the Port Terminal, as well as transit passengers embarking and/or reloading on the same ship. The passengers and crew of the ship in dock, can embark and disembark upon completion of the respective controls to Immigration and Customs Enforcement. The shipping agent shall provide information related to the route of the ship from the last port and the operations they intend to pursue. It should also report the following: i. Passengers who embark by the Port Terminal ii. Transit passengers landing in order to make a tour and / or otherwise. iii. Passengers disembarking to have as final destination the Terminal Port. 40 iv. Transit passengers get off the ship and remain within the port. v. Children under 12 years. vi. Crew of the ship. APM TERMINALS provides no recreation service to passengers during the stay of the ships. SUB CHAPTER XII ADDITIONAL SERVICES Article 93º.- Fuel supply in the port area (Dock).- To carry out this service, you must comply with the following: The shuttle will be by tanker trucks authorized by the competent authorities as appropriate. Article 95º.- Disruption of operations The supplier and the ship will be ready to immediately interrupt the fuel transfer operation under the following conditions: i. Weather conditions or adverse sea conditions. ii. Communications system failure. iii. Unexplained drop in pressure in the pumping system. iv. Fire or fire hazard. v. Drain sleeve in the couplings, or on the deck of the ship or tank. vi. Failures or malfunctions that may cause fuel leakage are detected. vii. There are considerable differences between the amounts of fuel supplied and received. viii. Other unsafe conditions responsible for the operation deem appropriate. ix. During the fuel delivery operation shall have a containment barrier, which must be laid at all times to check any leakage in case of a spill, to minimize pollution of the marine environment. Page 41

42 SUB CHAPTER XIII OIL PORT TERMINALS AND/OR SPECIALIZED SHIPS Article 96º.- In handling areas there will be visible notices prohibiting smoking, warning signs indicating that the ship transporting dangerous goods and banned unauthorized persons. All ships carrying fuel and/or ethanol are obliged to comply with national regulations. For the handling of fuels, chemicals and/or ethanol, the staff of the operational area of the terminal, as well as staff of the ship, make available the list of relevant verification for both the ship to the terminal. The instructions to be followed are established procedures for shipment of ethanol and operations for the shipment of fuels and chemicals. The oil tankers and chemical tankers, bulk carriers and the ships will be subject in accordance with national and international standards and regulations. SUB CHAPTER XIV OPERATIONAL PROCEDURES FOR EVERY TYPE OF CARGO Article 97º.- Operating procedures for each type of load are published on the website of APM TERMINALS. CHAPTER IX ACCESS TO THE USE OF PORT TERMINAL INFRASTRUCTURE SUB CHAPTER I DESCRIPTION AND CLASSIFICATION OF PORT AREAS Article 98º.-APM TERMINALS facilities are divided by their nature into three (3) general areas: Administrative Area, Operational Area and Backup. The administrative area, mainly comprising the administrative building, the operational area includes the areas of Docks and the backup area includes storage areas, scales, workshops, maintenance and safety areas. SUB CHAPTER II USER SERVICE PRINCIPLES Article For the attention of the users there are the following provisions: a. SUB CHAPTER III ENTRY AND EXIT OF GOODS TRANSPORTATION VEHICLES Article Trucks entering the Port Terminal in order to transport goods must be properly registered with APM TERMINALS. These trucks must under all circumstances follow the safety procedures and respect the rules of access and traffic in accordance with the provisions of the Security Regulations APM TERMINALS. SUB CHAPTER IV ACCESS AND USE OF THE AREAS OF TERMINAL Article Areas of access and use of port terminal are properly identified in Annex III to this Regulation. Page 44

45 SUB CHAPTER V AACCESS AND USE TO RESTRICTED AREAS Article indicated. SUB CHAPTER II VIOLATIONS AND PENALTIES Article 109º.- Infringements of this Operations Regulation, committed Port Terminal users will be sanctioned according to their gravity. Article 110º.- Penalties for violation of this regulation will be imposed by the Operations Department, preliminary procedure in which the offender is given the opportunity to present their defense. For determining sanctions the principles and criteria of attribution and punishment established by Law No , General Administrative Procedure Act shall be taken into account as well as the provisions of the preceding article.
