Introduction 1.1 This Schedule 3 (Service Descriptions) is a bilateral agreement between Sure and each Telco that has signed this Agreement with Sure. 1

2 1.2 It is effective from the date of signature of the Agreement and will remain in effect until amended following agreement of the Parties to such amendment or following determination by the Director General. 1.3 This Schedule 3 is contractually binding on both Sure and the Telco. 1.4 As and when either Party orders a Service, all relevant details of such Service shall be recorded in Schedule 6 (Schedule of Services Taken). Such relevant details shall include but not be limited to number ranges used in providing the Service, addresses where the Service is provided, and all other relevant details. Neither Party shall be obliged to provide or be authorized for a Service, which is not duly recorded in Schedule 6 (Schedule of Services Taken). 1.5 In this Schedule 3, a reference to a Clause or Appendix unless stated otherwise, is to a Clause or Appendix of this Schedule 3. Words and expressions, unless defined in the Telecommunications Law or otherwise, shall have the meaning given in this Schedule 3. For the sake of convenience, all definitions are also contained in Schedule 1 (Definitions). Should the definition given in Schedule 1 differ from the definition in this Schedule 3, the definition in this Schedule 3 will prevail. 2. Definitions Address Complete Message Agreement Alarm Calls Answer Signal Appendix Bailiwick Business Day Call Calling Line Identification (CLI) Called Party Calling Party A message sent by Service Taker to Service Supplier immediately on a Called Party answering the Service Taker System. This agreement, its Schedules and Appendices. Reminder Calls where a Subscriber of the Telco dials 100 and requests the Sure Customer Support Centre call them back at a specified date and time (the Alarm Call). A signal sent by one Party to the other Party to denote an answered Call. A reference to an Appendix is a reference to an appendix to a Schedule to this Agreement and any reference to this Agreement includes any such Appendix. The Bailiwick of Guernsey. A day, Monday through Friday, that is a normal working day In the Bailiwick. The set-up, holding and ending of a transmission path through the System of either Party into the System of the other Party for conveyance of Messages. A reference to the conveyance of Calls by a Party means the establishment by that Party of a transmission path through that Party's System and the conveyance by that Party in accordance with this Agreement of a Message (if any) over such transmission path. The information identifying the Subscriber Connection from which a Call is generated; also known as ANI. The Subscriber connection to which a Calling Party initiates a Call. The initiator of a Call. 2

A routing prefix code, in accordance with the National Numbering Scheme, which indicates the operator selected for carrier selection. Sure (Guernsey) Limited. Those Calls to Services that are provided by the Sure Customer Service Centre, which are included in Schedule 5 (Interconnect & Access Price List) and not included in any other schedule of Schedule 3 (Service Descriptions). For the avoidance of doubt, included Services are Local Reverse Charge Calls, Alarm Calls and Calls via the Operator to Jersey, the UK and the Irish Republic. The services as listed from time to time under the Sure Call Charge Guide published in accordance with Condition 17 of Sure's Fixed Telecommunications Licence issued under Part 1 of the Telecommunications (Bailiwick of Guernsey) Law, 2001 The System owned, operated or under the control of Sure. The amounts specified in Schedule 5 or 7, which are payable pursuant to Clause 9 of the Agreement and Schedule 2. A reference to a Clause is a reference to a Clause of this Agreement. Circuit Terminating Unit - A Network Termination Point necessary for the purpose of Services described in Schedules 3.22 and Such data reconfiguration of either or both Parties' System as is necessary for the access, routing and charging of Calls on and between the Parties' Systems. Digital Distribution Frame. The holder of the Office of the Director General of Utility Regulation established by Part 1 of the Regulation of Utilities (Bailiwick of Guernsey) Law, An electronic list of the business and residential entries for the geographical area of the Bailiwick including listings for Sure Subscribers and Telco Subscribers. The various call centres operated by the Emergency Organisations for the handling of Calls to those Emergency Services. Providers of Emergency Services in the Bailiwick, including the police, ambulance service, fire service and marine search and rescue services. Calls using either the 999 or 112 dialling code, handed over from the Telco System, via a Point of Connection, to the Sure System for onward conveyance to the relevant Emergency Centre. A Non-geographic number allocated to Public Emergency Call Services from the National Numbering Scheme from time to time, including the 999 and 112 codes. Either a Service Affecting (SA) Fault or a Non-Service Affecting (NSA) Fault, as defined in Schedule 4. Numbers designated as FreePhone numbers in the National Numbering Scheme. 3

4 Geographic Numbers Interconnect Access Area Numbers designated as geographic numbering ranges in the National Numbering Scheme. The island of Guernsey. Interconnect Link Bi-directional E1 transmission facilities within a Carrier System. Interconnect Switch Location (ISL) Interconnect Traffic The geographic location of either Parties Switch used for the purpose of Interconnection. All Calls passed over the Interconnect Links for which there is an entry in Schedule 6. Joint Box LocalCall Number Range A box located between the Service Supplier and the Service Taker's respective Interconnect Switch Locations provided by the Service Supplier of the In-Span Interconnection Service. The Joint Box serves as the Point of Connection. Numbers designated as LocalCall numbers in the National Numbering Scheme. Local Reverse Charge Calls National Numbering Scheme Non-Geographic Number Number Translation Codes Operations & Maintenance Manual Operator Subscriber Information Calls where a Subscriber of Sure dials 100 and requests the Sure Customer Support Centre set up a Call to a Telco geographical number and the Telco Subscriber agrees to pay for the Call (i.e. Called Party pays). The numbering regime applicable to the UK geographic and non-geographic numbers administered by the Director General in co-operation with OFCOM as part of the UK national numbering scheme. Numbers that are part of the National Numbering Scheme which do not refer to a fixed geographical location. Numbers that are part of the National Numbering Scheme which are allocated to the provision of Number Translation Services. The name given to the operations and maintenance manual developed by Sure and modified from time to time through agreement between Sure and Telco. Information provided relating to persons having a telephone number allocated or suballocated to the Service Taker in accordance with the National Numbering Scheme (including telephone numbers which the Service Taker has allocated for its own use) including associated status information. Order A request for the provision of Services pursuant to this Agreement and Schedule 4 (Service Level Agreements), in the format set out in the Operations & Maintenance Manual. Party Point of Connection Schedule Either the Telco or Sure in this Agreement, according to context. A physical point between the Systems of the Parties to this Agreement at which the provision of and responsibility for a Service starts or ends. A reference to a Schedule is a reference to a schedule to this Agreement and any reference to this Agreement includes any such Schedule. Service Services described in Schedule 3 and Services, which are listed in Schedule 5. 4

5 Service Supplier The Party who provides a Service. Service Taker Signalling Links Signalling Transfer Point Subscriber System Technical Manual Telco Telco System Telecommunications Law The Party who requests a Service. A 64 kbit/s transmission path provided exclusively for the exchange of signalling messages between service switching points of the Service Taker and the Service Supplier. A network node whose task is to transfer signal messages between signalling points in the network. A legal or natural person who has a contract with a licensee to receive licensed Telecommunications Services and does not re-supply those or other Telecommunications Services to third parties. Telecommunications Facilities including but not limited to switches, routers and Interconnect Links. The name given to the technical manual developed by Sure and modified from time to time through agreement between Sure and Telco. The Party entering into this Agreement with Sure. The System owned, operated or under the control of the Telco. The Telecommunications (Bailiwick of Guernsey) Law Third Party Telecom Provider Valid Sure Local Information Service Number A provider of Telecommunication Services licensed to provide Telecommunications Services in the Bailiwick, or elsewhere, other than the Parties to this Agreement. A short access code, as listed from time to time under the Sure Call Charges Guide that is used to access a Local Information Service. Valid Sure Premium Rate Service Number Valid Off-Island Transit Call A number allocated to Sure by OFCOM that is used to access a Local Premium Rate Service. A Call which terminates on either a Geographic or Non-Geographic Number (including Number Translation Codes) allocated outside the Bailiwick. Schedule 3.01 Sure On-Island Termination 1. Definitions "Sure On-Island Termination Call" a Call handed over from the Telco System, via a Point of Connection, to the Sure System and which terminates on valid Geographic Numbers on the Sure System within the Bailiwick. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.01, Sure shall convey Sure On-Island Termination Calls handed over from the Telco System for termination to Geographic Numbers on the Sure System within the Bailiwick. 5

6 2.2 For the avoidance of doubt, Sure On-Island Transit Calls, Sure Off-Island Transit Calls, Emergency Services Calls, Sure Premium Rates Service Calls, Sure Local Information Service Calls and Operator Service Calls are not conveyed pursuant to this Schedule The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Sure Calls pursuant to this Schedule These requirements are specified in the Technical Manual. 2.4 Sure shall convey Sure On-Island Termination Calls during those periods of time and at the same standard and quality of service as Sure conveys On-Island Termination Calls made by its own Subscribers. 2.5 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure On-Island Termination Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 3. Routing 3.1 The conveyance of Sure On-Island Termination Calls shall be in accordance with the routing principles specified in the Technical Manual. 3.2 The Sure On-Island Termination service will be made available at all Points of Connection specified in Schedule 6 (Schedule of Services Taken). 4. Charging 4.1 For the conveyance of each Sure On-Island Termination Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List). 5. Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for Sure On-Island Termination Calls are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.02 Sure On-Island Origination 1. Definitions "Sure On-Island Origination Call" a Call originated by a Subscriber directly connected to the Sure System, utilising the Carrier Selection Routing Prefix assigned to the Telco, for hand over to the Telco System via a Point of Connection. 6

Description of Service 2.1 Subject to the provisions of this Schedule 3.02, Sure shall convey and hand over to the Telco System a Sure On-Island Origination Call initiated on the Sure System by a Subscriber using a Carrier Selection Routing Prefix, provided that: the Telco has been assigned that Carrier Selection Routing Prefix in accordance with the provisions of Clause 14 of the main body of this Agreement; and the Telco has ordered, and Sure has implemented, the relevant Data Management Amendment to activate the Carrier Selection Routing Prefix at the relevant Sure exchange(s); and the Carrier Selection Routing Prefix has been incorporated into Schedule 6 (Schedule of Services Taken). 2.2 For the avoidance of doubt, the Telco shall be responsible for billing Subscribers for Sure On-Island Origination Calls made by the Subscribers using the Carrier Selection Routing Prefix assigned to the Telco. 2.3 The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Calls pursuant to this Schedule 3.02, including unsuccessful Sure On- Island Origination Calls. These requirements are specified in the Technical Manual. 2.4 Sure shall convey Sure On-Island Origination Calls during those periods of time and to the same standard and quality of service as Sure provides for Calls made by its own Subscribers. 2.5 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure On-Island Origination Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 2.6 If a Calling Party dials a Carrier Selection Routing Prefix followed by an Emergency Services Number, the Telco shall either provide a means of conveying the Call to the appropriate destination or pass the Call, without the Carrier Selection Routing Prefix, on to Sure for onward conveyance to the appropriate destination. 2.7 If the Telco hands back any Sure On-Island Origination Calls to the Sure System for onward conveyance by Sure to the Sure Operator (100) Service, Sure shall not have an obligation to convey such a Call unless the Parties have agreed, pursuant to Schedule 6 (Schedule of Services Taken), to convey such a Call from the Telco System to the Sure Operator Service. 2.8 Notwithstanding Clause 2.7, if the Telco hands back any Sure On-Island Origination Calls to the Sure System for onward conveyance by Sure, Sure shall not have any obligation to convey such a Call unless the Parties have 7

8 agreed, pursuant to Schedule 6 (Schedule of Services Taken), that Sure will convey such a Call from the Telco System to the relevant destination. 3. Call Routing 3.1 Sure will convey Sure On-Island Origination Calls in accordance with the routing principles specified in the Technical Manual. 3.2 The Sure On-Island Origination service will be made available at all Points of Connection and Interconnect Links specified in Schedule 6 (Schedule of Services Taken). 4. Charging 4.1 For the conveyance of each Sure On-Island Origination Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List). 4.2 Pursuant to Clause 2.7, the Charge for the Sure On-Island Origination Service which includes Calls to Sure Operator (100) Service is different to the Charge for the Sure On-Island Origination Service which does not include Calls to the Sure Operator (100) Service. These Charges are specified in Schedule 5 (Interconnect & Access Price List). 4.3 If the Calling Party on the Sure System dials the Carrier Selection Routing Prefix and either: this is immediately followed by the Called Party's telephone number and the Telco System proceeds, immediately on receipt of the initial digits of the Called Party's telephone number, to connect the Calling Party to the Called Party; or the Telco System, immediately on receipt of such Carrier Selection Routing Prefix, returns to Sure an Address Complete Message and immediately requests the Calling Party to send the Called Party's telephone number and the Telco System proceeds immediately, on receipt of such digits of the Called Party's telephone number, to connect the Calling Party to the Called Party, then the Telco shall ensure that, immediately on the Called Party answering, the Telco System immediately returns to the Sure System an Answer Signal. 4.4 If the Calling Party on the Sure System dials the Telco's Carrier Selection Routing Prefix and the Telco System does not immediately connect the Calling Party in accordance with Clause 4.3, the Telco shall ensure that the Telco System immediately returns to the Sure System an Address Complete Message, immediately followed by an Answer Signal. 5. Billing 8

9 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Sure On-Island Origination Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.03 Sure On-Island Transit 1. Definitions "Sure On-Island Transit Call" a Valid On-Island Transit Call handed over from the Telco System, via a Point of Connection, to the Sure System, initially switched by a Sure Switch and handed to a Third Party Telecom Provider's System within the Bailiwick; "Valid On-Island Transit Call" a Call which terminates on either Geographic or Non-Geographic numbers (excluding Number Translation Codes) on networks within the Bailiwick other than the Sure System and to which the Sure System is directly connected. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.03, Sure shall convey Sure On-Island Transit Calls handed over from the Telco System to a Third Party Telecom Provider's System. 2.2 Sure On-Island Termination Calls, Sure On-Island Origination Calls, Sure Off-Island Transit Calls, Emergency Calls, Sure Premium Rates Service Calls, Sure Local Information Service Calls and Sure Operator Service Calls are not conveyed pursuant to this Schedule The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Calls pursuant to this Schedule These requirements are specified in the Technical Manual. 2.4 Sure shall convey Sure On-Island Transit Calls during those periods of time and to the same standard and quality of service as Sure conveys Calls made by its own Subscribers. 2.5 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure On-Island Transit Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 3. Routing 3.1 The conveyance of Sure On-Island Transit Calls shall be in accordance with the routing principles specified in the Technical Manual. 9

10 3.2 The Sure On-Island Transit service will be made available at all Point(s) of Connection specified in Schedule 6 (Schedule of Services Taken). 4. Charging 4.1 For the conveyance of each Sure On-Island Transit Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List) from time to time. 4.2 If, at the time when a Sure On-Island Transit Call is conveyed by Sure, no rate for such a Call is specified in Schedule 5 (Interconnect & Access Price List), the Telco agrees to pay for such a Call at the rate which is subsequently specified in Schedule 5 (Interconnect & Access Price List), where the new rate is calculated in accordance with the formula of Schedule 5 (Interconnect & Access Price List). 5. Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Sure On-Island Transit Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.04 Sure Off-Island Transit 1. Definitions "Sure Off-Island Transit Call" a Valid Off-Island Transit Call handed over from the Telco System at a Point of Connection to the Sure System, initially switched by a Sure Switch and handed over to a Third Party Telecom Provider's System outside the Bailiwick, to which the Sure System is directly connected; "Valid Off-Island Transit Call" a Call which terminates on either a Geographic or Non-Geographic Number (including Number Translation Codes) allocated outside the Bailiwick. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.04, Sure shall convey a Sure Off-Island Transit Call handed over from the Telco System to a Third Party Telecom Provider's System. 2.2 For the avoidance of doubt Third Party Telecom Providers shall include Third Party Telecom Providers based in Jersey, France, and the United Kingdom. 2.3 Sure Off-Island Transit Calls will be terminated pursuant to terms and arrangements in place from time to time between Sure and the Third Party Telecom Providers to which Sure carries the Call. 10

11 2.4 Sure On-Island Termination Calls, Sure On-Island Origination Calls, On-Island Transit Calls, Emergency Calls, Sure Premium Rate Service Calls, Sure Local Information Service Calls and Sure Operator Service Calls are not conveyed pursuant to this Schedule The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Calls pursuant to this Schedule These requirements are specified in the Technical Manual. 2.6 Sure shall convey Sure Off-Island Transit Calls during those periods of time and to the same standard and quality of service as Sure conveys Calls made by its own Subscribers. 2.7 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure Off-Island Transit Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 3. Routing 3.1 The conveyance of Sure Off-Island Transit Calls shall be in accordance with the routing principles specified in the Technical Manual. 3.2 The Sure Off-Island Transit Service will be made available at all Point(s) of Connection specified in Schedule 6 (Schedule of Services Taken). 4. Charging 4.1 For the conveyance of each Sure Off-Island Transit Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List) from time to time. It should be noted that separate rates apply for Sure Outgoing Off-Island Transit Calls to the UK, to France or to Jersey, and the rates are also dependent on the final destination of the Call. 4.2 If, at the time when a Sure Off-Island Transit Call is conveyed by Sure, no rate for such a Call is specified in Schedule 5 (Interconnect & Access Price List), the Telco agrees to pay for such a Call at the rate which is subsequently specified in Schedule 5 (Interconnect & Access Price List), where the new rate is calculated in accordance with the formula of Schedule 5 (Interconnect & Access Price List). 5. Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Sure Off-Island Transit Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule

12 Sure On-Island FreePhone Origination 1. Definitions "Sure On-Island FreePhone Origination Call" a Call originated by a Subscriber directly connected to Sure's System dialling a FreePhone number, within a FreePhone Number Range in the National Numbering Scheme, assigned to the Telco for the hand over from the Sure System to the Telco System, via a Point of Connection. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.05, Sure shall convey and hand over to the Telco System a Sure On-Island FreePhone Call initiated on the Sure System by a Subscriber dialling a FreePhone number, provided that: the Telco has been assigned the FreePhone Number Range (corresponding to the FreePhone number dialled) in accordance with the provisions of Clause 14 of the main body of this Agreement; the Telco has ordered and Sure has implemented the relevant Data Management Amendment to activate the FreePhone Number Range (corresponding to the FreePhone number dialled) at the relevant Sure exchanges; and the FreePhone Number Range (corresponding to the FreePhone number dialled) has been incorporated into Schedule 6 (Schedule of Services Taken). 2.2 For the avoidance of doubt, Sure shall not bill Subscribers for making Sure On-Island FreePhone Origination Calls. Calls to FreePhone numbers shall be free to the Calling Party. 2.3 The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Calls pursuant to this Schedule 3.05 including unsuccessful Sure On- Island FreePhone Origination Calls. These requirements are specified in the Technical Manual. 2.4 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure On-Island FreePhone Origination Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 2.5 Both Parties shall ensure that nothing in their promotional material will undermine the public perception that Sure On-Island FreePhone Origination Calls are free to Calling Parties. 3. Call Routing 3.1 Sure will convey On-Island FreePhone Origination Calls in accordance with the routing principles specified in the Technical Manual. 12

13 3.2 The On-Island FreePhone Origination service will be made available at all Point(s) of Connection specified in Schedule 6 (Schedule of Services Taken). 4. Charging 4.1 For the conveyance of each Sure On-Island FreePhone Origination Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List). 5. Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Sure On-Island FreePhone Origination are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.06 Sure On-Island LocalCall Origination 1. Definitions "Sure On-Island LocalCall Origination Call" a Call originated by a Subscriber directly connected to Sure's System dialling a LocalCall number, within a LocalCall Number Range in the National Numbering Scheme, assigned to the Telco for the hand over from the Sure System to the Telco System, via a Point of Connection. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.06, Sure shall convey and hand over to the Telco System a Sure On-Island LocalCall Call initiated on the Sure System by a Subscriber dialling a LocalCall number, provided that: the Telco has been assigned the LocalCall Number Range (corresponding to the LocalCall number dialled) in accordance with the provisions of Clause 14 of the main body of this Agreement; the Telco has ordered and Sure has implemented the relevant Data Management Amendment to activate the LocalCall Number Range (corresponding to the LocalCall number dialled) at the relevant Sure exchanges; and the LocalCall Number Range (corresponding to the LocalCall number dialled) has been incorporated into Schedule 6 (Schedule of Services Taken). 2.2 For the avoidance of doubt, Sure shall be responsible for billing Subscribers for making On-Island LocalCall Origination Calls and for collection of associated revenue from these Subscribers. Subscribers will be charged at a rate no higher than the maximum LocalCall rate published and charged by Sure to its own Subscribers and as approved from time to time by the Director General. 13

14 2.3 The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Calls pursuant to this Schedule 3.06 including unsuccessful Sure On- Island LocalCall Origination Calls. These requirements are specified in the Technical Manual. 2.4 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure On-Island LocalCall Origination Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 2.5 Both Parties shall ensure that nothing in their promotional material will undermine the public perception that Sure On-Island LocalCall Origination Calls are charged at a rate no higher than the maximum LocalCall rate published and charged by Sure to its own Subscribers and as approved from time to time by the Director General. 3. Call Routing 3.1 Sure will convey Sure On-Island LocalCall Origination Calls in accordance with the routing principles specified in the Technical Manual. 3.2 The Sure On-Island LocalCall Origination service will be made available at all Point(s) of Connection specified in Schedule 6 (Schedule of Services Taken). 4. Charging 4.1 For the conveyance of each Sure On-Island LocalCall Origination Call by Sure, Sure shall pay the Telco a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List). 5. Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Sure On-Island LocalCall Origination are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.07 Emergency Services 1. Definitions "Emergency Service Call" Calls using either the 999 or 112 dialling code, handed over from the Telco System, via a Point of Connection, to the Sure System for onward conveyance to the relevant Emergency Centre. 2. Description of Service 14

15 2.1 Emergency Services Call Services shall only be available to the Telco's Subscribers having a telephone number that is a Geographic Number within the National Numbering Scheme. 2.2 Subject to the provisions of this Schedule 3.07, Sure shall, where Emergency Service Calls are handed over at agreed Points of Connection, convey Emergency Service Calls to, and provide an onward connectivity service to, the relevant Emergency Centre. 2.3 The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Emergency Service Calls pursuant to this Schedule These requirements are specified in the Technical Manual. 2.4 Sure shall convey Emergency Service Calls at all times and at the same standard and quality of service as Sure provides to its own Subscribers making Emergency Service Calls. 2.5 Each Party shall correct Faults which occur in its System which affect the conveyance of Emergency Service Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 3. The Telco's Obligations 3.1 If the Telco intends to send Emergency Service Calls to Sure, it shall provide Sure with details, for each Subscriber connected to its Telecommunications Network, of the telephone number, Operator Subscriber Information including installation address (including the post code) in an agreed format and by an agreed method of data interchange, electronic or otherwise. 3.2 The Telco shall amend and delete Subscriber records (the telephone number, Telco Subscriber name and installation address (including the post code) for each Subscriber connected to its Telecommunications Network) in an agreed format and by an agreed method of data interchange, electronic or otherwise, to support the on-going handling of Emergency Service Calls. 3.3 It is the sole responsibility of the Telco to ensure that all safeguards and protections are in place to allow it to disclose such information to Sure without breaching the Data Protection (Bailiwick of Guernsey) Law, 2001 or any other applicable data protection legislation. 3.4 The Telco shall convey to Sure all Emergency Service Calls with full CLI and shall permit Sure to use such CLI to inform the appropriate Emergency Organisation. 3.5 The Telco shall handle, process and reply to all enquiries and complaints about Emergency Service Calls. 4. Call Routing 15

16 4.1 Sure will convey Emergency Service Calls in accordance with the routing principles specified in the Technical Manual. 4.2 Emergency Services Call Services will be made available at all Points of Connection specified in Schedule 6 (Schedule of Services Taken). 5. Charging 5.1 For the conveyance of each Emergency Service Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List). 6. Billing 6.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Emergency Call Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.08 Directory Number Inclusion Service 1. Definitions "Directory Number Inclusion Service" The service which Sure provides to the Telco to include the Telco's Subscribers' listings in Sure's Directory Information Database. 2. Description 2.1 The Directory Number Inclusion Service will be provided by Sure to the Telco, in accordance with the terms and conditions of this Agreement. 2.2 The Directory Number Inclusion Service will enable the Telco's Subscriber's listings to be entered in Sure's Directory Information Database to facilitate the provision of directory enquiry services. For the avoidance of doubt, BT maintains and administers the Sure Directory Information Database as part of its directory information database (OSIS). An amendment to information in Sure's Directory Information Database by Sure is an amendment to OSIS. 2.3 The operational processes and billing processes are described in the Technical Manual. 3. Specific Responsibilities 3.1 Without prejudice to the responsibilities described elsewhere in this Agreement, each Party shall have the responsibilities set out below. 3.2 The Telco will be responsible for providing information to be included in, modified or removed from Sure's Directory Information Database in the format and by the dates specified in the Operations & Maintenance Manual. 16

17 3.3 The Telco shall use reasonable endeavours to obtain all necessary consents under Data Protection (Bailiwick of Guernsey) Law, 2001 and any other applicable data protection legislation to enable it to pass Operator Subscriber Information to Sure and for Sure to utilise Operator Subscriber Information. 3.4 Sure will be responsible for accurately entering the information provided by the Telco in Sure's Directory Information Database. For the avoidance of doubt, electronic write access to Sure's Directory Information Database will not be provided to the Telco. 3.5 The Telco will be responsible for forecasting usage of the Directory Number Inclusion Service in accordance with the Technical Manual. 3.6 Sure will be responsible for providing for the operation and maintenance of Sure's Directory Information Database. For the avoidance of doubt, access to Sure's computer system or management systems will not be provided. 3.7 Operator Subscriber Information shall be supplied by the Telco by submission of hard copy or such other means as may be agreed from time to time by the Parties, in writing. 4. Quality of service 4.1 Quality of service levels for the Directory Number Inclusion Service will be measured and reported by Sure in accordance with the Technical Manual. Sure and the Telco shall periodically review the achieved quality parameters in accordance with the Technical Manual. In the event that the service standards are not met, the Operations & Maintenance Manual specifies the actions to be taken. 5. Charges 5.1 The tariffs for Charges payable for the Directory Number Inclusion Service are specified in Schedule 5 (Interconnect & Access Price List). 6. Billing 6.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Directory Number Inclusion Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.09 Sure Premium Rate Services 1. Definitions 17

18 "Sure Premium Rate Service Call" a Call handed over from the Telco System, via a Point of Connection, to the Sure System and which terminates on a Valid Sure Premium Rate Service Number on the Sure System within the Bailiwick. "Sure Premium Rate Service" The service as listed from time to time under the Sure Call Charge Guide published in accordance with Condition 17 of Sure's Fixed Telecommunications Licence issued under Part 1 of the Telecommunications (Bailiwick of Guernsey) Law, "Valid Sure Premium Rate Service Number" a number allocated to Sure by OFCOM that is used to access a local Premium Rate Service. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.09, Sure shall convey Sure Premium Rate Service Calls handed over from the Telco System for termination on Valid Sure Premium Rate Service Numbers on the Sure System within the Bailiwick. 2.2 For the avoidance of doubt, Sure On-Island Termination Calls, Sure On-Island Transit Calls, Sure Off-Island Transit Calls, Sure Local Information Service Calls, Sure Operator Service Calls and Emergency Services Calls are not conveyed pursuant to this Schedule The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Sure Calls pursuant to this Schedule These requirements are specified in the Technical Manual. 2.4 Sure shall convey Sure Premium Rate Service Calls during those periods of time and at the same standard and quality of service as Sure conveys Sure Premium Rate Service Calls made by its own Subscribers. 2.5 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure Premium Rate Service Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 2.6 Sure is not responsible for the content accessed through a Valid Sure Premium Rate Service Number and will not be liable for any damages, including indirect or consequential damages, or any damages arising from use or loss of use, data or profits, whether in contract, negligence or other tortious action, arising from or in connection with the use of the Sure Premium Rate Service Call. 3. Routing 18

19 3.1 The conveyance of Sure Premium Rate Service Calls shall be in accordance with the routing principles specified in the Technical Manual. 3.2 The Sure Premium Rate Service will be made available at all Points of Connection specified in Schedule 6 (Schedule of Services Taken). 4. Charging 4.1 For the conveyance of each Sure Premium Rate Service Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List). 5. Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for Sure Premium Rate Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.10 Sure Local Information Services 1. Definitions "Sure Local Information Service Call" a Call handed over from the Telco System, via a Point of Connection, to the Sure System and which terminates on a Valid Sure Local Information Service Number on the Sure System within the Bailiwick. "Local Information Service" The service as listed from time to time under the Sure Call Charge Guide published in accordance with Condition 17 of Sure's Fixed Telecommunications Licence issued under Part 1 of the Telecommunications (Bailiwick of Guernsey) Law, "Valid Sure Local Information Service Number" a short access code, as listed from time to time under the Sure Call Charges Guide that is used to access a Local Information Service. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.10, Sure shall convey Sure Local Information Service Calls handed over from the Telco System for termination on Valid Sure Local Information Service Numbers on the Sure System within the Bailiwick. 2.2 For the avoidance of doubt, Sure On-Island Termination Calls, Sure On-Island Transit Calls, Sure Off-Island Transit Calls, Sure Premium Rate Service Calls, Sure Operator Service Calls and Emergency Services Calls are not conveyed pursuant to this Schedule

Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Sure Local Information Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.11 Sure Operator Services 1. Definitions "Sure Operator Service Calls" are those Calls to Services that are provided by the Sure Customer Service Centre, which are included in Schedule 5 (Interconnect & Access Price List) and not included in any other 20

21 schedule of Schedule 3 (Service Descriptions). For the avoidance of doubt, included Services are Local Reverse Charge Calls, Alarm Calls and Calls via the Operator to Jersey, the UK and the Irish Republic. "Local Reverse Charge Calls" are Calls where a Subscriber of Sure dials 100 and requests the Sure Customer Support Centre set up a Call to a Telco geographical number and the Telco Subscriber agrees to pay for the Call (i.e. Called Party pays). "Alarm Calls" are reminder Calls where a Subscriber of the Telco dials 100 and requests the Sure Customer Support Centre call them back at a specified date and time (the Alarm Call). "Calls Via The Operator" are Calls where a Subscriber of the Telco dials 100 and requests the Sure Customer Support Centre set up a Call to the UK, Jersey or the Irish Republic. 2. Description of Service 2.1 Subject to the provisions of this Schedule 3.11, the Sure Customer Service Centre shall answer Calls handed over from the Telco System (or to the Telco System in the case of Local Reverse Charge Calls) and deal with them in the same way as a Call made by a Sure Subscriber. 2.2 For the avoidance of doubt, Sure On-Island Termination Calls, Sure On-Island Transit Calls, Sure Off-Island Transit Calls, Sure Premium Rate Service Calls, Sure Local Information Service Calls and Emergency Services Calls are not conveyed pursuant to this Schedule The Parties shall agree in advance on all necessary technical requirements, including Call set-up and cleardown sequences, for the conveyance of Sure Calls pursuant to this Schedule These requirements are specified in the Technical Manual. 2.4 Sure shall convey Sure Operator Service Calls during those periods of time and at the same standard and quality of service as Sure conveys Operator Service Calls made by its own Subscribers. This is normally on a 24 x 7 x 365 basis. 2.5 Each Party shall correct Faults which occur in its System which affect the conveyance of Sure Operator Service Calls in accordance with Schedule 4 (Service Level Agreements) and with such Party's normal engineering practices. 2.6 Service Specific Issues Local Reverse Charge Calls 21

22 The Sure Subscriber may request the Sure operator to attempt to set up a Local Transfer Charge Call to a person having a Geographic Number allocated to Telco; Local Transfer Charge Calls will not be connected to answering machines, payphones, Number Translation Services (including but not limited to 0800, 0845 or 0870), Premium Rate Services, mobiles or pagers Alarm Calls A Telco Subscriber may request an Alarm Call be made to a Geographic Number allocated to Telco at a specified time; Alarm Calls will not be made to answering machines, payphones, Number Translation Services (including but not limited to 0800, 0845 or 0870), Premium Rate Services, mobiles or pagers The Sure operator will attempt to make the Alarm Call at or near the specified time, but in any event no more that 5 minutes earlier or later than the specified time Calls Via The Operator to the UK, Jersey or the Irish Republic A Telco Subscriber may request the Sure operator to connect a Call to a Geographic Number in the UK, Jersey or the Irish Republic, from a fixed network Geographic Number; Calls Via the Operator made from a Number Translation Service, Premium Rate Service, mobile or pager will not be onward connected; The circumstances under which such a request can be made is where a previous attempt has failed (such as where there has been continuous engaged tone, number unobtainable tone, continuous ringing tone and no reply, no tone or wrong number), or reconnection of such a Call in the event of prior unwarranted disconnection by one or more of the Telecommunication Networks involved in the connection chain. 3. Routing 3.1 The conveyance of Sure Operator Service Calls shall be in accordance with the routing principles specified in the Technical Manual. 3.2 The Sure Operator Service Calls will be made available at all Points of Connection specified in Schedule 6 (Schedule of Services Taken). 4. Charging 22

23 4.1 For the conveyance of each Sure Operator Service Call by Sure, the Telco shall pay Sure a Charge calculated in accordance with the rate for such a Call specified in Schedule 5 (Interconnect & Access Price List). 5. Billing 5.1 In accordance with Clause 11 of the Agreement, the billing arrangements for Sure Operator Services are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.21 Data Management Amendments 1. Definitions "Data Management Amendment" such data reconfiguration of either or both Parties' System as is necessary for the access, routing and charging of Calls on and between the Parties' Systems. 2. Description of Service 2.1 Either Party, as Service Taker, may submit to the other Party, as Service Supplier, an Order for a Data Management Amendment using the appropriate form contained in the Operations & Maintenance Manual to provide the Service Supplier with the information necessary to enable it to produce an implementation programme for the Data Management Amendment. 2.2 Subject to the provisions of this Schedule 3.21, the Service Supplier shall implement the requested Data Management Amendment in accordance with Schedule 4 (Service Level Agreements) and the Operations & Maintenance Manual. 3. Charging 3.1 For the implementation of each Data Management Amendment, the Service Taker shall pay the Service Supplier a Data Management Amendment Charge as specified in Schedule 5 (Interconnect & Access Price List). 4. Billing 4.1 In accordance with Clause 11 of the Agreement, the billing arrangements for the Data Management Amendment Service are set out in Schedule 2 (Billing & Payments) of this Agreement. Schedule 3.22 In-Span Interconnect (ISI) 1. Definitions 23

24 The Service comprising an ISI Carrier System, one or more E1 (2.048 Mbit/s) Interconnect Links and zero, one or more 64 kbit/s Signalling Links, subject to there being a minimum of two such links in total in place between the Service Supplier's System and the Service Taker's System. 2. Description of Service 2.1 The In-Span Interconnect (ISI) Service will comprise: An ISI Carrier System; One or more E1 (2.048 Mbit/s) Interconnect Links; and Zero, one or more 64 kbit/s Signalling Links, subject to there being a minimum of two such links in total in place between the Service Supplier's System and the Service Taker's System. 2.2 An ISI Carrier System will comprise: One Service Supplier CTU; One CTU in the Service Takers premises; and A single optical fibre cable run routed from the Service Supplier ISL and a single optical fibre cable run routed from the Service Taker ISL, connected together at a Joint Box to form one single optical fibre cable run. 2.3 For the avoidance of doubt, not all of the Interconnect Links in the ISI Carrier System need to be commissioned initially and it will not be necessary to order the full capacity. The number of Interconnect Links that are required from time to time will be dependent on the forecasting process as described in Schedule 4 and in the Technical Manual and Operations & Maintenance Manual. The number of Interconnect Links, with a minimum of 2 (two), that need to be commissioned in a relevant ISI Carrier System will be specified in Schedule 6 (Schedule of Services Taken). Where this figure is not provided, the default minimum number of Interconnect Links per ISI Carrier System equals 2 (two) x E1 (2.048 Mbit/s). 2.4 The ISI Service will be available at the Service Supplier ISL(s) and the Service Taker ISL(s). 2.5 Relevant details of all ISI Services ordered and provided, including the location of ISL's, shall be specified in Schedule 6 (Schedule of Services Taken). 2.6 The Service Taker ISL and the Service Supplier ISL must be within the same Interconnect Access Area. 24
