1 CVS Pharmacy Snow Removal Scope of Work EXHIBIT C STANDARDS Exhibit C sets forth the Standards by which all snow and ice removal shall be performed. Capitalized terms used herein and not otherwise defined shall have the meanings ascribed to them in the Snow Removal and Ice Management Services Agreement SECTION A: GENERAL POLICY STATEMENT This section outlines the Services as well as pricing structures required for the same. The purpose of the Services is to provide a safe environment for CVS employees and patrons to enter and leave CVS Locations. The Services include, but are not limited to, removal of snow from handicap parking areas; snowplowing of parking lots, driveways, and aprons to the facility, municipal sidewalks and sidewalks directly adjacent to the CVS building constructed at a CVS Location; and the application of approved Ice Control (as defined in Section 2 below) and traction materials as needed. SERVICE PROVIDER is to provide such Services (and be on-call) prior to, during, and after snow and/or ice storms. All pricing is to be quoted per push, which is defined as one clearing of the premises at each CVS Per hour per piece of equipment pricing will not be allowed for regular ongoing winter services. 1. SNOW CLEARING REQUIREMENTS: Snow clearing herein shall be available on a continuous twenty-four (24) hour per day and seven (7) day per week basis in response to the fall of snow. It is the SERVICE PROVIDER s responsibility to inspect the CVS Locations regularly during each snow or ice storm, or when a snow or ice storm is threatening, to determine when snow clearing, or Ice Control, operations should commence. SERVICE PROVIDER is also responsible for monitoring conditions after a storm has completed, in the event there are freezing/thawing/refreezing events which would create an unsafe condition. Monitoring of conditions must continue throughout the duration of each storm. Each time two inches of accumulation has fallen at a CVS Location, the SERVICE PROVIDER shall perform, or perform again, the Services at such CVS SERVICE PROVIDER shall be responsible for beginning the snow clearing operations at such time as two (2) inches of snow have accumulated at the CVS Location (or any part thereof) due to snowfall or drifting snow, and continue to provide Services each time two (2) inches of snow have accumulated thereafter until snow accumulations cease. However, should SERVICE PROVIDER receive a call from CVS requesting Services ( Notice to Proceed ) (within the parameters of this Agreement), SERVICE PROVIDER shall have, on site, ready to begin operations, such equipment and operators necessary to service the CVS Location within two (2) hours of the time of the Notice to Proceed. Under no circumstances does this Notice to Proceed relieve SERVICE PROVIDER of its responsibility to have monitored the CVS Location for the need for such services and to bring the need for such service to CVS attention. The SERVICE PROVIDER acknowledges that it has an affirmative duty to reasonably inspect all areas of every CVS Location covered under this Agreement and to report any potentially dangerous, hazardous or defective conditions to CVS immediately. If the weather conditions intensify, SERVICE PROVIDER will supply additional personnel and equipment to maintain the requirements specified. As required, SERVICE PROVIDER may also need to provide front-end loaders and articulated loaders for removing snow piles to an area designated by CVS. Such loader work shall be deemed an extra and shall require prior written approval from CVS before beginning such operations.
2 Between SERVICE PROVIDER and its servants, agents and employees, SERVICE PROVIDER shall retain and exercise control over the manner in which its servants, agents, and employees perform their operations with respect to the Services and other related services performed and supplied herein. SERVICE PROVIDER shall ensure that its servants, agents, employees, and subcontractors comply with all Federal, State, municipal and local requirements when performing the Services. SERVICE PROVIDER shall be responsible to pay for any citations, fines, and/or penalties assessed as a result of improper snow plowing, snow removal and/or Ice Control. 2. ICE MANAGEMENT REQUIREMENTS: Ice management hereunder shall include the application of approved Ice Control products to areas specifically designated by CVS. Ice Control is limited to one complete Ice Control service per snow or ice event without prior express authorization from Springwise ( Notice to Proceed ). Ice Control will be self-dispatched and typically occur at the end of the snow event. If parking lot access is limited due to CVS business operations, a partial service is authorized. A full service will be completed once the applicable CVS Location is closed and/or the parking lot is completely accessible. In response to a snow or ice event, it is SERVICE PROVIDER s duty to monitor and inspect CVS Locations to determine if additional Ice Control services are required. Ice Control applications shall be available on a continuous twenty-four (24) hour per day and seven (7) day per week basis in response to the buildup of ice (or generally slippery conditions). If SERVICE PROVIDER determines additional Ice Control services are warranted, SERVICE PROVIDER will request authorization from Springwise to perform the recommended Services. If CVS requests additional Ice Control services, the expectation is that the CVS Location will be serviced by the SERVICE PROVIDER within two hours of such request for Service. Under no circumstances does the absence of a Notice to Proceed relieve SERVICE PROVIDER of its responsibility to have monitored the CVS Location for the need for such Ice Control services and to bring the need for such service to CVS attention. The SERVICE PROVIDER acknowledges that it has an affirmative duty to reasonably inspect all areas of every CVS Location covered under this Agreement and to report any potentially dangerous, hazardous or defective conditions to CVS immediately. Under no circumstances will cinders be applied to any CVS Should cinders be applied at any time, SERVICE PROVIDER shall be considered in default and shall be immediately terminated from further work at any CVS Between SERVICE PROVIDER and its servants, agents and employees, SERVICE PROVIDER shall retain and exercise control over the manner in which its servants, agents, and employees perform their operations in the ice management and other related Services performed and supplied herein. 3. SPECIFIC CONTRACT REQUIREMENTS: a. BUILDING ENTRANCES, EXITS & SIDEWALKS SERVICE PROVIDER shall provide Services on all sidewalks directly adjacent to the CVS building constructed at a CVS Location and all municipal sidewalks at each CVS SERVICE PROVIDER shall give special attention to the areas where the parking lot abuts the sidewalk directly adjacent to the CVS building constructed at a CVS Snow from the parking lots may not be deposited onto municipal sidewalks or municipal streets during plowing operations. Should snow be deposited onto the municipal sidewalks or municipal streets (inadvertently or purposely), SERVICE PROVIDER shall be responsible for the removal of said snow. SERVICE PROVIDER shall be responsible to pay for any citations, fines, and/or penalties assessed as a result of improper disposal of snow. Any snow removed from CVS Locations must be done in a manner that complies with all Federal, State, municipal, and local requirements.
3 b. ROADWAYS AND PARKING LOTS SERVICE PROVIDER shall ensure that CVS employees and customer vehicles will not be blocked in by snow. If SERVICE PROVIDER has failed to sufficiently clear such snow or ice accumulations, SERVICE PROVIDER may be recalled to the CVS Location to clear such blockage at no additional charge to CVS. This includes entry and access to outside locked containers (OLCs) and dumpsters. Plowing and other snow clearing and ice management operations shall be completed by 7:00 AM, provided that enough snow has fallen and enough time remains to complete such operations by the 7:00 AM deadline. In the event of a late starting snow or ice event, or daytime snow or snow event, SERVICE PROVIDER shall still be expected to provide Services as needed. SERVICE PROVIDER may push snow wherever possible to keep the pavement surfaces clear of snow. SERVICE PROVIDER assumes responsibility for any damages that occur from placement of snow and from damage to the pavement. This includes, but is not limited to, plant material, shrubs, trees, turf, curbs, tire bumpers, building coverings, landscaped islands, bollards, light poles, directional signs and railings. Care should be taken to minimize loss of parking spaces. Snow accumulation must not be allowed to impair any driver s vision at intersections, driveway aprons, etc. SERVICE PROVIDER assumes all liability for claims that arise from such improper snow placement. SERVICE PROVIDER shall apply approved Ice Control products in quantities and frequencies adequate to keep roadways and sidewalks clear and safe in accordance with the ice management requirements set forth in Paragraph A(2) of this Exhibit. Reasonable care must be taken by SERVICE PROVIDER to prevent salt or chemical damage to turf and plant material areas. *** Use of cinders or ashes is not permitted under any circumstances *** Under no circumstances will cinders or ashes be applied to any CVS Should cinders be applied at any time, SERVICE PROVIDER shall be considered in default and shall be immediately terminated from further work at any CVS SERVICE PROVIDER shall repair all cement damaged by the excessive application of harmful chemicals. Acceptable products for parking lot and roadway surfaces include: Rock Salt Rock Salt treated with Magic Landscaper s Choice blended de-icing product Calcium Chloride Acceptable products for sidewalk surfaces include: Landscaper s Choice blended de-icing product Calcium Chloride c. HANDICAP RAMP ACCESS AREAS PARKING SPACES Extra attention must be given by SERVICE PROVIDER to all handicap sidewalk ramp access areas and designated handicap parking spaces during normal business hours. Snow must not block handicap ramp access areas. Acceptable Ice Control products should be applied to these areas as needed with care to provide a safe environment during normal business hours for handicapped employees and customers of CVS. d. FIRE HYDRANTS and POST INDICATORS As part of snow clearing operations, SERVICE PROVIDER shall keep all fire hydrants and post indicators clear of snow and ice to assure ease of access. Failure to clear these areas during regular Service visits shall result in SERVICE PROVIDER returning to the CVS Location to clear these areas at no additional charge to CVS.

CVS Mobile Snow App Usage Requirement All SERVICE PROVIDERS are required to utilize the CVS Mobile Snow App ( Mobile App ) each time Service(s) is/are completed at every CVS Mobile App must be used at all times while the SERVICE PROVIDER is on-site at any CVS Location and will be used to validate that Service(s) has/have been completed. This requirement will generate a uniquely numbered service request in the CVS work order system which will be used to enable invoicing.. SERVICE PROVIDER s failure to utilize the Mobile App while on-site at every CVS Location serviced must be brought to the attention of the CVS Snow Program Administrator on a weekly basis, no later than Friday at noon following the SERVICE PROVIDER s failure to use the Mobile App. This notification must use the CVS Missed Snow App Utilization format as defined by CVS at the start of each snow season In the event that SERVICE PROVIDER incorrectly uses the Mobile App to record Service(s) completed, SERVICE PROVIDER must notify the CVS Snow Program Administrator on a weekly basis no later than Friday at noon following the SERVICE PROVIDER s incorrect use of the Mobile App. This notification must use the CVS Incorrect Snow App Utilization format as defined by CVS at the start of each snow season. Failure to comply with CVS Mobile Snow App Usage Requirements will result in the charges for the Service(s) being ineligible for payment. Repeated occurrences of SERVICE PROVIDER s failure to use, or incorrect use of, the Mobile App may be considered a repeated default as defined in Section 24 of the Agreement, and may result, at CVS sole option, in: (i) the initiation of a performance review by CVS, (ii) the immediate removal of SERVICE PROVIDER from some or all CVS Locations serviced, and/or (iii) the immediate termination of the Agreement pursuant to Section 24 of the Agreement. SECTION B: LUMP SUM PRICING --- PER PUSH SECTION D: SPECIAL CONDITIONS The items listed below shall be in place and in force for the entire term of the Agreement: i. Current/valid Certificates of Insurance and copies of insurance policy endorsements, all in compliance with and as required by the Agreement, will be required to be on file with CVS prior to any Services being performed at any CVS ii. SERVICE PROVIDER shall provide Springwise with a completed W-9 and copy of SERVICE PROVIDER s blank letterhead at the execution of this Agreement. iii. All requests for additional services must come from Springwise Facility Management. SERVICE PROVIDER understands and accepts that Springwise and CVS may not pay for any unauthorized additional Services unless properly logged and approved by CVS Facilities Management prior to commencement of such additional Services. iv. The Agreement must be fully executed and on file with Springwise prior to the commencement of Services at any CVS v. SERVICE PROVIDER shall be required to provide Springwise with a satisfactory method of communicating with SERVICE PROVIDER at all times, seven (7) days a week, twenty-four (24) hours a day during any snow or ice event. vi. SERVICE PROVIDER agrees to provide Springwise with reports related to the Services in any format reasonably requested by Springwise/ CVS, to include but not be limited to: weather verification; name, address and contact information for any permitted snowplow and ice removal subcontractors used; services provided; plowing/treatment frequency; date/time of each service; and itemized service cost.
5 SECTION E: STAKE MARK PLOWING AREAS It is recommended that all areas to be plowed should be adequately staked or marked by SERVICE PROVIDER prior to the first snow. Failure to mark the areas shall not be deemed an acceptable excuse for any damages caused by plowing operations. SECTION F: REPAIR OF DAMAGE All damage which occurs as a result of plowing, clearing, stacking, hauling or Ice Control operations shall be reported to the Springwise and the CVS Store Manager or other appropriate person at the CVS Location immediately and repaired promptly and expeditiously by the SERVICE PROVIDER and at SERVICE PROVIDER s sole expense. SECTION G: PRICING SCHEDULE All pricing is based on a per push basis. A push is defined as one clearing of the premises at each location. Per hour or per piece of equipment pricing will not be allowed for regular ongoing winter services.
