3 TERMS AND CONDITIONS TERMS OF SALE Net 30 days. All prices are exclusive of federal, state or local sales, use, excise or similar taxes applicable to the sale of the product sold. Any such tax(es) will be separately itemized on the invoice. Applicable taxes will be added if tax exemption or resale certificates are not provided. All prices are subject to change without prior notice. PRICING All prices published are Suggested List Prices and are subject to change without prior notice. DIMENSIONS All dimensions and weights given for a product are approximate. We reserve the right to make changes in dimensions, designs and/or construction without prior notice. PURCHASE ORDERS Orders will be accepted by written acknowledgement from Clarin by Hussey Seating. Verbal purchase orders will not be accepted. Clarin by Hussey Seating must be notified of any discrepancies within (3) three business days upon receipt of acknowledgement. Acknowledgements contain an estimated shipping date. Orders may ship earlier if production capacity is available. Please indicate on the purchase order if a product cannot arrive before a certain date. MERCHANDISE TITLE Title to merchandise passes to the customer upon delivery to the carrier. If goods are damaged in transit, the customer has the responsibility to seek any appropriate recourse. FREIGHT TERMS Freight charges in the contiguous 48 states on all Clarin by Hussey Seating products will be FOB Hussey Seating Company: 38 DYER STREET EXTENSION, NORTH BERWICK, ME Normal delivery is docktodock. Special deliveries, lift gate deliveries and deliveries outside of the contiguous 48 states are subject to additional charges. Additional charges may apply if overseas pallets are required. REDELIVERY CHARGE All redelivery costs incurred will be charged to the customer. SHIPPING CLAIMS All shipments are packed in compliance with common carrier requirements. Customer must note all visible damage to carton and/or carton shortages immediately upon receiving shipment and direct all claims within five (5) days to the transportation company making delivery. CHANGE/CANCELLATION Customer s cancellation and/or change to an acknowledgement must be confirmed in writing by Clarin by Hussey Seating. Cancellations or changes are at Clarin by Hussey Seating discretion, and are subject to charges. RETURNS Returns of any type must be approved in writing and contain a Clarin by Hussey Seating Return Goods Authorization (RGA) number. If Clarin by Hussey agrees to the return, the customer must return freight prepaid. A rehandling and restocking charge of 20% of the net price applies. No custom or CSM/COM return items will be accepted. NEW ACCOUNTS New accounts can be established by providing the Hussey Seating Company Finance Department with the following information: payment or credit references, tax certificate and a valid purchase order. STORAGE CLAIMS If customer s order is ready for the shipment but order cannot be received, Clarin by Hussey Seating reserves the right to invoice the customer at that time and transfer the shipment to a storage facility at the customer s expense. Shortage claims reported after 5 days will not be honored. SALES POLICY Possession of this price list does not constitute authority to purchase and/or sell products contained herein. All purchase order acknowledgements, changes/cancellation approvals and return approvals are valid if issued by Hussey Seating Company Corporate Office (not by the sales representatives). CUSTOM PAINT An additional charge will apply for custom paint on all Clarin by Hussey Seating products. The order will not be manufactured until the customer approves a custom paint chip. No discount available. Call Clarin by Hussey Seating for pricing. CUSTOMER S OWN MATERIAL (COM) CUSTOMER'S SPECIFIED MATERIAL (CSM) Fabric and Vinyl must be approved prior to acceptance of an order by providing 2 yards of material for the upholstery test. If approved, a 1 square sample swatch must accompany the completed Non Standard Material Specification Form showing appropriate pattern direction. Clarin by Hussey Seating reserves the right to approve any material and is not responsible for COM performance. Clarin by Hussey will return all unused material to the customer with the chair shipment.

4 LIMITED PRODUCT WARRANTY MultiPurpose Seating Collections Hussey Seating Company provides the following warranty to the owner and operator of the facility in which Clarin by Hussey Seating products were originally purchased in North America. The warranty period begins on the date of shipment, continues for the applicable time period set forth below, and is strictly governed by and subject to the terms and conditions set forth below. LIMITED WARRANTY: In the event there is a defect in the material, in the installation (in the event installation is contracted through Hussey Seating), and/or in the workmanship of the Clarin by Hussey Seating product (or component thereof) which causes failure of the product within the applicable time period and provided notification of this defect is given to Hussey Seating in writing at the address set forth below prior to the expiration of the applicable time period; Hussey Seating, in its sole discretion, will either repair or replace the defective product (or defective component thereof) with a comparable product (or component thereof), or will provide a refund of the purchase price of the defective product (or defective component thereof) prorated over the warranty period. In the event of repair or replacement, the warranty includes labor, materials, and freight for the first five years of the warranty and materials and freight thereafter for products covered by the 12 year period. All other costs are excluded. The fulfillment of the warranty (including investigation, timing of response, labor, and manner of shipment) is under the exclusive and unfettered control of Hussey Seating. THERE ARE NO OTHER WARRANTIES OTHER THAN THOSE EXPRESSLY STATED ABOVE, WHETHER EXPRESSED OR IMPLIED (INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OR MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE) UNLESS SPECIFICALLY AGREED TO IN WRITING BY AN OFFICER OF HUSSEY SEATING IN THE SPECIFIC CIRCUMSTANCE. Hussey Seating is not liable (in contract, tort, or otherwise) for any consequential, special, direct, punitive, or incidental damage.
