15 Exhibitor Rules and Regulations CONTRACT CONDITIONS/RULES AND REGULATIONS 2018 ACHI NATIONAL CONFERENCE, MARCH 14-16, 2018, Hyatt Regency Atlanta persons with disabilities, please contact: By applying for exhibit space, a company agrees to adhere to all of the terms and conditions of these Contract Conditions/Rules and Regulations. ACHI requires the full cooperation of the exhibitor in their observance. Please be sure that your promotional department or anyone else involved in the arrangements for your exhibit has a copy of the Agreement. At no time shall any failure or delay by ACHI in enforcing any provision, exercising any option, or requiring performance of any provision in connection with the terms and conditions in this Agreement, be construed to be a waiver of same. C. This Agreement is governed by Illinois law and the exhibitor consents to the exclusive jurisdiction of the State of Federal courts seated in Cook County, Illinois, with respect to any action arising out of this Agreement or the National Conference. This Agreement will be binding on the exhibitor s successors. Notwithstanding anything to the contrary in this Agreement, provisions of this Agreement which by their nature and intent should survive expiration or termination, including, but not limited to, indemnity, limitation of liability and intellectual property provisions will survive expiration or termination of the Agreement for any reason; and if there are any conflicts or inconsistencies between the terms of these Rules and Regulations and the Application, the terms of these Rules and Regulations will control. Sponsorship and Exhibitor/Purpose The 2018 ACHI National Conference is sponsored by the Association for Community Health Improvement of the American Hospital Association (AHA). The purpose of the exhibiting is to complement the professional meetings and education sessions by informing and educating registrants on the latest developments in the health care industry, related technologies, systems, equipment, products and services. The term ACHI used in this Agreement shall mean the Association of Community Health Improvement of the American Hospital Association and as the context may require, its employees or agents, duly acting for ACHI in the management of the National Conference. Payment of Space Under the terms of this agreement, the exhibitor agrees to pay the total fee within 60 days of receipt of an invoice. It is understood that failure by the exhibitor to remit balance due by said date shall result in a 1.5% interest charge per month on late invoices. If payment is not received, then booth will be declared null and void so that the booth can be reassigned. Cancellation and Refunds Any exhibitor who cancels all or part of purchased exhibit space prior to November 30, 2017 shall receive a full refund, less a $100 administrative fee. Any exhibitor who cancels all or part of purchased exhibit space or sponsorship between December 1 and December 31, 2017 will receive a 50% refund. If cancellation in whole or part is made after December 31, 2017 the exhibitor shall be liable to ACHI, as liquidated damages, for the unpaid balance of the total value of the exhibit cancelled. Cancellation requests must be submitted in writing to the address below. Space Assignment Whenever possible, space assignment will be made by ACHI in keeping with the preferences as to location requested by the exhibitor. ACHI RESERVES THE RIGHT TO MAKE THE FINAL DETERMINIATION OF ALL SPACE ASSIGNMENTS IN THE BEST INTEREST OF THE NATIONAL CONFERENCE. Use of Space, Subletting Space Exhibitors may not assign or sublet this contract, or permit others to use any contracted exhibit space without the express approval of ACHI. Exhibitors must show only products or services manufactured or sold by them in the regular course of business. The featuring of names or advertisements of non-exhibiting firms or businesses will not be permitted Use of Space, General A. LITERATURE--No exhibitor will be permitted to display or distribute literature or any promotion outside the confines of the assigned booth space in the Exhibit Space unless written permission is given by ACHI. Distribution or display of promotional material in public areas of the National Conference or educational session rooms is strictly prohibited. PROMOTION-- Exhibitors are prohibited from possessing, displaying or depicting any products or components or company names in their booth which could be interpreted as being a promotion of another company. B. SPACE--No exhibit will be permitted which interferes with the use of other exhibits or impedes access to them or impedes the free use of the aisles. C. GIVEAWAYS--Helium balloons or lighter-than-air objects will not be permitted as handouts/ souvenirs. Distribution by exhibitors, or their agents, of any printed materials, souvenirs, or other articles shall be restricted to the exhibitor s booth space. D. PROMOTIONS--Any special promotions, music or stunts planned for the Exhibit Space, must be cleared with ACHI. ACHI reserves the right to designate specific days and hours during which special promotions and stunts may be conducted, if they are permitted at all. E. MEETING SPACE--ACHI reserves the right to control all suites and meeting rooms in the hotel participating in the ACHI housing block. Request forms for function space including meeting and hospitality rooms should be requested to ACHI. No entertainment, meetings, or similar activities for ACHI attendees can be scheduled during official show or program hours, including social events, without direct approval from ACHI. F. ANIMALS--No animals are permitted in the hotel other than service animals. G. FACILITY RULES--Exhibitors must abide by all of the facility rules and regulations of the hotel. H. LOGO--The ACHI logo and ACHI conference logo may not be used without the express written permission of ACHI. I. ADA--All exhibitors shall be responsible for compliance with the Americans with Disabilities Act. The exhibitor shall hold ACHI or its directors, officers, employees, agents or subcontractors harmless from any consequences of exhibiting company s failure in this regard. For more information on the Americans with Disabilities Act and how to make your exhibit accessible to K. PR--ACHI must approve all public relations, press and media related activities of an exhibitor that will take place on the exhibit floor. All press must have a badge to enter the exhibit hall. Installation/removal A. If an exhibit is not set up by 1:00 pm, THURSDAY, MARCH 15, 2018, ACHI reserves the right to re-assign such space to another exhibitor or to make such other use of the space as deemed necessary or appropriate. ACHI reserves the right to set up the exhibit or remove the freight from the booth at the exhibitor s expense. No refund will be made to the original contracting exhibitor. ACHI reserves the right to modify setup, exhibit, and dismantle hours in which case all exhibitors will be notified. No part of any exhibit, or signs relating thereto, shall be posted, nailed, or otherwise attached to columns, walls, floors, or other parts of the building or its furniture, in any way to deface same. Damages arising from failure to observe these rules shall be payable by the exhibitor. B. Exhibits are to be kept intact until the closing of the show on FRIDAY, MARCH 16, All exhibits on the exhibit floor are to be fully removed by 12:00 pm, FRIDAY, MARCH 16, If exhibits are not removed by the specific time, ACHI has the right to remove exhibits and charge the expense to the exhibitor. Any exhibitor who begins dismantling and removal of their display before the close of the show may lose priority points and/or the privilege of exhibiting in future shows. This rule will be strictly enforced. Operations of Exhibits A. Admittance during non-show hours without permission from ACHI exhibit management is prohibited. Children under the age of 16 are not permitted on the exhibit floor at any time. ACHI exhibit management shall have the sole control over admission policies. All persons visiting the exhibit area, including exhibit booth representatives, will be required to register and to wear an appropriate badge. B. In the event that exhibitor advertises, markets, promotes and/ or administers any type of promotion including but not limited to giveaways, sweepstakes, drawings, contests in connection with the event (collectively Promotion ), exhibitor agrees that it shall use, publish and make available to entrants official rules for the Promotion which shall include at a minimum the Mandatory Disclosures without change. Exhibitor is solely responsible for (1) compliance with all applicable laws in the advertising, marketing, promotion and/ or administration of the Promotion; and (2) all costs, damages, liabilities, losses or injuries occasioned by the same. In the event exhibitor does not comply with these provisions relation to Promotions, ACHI may terminate the Promotion on notice to exhibitor. ACHI and its subsidiaries and affiliated companies and agencies and each of their respective officers, directors, employees, representatives, and agents (collectively, the Related Parties ) SHALL NOT BE LIABLE, AND DISCLAIM ANY LIABILITY, FOR ANY CLAIM, LOSS OR DAMAGE, DIRECT OR INDIRECT INCLUDING WITHOUT LIMITATION, COMPENSARTORY, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER IN CONNECTION WITH, AS A RESULT OF, OR ARISING OUT OF ANY PROMOTION, THE AWARDING, DELIVERY, OR USE OF ANY PRIZE OR ANY ACTIONS OR OMISSIONS OF EXHIBITOR OR ANY THIRDPARTY IN CONNECTION WITH ANY PROMOTION Exhibitor may not use any ACHI trademark, trade name, logo, slogan, or other designation in the advertising or administration of any Promotion which exhibitor provides without the express written permission of ACHI. C. No spotlight may be directed toward the aisles or so directed that it proves to be irritating or distracting to neighboring exhibit booths or guests. Droplights or special lighting devices must be hung at a level or positioned so as not to prove to be an irritant or distraction to neighboring exhibit booths or guests. No strobe light effects are permitted. Projectors, computer screens, or TV screens must not cause people to block the aisle. Computer screens and TV screens are considered part of the overall booth components and may not protrude into the aisle.loud speakers or operation of equipment which is of excessive sound volume to be annoying to neighboring exhibitors or guests is not permitted based on the 80/80 Rule: Any sound that consistently exceeds 80 decibels measured at the edge of an exhibitor s booth or is clearly identifiable more than 80 feet from that booth is considered objectionable. Exhibitors are prohibited from taking videos or photographs of any booths on the show floor, other than their own. No exhibitor shall cause any copyrighted music to be played or performed. Exhibitors are responsible for individual ASCAP/BMI music licensing fees if applicable. Liability/insurance/indemnification Exhibitor remains solely responsible for the safety of its property at all times during transit to and from the Exhibit Hall and within the Exhibit Hall. Exhibitors wishing to insure their exhibit material, goods and/or wares against theft, damage by fire, accident or loss of any kind must do so at its sole expense. Neither ACHI, its directors, officers, employees, agents or subcontractors are responsible for exhibitor s property or any loss there to from any cause. EXHIBITOR HEREBY WAIVES AND RELEASES ANY CLAIM OR DEMAND IT MAY HAVE AGAINST ACHI BY REASON OF ANY DAMAGE TO OR LOSS OF ANY OF ITS PROPERTY. Exhibitor agrees that it will indemnify and hold ACHI harmless from and against all claims on account of injury to any person or property to the extent that any such injury was caused wholly or in part by an act or omission of exhibitor or any of its agents, employees, subcontractors, guests, licensees or invitees. This indemnification of ACHI by exhibitor is effective unless such injury was caused by the sole negligence, or gross negligence, or willful misconduct of ACHI. Exhibitor agrees that if ACHI is made a party to any litigation commenced by or against Exhibitor, or relating to this lease or the premises leased hereunder, then EXHIBITOR WILL PAY ALL COSTS AND EXPENSES, including reasonable attorneys fees, INCURRED BY OR IMPOSED UPON SHOW MANAGEMENT BY REASON OF SUCH LITIGATION. 15
