Lower the Quantity of Group 1 Cars by 4 each, from 38 each to 34 each. 2. Lower the Quantity of Group 3 Cars by 2 each, from 5 each to 3 each. 3. Delete Sales Contract Exhibit 1-1, Price Proposal Page, and replace with the attached Revised Exhibit 1-1, Price Proposal Page. 4. Delete Scrap Contract Exhibit 1-P, Price Proposal Page, and replace with the attached Revised Exhibit 1-P, Price Proposal Page. 5. Questions Metra has received and the responses from our agency. Metra will be unable to respond to any additional questions submitted by contractors. The Bid Opening Date remains October 5, 2016 at the time and place previously advertised. Please acknowledge receipt of the Addendum in your bid submittal on the Contract Signature Page or your bid may be considered non-responsive. 2 ADDENDUM NO. 2 REVISED EXHIBIT 1-I PRICE PROPOSAL PAGE TO PURCHASE THE COMMUTER CARS, COMPLETE THE BELOW This is a Fixed Unit Price Contract for the purchase of the below commuter cars for continued use (running or static display) or.for scrap, in accordance with this Invitation for Bid. These materials are sold "As Is, Where Is" and without any implied or expressed warranty as to the condition or serviceability of the items. Prices shall remain firm and include all applicable charges, including the abatement of hazardous materials. No additional charges will be allowed. Bids shall be valid for a period of ninety (90) days from the due date. Bid Amount shall be listed in dollars and/or cents. The Buyer agrees to purchase from METRA and METRA agrees to sell to the Buyer, the commuter cars in accordance with this Contract and the price herein set forth. Buyer is responsible for inspecting this document and the commuter cars to be sold as part of this Contract. Bidders are responsible for the purchase and removal of the commuter cars awarded. 1. All commuter cars are sold F.O.B. at the location identified in this IFB. 2. The Buyer shall, within five (5) calendar days after receipt of the "Notice of Award," pay METRA the total amount set forth in the contract for the commuter cars awarded to the Buyer. Payment will be by money order, cashier's check or certified check. The money order or check shall be made payable to; "Northeast Illinois Commuter Railroad Corporation D/B/A Metra." 3 ADDENDUM NO. 2 REVISED EXHIBIT 1-P PRICE PROPOSAL PAGE FOR METRA TO PAY FOR THE SERVICES TO REMOVE, ABATE AND DISPOSE OF THE COMMUTER CARS, COMPLETE THE BELOW This is a Fixed Unit Price Contract for Metra to pay for services to remove, abate, and dispose of the commuter cars, in accordance with this Invitation for Bid. Prices shall remain firm and include all applicable charges, including the abatement of hazardous materials. No additional charges will be allowed. Bids shall be valid for a period of ninety (90) days from the due date. Bid Amount shall be listed in dollars and/or cents. Invoicing - After completion of the services, an original invoice is to be submitted to: Metra, Accounts Payable Department, 547 W. Jackson Blvd., Chicago, IL 60661, showing the Contract Number. Failure to follow these conditions may result in delayed payment. Payment Terms - Net 30 from date of invoice, or the in accordance with the Vendor's invoice, whichever are more favorable to Metra. Payment date, therefore, shall be calculated from the receipt of invoice or receipt or final acceptance of the services, whichever is later. 4 IFB Sale I Scrapping of Bi-Level Commuter Cars QUESTIONS/RESPONSES Listed below are questions ("Q") Metra has received and the responses ("R") from our agency: Q1: Do the cars listed in Group 1 have all their traction motors; or if not, how many are missing? R1: Yes, the Group 1 cars have all their traction motors. Q2: Because of the location, size and weight of the 2 cars in Group 2, the cost to remove these cars where they lay would be extremely high. We would like to request these cars be relocated within the 47th Street Yard at a location that is accessible for a contractor's crane and labor. It will be impossible to move these cars in one piece down the City streets to a location where the cars can be cut up for scrap. The size and weight of the cars prevent us from doing so. R2: To aid in the removal of the Group 2 cars from Metra property, Metra will relocate the Group 2 cars to Metra's Blue Island Yard; and provide an area within the Blue Island Yard to allow the contractor to load the cars onto railroad flat cars or truck flatbeds, whichever is desired by the contractor. The contractor will be responsible for the loading of the railcars onto railroad flat cars or truck flatbeds. Q3: Why was there no consideration given to DBE goals for the Scrap Contract where Metra will pay for the services to remove, abate and dispose of the commuter cars? R3: The Invitation for Bid (IFB) includes a race neutral compliance exhibit which encourages bidders/proposers/contractors to provide documented commitment and confirmation of contracted DBE participation as a result of its own business objectives. The federal regulation 29 CFR (a) requires that Metra must meet the maximum feasible portion of its overall DBE goal by using race-neutral means of facilitating DBE participation. Race-neutral DBE participation includes any time a DBE: wins a prime contract through competitive procurement procedures; or is awarded a subcontract on a prime contract that does not carry a DBE goal. This contract has the potential to be a revenue generating contract, where the successful bidder would be purchasing the scrap cars from Metra, therefore no subcontracting opportunity would be available. Please, note although there is no DBE goal assigned to this contract, that does not preclude a prime contractor from providing an opportunity for a DBE firm to participate nor does it stop a DBE firm from participating as a prime contractor or subcontractor.

5 IFB Sale I Scrapping of Bi-Level Commuter Cars Q4: What will Metra require for the close-out documentation related to the lead based paint (LBP)? R4: Metra will require air monitoring results, visual clearances from third party consultant, and waste manifests. Q5: Is the expectation to remove the LBP regardless if the LBP car components will be disposed of or scrapped? R5: Yes. Q6: Can intact LBP surfaces in good condition be disposed of as general construction debris as allowed by EPA (thereby no disposal close out documentation will be provided)? R6: No. Q7: Is the exterior paint system applied to Group 1 and Group 3 cars LBP? R7: Yes. QB: RB: Is the interior paint in Car #7 45 LBP? Yes. Q9: Does Metra know which independent, professional consultant firm it will use to inspect the hazardous material abatement "work for scope completeness, thoroughness and quality of work"? R9: This information will be provided upon contract award. Q10: Per the specification document the two (2) damaged cars (car 7103 and 745) will need to be removed from Metra property in "as is" condition by the contractor. As such where will these two cars be relocated to for the contractor's removal? Will this location allow for proper crane and truck access for the removal of these cars? R10: See Response 2. Q11 : From the IFB document it is understood that there is no DBE content required if the cars are purchased out right from Metra as this would be a revenue source for Metra. If the successful bid is for scrapping the cars is there still no DBE requirement for this provided service? R11: Yes. See Response 3.

6 IFB Sale I Scrapping of Bi-Level Commuter Cars Q12: If the successful bid is for scrapping it is understood that the cars must be fully abated for hazardous materials prior to scrapping and documentation furnished to confirm this. In the event that the cars are purchased by a bidder is there any contractual requirements regarding the abatement of the cars? R12: See Exhibit 1-0 Specification No. M , July 25, 2016, Page 3 of 5 Revision B: Abatement Requirements.
