1 TERMS & CONDTIONS Your Brand Brokers Inc. Force Majeure Your Brand Brokers Inc. ("we", "our") cannot be held liable for delays in delivery due to circumstances beyond our control including but not limited to: war, inclement weather or other Acts of God, labor strikes or lockouts anywhere along the supply chain, factory, carrier, or buyer error. Artwork Factory artwork preparation is included with minimum quantity orders. You can help make our workload a little lighter by supplying a graphic file that meets our requirements. Should you need a copy of the vector file for another vendor the cost is $40 (X). Cancellations Without exception, cancelled orders will be invoiced for all costs incurred up to the moment of cancellation regardless the reason for the cancellation. Color Matching ENAMELLED PRODUCTS We provide Pantone matching for all enamel colors at no extra cost. Artwork should reference Pantone solid coated 100%. Each tint of the same base Pantone color is considered a separate color (e.g. PMS 100% and PMS 80% = 2 colors). Page 1 of 5

2 PRINTED PRODUCTS Offset printing (CMYK or 4 color process) can only approximate Pantone colors. To ensure Pantone color match on printed products, overprinting is required. Consult the pricing table for each product to see if overprinting is supported. Trademarks, Copyrights, and Other Intellectual Property We cannot be held liable to claims of copyright infringement or unlawful use of any trademarked, copyrighted, or registered 3rd party assets arising from our buyer s instructions as we assume the buyer has obtained permission from the owner of said property. All brand logos/icons are trademarks of their respective owners and are presented in our print literature or online to demonstrate our production capabilities. The use of these trademarks does not indicate endorsement of the trademark holder by Your Brand Brokers Inc., nor vice versa. We will remove in a reasonable timeframe images of any items depicting trademarks upon written request by their respective owners. Duplication We cannot duplicate articles produced by another supplier. In order to have the closest match possible furnish artwork used to produce the original as well as a physical sample. Lead time permitting, a preproduction sample will be produced at no charge to the buyer. Errors & Liability The buyer is responsible for goods produced according to the approved layout or sample. Re-orders to correct a buyer s error may be discounted at our discretion; those due to our error will be repaired or replaced at our discretion at no cost to the buyer. We do not discount sub-quality merchandise. Only the quantity of product returned will be repaired or replaced. Page 2 of 5

3 Lead Times Based on orders up to 1000 units, via consolidated air freight samples require14 days following artwork approval with the full order taking an additional days for production. Times do not include transit from the factory. With factory approval, rush orders are subject to an additional handling fee if the in-hands requirements in in conflict with consolidated shipping schedules. Accounts & Credit Privileges We reserve the right to grant and refuse credit at our discretion. An account is required to purchase goods or services. To establish an account, submit our CUSTOMER REGISTRATION form. Registration does entitle the registrant to credit privileges. We do not perform credit checks. Net30 terms are granted and credit limits are set based on past performance and sales volume. We may request a deposit for large orders even if Net30 terms are in effect. Credit privileges are revoked when accounts fall into arrears of more than 60 days, NSF payments. Payment 50% deposit due at time of order, balance + freight due upon shipping. We accept all major credit cards, company cheque, direct deposit, and interac e-transfer payments. Credit card and bank debit payments are processed by WAVE, our electronic payments processor, on their secure payment platform. Preproduction Samples Sampling is included for orders of 1,000 pcs or more, lead time permitting. Orders of less than 1,000 pcs are subject to non-refundable sampling fees of $100 (G). Allow 14 days for production, shipping, and approval. Page 3 of 5

4 Prices Prices on this website are effective March All prices MSRP in CAD$ (dealer may sell for less). Sales tax is extra. Prices are subject to change. Goods imported into Canada and shipped to the USA are subject to US duty and brokerage fees. Production Assists Molds, dies, films, embroidery cassettes, jigs, and any other production tools will be held in reserve by the factory for a minimum of 2 years and will be destroyed as space is needed. Quantity shipped We try to ship the exact amount ordered, and always include a few samples with your invoice. Occasionally the factory will overrun - the maximum amount of any overrun that the buyer is responsible for is 5% of the quantity ordered. Due to strict QC at the factory, occasionally orders are short shipped. We consider an order complete if the quantity shipped falls between 95%-100%. Ordering For your convenience you can place your order is under 5 minutes using our online order form or your purchase order and graphic file toorders@yourbrandbroker.com. Returns Examine goods upon receipt; claims dated more than 30 days following receipt will be ignored. Obtain an RMA (Return Merchandise Authorization) number to ensure that the shipment back to our office is not refused and returned to sender. Claims arising from goods missing or damaged while in transit are to be made against the carrier. Page 4 of 5

5 Sales Policy We are a b2b company serving the promotional products industry of distributors as an importer/wholesaler supplier and as such do not sell to the general public. Any inquiries from the general public will be replied to with our recommended distributor in their vicinity. Shipping All shipments are F.O.B. Toronto M3C 0J5. The buyer is responsible for freight charges. We reserve the right to upgrade service levels and invoice accordingly to meet the buyer s in-hands requirements. Tracking information is provided by shipment notification upon online booking. Right of Refusal We reserve the right to refuse to produce any order that contains material that violates federal or provincial law or that contains material that we deem inappropriate or objectionable.
