3 ABOUT MAURITANIA Mauritania, officially the Islamic Republic of Mauritania, is an Arab Maghreb country in West Africa. NATURAL RESOURCES Iron ore, gold, uranium, gypsum, fish, copper, phosphate, petroleum, oil, gas. INFRASTRUCTURE Three International Airports Two deepwater ports - Nouakchott expanded the Autonomous Port of Nouakchott, PANPA for short, is located on the West African Atlantic coast and offers competitive storage facilities and warehousing tariffs. It is also adjacent to Mauritania s capital city. Current capacity following the 2012 expansion is 6 million tonnes per annum. - Nouadhibou expanded formerly known as Port-Etienne, this port is located in the North of the country, close to the border of Morocco (Western Sahara). The economic base is fishing and fish-processing, but also export of iron ore which is transported via the railways from central Mauritania. The port will allow SNIM to meet the needs of its current and potential customers by reducing the waiting time of ships before and after loading. It will be capable of receiving tonne ore carriers. The port has has been designed with the control of maintenance costs in mind. * An additional port is planned. Bulk rail facilities consists of a single, 704-kilometre (437 mi) railway line linking the iron mining centre of Zouerate with the port of Nouadhibou, via Fderik and Choum. reputedly the heaviest and one of longest trains in the world. The total traffic averages 16.6 million tonnes per year.

4 Permit 792 Kaoua El Khadra Exploration on the Kaoua El Khadra project has concentrated on assessing the permit for iron ore potential. Exploration to date: Infill ground magnetics survey has been completed which took in the Eastern section of the permit. Rock chip samples taken from exposed outcrops. The continuity of the Banded Iron Formation (BIF) has been enhanced. Previously unexplored BIF has been discovered in the Eastern section of the permit. Upgraded the potential exploration target to 4.4Bt Fe (magnetite) from a 130km long interpreted strike horizon. Phase 1 trenching program completed. Permit 792 is located approximately 250km to the Nouakchott Port. Proximity to regional centre of Akjoujt and sealed road to Nouakchott currently being used to transport iron ore and copper concentrate to the Port. Outcrop of BIF in Permit 792.

5 Exploration Highlights: Davis Tube Recovery (DTR) tests show concentrate grades up to 69.76% Fe and mass recoveries of up to 43.7%. High grade BIF sampled above 40%Fe. Field inspection and sampling confirms earlier exploration results and confidence in the exploration target of 4.4Bt. A number of direct drill targets have been identified along with further trenching targets. To date mapping, ground magnetics and surface sampling has identified extensive magnetite BIF which has characteristics typical of magnetite iron ore deposits with potential to produce high grade Fe, low impurity, concentrates. Sampling: DTR concentrate analysis from trench sampling showed low levels of deleterious components SiO2, Al2O3, P and S assays and a high of 69.76% Fe concentrates, which is consistent with the previous rock chip sampling undertaken. Results are: BIF assay results range between 27.45% Fe and 44.55% Fe. Identification of extensions to known BIF under sand dune cover. Additional anomalies in the east quarter of Permit 792 confirmed as BIF in outcrop and under sand cover.

7 Trenching & RC Drilling Program Phase 1 trenching program completed. Drilling program and further trenching program being developed.

8 During March and April 2013, SEMS Exploration completed a phase 1 trenching program on Permit 792. The objective of this program was to assess various banded iron formation (BIF) units and magnetic anomalies in the Permit area. The results from the trench sampling is being developed into a drilling program to assess the high priority BIF occurrences at depth. Eight target areas were investigated through the excavation of twenty six (26) trenches for a total length of 1,911.3 metres. The trenches were sampled as two metre, horizontal composite samples for a total of 505 samples. Trench 5-2 produced the best results with 3 significant intercepts sampled between 16 metres and 104 metres along the trench separated by between 4m and 12m of internal dilution consisting of schist. The variability in mass recoveries is affected by oxidation of the BIF to goethite iron oxides which are non-magnetic. It is expected that BIF below the base of oxidation will produce more consistent results and this will be tested in the upcoming drilling program

13 Development Options Charter Pacific aims to prove the Kaoua El Khadra iron ore project as a viable significant high grade iron ore source in West Africa. Transport: existing sealed road Akjoujt to Nouakchott Port 250km (approximately). Mining: Charter Pacific is targeting a low strip ratio (less than 2:1, waste:ore) open pit mining operation which it believes will be achievable based on the BIF outcropping at surface over significant widths. As further information from trenching and drilling programs becomes available, the potential stripping ratio will be further developed. Processing: Charter Pacific intends to conduct metallurgical testing to determine a coarse grained magnetite product suitable for use as Sinter Feed to furnaces. Following successful implementation of dry grinding in other West African magnetite projects, Charter Pacific intends to pursue the viability of this processing method which offers significant capital cost savings over wet grinding and pelletisation. Capital costs: for a dry grind sinter product, other African producers (eg London Mining) and Sphere's Mauritanian projects (Askaf) estimate US$540M capital cost for around 6Mtpa Plant, C1 (production) costs around US$32/tonne FOB #. A wet plant and pelletiser cost is estimated to be greater than US$1.1B ##.
