OUR AMBITION in the Group: To get each person, employee, team leader, manager, and so on, to be actively committed to his personal health and safety and to that of others. Ensure the protection of people and of property Our business activity must not be the cause of any accident or disease. This concerns all employees as well as temporary workers, clients, partners, service providers and third parties. Promote the quality of working life Providing the best working conditions to each employee is essential for health protection. Improving health and safety through professionalism Professionalism requires competence, rigour, high standards of work, forward planning and innovation. The training of every individual plays an essential role and must be fully exploited. 2

Chapter 1 - PRINCIPLES - Scope of application: This agreement applies to European subsidiaries that are fully consolidated within the GDF SUEZ Group s scope of consolidation and those in which the Group has dominant influence. Outside of Europe, this agreement will also be applied as a unilateral decision. - Principles 8 basics: 1. Taking risks into account in any decision-making process. 2. Participatory approach to the prevention of hazardous situations 3. Promotion of a climate of trust and dialogue 4. Classification of prevention 5. Intercomparison, sharing and feedback provision 6. A prevention and protection level to our service providers equivalent to that of our employees 7. Compliance with regulations and internal rules 8. Crisis management preparation 3

Chapter 2 Support points The prevention approach is based on the involvement of managers and of each and everyone, on dialogue between employees and management, on a management and communication system. - 5 Points of support, follow up and communication 1. The Discussion and Communication system Communication must be transparent, concrete, positive, participative, in order to consolidate the health and safety culture. It must allow a response to all Health and Safety questions brought up by staff. 4

Chapter 3 Final Provisions Article 3.1.: Monitoring of the Agreement The Health and Safety Management Committee is responsible for monitoring the Agreement in accordance with the conditions laid down in Article 2.3. It shall be up to the Health and Safety Management Committee to define the indicators as well as the terms to monitor and control. Article 3.2.: Interpretation and revision This agreement will be translated into several languages. However, only the original version drafted in French (the signed version) is binding on the signatories. Questions relating to the interpretation of this agreement are the sole prerogative of the above-mentioned monitoring committee The Agreement may be revised in accordance with the applicable provisions of the Labour Code. Article 3.3.: Effectiveness and duration of the Agreement The Agreement will become effective on the day following its filing at the Paris DDTE (Departmental Directorate of Labour and Employment) and the registry of the Paris "Conseil de Prud hommes" (Industrial Court). The agreement is entered into for an unlimited period. Article 3.4.: Filing of the Agreement In accordance with the provisions of the Labour Code, the Agreement shall be filed at the Paris Departmental Directorate for Labour and Employment ( DDTE ) and the registry of the Paris Industrial Court ( Conseil de Prud hommes ). In Practice: By the EWC: - We have a working group "CODIR" which meets minimum twice a year - The group is made up of 15 members chosen from the EWC and we have during the meetings the simultaneous translations - They discuss the general situation in the Group and can make itself points to imported for the whole Group - They prepare themes for which are discussed on the EWC plenary meeting - They organize searches carried out in the companies through the representatives of the EWC on occupational safety and health themes. - In the EWC we get an annual report of the situation of the Group, the countries and the significant elements. - General we go there on forward through the investment in this theme, the daily monitoring and highlighting the seriousness of this theme. - However, it remains difficult to convince the management that work to lower pressure in favor of the workers and their safety. The economic interests do not give way to safety, The choice of employees who want to highlight the management sometimes only through agreements. - GDFSUEZ has the commitment that its Board of Directors the annual report also discusses and that they also follow the statistics of accidents.
