PROFILE Nishant is Managing Partner of M/s Nishant Nayan & Associates, a leading corporate advisory firm headquartered in New Delhi, India. Besides being a fellow member of the Institute of Company Secretaries of India (ICSI- NIRC), he is a law graduate from University of Delhi. Nishant has rich experience at senior management level in handling Secretarial, Legal & Corporate Affairs. Prior to venturing into entrepreneurial journey, he was associated with leading companies like ICRA, Feedback Infrastructure, K.K. Modi Group & Select Group (formerly known as SITA World Travel). Nishant is actively involved in ICSI-NIRC programs and has always been on the forefront to raise concerns relating to professional interest of the members and the students. He was Convener of MSOP Committee of NIRC in 2012 and a member of Corporate Benevolence Committee of NIRC in 2011. Nishant is widely-travelled and has keen interest in social work.

ACTION PLAN TECHNOLOGICAL INITIATIVES To start oral coaching for students and training for members through satellite classes using ICT for providing best quality uniform education and training to its scattered students and members at minimum cost. To establish video-conferencing links to its council room and chapter offices for better communication, participative discussion, saving travel time and cost of representative & other stakeholders. To provide online grievance redresseal mechanism to members and students for various services with time bound resolution on its web portal. To Create complete Wi-Fi at NIRC and chapters premises to have easy web access to staff, students and visitors. To promote extensive use of social media, creating chatting platform for members and students on NIRC portal for discussion and deliberation on professional issues, and to communicate NIRC policies, programs, initiatives effectively through these forum.

Action is the foundational key to all success.

ACTION PLAN INITITIATIVES FOR STUDENTS To change the face of oral coaching by providing satellite classes using ICT for providing cost effective, standardized, and uniform teaching across NIRC centers. This will also help to restrict students migration for study purpose to big cities and metros from chapters. To work in co-ordination with head office to make syllabus industry oriented and the exam papers to be subjective at executive and professional level to evaluate properly the knowledge depth. To give focus on 3Cs: Competence, Confidence and Communication to make students industry-ready during the course. To ensure that MSOP session to be delivered by known faces from the industry, regulators and subject experts with expertise in respective areas and council member s role to be limited to facilitating and organising the program. To ensure that the examination centers in smaller cities to be reputed school/college with adequate amenities available for examinees keeping the brand of ICSI-NIRC in mind. To review ICSI-NIRC training regulations to accommodate more companies, firms, NGO etc. so that both quality & quantity training needs of increasing students can be addressed.

PLACEMENT Placement cell at regional & head office to be adequately staffed and their role & responsibilities to be clearly defined in consultation with placement committee of ICSI. Ensuring that the cell puts its best effort: ACTION PLAN INITIATIVES FOR MEMBERS IN EMPLOYMENT -to have database from MCA/Industry in order to track the movement of CS in employment, and vacancies in companies. -to initiate regulator s intervention against the companies evading the appointment of company secretaries required under Companies Act 2013. -in promoting persuasive marketing and tie-up across industries in domestic and overseas market highlighting the role and benefits of employing Company Secretary. The Placement Portal to be made user-friendly and facilitate interaction with Corporates, HR consultants, and CS Members. A dedicated division in placement cell to focus on social media to reach out to HR Consultants, Corporates, and Members for identifying employment opportunities and promoting the segment wise role of a Company Secretary.

MEMBERS IN PRACTICE NIRC to take steps ACTION PLAN -for creating expert group in order to identify scope for secretarial services in the ministries of central & state government, -to bring regulatory recognition or approval if necessary from concerned ministry, -to prepare guidance note and training module on such identified areas, -to build bridge among the government, industry & ICSI members. -for strengthening its relationship with political and executive leadership of MCA and other ministries to bring more recognition for members. - for facilitating practicing members entry, training and grooming as expert in all quasijudicial authorities like NGT, TRAI, NTT,CAT,.NCW, & Labour Laws Authority etc. NIRC to conduct special training programs for practicing members to enhance their representation skills, opinion writing and drafting skills so that they could deliver excellence in representation and legal advisory services in NCLT and other quasijudicial authorities.

MEMBERS IN PRACTICE ACTION PLAN NIRC to facilitate smooth, and regulated market for every practicing professional and promote fair opportunity to every member of ICSI-NIRC. ICSI-NIRC-CCGRT to build expert group on various laws and create a standard framework for industry specific Secretarial Audit.. Creation of Industry wise Expert Group Assistance cell to help members, industry and ministry to provide guidance, and opinion on secretarial audit and other corporate laws matter. ICSI-NIRC Peer Review Committee and Disciplinary Board to be strengthened for improving services quality rendered by practicing members. Practicing Firms to be graded on the basis of benchmark set by Peer Review Committee. These steps will enhance our professional standing in the eyes of industry as well as regulator. ICSI-NIRC to tie-up with more banks and financial institutions to facilitate business loans for start up ventures of members at concessional interest rate.

ACTION PLAN INITIATIVES FOR MEMBERS TRAINING /DEVELOPMENT Members can be classified into Fresher Professional (0-5 yrs.), Middle Level Professionals (5-12 yrs.), Senior Level Professional (12 yrs. and more) for training needs. Mandatory Training will be provided by ICSI-NIRC to these segments keeping their career development needs in mind at minimum cost. Senior Level Professional (12 yrs. and more) to be trained for the role of Independent Director, Resident Director, WTD, Women Director(Female Member) through extensive programs on leadership, strategic thinking, management skills, Board Room Proceedings etc. To review PCH parameters in consultation with ICSI headquarter and to give members option to be assessed through Online Objective Examination on current topics or by tie-up with other sister professional bodies for program credit hours so that members at remote location could also be benefited of continuous professional skills enhancement programs. To encourage Companies, members to frame & adopt Sexual Harassment (SH) Policy, Late Working Hour policy & constitute SH Committee, keeping in mind safety and security of female employees of the organization. To develop and provide physical infrastructure at NIRC and its chapters for member discussion, reading room facility, social gathering etc to promote self development. & the feeling of togetherness. In the long run, physical infrastructure like CCGRT / Center for Excellence to be created in Northern Region to cater to the needs of members training and continuous professional development and other allied activities.

There is strength in Numbers, yes but even more so in Collective Good Will.

ACTION PLAN INITIATIVES WITH NUMERIC STRENGTH OF MEMBERS AND STUDENT To improve financials of NIRC with focus on capturing at least 60% market share of oral coaching space of students by providing best faculty, cost effective education, & bringing technology to reach out scattered students in uniform way. To tie up with laptops/electronic gadgets making company for providing ICSI branded laptops /computers etc at concessional rate to professional level students and members of ICSI by providing bulk dealing option to these corporates. To tie-up with more banks and financial institutions to facilitate business loans for start up ventures of members at concessional interest rate. To explore the possibility of CUG facility with leading mobile service provider to bring closeness among members and students at concessional tariff under scheme. To explore tie-up with health insurance company or through TPA to provide health insurance cover for students and members.

Communication leads to Understanding, Intimacy & Mutual Valuing.

ACTION PLAN COMMUNICATION INITIATIVES WITH STAKEHOLDERS To hold quarterly meet with members to discuss issues/challenges before profession (devote whole half day of any monthly program). To hold proper consultative process in major decision of the NIRC with various stakeholders and decisions of council meetings to be shared with respective stakeholders. Council representatives to fix time and schedule to meet with proper intimation to member or students at least one day in month to take feedback or problems concerning their committee function at NIRC. NIRC to publish committee targets, quarterly results, variations, causes of variations on quarterly basis in newsletter or on portal to build confidence about their functioning. NIRC to frame performance measurement parameters to evaluate regional council representatives contributions in functioning and enhancing role of profession outside institutional activities. NIRC to take technology initiatives for involving members from small town and chapters to participate in AGM and other members events so that they feel connected to the profession. NIRC to ensure equal democratic rights and opportunities for every member.
