Service Contract Act: The Service Contract Act (SCA) is applicable to this schedule contract and the labor categories may be subject to wage determinations (WD) based upon the work performed. 28. Overseas Price Differential: Overseas allowances will be negotiated on an individual task order basis. This should be proposed in accordance with the U.S. Department of State Standardized Regulation (http://aoprals.state.gov) as an ODC non schedule item and should be identified as such in our task order proposals. (You do not pay IFF on the ODCs.) 29. Disaster Recovery: State and local government entities may purchase a variety of products and services to facilitate recovery from a major disaster, terrorism, or nuclear, biological, chemical, or radiological attack. For reporting purposes this should be identified after the SIN i.e., 874-1RC. 30. Liability for Injury or Damage: Northrop Grumman shall not be liable for any injury to Government personnel or damage to Government property arising from the use of equipment maintained by Northrop Grumman, unless such injury or damage is due to the fault or negligence of Northrop Grumman. 31. Contractor Tasks/Special Requirements (C-FSS-370) (NOV 2003) a. Security Clearances: Northrop Grumman may be required to obtain/possess varying levels of security clearances in the performance of orders issued under this contract. All costs associated with obtaining/possessing such security clearances should be factored into the price offered under the specific task order. b. Travel: Northrop Grumman may be required to travel in performance of orders issued under this contract. Allowable travel and per diem charges are governed by Pub.L. 99-234 and FAR Part 31, and are reimbursable by the ordering agency or can be priced as a fixed price item on orders placed under the Multiple Award Schedule. Travel in performance of a task order will only be reimbursable to the extent authorized by the ordering agency. The Industrial Funding Fee does NOT apply to travel and per diem charges. c. Certifications, Licenses and Accreditations: As a commercial practice, Northrop Grumman may be required to obtain/possess any variety of certifications, licenses and accreditations for specific FSC/service code classifications offered. All costs associated with obtaining/possessing such certifications, licenses, and accreditations should be factored into the price offered under the specific task order. d. Insurance: As a commercial practice, Northrop Grumman may be required to obtain/possess insurance coverage for specific FSC/service code classifications offered. All costs associated with obtaining/possessing such insurance should be factored into the price offered under the specific task order. e. Personnel: Northrop Grumman may be required to provide key personnel, resumes, or skill category descriptions in the performance of orders issued under this contract. Ordering activities may require agency approval of additions or replacements to key personnel. f. Organizational Conflicts of Interest: Where there may be an organizational conflict of interest as determined by the ordering agency, Northrop Grumman s participation in such order may be restricted in accordance with FAR Part 9.5. g. Documentation/Standards: Northrop Grumman may be requested to provide products or services in accordance with rules, regulations, OMB orders, standards, and documentation as specified by the agency s order. h. Data/Deliverable Requirements: Any required data/deliverables at the ordering level will be as specified or negotiated in the agency s order. i. Government-Furnished Property: As specified by the agency s order, the Government may provide property, equipment, materials or resources as necessary. j. Overtime: For professional services, the labor rates in the Schedule should not vary by virtue Northrop Grumman having worked overtime. For services applicable to the Service Contract Act (as identified in the Schedule), the labor rates in the Schedule will vary as governed by labor laws (usually assessed at time and a half of the labor rate). 32. Purchase of Other Direct Costs: Other Direct Costs (ODCs) are items not on a Federal Supply Schedule but are required in performance of a task order. See page 18 for a list of Northrop Grumman ODCs. 33. Blanket Purchase Agreements (BPAs): The use of BPAs under any schedule contract to fill repetitive needs for supplies or services is allowable. BPAs may be established with one or more schedule contractors. The number of BPAs to be established is within the discretion of the ordering activity establishing the BPA and should be based on a strategy that is expected to maximize the effectiveness of the BPA(s). Ordering activities shall follow FAR 8.405-3 when creating and implementing BPA(s). 34. Contractor Team Arrangements (CTAs): Contractors participating in Contractor Team Arrangements must abide by all terms and conditions of their respective contracts. This includes compliance with clause 552.238-74, Industrial Funding Fee and Sales Reporting, i.e., each contractor (team member) must report sales and remit the IFF for all products and services provided under its individual contract. 2.0 OVERVIEW OF NORTHROP GRUMMMAN IS MOBIS OFFERINGS Northrop Grumman Systems Corporation acting through Northrop Grumman Information Systems (Northrop Grumman IS) is a multinational corporation with headquarters in McLean, Virginia. Northrop Grumman offers a full range of professional services to all agencies and departments, both defense and civil, of the Federal Government. Our MOBIS services include but are not limited to: business process redesign; strategic and business planning; benchmarking; ISO 9001 and ISO 14000; activity-based costing; financial management analysis related to an improvement effort; statistical process control; vulnerability and threat assessments; organizational assessments and evaluations; process improvements; process modeling and simulation; performance measurement; organizational design; change management; development of leadership/management skills; privatization analyses and assessments; project management support; and a wide range of management and organizational training modules complemented with customized training services. Service offerings are organized into the following Special Item Number (SIN) functional areas: SIN 874-1 Integrated Consulting Services SIN 874-4 Training Services: Instructor Led Training, Web Based Training and Education Courses, Course Development and Test Administration, Learning Management, Internships SIN 874-7 Integrated Business Program Support Services SIN 874-1 Integrated Consulting Services Northrop Grumman shall provide expert advice and assistance in support of an agency s mission-oriented business functions. Services covered by this SIN include: Management or strategy consulting, including research, evaluations, studies, analyses, scenarios/simulations, reports, business policy and regulation development assistance, strategy formulation, and expert witness services Facilitation and related decision support services Survey services, using a variety of methodologies, including survey planning, design, and development; survey administration; data validation and analysis; reporting, and stakeholder briefings Advisory and assistance services in accordance with FAR 37.203 NOTE: Consulting services where the preponderance of work is specifically covered under other GSA Schedules are not permitted under this SIN; please refer to the Scope of Work in Part I of the MOBIS solicitation for further information. SIN 874-4 Training Services: Instructor Led Training, Web Based Training and Education Courses, Course Development and Test Administration, Learning Management, Internships Proposed courses shall be commercially-available off-the-shelf training and/or educational courses that are delivered via an Instructor-led (i.e. traditional classroom setting or conference/seminar) and/or web-based (i.e. Internet/Intranet, software packages and computer applications) system. Courses shall have a defined course title, length of time (i.e. hours, days, semesters, etc.), description of material to be taught (i.e. GSA Schedule Contract GS-10F-104AA 8

syllabi, table of contents, etc.), and whether materials are included in the price. (i.e. books, pamphlets, software, etc.). Support materials not included may be offered under SIN 874-5, C874-9. Proposed professional services shall be in support of planning, creating, and/or executing testing and test administration, learning management, internship, or development of new courses or subject matter delivered via an instructor-led (i.e. traditional classroom setting or conference/seminar) and/or web-based (i.e. Internet/Intranet, software packages and computer applications) system. Proposed customization services are the result of planning, creating, and/or executing a proprietary format and may be priced as a flat rate or as Labor/hours using professional labor categories (i.e. Subject Matter Experts (SMEs), Program Managers, Project Managers, Research Assistant, Technical Specialist, etc.), subject matter(s), Systems requirements and methodology(ies) to be used should be stated. Acquisition training will be accomplished under SIN 874-8. Functional industry-specific training covered under other schedules will not be accomplished under this SIN. A customized course(s) shall include labor categories (i.e. Subject Matter Experts (SMEs), Program Managers, Project Managers, Research Assistant, Technical Specialist, etc.), subject matter(s), and methodology (ies) to be used. SIN 874-7 Integrated Business Program Support Services Northrop Grumman shall provide services to assist agencies in managing their mission-oriented business projects or programs and achieving mission performance goals. Services covered by this SIN include: All phases of program or project management, from planning to closeout Operational/administrative business support services in order to carry out program objectives NOTE 1: Program support services where the preponderance of work is specifically covered under other GSA Schedules are not permitted under this SIN; please refer to the Scope of Work in Part I of the MOBIS solicitation for further information. 4.0 NORTHROP GRUMMAN PRICING SPECIFICS 1. The prices indicated are valid through MOBIS Contract Year 5 ending February 20, 2018. Awarded labor category rates are in support of SINs 874-1, 874-4, 874-7, and are valid for all sites. 2. The Government s order shall contain a detailed description of the specific effort and the duration of service. 3. Northrop Grumman established corporate policy with respect to travel expenses is to charge the Government for the Federal Travel Regulations (FTR) lodging per diem amount specified for the destination city plus applicable loadings. Meals and incidental expenses are charged at the FTR per diem rate plus applicable loadings. All requested travel between Government sites shall be billable. Other Direct Costs (ODCs) will be billed at cost plus applicable indirect loadings. 4. For Government requirements for which Northrop Grumman personnel are temporarily supporting the Government where (1) the Government provides all required facilities and equipment at a Government location and (2), the effort is or is anticipated to be performed by persons assigned on a long term (not less than 90 consecutive calendar days) full-time basis. Should the Government requires on-site support, Northrop Grumman will provide such support provided that the facilities and equipment made available to Northrop Grumman on-site personnel are at least equal to the facilities and equipment that the Government provides to its own personnel of comparable experience, ability, and position who are performing similar work. 5. Service is subject to the availability of qualified personnel. Should personnel performing a particular service become unavailable for continuing performance, Northrop Grumman will provide a suitable substitute, if available. Performance will be subject to personal time off, in accordance with Northrop Grumman Policy, on a mutually agreeable schedule. 6. All services will be performed during the agency s normal prime shift working hours, if services are performed at the government site. For services performed at a Northrop Grumman (contractor) facility, the normal working hours of the Northrop Grumman facility will be observed. Labor rates are based on an eight-hour workday, Monday through Friday, excluding government holidays, and a 40-hour workweek. 7. No tax, including but not limited to income tax, value-added tax, business tax, withholding tax, turnover tax, or employee tax equalization expense has been incorporated in the rates. Should Northrop Grumman and/or its employees are subject to any incremental foreign jurisdiction taxes, Northrop Grumman shall be entitled to an equitable adjustment to the affected delivery order(s). 8. Other Direct Costs - Other Direct Costs (ODCs) that may be incurred in the performance of task or delivery orders are shown below. Applicable ODCs will be determined and estimated at the time of task or delivery order proposal. ODCs, including travel, will be billed in accordance with Northrop Grumman policies and government-approved business systems. ODCs, required for the performance of services, will be reimbursed by the ordering activity at actual cost, inclusive of Northrop Grumman applicable burdens. Element Material/Procurement Travel Reproduction and Photographic Services Computing Services (Information Technology Solutions Service Center) Overtime Estimating Basis Consists of purchases made through the Northrop Grumman purchasing department for commercial-off-the-shelf (COTS) products and services from competitive vendor sources. Procurement of COTS products and services includes purchased parts, assemblies and subassemblies, fabrication and manufacturing, raw material and labor services for professional, technical and administrative support (other than consultants). Materials, Procurements and Subcontracts (MPS) burden is applied. Northrop Grumman may be required to travel in performance of orders issued under this contract. Allowable travel and per diem charges are governed by Pub. L. 99-234 and FAR Part 31, and are reimbursable by the ordering activity and will include any applicable Northrop Grumman indirect burdens or can be priced as a fixed price item on orders placed under the multiple award schedule. Travel in performance of a task order will only be reimbursable to the extent authorized by the ordering activity. Consists of reproduction of reports, documents and drawings and also includes photographic services (still photo). Publication cost for technical services is based on estimated number of pages and copies required for each document. Photographic technical services are based on estimated number of photographic hours, film footage, prints, negatives, etc. Supplied to projects through the Northrop Grumman IT Solutions service center. The service center provides personal computers and application software, special purpose equipment (workstations, specialized printers, and scanners), local (LAN) and wide (WAN) area network, email, and telecommunications (Telecom) to the personnel supporting the project. The service center maintains separate expenses that are allocated for computers, LAN, WAN, email, and Telecom to the personnel supporting the project. These charges are billed based on 24 billing periods per year. Computing expenses do not include operation expendables, e.g., diskettes, tapes, forms, paper or printer cartridges. A premium salary compensation for time worked by a non-exempt employee in excess of 40-hours during a week and in conformance with the FLSA. The premium portion of an employee s pay is an ODC expense charged direct to contracts. Overtime premium is computed as follows: Time and a Half is for hours over 40 not to exceed 12 in any one day. Double Time is for hours over 40, exceeding 12 in any one day, and/or all hours over 40 worked on Sunday. Triple Time is for hours worked on one of six Information Systemsdesignated nationally recognized holidays, of which 1/3 is an indirect expense and not a direct charge, 1/3 is charged direct, and 1/3 is an ODC expense. Element Work Performed OCONUS Zero Cost Pools Pricing Services Certain State and Local Taxes Estimating Basis In accordance with the U.S. Department of State guidelines, Northrop Grumman provides employees with Danger and/or Hardship pay when they are traveling to certain designated countries. This additional compensation is provided to offset employees for the additional risk of traveling to and working in an environment more dangerous than their standard work location. Danger or Hardship pay will be handled on a task order basis, if applicable. These costs are not included in Northrop Grumman IS IT Schedule labor rates. Danger and/or Hardship pay is an ODC expense charged direct to contracts. For more information, please see the Department of State s website http://www.state.gov. Additional ODCs may include but are not limited to the following: Documentation (VISAs, Passports, etc.) Relocation & Repatriation Defense Base Act (DBA) Insurance Cost of Living Allowance COLA Housing Overseas Living Allowance HOLA Dependent Education Allowance Shift and On-Call Premium Zero cost pools (service centers) are departments or other functional units which perform specific technology and/or administrative services primarily for the benefit of other units within a reporting unit. Forward pricing rates have been developed for each zero cost pools and are included in each Division Indirect Expense FPRP, as applicable. Includes the assembly, computation and validation of task order proposals. These professional services are for the development of financial estimates and forecasts used in engineering changes, task orders, estimates-at-completion, budgetary estimates, rough-order-of-magnitudes (ROMs), and project baselines. These services are part of the centralized Shared Services to the Northrop Grumman business units. The Pricing Service Center costs are accumulated into a separate pool and allocated to the users on an hourly basis. In accordance with the provisions set forth in FAR Subpart 31.205-41, certain state and local taxes are allowable and will be invoiced on a task-order basis where lawfully imposed. Applicable taxes may be identified as an ODC expense; or, for the States of Arizona, Delaware, Hawaii, New Mexico and Washington, these taxes may appear as a line-item on the face of the invoice. 5.0 SUGGESTED BPA & CTA FORMAT (Insert Customer Name) BEST VALUE BLANKET PURCHASE AGREEMENT FEDERAL SUPPLY SCHEDULE In the spirit of the Federal Acquisition Streamlining Act (ordering activity) and (contractor) enter into a cooperative agreement to further reduce the administrative costs of acquiring commercial items from the General Services Administration (GSA) Federal Supply Schedule Contract(s). Federal Supply Schedule contract BPAs eliminate contracting and open market costs such as: search for sources; the development of technical documents, solicitations and the evaluation of offers. All orders placed against this BPA are subject to the terms and conditions of the contract, except as noted below: (2) Delivery: MODEL NUMBER/PART NUMBER *SPECIAL BPA DISCOUNT/PRICE DESTINATION DELIVERY SCHEDULE/DATES (3) The ordering activity estimates, but does not guarantee, that the volume of purchases through this agreement will be. (4) This BPA does not obligate any funds. (5) This BPA expires on or at the end of the contract period, whichever is earlier. (6) The following office(s) is hereby authorized to place orders under this BPA: OFFICE POINT OF CONTACT (7) Orders will be placed against this BPA via Electronic Data Interchange (EDI), FAX, or paper. (8) Unless otherwise agreed to, all deliveries under this BPA must be accompanied by delivery tickets or sales slips that must contain the following information as a minimum: (a) Name of Contractor; (b) Contract Number; (c) BPA Number; (d) Model Number or National Stock Number (NSN); (e) Purchase Order Number; (f) Date of Purchase; (g) Quantity, Unit Price, and Extension of Each Item (unit prices and extensions need not be shown when incompatible with the use of automated systems; provided, that the invoice is itemized to show the information); (h) Date of Shipment. (9) The requirements of a proper invoice are specified in the Federal Supply Schedule contract. Invoices will be submitted to the address specified within the purchase order transmission issued against this BPA. (10) The terms and conditions included in this BPA apply to all purchases made pursuant to it. GUIDELINES FOR USING CONTRACTOR TEAM ARRANGEMENTS (CTAs) Federal Supply Schedule Contractors may use Contractor Team Arrangements (see FAR 9.6) to provide solutions when responding to a customer agency requirements. These Team Arrangements can be included under a Blanket Purchase Agreement (BPA). BPAs are permitted under all Federal Supply Schedule contracts. Orders under a Team Arrangement are subject to terms and conditions of the Federal Supply Schedule Contract. Participation in a Team Arrangement is limited to Federal Supply Schedule Contractors. Customers should refer to FAR 9.6 for specific details on Team Arrangements. Here is a general outline on how it works: The customer identifies their requirements. Federal Supply Schedule Contractors may individually meet the customer s needs, or Federal Supply Schedule Contractors may individually submit a Schedules Team Solution to meet the customer s requirement.
