National Radio Advertising Sanoma Media Finland sells radio airtime on Radio Suomipop, Radio Rock, Radio Aalto, Loop, Helmiradio and HitMix. You can buy national radio airtime in three different ways: Radio Velho package Channel-specific spot rates (Audioplanner) Channel package with spot rates (Audioplanner) Radio Velho With Radio Velho package you can buy contacts in predefined target groups. Airtime is floating throughout the campaign period. The Radio Velho campaigns are planned with Nelonen Media s X4 Planning System. You can determine the weightings on weeks and spot lengths. In addition, it is possible to buy specific advertising blocks and strengthen or leave out certain days of the week by paying a surcharge. Radio Velho Static package has predetermined shares on channels based on natural listening. The minimum purchase volume is 10 TRPs per day. Radio Velho Dynamic allows you to choose 3 6 channels and adjust the channel shares. The minimum purchase volumes per channel per day of Radio Velho Dynamic are: Radio Suomipop 5.0 TRP, Radio Rock 3.0 TRP, Radio Aalto 1.5 TRP, Loop 0.6 TRP, Helmiradio 0.3 TRP and HitMix 0.1 TRP. With Radio Velho Channel Buying you can choose a specific channel. The minimum purchase volumes per channel per day are the same as with Radio Velho Dynamic. 1
The contact guarantee is granted in the target audience for those Radio Velho campaigns that have a minimum of 200 TRPs and are booked at least for 3 days. Radio Velho campaigns have an overall contact guarantee, no channel-specific guarantee. Audioplanner Channel-Specific Spot Rates All our six radio channels can be bought alone or together as combinations of channels using channel-specific spot rates, i.e. fixed block buying in the Audioplanner planning software. In fixed block buying, the block in which the advertisement is transmitted is specified. Each block is three hours long, excluding the night block, which lasts for six hours. The price of each block is determined according to the number of listeners and capacity. There is no minimum purchase or restrictions on campaign durations in block buying. With block buying you can specify the preferred position for your spot in the block and the break for a 20 % surcharge. The surcharge for a tail spot is 10 %. Channel Package with Spot Rates Sanoma Media Finland radio airtime can be bought through Audioplanner in the form of predefined channel packages. There are three national packages available: NM Total, NM Women SAH and NM Men SRH. The spot lists, number of transmissions and the spots are the same for all channels in a package. The price for spots that are shorter or longer than this can be calculated by multiplying the 30-second rate by the spot-length factors given below. Radio Terms and Conditions of Sales Airtime Sales Radio airtime is sold equitably to all advertisers, media agencies, advertising agencies and other advertising service companies (hereafter Advertiser ) who undertake to comply with the general requirements established concerning radio advertising and with the instructions provided by Sanoma Media Finland. These Terms and Conditions of Sales shall apply when the Advertiser purchases airtime on the radio channels of Sanoma Media Finland. The advertiser and the advertised product or service must be specified when airtime is booked. A customer who has purchased airtime shall not have the right to sell it on to a third party. Sanoma Media Finland reserves the right to reschedule booked airtimes or cancel airtime bookings when e.g. a programme is cancelled or rescheduled or for some other compelling reason without liability for damage. Advertisers shall be immediately informed of changes that are relevant to the campaign. At the same time, Sanoma Media Finland shall endeavour to provide a new, corresponding time to replace the rescheduled or cancelled booking. Rates and Discounts Sanoma Media Finland reserves the right to amend the rates published. The latest rates are found on X4 Extranet. Rate increases shall also apply to airtime bookings that have already been made, unless Sanoma Media Finland has given the Advertiser a different binding quotation. In such cases, the Advertiser shall have the right to cancel or shorten its airtime booking fully or in part free of charge within six (6) working days of the date on which the Advertiser is informed of the rate increase in writing. Rate increases due to legislation or measures taken by the authorities shall also apply to airtime bookings that have already been made and quotations that have already been given. Where it has been necessary to reschedule the transmission time of an advertisement to something other than the booked time for reasons beyond the control of Sanoma Media Finland and the Advertiser has approved of rescheduling, the Advertiser shall be invoiced in accordance with the rate of the new transmission time. Advertising and media agencies approved by Sanoma Media Finland shall be granted a 15 % advertising agency credit on airtime rates. Sanoma Media Finland requires that a media agency receiving the advertising agency credit observes these Terms and Conditions of Sales, meets the booking and payment deadlines, provides transmission instructions, assumes full credit loss liability (acts as a del credere agency) for advertisements for which it acts as an agent and monitors and ensures that the content of such advertisements complies with the legislation, public decency, advertising self-regulation bodies and other requirements. A media agency receiving advertising agency credit shall manage the planning, booking and monitoring of its client s campaigns while utilising research services produced for professional media buying. An Advertiser who purchases a campaign directly from Sanoma Media Finland and pays for it according to the terms of payment shall receive a 12 % advance invoicing discount on the gross rate of the campaign. A 24 % VAT shall be added to prices. Invoicing and Terms of Payment A campaign is invoiced in weekly periods (Mon Sun) on the basis of the actual transmission time of the advertisement, however so that the minimum charge is the rate payable for the confirmed airtime booking. Terms of payment: media agencies 14 days -1 % and 30 days net and direct customers 14 days net. If a campaign is invoiced in advance, the term of payment is 7 days net. Amounts overdue shall be subject to an 4
annual penalty interest of 10 percent and possible collection charges. Any complaints concerning invoicing must be submitted in writing within seven (7) working days of the date on which the invoice was sent. In the case of public holidays or when there is a high demand for airtime, Sanoma Media Finland reserves the right to shorten the standard confirmation times. Campaign Confirmation A campaign entity must be confirmed electronically (OVT, X4 Extranet) no later than by 23:00 on the last valid date specified in the quotation. If you need assistance with the confirmation, please contact customer service by 15:00. Amendments to a Campaign Quotation Radio Velho With Radio Velho package it is possible to change the budget of a campaign quotation. If any other amendments need to be made, e.g. change the spot length, the campaign must be re-booked. In case of amendments the latest available National Radio Survey data and rates must be used. Audioplanner If any amendments need to be made to a campaign quotation, the campaign must be re-booked. The latest available National Radio Survey data and rates must be used. Amendments to a Confirmed Campaign Radio Velho With Radio Velho it is possible to increase the budget of a confirmed campaign. The new booking is automatically confirmed. No additional budget increase can be made after the campaign commencement date. In a case of any other amendments, the campaign must be re-booked with latest available National Radio Survey data and rates. The confirmed budget must remain the same. Audioplanner If you wish to make any changes to a confirmed campaign, the campaign must be re-booked. The latest available National Radio Survey data and rates must be used. The original, confirmed budget must not be affected. If the spot length is decreased, more transmissions may be purchased to meet the original budget. 5
However, additional transmissions may not be purchased during sold out times, in which case the original campaign budget shall be invoiced from the customer. Cancellation of a Confirmed Campaign In the event that the Advertiser is, due to a force majeure, forced to cancel or postpone an advertising campaign or a part thereof that has already been confirmed, Sanoma Media Finland shall collect the following cancellation charges calculated from the net price of the cancelled transmissions. Cancellation/Cancellation Charge 8 days or more prior to the campaign commencement date: 25 % 7 days or less prior to the campaign commencement date: 100 % Sponsorship Campaigns and Promotions If a campaign/sponsorship is cancelled at least 31 days in advance, Sanoma Media Finland shall invoice 50 % of the price of the sponsorship. If cancellation is done 30 days or less prior to the campaign commencement date, Sanoma Media Finland shall invoice 100 % of the price of the sponsorship. Cancellation charges shall be calculated on the basis of the premiere transmission of the campaign/sponsorship. Only one cancellation percentage rate shall apply to each campaign. Disclosure of Campaign Materials The Advertiser may confidentially disclose its campaign materials to a third party in order to develop its own business operations. This campaign data may not be copied, saved to a databank maintained by a third party or otherwise used for commercial purposes. Advertisement Content and Advertisement Copy Advertisement content must comply with the instructions given by Sanoma Media Finland as well as the requirements set out in legislation, regulations, instructions imposed by the authorities and the ICC International Code of Advertising Practice. Advertisements must be produced with discretion and good taste. No advertisement should be such as to evoke negative public attitudes towards advertising. Advertisements should not contain statements or visual presentations which seek to denigrate or might denigrate a competitor, competing product or other business, profession or entity. The content of advertisements addressed to children must be carefully considered, taking into consideration that they appeal to children as product users or influence children with their example. Advertisements for medicinal products must always be submitted for preliminary inspection to the Inspection Board of Pharma Industry Finland. It is recommended that advertisements for medicinal products be submitted for inspection already at the scripting stage. Products and services which may not be advertised: Hard liqueurs (more than 22 %) Tobacco products Medicinal products and medical treatments available only on prescription 6
Products and services with restricted advertising: Products classified as unsuitable for children under 16 may only be advertised after 21:00. Mild alcoholic beverages may only be advertised after 22:00. Products classified as unsuitable for children under 18 may only be advertised after 23:00. Advertisements must be clearly distinguishable from actual programmes both technically and in terms of content and form. The advertisement copy must meet the technical requirements set by Sanoma Media Finland. Sanoma Media Finland shall have the right to refuse, without liability for damage, the airing of advertisements that do not meet the above requirements. Sanoma Media Finland shall not broadcast advertisements on radio channels that use or imitate the voices of its hosts. Advertisement materials are sent to Sanoma Media Finland at the Advertiser s own risk. In terms of advertisements that require a statutory informative section, Sanoma Media Finland grants a maximum of 15 seconds of time for the informative section free of charge. The actual advertising spot must be longer than the free part. The informative section must be clearly placed at the end of the spot and it is not transmitted as a separate spot. Liability for Advertisement Content The Advertiser shall be liable for ensuring that an advertisement that has been ordered by the Advertiser or an advertising agency used by the Advertiser and that has been submitted to Sanoma Media Finland for transmission does not violate existing laws, other marketing regulations or regulations imposed by the authorities or an advertising self-regulation body, or offend public decency. The Advertiser shall also be responsible for obtaining ownership and/or user rights to the material and for ensuring that the advertisement can be transmitted without violating any copyright, patent or other intellectual property right or any other right. The Advertiser shall cover all costs arising from obtaining or exercising the above rights (including fees payable to the Finnish Composers Copyright Society Teosto). The Advertiser shall be liable for any damage resulting to a third party from a violation or non-existence of copyright, patent or other intellectual property right or any other right, or any other related claim. Sanoma Media Finland shall not be liable to the Advertiser or a third party for any costs or damages incurred by the Advertiser or a third party due to a violation of the above terms and conditions. 7
Sanoma Media Finland s Right to Use an Advertisement Unless otherwise stated in writing by the Advertiser no later than at the time of submitting the advertisement material to Sanoma Media Finland, Sanoma Media Finland shall, after the premiere date, have the right to transfer the advertisement onto DVD or other storage platform and use it in presentation, training and research compilations and on its own internet and extranet sites. Sanoma Media Finland shall not have the right to use the advertisement for commercial purposes in other media. Grounds for Release In the event that the transmission of an advertisement is delayed or cancelled due to a strike, labour dispute or other similar, unforeseeable reason beyond the parties control, Sanoma Media Finland shall have the right to correspondingly postpone the transmission time until the obstacle is removed, and the Advertiser shall not have the right to receive compensation from Sanoma Media Finland for the postponement. In the event that the obstacle technically or financially impedes an agreed transmission unreasonably, Sanoma Media Finland and the Advertiser shall have the right to terminate their transmission agreement and neither shall have the right to claim compensation on the basis of a termination referred to in this Section. Limitation of Liability The parties shall not be liable for any indirect or consequential damages. The aforesaid limitations of liability shall however not apply in cases of wilful misconduct or gross negligence, or liability arising from the infringement of third party rights. Assignment of the Agreement and Advertising Space Sanoma Media Finland shall have right to assign the agreement regarding the transmission of an advertisement including the rights and liabilities thereunder to another company belonging to the Sanoma Group and, in the case of an asset deal or other business restructuring, to the company to whom the business under Sanoma Media Finland s agreement is transferred. The Advertiser shall not have the right to assign the agreement or booked advertising space to a third party without advance written consent from Sanoma Media Finland. Disputes Any dispute arising between Sanoma Media Finland and the Advertiser that cannot be resolved shall be settled in the Helsinki District Court. Sanoma Media Finland reserves the right to make amendments to the Terms and Conditions. 8
Radio Material Instructions Submission of Radio Advertisement Material and Transmission Instructions The advertisement copies and transmission instructions must be sent to radiotrafiikki@sanoma.com according to the following schedule: Transmission Day Deadline for Advertisement Material and Transmission Instructions Monday Thursday at 11:00 Tuesday Friday at 11:00 Wednesday Monday at 11:00 Thursday Tuesday at 11:00 Friday Wednesday at 11:00 Saturday Wednesday at 11:00 Sunday Wednesday at 11:00 Each advertising spot must be clearly named in the transmission instructions. If separate instructions are not provided, all spot versions will be transmitted in rotation. Advertisement materials or transmission instructions submitted later than the deadlines given above shall be subject to a late delivery surcharge of 250 + VAT for each delayed day per delayed advertisement. The exceptional schedules around public holidays will be announced separately and may be seen e.g. on X4 Extranet. The Advertiser may submit the advertisement to Sanoma Media Finland for preliminary inspection. During the preliminary inspection, the advertisement is approved as appropriate at the time of inspection. The transmission of an advertisement may be discontinued or forbidden later if the advertisement no longer complies with general principles or if the authorities so require. A preliminary inspection shall not limit the Advertiser s liability for advertisement content. If the advertisement material or a part thereof is not approved for transmission, the Advertiser shall be notified immediately. The Advertiser must submit a new or revised copy to Sanoma Media Finland within two (2) days of such notification. Should this not occur or should the copy not meet the requirements set for advertisement content, Sanoma Media Finland shall have the right to refrain from transmitting the advertisement entirely. However, the Advertiser shall be obliged to pay for the booked transmission time in full and shall not have the right to claim compensation for any shortening or cancellation of a transmission, if such shortening or cancellation is due to a reason specified above. Transmission Instructions and Liability for Transmission Errors The aim is to broadcast all approved advertisements at the transmission time booked. If an advertisement cannot be transmitted for a technical or other operational reason (such as a strike) or for a reason attributable to the Advertiser or an advertising agency used by the Advertiser, Sanoma Media Finland shall not be liable for any damage resulting thereof. If transmission instructions have not been received or they arrive late or are unclear or erroneous, Sanoma Media Finland shall not be liable for any transmission errors. In the case of a transmission error due to Sanoma Media Finland, the method and amount of compensation shall be agreed separately with Sanoma Media Finland. The maximum compensation shall be the provision of corresponding airtime free of charge or noninvoicing for the advertisement that was transmitted erroneously. 9
Any complaints concerning transmissions must be made in writing within five (5) days of the transmission date or the intended transmission date of the advertisement. Sanoma Media Finland reserves the right to broadcast a danger announcement on its radio channels under existing legislation. If the danger announcement is broadcast during a commercial break and an advertisement is not transmitted due to this, Sanoma Media Finland shall not be liable to compensate for the transmission. Material Requirements Radio Material can be submitted either in mp3 or wav format. Mp3 file: 44.1kHz or 48kHz normal stereo, 256 kbps or higher. Variable bitrate is not accepted. Microsoft PCM Wav: 44.1kHz or 48kHz 16-bit stereo. The material is peak-normalised in the transmission system. We recommend that the digital peak levels of audio are between -10dB 0dB. The material may not contain more than three seconds of silence. Stereo material must also be mono-compatible, i.e. it should not contain e.g. phase errors. Supla We recommend directly submitting an mp3 file, because wav material must be converted. Mp3 file: 48kHz normal stereo, 128 kbps. Variable bitrate is not accepted. The loudness must comply with the EBU R128 recommendation with the following exceptions: Integrated Loudness -21dB LUFS Maximum True Peak level -2dB Maximum Momentary Loudness -18 LUFS 10
