Sopetro and IOC have formed a strategic alliance to pursue energy projects in Nigeria and the West Africa region. Sopetro will mainly provide local content, local knowledge and local management expertise while IOC will mainly provide technical expertise, project management and engineering. The alliance will focus on introducing the IOC s newly patented Marginal Field Production Vessel (MFPV) into Nigeria. IOC s engineering team by itself and in strategic partnerships with DMAR Houston will provide engineering solutions for shallow and deep-water field developments. 2

OVERVIEW The IOC MFPV replaces conventional FPSO s (Floating Production Storage & Offloading) units. The MFPV can easily be relocated from one well to the next or from one field to the next. Enables production of marginal fields in shallow and deep water Reduces Capital Expenditure Risk Significantly 4

THE IOC Objective For The MFPV Design Enable production of marginal fields Reduce capital and operating costs for marginal fields. Supply a mobile, easy to relocate Production Unit for shallow and deep water Deliver a temporary storage and low-cost subsea tie back solution (or permanent) Assure Flexibility The MFPV offers modular design options that can be used to satisfy known and un-known conditions. Verify production capacity of field prior to investing in a + $500M-$1B FPSO and assure optimized design of such. 5

INDUSTRY DILEMMAS (Some Examples) Uncertainty in the amount of recoverable reserves High cost associated in acquiring further reservoir information High capital expenditure The various cycles which affect our oil industry have emphasized the need for detailed control of expenditure for development and production of small discoveries. (I.e., low cost solutions needed!) Very small sizes of reserves/pool to the extent of not being economically viable 6

DILEMMAS (Continued); Lack of infrastructure in the vicinity and profitable consumers. Prohibitive development costs, fiscal levies and technological constraints. Developing these fields in an economically attractive manner is often challenging, while the expected revenue streams are smaller due to the smaller reserve sizes. Low stock tank oil initially in place and therefore low reserves Long distance from existing production facilities thereby making them economically unviable to be put on stream Fields not yet considered for development because of marginal economics under the current market and fiscal conditions 7
