Introduction These rules for the Electronic Trading Site (hereinafter the Rules) define how the electronic trading site is operated by open joint-stock company Aeroflot Russian Airlines (hereinafter the Company). The Rules have been developed in accordance with the Procedure for purchasing products, goods, and services (hereinafter the Procedure) for the Company s needs. The electronic trading site of JSC Aeroflot (hereinafter the ETS) is located in the Internet at https://trade.aeroflot.ru and can be accessed from the corresponding section of the Company s official site (http://www.aeroflot.ru). ETS is intended for: o notification about purchases, provision of documentation about purchases and changes made thereto, provision of clarifications on procurement documentation and other information specified by the Rules; o acquisition of bids and commercial proposals from CONTRACTORS in accordance with the announcement posted at ETS during the procedure timeframe; o informing the CONTRACTORS that submitted bids and commercial proposals about the results of the procedures; o registering the CONTRACTORS in the purchase procedures at ETS; o notification about sales, provision of documentation about sales and changes made thereto, provision of clarification on documentation and other information. Information about changes (additions) made to these Rules is published by the ETS Administrator by mandatory posting of said changes (additions) at the ETS (at https://trade.aeroflot.ru/help/ru) in the Help Information section and by informing ETS users in the News section. All changes (additions) made by the ETS Administrator to the Rules that are not related to changes in the laws of the Russian Federation come in effect and become mandatory from the introduction date specified in the information messages (at https://trade.aeroflot.ru, in the New section). All changes (additions) made by the ETS Administrator to the Rules that are related to changes in the laws of the Russian Federation come in effect concurrently with the effective date of the changes (additions) made to the specified statutory acts. All addenda, changes, and additions to these Rules constitute their integral part. 2. Scope 2.1. These Rules cover all the procedures for purchasing products, works, and services used by the Company and conducted using the ETS. 2.2. These Rules cover all the procedures for selling inventory items conducted using the ETS. 2.3. The requirements of these Rules are mandatory for all participants of the purchasing procedures conducted at the ETS in electronic form pursuant to clause 22 of the Procedures for purchasing products, works, and services for the needs of JSC Aeroflot.
Department Page 3 of 5 3. Regulatory framework These Rules involve references to the following documents: 3.1. RI-GD-148AProcedure for purchasing products, works, and services. 3.2. RI-906-00-510C contractor manual. 4. Terms, definitions, notations, and abbreviations In these Rules, the terms, definitions, and abbreviations are used as defined in RI-GD-148A Procedure for purchasing products, works, and services and RI-906-00-510C Electronic Trading Site (ETS) contractor manual and the following terms, abbreviations, and definitions: 1) ETS Administrator is an employee of JSC Aeroflot who maintains the system and provides access to the ETS to users. 2) CUSTOMER is the initiator of purchase or sales procedures, i.e., JSC Aeroflot ; 3) Purchase is a procedure of purchasing products, works, and services for the Company s needs. 4) PERFORMER is a participant in the procedure of purchase or sales that makes bids at the ETS on behalf of the CONTRACTOR, an ETS user. 5) CONTRACTOR is any legal entity or individual, including individual entrepreneurs, that places bids at ETS in accordance with the requirements and rules set by the CUSTOMER. 6) Sale is sale of aviation engineering items, equipment, etc. 5. General provisions 5.1. Registering CONTRACTORS at ETS 5.1.1. All participants in the purchase and sales procedures conducted using the ETS must have access to (be registered at) the ETS. 5.1.2. The sequence of actions in case of independent registration of candidates for participation in ETS procedures, that act on behalf of the CONTRACTOR, is described in the ETS Contractor manual posted at the ETS in the Help section (https://trade.aeroflot.ru/help/ru). 5.1.3. Within 5 (five) working days the candidate for participation in ETS procedures receives an automatically generated e-mail message to the address specified during registration. The message contains notification about completion of the registration procedure, a login, and instructions for obtaining a password. If the scope of information submitted during the registration is insufficient, access to ETS will only be granted after the missing information is provided. 5.1.4. More than one PERFORMER may conduct ETS procedures on behalf of a CONTRACTOR registered at the ETS. To register additional users at the ETS, the CONTRACTOR must send a request (from the e-mail address indicated during the registration) to the ETS Administrator (trade@aerоflot.ru). The request must contain the following: full name of the user; e-mail address; business contact phone (if available). 5.1.5. The ETS Administrator will register the CONTRACTOR s user within 5 (five) working days and will send a message containing notification about completion of the registration procedure, a login, and instructions for obtaining a password to the PERFORMER S e-mail address.
Department Page 4 of 5 5.1.6. The ETS messages generated in the course of conducting the procedures will be sent to the CONTRACTOR S address specified during the registration. 5.1.7. Access to the ETS is managed by the ETS Administrator. All questions concerning access of the CONTRACTOR S users should be sent to the ETS Administrator (trade@aerflot.ru). 5.2. Using electronic documents at the ETS 5.2.1. To confirm the CONTRACTOR s business reputation when registering at the ETS, the CONTRACTOR is advised to submit (electronic) scanned copies of documents. 5.2.2. To change or adjust the documents that confirm the CONTRACTOR S business reputation, a message should be sent to trade@aerflot.ru requesting necessary changes, with attached electronic copies of the documents to be replaced or adjusted. 5.2.3. When participating in a purchase procedure, the CONTRACTOR shall create his application and commercial proposal (hereinafter the bid) using the ETS interface. The CONTRACTOR S activities in generating bids are described in the ETS Contractor manual (see the ETS Help section). 5.2.4. The bids generated using the ETS interface must include the electronic documents listed the in purchase documentation as attachments. The text of the bid or commercial proposal must contain references to said attachments. 5.2.5. The documents attested by the electronic signature must be submitted on the basis of a separate note that is attached to documentation and is an integral part of the purchase documentation. 5.2.6. The information contained in the CONTRACTORS bids at the ETS will be analyzed by the CUSTOMER to select winners in accordance with the purchase type. 5.2.7. The documents that cannot be submitted in electronic form shall be provided, by a CUSTOMER S request, in a way other than via the ETS. 5.3. ETS business hours and technical break 5.3.1. CONTRACTORS can place bids at the ETS in 24/7 mode with the exception of technical breaks. 5.3.2. The planned maintenance of the system and installation of system updates are conducted on working days during a technical break. A technical break is scheduled within the time period from 12:00 until 15:00. The target duration of the technical break is usually no more than one hour. In case of technical break, the corresponding information is posted at the ETS. 5.3.3. Information related to procedures being performed cannot be placed during a technical break. 5.3.4. If a technical problem occurs in ETS operations as a result of which procedures cannot be conducted for more than 1 (one) hour, a technical break is announced and the corresponding alert is posted at the ETS. 6. Procedure for organizing and performing the procedures at the ETS 6.1. Organizing and performing the purchase procedures 6.1.1. The ETS procedures related to purchasing of products and provision of services are organized in strict compliance with the Procedures for purchasing products, works, and services for the Company s needs and under the condition of complete fulfillment of its requirements.

The ETS procedures related to purchasing of products, performing of works, and providing of services have the Purchase indicator (see the Procedure type: * window on the Basic information about procedure tab). 6.1.3. The activities of the parties in conducting the purchase procedure are regulated in accordance with the concepts and rules set in the Procedure for purchasing products, works, and services for JSC Aeroflot. 6.1.4. The form in which bids shall be submitted is set by the CUSTOMER. The following options for submission of bids and commercial proposals are supported: electronic the CONTRACTOR submits a bid in electronic form executed using the ETS user interface and in accordance with the Rules; paper the CONTRACTOR submits a bid executed in accordance with the Rules; combined the CONTRACTOR chooses the form in which the bid will be submitted (electronic or paper). Bids may be submitted in electronic and paper forms and the CONTRACTOR is responsible for the adequacy of both forms. In case of discrepancies between the forms, the paper form prevails. 6.1.5. Electronic bids for the lots of the procedures conducted at the ETS may only be submitted using the ETS user interface. 6.1.6. A guide for the PERFORMER S users is posted at the ETS (the ETS contractor manual in the Help section). 6.2. Organizing and performing the procedures for selling the Company s inventory items 6.2.1. The procedures for selling inventory items are regulated in accordance with the goals and concepts of regulation of purchasing activities declared by the Company in the Procedure for purchasing products, works, and services for the Company s needs. 6.2.2. The procedures related to sales of inventory items at the ETS have the Sale indicator (see the Procedure type: * window on the Basic information about procedure tab). 6.2.3. The activities of the parties in conducting the sale procedure are organized similarly to those specified in the Procedure for purchasing products, works, and services for the Company s needs. 6.2.4. The guide for the PERFORMER S users is posted at ETS (the ETS contractor manual in the Help section).
