Introduction The NGK Spark Plug Group has set forth a Corporate Code of Conduct for putting into practice our corporate philosophy, characterized by our edict: With established trust and confidence inside and outside the Corporation, we aim to contribute to the peoples of the world by creating and putting at their disposal new values for the future. The Group also, in April 2011, established CSR Guidelines with the thought of enhancing corporate value and contributing to the sustainable development of society in accordance with our Corporate Philosophy by reviewing the NGK Spark Plug Group s economic, environmental and social activities from a global perspective. Moreover, we do not practice CSR on our own as the continuous understanding and cooperation of suppliers who provide us with materials, parts, supplies and services are absolutely indispensable. For this reason, we stipulate provisions on respecting human rights, observing laws and regulations and environmental management in basic business agreements that precede all business transactions, and have taken the necessary steps to disclose and promote Green Procurement Guidelines with which our objective is to protect the environment. We are now releasing these NGK Spark Plug Group CSR Procurement Guidelines. In line with Group procurement policies, these Guidelines summarize the categories and content of CSR we ask of suppliers and lay out the whole picture of CSR at the NGK Spark Plug Group, including how we organize our philosophy and policies. As part of current and future efforts to ensure sustainable development across the entire supply chain, we have positioned the promotion of CSR as an important element of group procurement activities, therefore I ask to you to familiarize yourself with the purport of these Guidelines and make them known and practiced within your company. I also ask you to share these Guidelines with your suppliers so that CSR fully penetrates and permeates throughout your business operations. NGK SPARK PLUG CO., LTD. To this end, we focus on strengthening cooperation with suppliers and promoting our CSR efforts throughout our supply chain system, while at the same time striving to carry out proper purchasing transactions when procuring materials and parts, based on the following guidelines: [Action Guidelines] We conduct rational transactions based on fair, transparent, and open competition. We select a supplier based on comprehensive assessment of its product quality, technology, prices, deliveries, and efforts to continuously make improvements. Aiming to become a good corporate citizen, we are engaged in business operations complying with applicable national and international laws and regulations. We ensure stable procurement of better quality products at a reasonable cost and an earlier delivery. Aiming to procure more eco-friendly products, we strive to promote our green supplier system. Aiming to have our suppliers understand our company, we strive to establish mutual trust with our suppliers. Recognizing that we and our suppliers can be good partners for each other, we strive to realize out mutual development. * The full text of the 9 CSR policies is posted on our website. 2

CSR Procurement Guidelines I Human Rights and Labor ~The NGK Spark Plug Group continues to respect the human rights of employees and treat each and every individual with importance. ~ (I-1) Prohibit forced labor Suppliers are requested to employ all employees on a voluntary basis, and not to subject anyone to forced labor. (I-2) Prohibit inhumane treatment and infringements of human rights Suppliers are requested to respect the rights of employees, and not to subject them to abuse, corporal punishment, sexual harassment, power harassment, or other forms of harsh or inhumane treatment. (I-3) Prohibit child labor Suppliers are requested not to employ children under the minimum employment age stipulated in local laws, or engage children in work that impairs their natural development. (I-4) Prohibit discrimination Suppliers are requested to base opportunities and benefits such as hiring, promotion and remuneration on rational factors such as ability, aptitude and performance, and not to discriminate between employees based on age, gender and the like. (I-5) Pay appropriate wages Suppliers are requested to pay employees the legal minimum wage, and not to reduce wages in violation of labor laws, etc. (I-6) Regulate working hours Suppliers are requested to regulate employee working hours, holidays or vacations so as not to exceed the legal ceiling. (I-7) Respect the freedom of association Suppliers are requested to respect the employees freedom of association as a means for discussing working conditions, wages and other matters between labor and management. II Occupational Health and Safety ~The NGK Spark Plug Group strives to maintain workplace safety and hygiene so that the environments are agreeable to employees. ~ (II-1) Take safety measures with equipment and instruments Suppliers are requested to evaluate risks associated with equipment and instruments, and to take appropriate safety measures and conduct inspections and maintenance therewith. (II-2) Promote safe activities in the workplace Suppliers are requested to evaluate the potential risks of accidents and health hazards in the workplace, and to ensure safety by means of appropriate designs, technologies and management. 3

(II-3) Promote hygiene in the workplace Suppliers are requested to grasp workplace conditions in terms of biological and chemical hazards, noise, and odors, which are harmful to health, and to take appropriate measures against such events. (II-4) Take appropriate measures against occupational injuries and illnesses Suppliers are requested to grasp the situation of occupational injuries and illnesses in the workplace, and to provide appropriate measures. (II-5) Properly manage disasters and accidents Suppliers are requested to prepare emergency response measures for possible disasters and accidents in order to protect human lives, and to inform all people through the workplace. (II-6) Manage physically demanding work Suppliers are requested to identify, designate and appropriately manage physically demanding work so that it does not lead to accidents or illness. (II-7) Promote safety and hygiene at all company facilities Suppliers are requested to appropriately maintain the safety and hygiene of facilities provided as a part of employee living (dormitories, cafeterias, toilets, etc.). (II-8) Promote health maintenance programs for employees Suppliers are requested to appropriately manage the health of all employees via health checkups, etc. III Environment ~ The NGK Spark Plug Group continues to promote environmental activities with the aim of establishing harmony with the global environment and local communities. ~ * For details, see the Green Procurement Guidelines. (III-1) Control hazardous chemicals Suppliers are requested to identify and manage as per laws and regulations chemical substances contained in products handled by the company. They are also requested to identify chemical substances used in production, inspection and maintenance processes, and make efforts to reduce their release into surrounding environments. (III-2) Establish an environmental management system Suppliers are requested to build an environmental management system that enables them to effectively implement and manage environmental protection activities. (III-3) Promote environmental protection activities Suppliers are requested to comply with emission standards for wastewater, sludge, exhaust, etc., and make continuous efforts to reduce waste and improve handling and related processes. (III-4) Obtain environmental permits Suppliers are requested to deploy managers, and to obtain permits from and submit reports to authorities as required by environmental laws and regulations. 4

(III-5) Promote effective use of energy and resources Suppliers are requested to make continuous efforts to constructively reduce and reuse energy and resources as part of their effective utilization thereof. IV Fair Trading ~ The NGK Spark Plug Group makes every effort to conduct business appropriately by observing laws and regulations, and acting in a socially acceptable way. ~ (IV-1) Conduct fair, transparent, free and proper business Suppliers are requested to conduct business in a proper way that ensures fair, transparent and free competition. They are also requested to establish and maintain sound and normal relations with political circles and authorities, and not to commit any acts of bribery that may lead to corruption. (IV-2) Prohibit abuse of power, and offering and acceptance of bribes Suppliers are requested not to use their position to inflict losses on third parties, or to offer or accept inappropriate benefits to or from third parties. (IV-3) Protect and respect intellectual property Suppliers are requested to protect the intellectual property rights possessed or owned by themselves, and not to illegally obtain or use, or infringe upon the intellectual property of third parties. (IV-4) Use appropriate export procedures Suppliers are requested to use proper procedures to export and manage products and technologies, and to observe the related local laws and regulations. (IV-5) Disclose company information appropriately Suppliers are requested to appropriately disclose company information to stakeholders, and to make efforts to promote mutual understanding therewith and maintain their trust. (IV-6) Prevent and promptly rectify inappropriate behavior Suppliers are requested to impart educative and awareness activities for employees in order to prevent inappropriate behavior. They are also requested to put systems in place to detect and rectify any such situations as early as possible. (IV-7) Confront antisocial forces Suppliers are requested to take a resolute stance against antisocial forces and organizations that pose a threat to civil order and security. (IV-8) Responsibly procure resources and materials Suppliers are requested to conduct their procurement activities in consideration of the impact on local communities caused by the use of resources or materials (e.g., conflict minerals from the Congo, etc.) if that use creates social issues because of human trafficking, slavery, forced labor, child labor, torture, war crimes or other inhumane acts, and to take appropriate steps to discontinue procurement of these materials if the possibility thereof exists. 5

V Product Quality and Safety ~ The NGK Spark Plug Group maintains the trust by making and supplying safe, high quality products and services. ~ (V-1) Supply stable quality products and services Suppliers are requested to build and manage a quality management system so as to conduct business reliably by continuously supplying safe, high quality products and services, and providing accurate information. VI Information Security ~ The NGK Spark Plug Group appropriately protects and manages all information resources. ~ (VI-1) Secure computer networks against threats Suppliers are requested to take measures to ensure computer security, including but not limited to virus checks, and to prevent information leaks from mobile devices, etc., and to impart appropriate education on information security to employees. (VI-2) Prevent the leakage of confidential information of customers, personnel and third parties Suppliers are requested to appropriately protect and manage confidential information belonging to customers, personnel and third parties that is known via business activities. VII Contribution to Society ~ The NGK Spark Plug Group continues to promote social contribution activities as one means for coexisting with society. ~ (VII-1) Contribute to local communities and society as a whole Suppliers are requested to voluntarily conduct activities that contribute to the development of local communities and society as a whole, as a good corporate citizen.
