This policy is titled as the Parijat CSR Policy. It drafts the company s belief s and philosophy for outlining its responsibility as a corporate citizen and lays down the guiding principle and course of action for undertaking socially useful programmes for the welfare and sustainable development of the community. This policy shall apply to all CSR initiatives and activities undertaken at various work stations of Parijat Industries (India) Pvt. Ltd. There are two facets of being a socially responsible enterprise: Internal and External. And Parijat Industries continuously endeavors to become a corporate social citizen by working on both internal and external dynamics. To start with, in principal and in practice, Parijat Industries constantly strives to be a responsible corporate citizen by following the mandate of the land. Besides being an enterprise that is a socially responsible corporate citizen (by respecting and following the law of the land internally) we have extended our good will towards our immediate neighborhood in many ways possible from very early on, that is now come to be termed as, Corporate Social Responsibility. And this document is in response to the need felt to draft a cohesive and formal CSR policy to give a formal shape to the various CSR activities that Parijat visions to undertake in the coming years. The Background to Corporate Social Responsibility: Before Corporate Social Responsibility (CSR) found a place in corporate lexicon, it was already textured into our company s inherent system. Many ad-hoc works were being carried out by Parijat Industries, both in Ambala where the factory is located and in Delhi (Head Office). Anand Foundation was established as a public trust by the founding members of the company in 2002. Anand Foundation (AF) has been functioning as a separate entity, fully funded by Parijat Industries since then. AF works with Delhi s student community to build an appreciation of diversity by providing young creative minds a platform for exploring, mapping and celebrating the contemporary intangible cultural heritage of Delhi. Our Vision of CSR: To actively contribute to the social, cultural and economic development of the communities in which we operate

Identification of projects as per the Companies Act 2013 Some of the areas that we intend to work on/ develop the ongoing work further are: To work for the appreciation of Diversity in the area of Living Intangible Cultural Heritage (under clause (v) of the Schedule VII to the Companies Act, 2013) To work in the field of education with children, women and adults (under clause (ii) of the Schedule VII to the Companies Act, 2013) To work for health, safety and environment (under clause (iv) of the Schedule VII to the Companies Act, 2013) To work on projects that promotes gender equality (under clause (iii) of the Schedule VII to the Companies Act, 2013) Constitution, Composition and scope of Corporate Social Responsibility Committee (CSR COMMITTEE) Scope of the CSR Committee The CSR Committee has been set up to: Formulate and recommend to the Board CSR Policy which shall indicate the activities to be undertaken by the Company as detailed in the Schedule VII to the Act; Recommend the amount of expenditure to be incurred on the activities referred to in the CSR Policy; Monitor the CSR Policy from time to time. Procedure for Meetings: Meetings of the CSR Committee shall be held at least twice every year. At each meeting, the CSR Committee shall fix the date and time of the next meeting. The Chairman of a Committee may require any officer of the Authority or invite any other person to attend any of the meetings of the Committee.

In cases of emergency, special meetings of a Committee may be called at any time by its Chairman, who shall inform in advance the members thereof the subject matter for discussions and the reasons for which he considers the calling of such meeting urgently. A record shall be maintained by such officer as may be specified by the Chairman of all items of business transacted by the Committee and copies of such record shall be kept in safe custody for future reference. The record of business transacted at a meeting of the Committee shall be signed by the Chairman of the Committee or the person presiding over such meeting Modalities of execution of the CSR Projects The modalities of the execution of the CSR projects or programs and their implementation along with the monitoring process of such projects or programs as decided by the CSR Committee. Mechanism for Monitoring and Feedback For implementing the above mentioned CSR initiatives, Ms. Shehnaz, Senior Executive- Corporate Engagement and CSR, has been nominated as the Principal Nodal Officer by the CSR Committee of directors and she has been entrusted with the responsibility of execution, monitoring, and reporting the status of the said CSR Committee as per the requirements of the companies Act, 2013 and the Rules made thereunder. Mr. Anil Sachdeva, Senior Manager- Finance and Compliance will be responsible for the Compliances with the Govt. CSR law. The CSR Committee shall have the authority to obtain professional advice from external sources and have full access to information contained in the records of the Company as well as the powers to call any employee/ external consultant or such other person(s) and for such purpose as may be deemed expedient for the purpose of accomplishments of overall CSR objectives laid down under the Act. Activities, setting measurable targets with time-frames and performance management: Funding and Allocation: For achieving its CSR objectives through implementation of meaningful and sustainable CSR programmes, the company will allocate not less than 2% of its average net profits made during the three immediately preceding financial years, as its Annual CSR Budget

Any unspent/ unutilized CSR allocation of a particular year, will be carried forward to the following year, i.e. the CSR Budget will be non-lapsable in nature. If in case the company fails to spend the amount, the Board shall, in its report made under clause (o) of the subsection (3) of section 134, specify the reasons for not spending the prescribed amount. The surplus arising out of the CSR projects or programs or activities, if any, shall not form part of the business profit of the company. CSR expenditure shall include all expenses including contribution to corpus for projects or programs relating to CSR activities approved by the Board on the recommendation of CSR Committee, but should not include any expenditure on an item not in conformity or not in line with the activities which fall within the purview of Schedule VII of the Act. Ancillary Activities To plan and carry out workshops to increase employee awareness on various projects & initiatives. Such other activities as directed by the Board of Directors of the Company and/or as deemed appropriate and expedient by the Committee for the furtherance of CSR objectives of the Company, in pursuance with the Regulations. General: The Company shall give preference to the local area and the areas around it, where it operates. The company may decide to undertake its CSR activities approved by the CSR Committee, either directly or through a registered Trust or a registered organization, having an established track record of not less than three years, in undertaking similar programmes or projects and the company shall specify the projects or programmes to be undertaken through these entities, the modalities of utilization of funds on such projects and programmes and the monitoring and reporting mechanism. The Company may also collaborate with other companies for undertaking CSR projects or programmes or activities in such a manner that the CSR Committees of respective companies are in a position to report separately on such projects or programmes in accordance with the corresponding Rules in this respect. The Company may build CSR capacities of its own personal as well as those of its implementing agencies through Institutions with established track record of atleast

three financial years but such expenditure shall not exceed 5 percent of total CSR expenditure of the company in any particular financial year. Contribution of any amount directly or indirectly to any political party under section 181 of the Companies Act, 2013, shall not be considered as CSR Activity. The CSR projects or activities or projects that benefit only the employees of the Company and their families shall not be considered as CSR activities in accordance with section 135 of the Companies act, 2013. The Board of directors is ensuring that activities included by the company in its corporate social responsibility policy are related to the activities included in Schedule VII of the Companies Act, 2013. Any or all provisions of the CSR Policy would be subject to revision/ amendment in accordance with the guidelines on the subject as may be issued by the govt., from time to time. The Company reserves the right to modify, cancel, add or amend this policy as it deems fit. Geographic Reach The Act provides that the Company shall give preference to the local area and areas around it where it operates, for spending the amount earmarked for Corporate Social Responsibility. The Company will thus give preference for conducting CSR activities in the Union Territory of Delhi, state of Haryana and such other state(s) in India wherein the Company has/will have its operations. However the Committee may identify such other areas other than stated above, as may deem fit, and recommend it to the Board for undertaking CSR activities. Projects that we are working in and intend to work: (i) To work for the appreciation of Diversity in the area of Living Intangible Cultural Heritage through Anand Foundation Anand Foundation est. in 2002 and is fully funded by Parijat Industries. It is indulged in multiple projects for the appreciation of Cultural Diversity. To provide short-term Internship to Students of schools and who would explore, map and document Delhi s Contemporary Intangible Cultural Heritage. To provide for a free Webpage service to Artist across the country. To travel the multi-media exhibition Dilli Dincharya across the city. The exhibition was conceptualized and executed by Anand Foundation. It explores the multi-faceted relation that women has with the city- breaking the stereotype of women being only victims in the city. It explored multiple identities of women the diversity of the city.

(ii) To hold projects with schools in Delhi that engages the students in a deeper engagement with the city and diversity. To work in the field of education with children, women and adults To provide computer literacy through Parijat Urja Chakra. PARIJAT URJA CHAKRA is an initiative by Parijat in alliance with NIIT Foundation to promote computer literacy among rural children and adults. The first center has started in Fatehgarh Village, Ambala (Haryana). The village is in the immediate vicinity of Parijat factory Unit II. This project proposes to literate students of this area in computer- around 40 students in every 4 months, and a total of 120 students will be impacted at the end of one year. To provide for a library to the student community. As a part of the Parijat Urja Chakra, we have started a library for all in the village community in Fatehgarh. This is called, Anand Foundation- Parijat Urja Chakra Library To provide scholarship to students We give out various scholarships to individuals and institutions for the purpose of education. AF is presently giving scholarships to 4 different universities, in 4 different states- JNKVV in Jabalpur, BCKV in Kolkata, UAS in Karnataka and HPKV in Himachal. In each of these universities we give out 2 scholarships. That makes 8 students per year. Each student get an amount of Rs. 15000 per semester. These students are chosen based on their marks and financial requirements. They are selected by the college committee, often assisted by Sujit from Parijat. We give many other scholarships on ad-hoc basis as well, to under-privileged students. To provide Training for Farmers on Agro-chemicals by an Agronomist Expert, to be organized on a fortnightly basis. iii) To work for health, safety and environment iv) To work on projects that promotes gender equality To Create Self help groups for community women, and provide micro-financing in alliance with HDFC. Also, to provide for Vocational Trainings.

CSR Reporting & Display of CSR Policy The report of the Board of Directors of the Company shall include an annual report on CSR activities in the prescribed format and the Company shall also display the CSR policy on its official website.
