KG Paragraph 1 An advertising order in the sense of the following general terms and conditions is defined as a contract for the publication of one or more advertisements of an advertiser or other advertiser in a printed publication for the purpose of dissemination. Paragraph 2 In case of doubt, advertisements are to be released for publication within one year of the conclusion of the contract. If the agreement stipulates the right to order individual advertisements, the order shall be placed within one year of the appearance of the first advertisement providing that the first advertisement is ordered and published within the period cited in the first sentence of this paragraph. Paragraph 3 Within the scope of agreements, the customer is also entitled to order additional advertisements in addition to the number of advertisements named in the order within the period agreed upon or that cited in Paragraph 2. Paragraph 4 If an order is not filled for reasons that are not the fault of the publisher, the customer, without prejudice to any additional legal obligations, shall pay the publisher the difference between the discount granted and the discount corresponding to the actual purchase. This payment is not required if the non-fulfilment is due to force majeure within the risk area of the publisher. Paragraph 5 When calculating purchase quantities, text millimetre lines shall be converted to advertisement millimetres. Paragraph 6 Orders for advertisements and inserts, which are expressly to be published solely in specified quantities, issues, or in specific sections of the publication, must be received by the publisher in sufficient time so that the customer can be informed before the advertising deadline if the order cannot be fulfilled as requested. Advertisements intended for specific sections of the magazine shall be printed in their respective sections without the express agreement of the customer. Paragraph 7 Text-section advertisements are ads that border the text on at least three sides and do not border other advertisements. Advertisements which are not recognisable as advertisements due to their editorial form will be clearly indicated as such by the publisher with the word Advertisement. Paragraph 8 The publisher reserves the right to refuse advertisement orders - as well as individual ad runs within a contract - and insert orders based on content, source, or the technical format, in accordance with uniform, justified principles established by the publisher, in cases where the content of the ad is in violation of applicable laws, official statutes, or if such publication is unreasonable for the publisher. This also applies to orders placed by agencies, receiving agents or representatives. Insert orders are only binding for the publisher following provision of a sample of the insert and its approval. Inserts, which due to format or presentation lead readers to believe that they are a component of the publication or which contain outside advertisements, shall not be accepted. The customer will be informed immediately upon refusal of an order. Paragraph 9 The customer is responsible for the timely delivery of advertisement copy and error-free print materials or inserts. The publisher shall request immediate replacement of obviously unsuitable or damaged print materials. The publisher guarantees the standard print quality insofar as the print materials allow. Paragraph 10 In case of the illegible, incorrect or incomplete printing of the advertisement, in whole or in part, the customer is entitled either to a discount or to an errorfree replacement advertisement, but only to the extent to which the purpose of the advertisement was impaired. If the publisher fails to remedy the problem within a reasonable period or in the event that the replacement advertisement contains errors, the customer has the right to a discount or cancellation of the order. Claims for damages arising from positive breach of contract, wilful or negligent wrongdoing or inadmissible actions are excluded; this also applies to orders placed by telephone. Claims for damages due to impossibility of performance and delay are limited to replacement of foreseeable damage and to compensation for the cost of the affected advertisement or insert. This does not apply to intentional and gross negligence of the publisher, its legal representatives and subcontractors. The liability of the publisher for damages due to lack of promised characteristics shall remain unaffected. The publisher is also not responsible for the gross negligence of subcontractors in commercial transactions; in all other cases the liability for gross negligence with respect to businesspersons is limited to the scope of foreseeable damage up to the amount of the cost of the affected advertisement. KG Paragraph 11 Proofs are provided only upon express request. The customer bears responsibility for the correctness of returned proofs. The publisher shall amend all error corrections communicated within the period established when the proof is sent out. Paragraph 12 If no specifications are provided as to size, billing shall be based on the typical, actual print depth of the type of advertisement ordered. Paragraph 13 If the customer does not pay in advance, an invoice shall be sent immediately; if possible, 14 days after publication of the advertisement. The invoice shall be paid within the period specified shown in the price list unless a different payment deadline or prepayment is agreed upon. Discounts for early payment are granted according to the price list. Paragraph 14 In case of delayed or deferred payment, interest and collection fees will be charged. In case of delinquent payment, the publisher reserves the right to delay order fulfilment until payment is received, and the right to demand prepayment for the remaining advertisements. In case of reasonable doubt of the customer s ability to pay, the publisher reserves the right to make further advertisements contingent upon prepayment and the settlement of any open invoices, even within the duration of an advertisement contract and without regard to the originally agreed-upon payment terms. Paragraph 15 The publisher will deliver a sample of the advertisement with the invoice on request. Depending on the type and scope of the advertisement order, excerpts, sample pages or full copies of the magazine may be delivered. If a sample is no longer available, the publisher shall provide a legally binding certification of the publication and distribution of the advertisement. Paragraph 16 The customer shall bear all costs for the production of requested print materials and for significant changes desired or caused by the customer to advertisements originally agreed upon. Paragraph 17 In case of an agreement for multiple advertisements, a price reduction can be claimed due to a reduced circulation if the average circulation for the entire advertising year, beginning with the first advertisement, is below the average circulation cited in the price list or - if the circulation is not specified - the average purchased (for trade periodicals the average actual distribution) circulation of the last calendar year. A reduced circulation is only deficient enough to justify a price reduction if it amounts to 20% for a run of up to 50,000 copies, 15% for a run of up to 100,000 copies, 10% for a run of up to 500,000 copies, 5% for a run of greater than 500,000 copies. In addition, claims for price reductions based on circulation shortfalls are excluded if the publisher has notified the customer of the reduction in circulation in sufficient time for the customer to withdraw from the contract prior to the appearance of the advertisement. Paragraph 18 For advertisements with box numbers, the publisher shall apply the diligence of a conscientious business person for the safekeeping and timely forwarding of offers. Certified and express mail in response to such advertisements shall be forwarded using standard mail only. Responses received to advertisements with box numbers shall be retained for four weeks. Replies not retrieved within this period shall be destroyed. The publisher shall return valuable documents, but is not obligated to do so. In the interest of and for the protection of the customer, the publisher may be granted the right to open incoming offers. Letters exceeding the allowed format DIN A 4 (weight 250 g), as well as books, catalogues, and small packages will not be forwarded or accepted. Acceptance of such items may be granted on an individual basis in agreement with the customer, providing the customer assumes the incurred costs. Paragraph 19 Plates are returned to the customer only on express request. The obligation of retention shall end three months after the order is completed. Paragraph 20 The place of performance is Bielefeld. In commercial transactions with business persons, legal persons under public law or special assets under public law, the place of legal jurisdiction in case of legal action shall be the location of the publisher. Should claims of the publisher not be enforced in collection proceedings, the place of legal jurisdiction for non-business persons shall be determined in accordance with their place of residence. If the address or habitual place of residence of the customer -- also of non-business persons - is unknown at the time the complaint is filed or if the customer has transferred his address or habitual place of residence outside the jurisdiction of the law after the conclusion of the contract, the agreed place of jurisdiction shall be Bielefeld.
