1 Introduction 1.1 Selwood Housing Society Limited (Selwood Housing Group) is a registered provider (TSA Register No. LH4097) and a registered charity (Charity No. 1141124). Selwood Housing Group is a group of companies that work toward the collective goal of improving homes and communities in West Wiltshire and the surrounding areas. Selwood Housing Association is a charity and a social enterprise that puts all profits back into our communities. The group is made up of Selwood Housing, Silcoa, The Learning Curve, Selwood Devco and Cottsbury Homes, as well as the Selwood Lifeline brand. 1.2 We also work closely with other agencies to acquire, provide, construct, improve or manage houses or other accommodation available for letting. We are aiming for top quartile performance at average costs. Our tenants and other customers have always been at the heart of everything we do. They are involved from the grass roots up to the highest levels of decision making on our board. We want to work with organisations whose corporate values are aligned with our own, which are: one team, customer focused, honest and dynamic. 1.3 Selwood Housing wishes to enter into the contract with the successful bidder in order to regulate the respective roles and responsibilities of each party in relation to the Services. 1.4 It is intended that the winning tenderer will be appointed for 3 years with the option to extend for a further 2 periods of 12 months, any extensions will be subject to the winning tenderer s satisfactory performance during the duration of the contract. 1.5 Selwood Housing s estimated expenditure over 5 years on Asbestos removal services is 1,000,000. The figures are provided for guidance only and Selwood Housing gives no commitment to minimum levels of expenditure. 2 General 2.1 These instructions are designed to ensure that all tenderers are given equal and fair consideration. It is important therefore that you provide all the information asked for in the format and order specified. 2.2 Tenderers should read these instructions carefully before completing the tender documentation. Failure to comply with these requirements for completion and submission of the tender response may result in the rejection of the tender. Tenderers are advised therefore to acquaint themselves fully with the extent and nature of the specification, service levels, and contract conditions, which are set out in the contract documents. These instructions constitute the conditions of tender. Participation in the tender process automatically signals that the tenderer accepts these conditions of participation. 2.3 All material issued in connection with this ITT shall remain the property of Selwood Housing and shall be used only for the purpose of this procurement exercise. 2.4 The tenderer shall ensure that each and every sub-contractor, consortium member and adviser abides by the terms of these instructions and the conditions of tender. 2.5 The tenderer shall not make contact with any other employee, agent or consultant of Selwood Housing who are in any way connected with this procurement exercise during the period of this procurement exercise, unless instructed otherwise by Selwood Housing. 2.6 Selwood Housing shall not be committed to any course of action as a result of: issuing this ITT or any invitation to participate in this procurement exercise; an invitation to submit any response in respect of this procurement exercise; communicating with a tenderer or a tenderer s representatives or agents in respect of this procurement exercise; or any other communication between Selwood Housing (whether directly or by its agents or representatives) and any other party. 2.7 Tenderers shall accept and acknowledge that by issuing this ITT Selwood Housing shall not be bound to accept any tender and reserves the right not to enter into a contract for some or all of the services for which tenders are invited. 2.8 Selwood Housing reserves the right to amend, add to or withdraw all, or any part of this ITT at any time during the procurement exercise. 2.9 Unless stated otherwise in these instructions or in writing from Selwood Housing, all communications from tenderers (including their sub-contractors, consortium members, consultants and advisers) during the period of this procurement exercise must be directed to the designated contact named in section 3 below. 2.10 All communications should be clearly headed invitation to tender for Asbestos Surveying and include the name, contact details and position of the person making the communication. 2.11 Requests for tender clarifications must be submitted in accordance with the procedure set out in paragraph 3 below. 3 Contact, further information and queries 3.1 If you have any questions or are in any doubt as to what is required or will have difficulty in providing the information requested. Selwood Housing will advise tenderers by email if new information such as clarifications are added to the Selwood Housing website. PAGE 4 OF 17

3.3 Selwood Housing will aim to answer all questions within 3 working days. The deadline for the receipt of questions is set out in paragraph 7.1. 3.4 In order to ensure equality of treatment of tenderers, Selwood Housing intends to publish the questions and clarifications raised by tenderers together with Selwood Housing s responses (but not the source of the questions) to all participants on a regular basis. 3.5 Tenderers should indicate if a query is of a commercially sensitive nature where disclosure of such query and the answer would or would be likely to prejudice its commercial interests. However, if Selwood Housing at its sole discretion does not either; consider the query to be of a commercially confidential nature or one which all tenderers would potentially benefit from seeing both the query and the response, Selwood Housing will: 3.5.1 invite the tenderer submitting the query to either declassify the query and allow the query along with Selwood Housing s response to be circulated to all tenderers; or 3.5.2 request the tenderer, if it still considers the query to be of a commercially confidential nature, to withdraw the query. 3.6 Selwood Housing reserves the right not to respond to a request for clarification or to circulate such a request where it considers that the answer to that request would or would be likely to prejudice its commercial interests. 4 Closing date for tenders 4.1 Tenders must be received by Selwood Housing by no later than the deadline stated in the timetable in 7.1. 5 Confidentiality 5.1 The contents of this ITT are being made available by Selwood Housing on condition that: 5.1.1 Tenderers shall at all times treat the contents of the ITT and any related documents (together called the information ) as confidential, save in so far as they are already in the public domain; 5.1.2 Tenderers shall not disclose, copy, reproduce, distribute or pass any of the information to any other person at any time or allow any of these things to happen; 5.1.3 Tenderers shall not use any of the information for any purpose other than for the purposes of submitting (or deciding whether to submit) a tender; and 5.1.4 Tenderers shall not undertake any publicity activity within any section of the media, including, but not limited to internet and social media sites. 5.2 Tenderers may disclose, distribute or pass any of the information to the tenderer s advisers, sub-contractors or to another person provided that either: 5.2.1 This is done for the sole purpose of enabling a tender to be submitted and the person receiving the information undertakes in writing to keep the information confidential on the same terms as if that person were the tenderer; or 5.2.2 The tenderer obtains the prior written consent of Selwood Housing in relation to such disclosure, distribution or passing of information; or PAGE 5 OF 17

5.2.3 The disclosure is made for the sole purpose of obtaining legal advice from external lawyers in relation to the procurement; or 5.2.4 The tenderer is legally required to make such a disclosure. 5.3 In paragraphs 5.1 and 5.2 above the definition of person includes but is not limited to any person, firm, body or association, corporate or incorporate. 5.4 Selwood Housing may disclose detailed information relating to tenders to its employees, Board members, tenant/customer representatives, agents or advisers. Selwood Housing also reserves the right to disseminate information that is materially relevant to the procurement to all tenderers, even if the information has only been requested by one tenderer, subject to the duty to protect each tenderer's commercial confidentiality in relation to its tender. 5.5 No announcements or statements should be made by or on behalf of any Bidder to any section of the media (including radio, television, newspaper, internet and email) unless Selwood Housing has given its prior written approval to the proposal to publish and to the text. 6 Tender validity 6.1 Your tender should remain open for acceptance for a period of 6 months. A tender valid for a shorter period may be rejected. 7 Timescales 7.1 Set out below is the proposed procurement timetable. This is intended as a guide and whilst Selwood Housing does not intend to depart from the timetable it reserves the right to do so at any stage. DATE STAGE 27 th February 2018 ITT to be issued to be made available to tenderers 23 rd March 2018 Deadline for the receipt of clarification questions 1pm on 6 th April 2018 Closing date and time for receipt by Selwood Housing of tenderer responses to the ITT 16 th - 20 th April 2018 Interviews to be held (Optional) 1 st May 2018 Commencement date of contract 8 Intention to submit a tender 8.1 Tenderers should confirm their intention to submit a tender to the designated contact as specified at section 3. 8.2 In the event that a tenderer does not wish to participate further in this procurement exercise, the tenderer should contact the designated contact as specified at section 3 above. 9 Preparation of tender 9.1 Tenderers must obtain for themselves at their own responsibility and expense all information necessary for the preparation of tenders. Tenderers are solely responsible for the costs and expenses incurred in connection with the preparation and submission of their tender and all other stages of the selection and evaluation process. Under no circumstances will Selwood Housing, or any of their advisers, be liable for any costs or expenses borne by tenderers, subcontractors, suppliers or advisers in this process. 9.2 Tenderers are required to complete and provide all information required by Selwood Housing in accordance with the conditions of tender and the invitation to tender. Failure to comply with the conditions and the invitation to tender may lead Selwood Housing to reject a tender response. 9.3 Selwood Housing relies on tenderers' own analysis and review of information provided. Consequently, tenderers are solely responsible for obtaining the information which they consider is necessary in order to make decisions regarding the content of their tenders and to undertake any investigations they consider necessary in order to verify any information provided to them during the procurement process. 9.4 Tenderers must form their own opinions, making such investigations and taking such advice (including professional advice) as is appropriate, regarding the services and their tenders, without reliance upon any opinion or other information provided by Selwood Housing or their advisers and representatives. Tenderers should notify Selwood Housing promptly of any perceived ambiguity, inconsistency or omission in this ITT, any of its associated documents and/or any other information issued to them during the procurement process. 10 Submission of tenders 10.1 The tenderer must submit fully completed the documents listed in Appendix 1 to constitute a compliant standard tender. Failure to do so may render the response non-compliant and it may be rejected. 10.2 Selwood Housing may at its own absolute discretion extend the closing date and the time for receipt of tenders specified in section 7 above. 10.3 Any extension granted under paragraph 10.2 will apply to all tenderers. 10.4 Tenderers must submit: 10.4.1 one original bound priced hard copy of their tender (clearly marked Master Copy) on A4 paper; 10.4.2 two priced unbound hard copies of their tender on A4 paper, and 10.4.3 one electronic copy of the response to the questionnaire and the pricing model on a CD or memory stick. 10.5 The tender and any documents accompanying it must be in the English language. 10.6 A tender label which must be used when submitting the tender response is enclosed with this ITT (Appendix 1D). Envelopes and packages must bear no reference to the tenderer by name. Tenders are to be returned and received by Selwood Housing, Bryer Ash Business Park, Bradford Road, Trowbridge, BA14 8RT no later than the date specified in paragraph 7 above. 10.7 Tenders will be received any time up to the deadline stated above. Tenders received before this deadline will be retained in a secure environment, unopened until the formal opening date. PAGE 7 OF 17

10.8 Selwood Housing does not accept responsibility for the premature opening or mishandling of tenders that are not submitted in accordance with these instructions. 11 Disclaimers 11.1 Whilst the information in this ITT and supporting documents has been prepared in good faith, it does not purport to be comprehensive nor has it been independently verified. 11.2 Neither Selwood Housing, nor their advisors, respective directors, employees, Board members, tenant/customer representatives, other staff or agents: 11.2.1 makes any representation or warranty (express or implied) as to the accuracy, reasonableness or completeness of the ITT; or 11.2.2 accepts any responsibility for the information contained in the ITT or for their fairness, accuracy or completeness of that information nor shall any of them be liable for any loss or damage (other than in respect of fraudulent misrepresentation) arising as a result of reliance on such information or any subsequent communication. 11.3 Any persons considering making a decision to enter into contractual relationships with Selwood Housing following receipt of the ITT should make their own investigations and their own independent assessment of Selwood Housing and its requirements for the goods/services specified and should seek their own professional financial and legal advice. For the avoidance of doubt the provision of clarification or further information in relation to the ITT or any other associated documents (including the Schedules and appendices) is only authorised to be provided following a query made in accordance with paragraph 16 of this invitation to tender. 11.4 Any contract awarded as a result of this ITT shall be governed by English law. 12 Canvassing & collusive behaviour 12.1 A tenderer will be disqualified who: 12.1.1 directly or indirectly canvasses any employees, Board members, tenant/customer representatives, agents or advisers of Selwood Housing concerning the award of the contract or who directly or indirectly obtains or attempts to obtain information from any such officer, member, employee or agent or concerning any other tenderer, tender or proposed tender; or 12.1.2 fixes or adjusts the amount of its tender by or in accordance with any agreement or arrangement with any other party; or 12.1.3 communicates to any party other than Selwood Housing the amount or approximate amount of its proposed tender or information which would enable the amount or approximate amount to be calculated (except where such disclosure is made in confidence in order to obtain quotations necessary for the preparation of the tender or insurance or any necessary security); or 12.1.4 enters into any agreement or arrangement with any other party that such other party shall refrain from submitting a tender; or 12.1.5 enters into any agreement or arrangement with any other party as to the amount of any tender submitted; or PAGE 8 OF 17

12.1.6 fail to comply with the obligations of the Bribery Act 2010. 13 Not used 14 No inducement or incentive 14.1 The ITT is issued on the basis that nothing contained in it shall constitute an inducement or incentive nor shall have in any other way persuaded a tenderer to submit a tender or enter into a contractual agreement. 15 Acceptance and contracting 15.1 The tenderer in submitting the tender undertakes that in the event of the tender being accepted by Selwood Housing and Selwood Housing confirming in writing such acceptance to the tenderer, the tenderer will within 30 days of being called upon to do so by Selwood Housing sign the contract in the form agreed. 15.2 Selwood Housing shall be under no obligation to accept the lowest or any tender. 16 Amendments to tender documents 16.1 At any time prior to the deadline for the receipt of tenders, Selwood Housing may modify the ITT by amendment. Any such amendment will be numbered and dated and issued by Selwood Housing to all prospective tenderers at least 2 weeks prior to the deadline for the submission of tenders. In order to give prospective tenderers reasonable time in which to take the amendment into account in preparing their tenders, Selwood Housing may, at its discretion, extend the deadline for receipt of tenders. 17 Late tenders 17.1 Any tender received at the designated point after the deadline for receipt of tenders at paragraph 4 above may be rejected unless the tenderer can provide irrefutable evidence that the tender was capable of being received by the due date and time. 18 Contract terms 18.1 Following the procurement, Selwood Housing will enter into the JCT Measured term contract with the successful tenderer in order to regulate the respective roles and responsibilities in relation to the services. 18.2 The Contract documents are attached as Appendix 2A. 19 Modification and withdrawal 19.1 Tenderers may modify their tender prior to the deadline by giving notice to Selwood Housing in writing to the designated contact specified at paragraph 3 above. No tender may be modified subsequent to the deadline for receipt. PAGE 9 OF 17

19.2 The modification notice must state clearly how Selwood Housing should implement the modification and must be submitted in accordance with the provisions of paragraph 19.1. 19.3 Tenderers may withdraw their tender at any time prior to the deadline or any other time prior to accepting the offer of a contract. The notice to withdraw the tender must be in writing and sent to Selwood Housing by recorded delivery or equivalent service and delivered to Selwood Housing at the address set out in paragraph 3 above. 20 Right to reject/disqualify 20.1 Selwood Housing reserves the right to reject or disqualify a tenderer where: 20.1.1 the tenderer fails to comply fully with the requirements of this invitation to tender or is guilty of a serious misrepresentation in supplying any information required in this document; or expression of interest; or PQQ; and/or 20.1.2 the tenderer is guilty of serious misrepresentation in relation to its tender; expression of interest; the PQQ and/or the tender process; and/or 20.1.3 there is a change in identity, control, financial standing or other factor impacting on the selection and/or evaluation process affecting the tenderer. 21 Right to cancel, clarify or vary the process 21.1 Selwood Housing reserves the right to: 21.1.1 amend the terms and conditions of the invitation to tender process, 21.1.2 cancel the evaluation process at any stage; and/or 21.1.3 require the tenderer to clarify its tender in writing and/or provide additional information. (Failure to respond adequately may result in the tenderer not being selected), 22 Not used 23 Debriefing 23.1 Following the conclusion of the tender, all unsuccessful tenderers will be afforded the opportunity of a debriefing. Unsuccessful tenderers should notify Selwood Housing in writing that they wish to be debriefed. 23.2 This opportunity should be undertaken within 30 days. 24 Tender evaluation 24.1 Selwood Housing will undertake the following evaluation process to determine the most economically advantageous tender for the contract. 24.2 Responses must be submitted strictly in accordance with this ITT without qualifications. Failure to comply with this requirement may, at the option of Selwood Housing, invalidate the Tender Response. Tender Responses will be checked initially for compliance with this ITT and for completeness. Clarification PAGE 10 OF 17

may be sought from Tenderers in order to determine if a Tender Response is complete and compliant. Tender Responses that are not substantially complete and/or compliant with this ITT may be rejected. 24.3 The criteria and the weighting to be used is summarised in the table below: Criteria Weighting Minimum suitability Pass/fail Price 40 % Quality written method statement & 60 % technical interview TOTAL 100 % 24.4 Minimum suitability The minimum suitability questions are in Parts 1, 2 and 3 of the Evaluation Questionnaire included at Appendix 1A of this ITT. The minimum suitability questions will be checked to identify which Tenderers meet the Selwood Housing s minimum levels of suitability. Only the Tenderers who meet the minimum levels of suitability will be eligible to be considered for the award of the contract. The minimum levels of suitability that Selwood Housing requires of the tendering organisation for them to be eligible for award of the contract are: Declaration (Part 1 Section 1): That the organisation agrees to the undertakings in the Declaration (Section 1); Eligibility criteria (Part 2 Section 2 and 3) That no circumstances exist requiring the mandatory exclusion of the organisation (Section 2); That no discretionary grounds for exclusion exist, unless Selwood Housing considers that the exclusion of the organisation for those grounds is not a proportionate response to them (Section 3); Economic and financial criteria (Part 3 Section 4): That the organisation meets Selwood Housing s criteria for minimum level of economic and financial standing as detailed in the financial assessment tool; That nothing is disclosed by any of the financial information required to be supplied by the organisation or discovered from Selwood Housing s other checks about the organisation that gives rise to concerns that the organisation may not complete the contract because of financial difficulties, including bank and credit references); Additional Questions (Section 5) Minimum levels of: o o o o employer s liability insurance of 5m (five million pounds); public liability insurance of 5m (five million pounds); professional indemnity insurance of 2m (two million pounds); Contractors all risk insurance of 2m (two million pounds); or evidence that the organisation can secure such insurances; PAGE 11 OF 17

That none of your Organisation s Board members, directors, partners or senior managers is a current or former (during the last 12 months) board member or employee of Selwood Housing. Selwood Housing requires the Organisation whose approach complies with the following Selwood Housing Policies attached at Appendix 2: o o o o Group DBS Policy Health & Safety General Code of Safe Practise Single Equalities and Diversity Policy Contractor code of conduct Technical and professional ability criteria (Section 6): Evidence of 3 similar contracts undertaken by the organisation for at least 3 other organisations with similar requirements (including the client being subject to an external regulatory regime) to those of Selwood Housing over the previous 3 years. That nothing is disclosed from the reference contracts that give rise to concerns that the organisation will not deliver legal services to the standards Selwood Housing will require throughout the contract (Section 6); 24.5 Price Selwood Housing reserves the right to disqualify any tenderer if it finds out at any time during the procurement that the Tenderer s organisation either did not meet or no longer meets the minimum standards set out above. This is an evaluation of the financial aspects of the tenderers submission primarily considering the tendered prices. Tenderers should note that Selwood Housing is not bound to accept the lowest or any tender submitted. Tenderers should complete the attached pricing model. The score for price for each Tender will be based on the percentage variance of the total Tender Price to the average tender price of all Tenders submitted. The maximum price score achievable is 40%. Example of the formula used to determine the scores have been provided below; 20-(0.5 x a x 100) Where a = percentage variance to the average tendered price. Tenderers shall note that tenders considered to be priced abnormally low shall be scrutinised to ensure that this is not as a result of a failure to understand the requirements of the contract. Selwood Housing reserves the right to disregard any tender that it considers to be abnormally low. 24.6 Quality and technical merit This is an assessment of quality based on an evaluation of the Tenderer s response to the questions in Part 4 of the Evaluation Questionnaire. These questions address specific criteria relating to the Tenderer s management and proposals for providing the services required. The score for quality and technical merit is detailed in paragraph 24.3. Details of the various sub sections of the Evaluation Questionnaire and the weighting to be given to each of these are set out in Part 4 of the Evaluation Questionnaire. 24.7 Elimination of Tenderers prior to interview Prior to interviews taking place, Selwood Housing may eliminate Tenderers whose total score falls below a certain threshold. The threshold will be decided based on the number and quality of the tender returns. 24.8 Quality: technical interviews (optional) As part of the evaluation process Selwood Housing may decide to conduct a further assessment of quality and performance by means of an interview. This is designed to examine in more detail some of the issues covered by the Tenderers responses to the Evaluation Questionnaire and the impact in terms of the successful day to day operation and management of the contract provision of a high quality service. If required, the quality scores will be adjusted to reflect the outcome of the interview. Selwood Housing may decide at its absolute discretion not to conduct technical interviews and will proceed to award to the most economically advantageous tender. 24.9 Final scores Following the completion of the evaluation, the weighted score for each Tenderer will be added together to determine each Tenderer s total mark out of 100 and who has submitted the most economically advantageous tenders. 24.10 Prior to the award of the contracts, Selwood Housing reserves the right to undertake final due diligence in respect of that Tenderer. The Tenderer will be expected to provide such assistance as Selwood Housing may reasonably require in undertaking any such due diligence. 24.11 Each element of the quality evaluation will be evaluated and scored on a scale of 0 to 5 as follows: Scoring system for quality criteria PAGE 13 OF 17
