Letter from the Chair Dear Applicant, As Chairman of Trafford Housing Trust (THT), I am pleased to announce that we are recruiting for two non-executive directors to sit on the Trafford Housing Trust Board. We are at an exciting time in our development as a business and we are looking for people who complement an established team of NEDs. The Board is conscious of the changing needs and expectations of both current and potential customers. There is also technology available which can improve our customers experience of the services we provide as well as bringing business intelligence and efficiency benefits. We are therefore keen to recruit a customer expert, who is able to link the Board s strategic direction to strategic customer issues, ensuring that we excel in our connection to and service provision for customers. We have a good understanding of housing policy and internal expertise on neighbourhood matters, the Board would also benefit from additional skills in development, construction and investment as well as housing delivery. Ultimately we want to strengthen our Board with someone who will help us to navigate the challenges and risks in the housing sector, enabling the business to target its resources to best effect so any relevant expertise in other areas and disciplines that would be complementary to our Board is very welcome. Economic conditions in the UK, and therefore for our customers, have been difficult over the past years and continue to be so. Despite these difficulties, we are confident that the resilience of the Trust means we are in a strong position to face the challenges ahead and support our customers to live well. The Government s plans for Greater Manchester devolution will see the region gain control over many key aspects of public sector administration, including increased autonomy in relation to health, social care and housing. These plans represent the largest decentralisation of powers in the UK outside of London. They present a unique opportunity for Registered Providers like THT to work collaboratively and innovatively to maximise the contribution of the sector to the wider society of Greater Manchester. Whilst there is no doubt that the coming months and years will see significant changes across Greater Manchester and the social housing sector, I am confident that our commitment to social justice means we will go from strength to strength. As a social landlord with a strong foundation in the Trafford borough, and as a partner with London & Quadrant contributing to new housing provision in the North West, we will continue to be a force for good. Governance Trafford Housing Trust Board The Trafford Housing Trust Board consists of nine Non-Executive Directors, including the Chairman, who are responsible for the strategic management, policy development and direction of Trafford Housing Trust. ROLE PROFILE: NON-EXECUTIVE DIRECTOR Purpose of role Non-executives are responsible for providing appropriate oversight, governance and leadership to the business, in the pursuit of its vision, values and strategic objectives. Core tasks and responsibilities Strategy Establish the Trust s vision and values, and set clear objectives supported by agreed strategy and plans to meet the Trust s charitable objects. Regularly review performance against the business objectives and other key Board decisions. Hold the Chief Executive and Leadership Team to account for the effective management and delivery of the organisation s strategic aims and objectives. Promote and develop the business in order for it to grow and continue to be a force for good ensuring that strategic developments and decision making are aligned to the values of the organisation. Analyse and contribute positively to the development of strategies and long term plans which will identify and seek to address material and significant issues as well as ensuring optimum benefits for current and future customers. Establish and maintain financial control by; approving the business plan, approving the accounts, approving new borrowing facilities; and approving the budget Agreeing effective communications which meet the needs of staff, customers and other key stakeholders. Compliance Ensure that the Trust complies with its governing document, the Regulatory Framework, Charity Law, the chosen Code of Governance and any other applicable legislation and regulations. Document how the Trust achieves the purposes set out in its charitable objects and is able to demonstrate what public benefit is provided. Set challenging performance targets and monitor performance against them. Manage the Trust s resources in a way which provides the optimum balance of value for money for customers and the business. Delegate sufficient authority through the organisation to support efficient and appropriate decision making, monitor the use of these delegations. Acting in accordance with a director s fiduciary duty to safeguard the good name and reputation of the Trust. Ensure that financial controls and a system of risk management are in place and sufficiently robust, give assurance as to data integrity and the Board is kept fully informed of current issues through provision of timely and relevant information. Regulatory requirements Take appropriate professional advice in all matters where there may be a material risk to the Trust. Appointments Agree the appointments and if necessary dismissal of non-executive directors on the Board, all subcommittees and subsidiary companies. Ensure an appropriate framework is in place for the evaluation of individual Non-executive and Board performance. Agree the appointment and if necessary dismissal of the Chief Executive and review annually the salary and benefits package attached to the role. Ensure an effective and appropriate system is in place for the recruitment, appointment and performance monitoring of the work and activities of the Chief Executive. Maintain commitment to Board diversity, renewal and succession planning, in line with the Trust s Articles. Representing the Trust Build and maintain good relationships with key stakeholders, including the HCA and other regulators, key local authorities, funders and the Trust s residents and service users. Act as an ambassador and representative for the Trust, upholding the reputation of the Trust and its values and objectives. Network and promote the achievements, purposes and benefits of the Trust. Behavioural duties Uphold the highest standards of integrity and probity, adhering to the Nolan Principles as outlined in the Code of Conduct. Participate fully in the work of the Board, generating collective responsibility for the decisions made. Foster a culture of constructive challenge with Board and Leadership Team colleagues. Be a member of, and if required chair, committees and ad hoc meetings of the Board. Participate in Board induction and training events as appropriate. Complete individual and Board performance appraisals, and attend any training highlighted through the evaluation process. Maintain absolute confidentiality regarding all aspects of the Trust s business, bearing in mind the over-riding legal obligations placed upon trustees and company directors. Apply personal expertise with due regard to the Trust s business and social responsibilities. Keep up to date with sector issues. Ensure that the organisation promotes equality and diversity for all of its stakeholders. Act as a role model for good governance practices and behaviours. Supplementary Information Term of Office The maximum term of office for Board Members (subject to re-appointment where appropriate) shall be limited to 3 terms of 3 years, a maximum of 9 years from the date of first appointment. Remuneration and Time Commitment The role is remunerated at 7,000 per annum, payable in 12 monthly instalments. The role requires a time commitment of approximately 2-3 days per month.
