SECTION I: INSTRUCTIONS AND INFORMATION FOR BIDDERS 1. Invitation This Request for Quotation (the RFQ ) issued by Perennia Food & Agriculture Incorporated (Perennia) is an invitation to prospective bidders to submit bids to supply and deliver one bottling line equipment to the Perennia Innovation Centre as further described in the included specifications. 2. Organizational Background and Responsibility Perennia is a not-for-profit crown agency with a mission to help farmers, fishers, and food processers be prosperous and profitable. Perennia has a flexible business model with a hybrid of funding from the Province of Nova Scotia and additional revenues generated through consulting services and projects designed to tie into the company mission. Perennia s policy is to ensure that all firms interested in becoming suppliers shall be given equitable access to contract opportunities, except that consideration may be shown to Atlantic Provinces suppliers and manufacturers whenever practical and economically feasible to do so, consistent with The Atlantic Procurement Agreement. 3. RFQ Contact Inquiries regarding the Specifications are to be directed to: cdoucet@perennia.ca Proponents and their representatives are not permitted to contact any employees, officers, agents, elected or appointed officials or other representatives of Perennia, other than the RFQ contact or their designate(s), concerning matters of this RFQ. Failure to adhere to this rule may result in disqualification of the proponent and the rejection of the proponent s submission. 4. Submission of Proposals Bids to be submitted by mail to address noted or electronically to: cdoucet@perennia.ca 5. Proposals to be Submitted on Time Late bids received after the closing date and time will be disqualified from competition.

6. Amendment of Proposals Prior to Submission Deadline Proponents may amend their proposals prior to the Submission Deadline by submitting the amendment prominently marked with the RFQ number and clearly indicating which part of the proposal the amendment is intended to amend or replace. Any amendment received after the submission deadline will not be accepted. 7. Withdrawal of Proposals Proponents may withdrawal their proposals prior to the submission deadline. To withdrawal a proposal, please send a notice of withdrawal to the RFQ contact prior to the submission deadline. The withdrawal should be made only by the person who submitted the original proposal or an authorized representative of the proponent company. Perennia is under no obligation to return withdrawn proposals. 8. Proposals Irrevocable After Submission Deadline Proposals shall be irrevocable for a period of ninety (90) days from the submission deadline. 9. Rejection of Proposals Without limiting the generality of any other provision hereof, Perennia reserves the right to reject any bid: a. That contains any irregularity or informality b. That is not properly signed by or on behalf of the bidder c. That contains an alteration in the quoted price that is not initialed by or on behalf of the tenderer d. That is incomplete or ambiguous e. That does not strictly comply with the requirements contained in these instructions f. That does not strictly comply with the requirements contained within the request for quote or tender documents, or g. That has been received from a bidder that has been excluded from bidding due to past performance with Perennia h. Perennia may, in its absolute discretion, reject a proposal submitted by a potential vendor if: i) The potential vendor, or any officer or director of the potential vendor;

ii) iii) Any related company of the potential vender through common ownership, control or otherwise; or Any intended sub-contractor of the potential vendor, is or has been engaged, either directly or indirectly through another corporation, in legal action (including serving on Perennia of formal notice of intent to commence legal action) against Perennia, its officers or directors and employees.

SECTION II: EVALUATION OF PROPOSALS 1. Mandatory Submission Requirements Perennia will review all proposals to determine which proposals comply with all Mandatory Submission Requirements. Proposals that do not comply with all Mandatory Submission requirements as of the submission deadline will be disqualified and not evaluated further. The Mandatory Requirements are as follows: Each proposal must include (a) the bid submission form (page 1 in this package) (b) completed response to the RFQ Requirements and Deliverables, and (c) any other mandatory submission requirements, as applicable. The bid submission form must be completed and signed by an authorized representative of the proponent. Other than inserting the information requested, a proponent may not make any changes to the form. Any proposal containing any such changes, whether on the face of the form or elsewhere in the proposal, may be disqualified. 2. Submission Evaluation Submissions will be evaluated not only on the submitted price, but also on ability of the respondent to meet the requirements of the procurement specifications as outlined. All evaluation activity will attempt to seek out best value which maximizes the effectiveness of Perennia to deliver on its mission while respecting that the organization is a not-forprofit. Bid prices will not be read out loud at the tender closing/opening. Perennia is not obliged to award lowest price proposal and reserves the right to reissue the request should there be reasonable doubt that prices received are not competitive or complete. Perennia specifically reserves the right to accept or reject any or all proposals or to accept any proposal or portion thereof. This RFQ implies no obligation on Perennia to accept any bid submitted and Perennia may cancel this RFQ in its entirety and shall not be responsible, in any matter, for expenses incurred by the bidder for preparing a submission. Perennia may award all or a portion of the work to one or more bidders.

SECTION III: Tender Specifications Specification Details The specifications listed below are from a reference products as follows: - Filler section- Criveller group- Automatic light vacuum triblock Rinsing/Sparging/Filling/Corking/Capping; Model 9-1-9/1R-V (manufactured as one unit) - Labelling- Criveller group- Linear Automatic adhesive labeling machine; Model S1/LDR - Pump- Criveller group lobe pump It is vital that this equipment be of high quality, reliable and safe. Perennia is seeking the same or equivalent product. If a proponent wishes to offer an alternative product they must establish that it is of equal or better quality. The product descriptions will be evaluated to ensure their equivalencies and for quality as described in the features below. Perennia has the absolute sole discretion to determine what is equivalent. Our mission is to supply a mobile bottling unit that is capable of packaging still beverages that will include wine, spirts and juice. We will be using a 44 long, 8.5 wide and 9.5 high gooseneck trailer with 35.4 feet of working floor space for the equipment. The bottling line will need to be fully automatic with rinsing, deaeration, filling, corking/capping, labelling, sleeve dispensing and shrink wrapping capabilities. Perennia food and Agriculture will supply the awarded company with a trailer at their location complete with electrical, gas and air connections and the awarded company will be responsible for the installation of all the equipment in the trailer.
