Presentation This document, Includes the essential elements that must be present in the relations of MyMETRO with different stakeholders. Consists of ethical principles and conduct guidelines, and, above all, a benchmark of conduct to guide the actions and decisions of all employees, regardless of their function, thus contributing to building relationships based on trust, integrity and respect. Is a guide that highlights key issues, so it is not as a contract or a comprehensive manual that covers every situation that we can encounter. As reference of conduct it will only be really effective if each and every one of the employees legitimize with their everyday practice. Mission Given its ability to carry out interdisciplinary work, MyMETRO offers calibration of weighing equipment, consulting, training and purchase / sale of industrial equipment, satisfying the current and future market needs. Acting ethically, receptive and creating value, with a firm commitment to improvement, MyMETRO want to provide a competitive response to current and potential customer needs, added value to shareholders, a safe working environment and pleasing to its employees and a spirit of sharing with the community. Ethical principles Founded in MyMETRO values, a set of principles and ethical commitments are defined, they are essential elements that must be present in the relationship of MyMETRO with its different audiences. The good name of MyMETRO is not based only on their ability to develop policies, but also in how they are implemented effectively. Ethical principles 1. MyMETRO relationship with its different stakeholders is based on honesty and integrity. 2. All business processes are guided by transparency, always looking for the veracity of information provided to different parties. 3. In all relationships, internal and external, people are treated with dignity and respect. 4. Permanent concern with the impacts of all actions and decisions in public with which the MyMETRO relates. 5. Everyone is committed to carry out their activities in a legal and ethical manner unconditionally, resigned to "deceptive practices", fraud or any other conduct that is or may be interpreted as little honest to the interests of MyMETRO. Business Conduct Guidelines They are designed to guide decision-making in MyMETRO as well as the attitudes and behaviours of employees in relations with the different stakeholders. In this sense, the following guidelines set define rules that should be followed by all employees, regardless of job function. Business Conduct Guidelines) 1. Managers are responsible for ensuring that the principles and guidelines set out in this code, permanently guide the decisions taken in the different areas. 2. Valuation of liability of employees, who have the possibility of not following orders that jeopardize its integrity or that of third parties, or cause damage to the company, its image, its heritage and the environment. No one has the right to demand of an employee of MyMETRO that practice illegal acts or violations of values, principles and guidelines set forth herein. 3. Use of MyMETRO resources: 3.1. All employees have a duty to protect and preserve the assets of MyMETRO against theft, inappropriate or improper use, treating them with care and caution. 3.2. Should be monitored spending and always be alert to opportunities to improve performance and reduce costs. 3.3. The acquisition or transfer of assets of MyMETRO to employees must be held by a fair amount, and real market value. 4. Disclosure, internal or external is prohibited, any messages containing extraneous information to the activity of MyMETRO, among others, related to the spread of rumors, pornography, advertising or trade, including partisan political nature. 5. You may not use or spread of unauthorized copies or illegally obtained, any materials, systems and software produced by third parties. 6. The relations of MyMETRO with public authorities are always based on transparency, ensuring building integrity and sustainable relationships. 7. MyMETRO rejects all forms of corruption and favoritism, as well as prejudice, discrimination and harassment. 8. Working under the influence of illegal drugs or alcohol is considered a serious offense, because it jeopardizes the health and employee performance, exposing it to risks, harms the working environment and affects the company's image. 9. We respect the personal life, the privacy of employees and the confidentiality of your personal information. 10. Corporate Governance best practices: 10.1. Commitment to value creation - permanently seek increased efficiency, productivity and competitiveness, performing a constant risk management, in order to ensure value creation. 10.2. Commitment to excellence - in MyMETRO, we believe that everything can always be improved. 10.3. The responsibilities of key personnel of MyMETRO involved or are set to influence the calibration activities of the metrology laboratory, are clearly defined, in order to identify potential conflicts of interest. 10.4. The organizational structure of MyMETRO should be such that departments with conflicting interests do not adversely influence the compliance of metrology laboratory with the requirements of NP EN ISO / IEC 17025. 10.5. In MyMETRO, particularly in metrology laboratory, it operates with independence and impartiality, ensuring that all company and employees are free from any undue pressure from commercial, financial or other, susceptible to influence their technical work, by the company / laboratory shall not engage in any activities that may endanger the trust in their independence of assessment and integrity in relation to their activities. 10.6. Sales and Marketing - all promotions and public information about the services provided by MyMETRO must be accurate and truthful, and it s unacceptable disclosure of deliberately misleading messages. 10.7. Customer information - due to the professional secrecy to which all employees are required, is guaranteed customer information protection deemed sensitive, private or confidential, as well as their property rights by one as carefully as if it belonged to our own company, and should have access to information solely people who indispensably need. This includes the file protection and transmission of results by electronic means. 10.8. Purchasing practices - fair selection of suppliers and using strictly technical and business decision criteria (quality, price and service) in the buying and selling processes. All operations are adequately supported by documents that stipulate all conditions and contract specifications on which they carry out the business. 10.9. Gifts and social attention - should not offer social attention or gifts to individuals or representatives of legal entities outside the MyMETRO, even accepting offers the same, if Page 6 of 7
in exchange of services or information that directly or indirectly can lead to irregular were the activity performed by MyMETRO. 11. Personal behaviours 11.1. Employees should avoid any relationship, influence or activity (eg professional work outside the MyMETRO) that is likely to influence their freedom in making fair and objective decisions in the performance of their work, generating conflicts with the business interests and the MyMETRO and diminish confidence in its competence, impartiality, evaluation capacity or operational integrity. 11.2. It is the duty of all employees to act with integrity, avoiding in the exercise of their work, conflicts of interest, real or apparent, in their personal and professional relationships. They must therefore act with transparency, respect for ethical principles and observing best market practices. 11.3. Employees may not make use of the information of MyMETRO or personal contacts related to the business for private purposes and benefits when it brings harm to the interests of MyMETRO. 11.4. MyMETRO doesn t want to direct the conduct, moral or personal lifestyle of employees outside their working hours. However, it is expected that employees respect the law and behave as worthy and responsible citizens, preventing antisocial behaviors that may lead to a negative impact on the interests of the company. This code is defined by the management, which states their effort and commitment in meeting the principles of ethics and business conduct guidelines expressed herein.
