Verallia Group Code of Conduct Every day, Verallia enables people to enjoy beverages and food with attractive, healthy and sustainable glass packaging. Verallia s future depends on its teams and partners sharing the same values and principles.

Verallia* is a signatory to the United Nations Global Compact and has undertaken to respect its 10 principles, especially the Universal Declaration of Human Rights, the Declaration of the World Labour Organisation on Fundamental Principles and Rights at Work, and the United Nations Convention against Corruption. Human Rights 1. Businesses should support and respect the protection of internationally proclaimed human rights. 2. Businesses should make sure that they are not complicit in human rights abuses. Labour 3. Businesses should uphold the freedom of association and the effective recognition of the right to collective bargaining. 4. Businesses should contribute to the elimination of all forms of forced and compulsory labour. 5. Businesses should contribute to the effective abolition of child labour. 6. Businesses should contribute to the elimination of discrimination in respect of employment and occupation. Environment 7. Businesses should support a precautionary approach to environmental challenges. 8. Businesses should undertake initiatives to promote greater environmental responsibility. 9. Businesses should encourage the development and diffusion of environmentally friendly technologies. Anti-corruption 10. Businesses should work against corruption in all its forms, including extortion and bribery. Code of Conduct In the early 2000s, Verallia adopted a Code of Conduct reaffirming the principles that have guided all its companies and teams over the years. Today, Verallia is confirming the four cardinal values that form the basis of this Code. The four cardinal values of the Verallia Group are: Care for customers Respect people, laws and the environment Empowerment and accountability Teamwork Code of Conduct 3

Care for customers The Verallia teams undertake to comply with their commitments to their customers. They focus on anticipating customers needs and respect the promise made: quality, logistics service and design corresponding to the customer s expectations. Each Verallia employee actively undertakes in all situations to give the best of him or herself and to apply his or her expertise in order to satisfy the commitments made to the Group s customers. Respect people, laws and the environment Group employees and partners, in particular agents, consultants, subcontractors and suppliers, are also responsible for complying with this value in each country where the Group operates. They must acknowledge and comply with this Code and the other Group policies. Respect for people Respect for people structures the relationship between the Group members at all times and in all circumstances: this means listening and being sincere in all discussions. The Group companies also commit to implementing the necessary measures to ensure the health and safety of their employees. They establish a risk prevention policy, ensure its application and conduct regular checks. The Group aims to lift all its facilities to the same level as that of the Group s most efficient sites; if need be by raising them above legislative requirements. 4

The Verallia Group bans all forms of harassment and discrimination during recruitment, hiring, employment and at contract termination. Its companies comply with and promote all forms of diversity within their teams. They reject all forms of child, forced or mandatory labour. Verallia cultivates a respectful and constructive dialogue with all its employees and their representatives. Respect for the law The Group companies apply the applicable laws and regulations in the countries where they operate their business, and refuse to take any deliberate advantage of local loopholes or inconsistencies to circumvent Verallia s values. In particular, Group companies reject all actions liable to infringe the rules of competition law. They ban all forms of corruption. Group companies also refuse to participate in any form of funding for political parties or organisations. Respect for the environment The Verallia Group companies actively respect and protect the environment. All sites set precise and measurable targets for their environmental performance and regularly check their results. Verallia encourages each of its companies to set their targets at the same level as the most efficient comparable Group facilities. Code of Conduct 5

Empowerment and accountability The Verallia Group regularly sets targets and a strategy for achieving them. It focuses on making the best use possible of its employees skills and ensuring their development. Each person is responsible for these targets, the implementation of the strategy and its results. The Group encourages initiative, expressing and sharing opinions, and recognises individual and collective commitment. It also promotes an entrepreneurial approach based on personal empowerment. Teamwork The Verallia Group believes in teamwork serving the Group s collective success. This teamwork is evident, irrespective of the organisational structure, through cross-business working groups (between departments, between plants, etc.). Individually, whatever a person s level within the Group, he or she must demonstrate the ability to listen and discuss openly. Helping others, courtesy and teamwork are encouraged and recognised. 6

Implementing our Code The dissemination of these values and respect for the resultant principles are naturally the responsibility of each person. All Group employees must understand and respect the values set out in the Code of Conduct. Suppliers and partners are expected to apply equivalent standards to our own, in particular with regard to their employees. Any question regarding the Code of Conduct must be referred to managers or any other authorised person (human resources departments and compliance correspondents). This Code does not seek to be exhaustive but to express the underlying essence. Additional or particular rules are added depending on the specific area or situation, but they may not restrict in any way the values set out in this Code. All employees must be aware of and comply with this Code and the other Group policies, in particular the compliance programme. Today, the main topics addressed in this compliance programme are: compliance with the rules of competition law anti-corruption compliance with the rules concerning economic sanctions and embargoes. This list of topics is continually expanded depending on the changes to regulations and current events. In 2018, the protection of personal data will be added to our programme. Developed on the basis of guidelines and shared policies, the compliance programme is rolled out through training and checks conducted under the responsibility of our audit department.
