1. OBJECTIVE This Ethic Code has as the main objective inform the Petronect collaborators, providers service, clients and suppliers which are the ethics principles that guide the actions and conduct commitments which must be adopted by Petronect, in order to preserve the credibility and the company image. We must secure both the laws and politics compliance and the making ethical decisions with clear accountability. 2. ADDITIONAL ATTACHMENTS Not applicable. 3. DEFINITIONS Client Organization which is responsible to receive access to Petronect services or products. Supplier Organization which supply good or services to Petronect or their clients. Service Provider Organization which has contractual obligations to provide services to Petronect. 4. DESCRIPTION Petronect understands that all of its superiors must be an ethical conduct example during their professional activities. Petronect understands that it is an obligation to all the collaborators to know and follow those Ethic Code rules. It fits the Petronect Board the approval and dissemination of this Ethics Code and ensures its compliance. The instances which are eventually responsable for processing complaints of ethical transgressions will preserve the complainant's anonymity to avoid retaliation against him and give him knowledge of the measures adopted. 4.1. Petronect Rules of Ethical Conduct 4.1.1. Professional personal conduct Petronect collaborators must adopt the following conduct standards: a) To act with integrity and ethic, according to what is exposed in this Code, when dealing with the public, its suppliers, clients and other collaborators; b) To encourage further collaborators to act ethically and professionally, according to what is exposed in this Code, always seeking to grant credibility to Petronect; c) To respect and not violate any present laws in Brazil during the professional activities, whether they are fiscal, labor, criminal, civil and economical. 4.1.2. Work Duty Duties of all Petronect collaborators: a) To Treat politely other collaborators and clients, respecting their privacy and ethnical, religious, social, cultural, political, aesthetic, age, physical, mental, gender and sexual diversity, among others. No form of discrimination will be tolerated. b) To Interact with Petronect clients and suppliers in a strictly professional and ethic way, preserving the exemption necessary to the performance of your functions at the company. c) To act conscious that your work is ruled by ethical principles, which results are materialized and manifested in the adequate execution of your services. d) The company resources must be used appropriately to the execution of the professional activities to which the collaborator was assigned. e) Not to make copies, of the whole or of parts, of books, articles, reports or other documents, besides the ones authorized by copyrights laws. f) Not to take actions that seek the obtaining of any inappropriate favors or advantages through any immoral, illegal or unethical actions that might damage the image of Petronect, its clients or suppliers. 4.1.3. Work environment conduct a) Harassment of any kind based on sex, race, age, national origin, disabilities, religion or any other category protected by the law, is not only offensive, but exposes Petronect to legal responsibility. It seriously affects the work environment. Such harassment, which can occur in the form of comments, physical contact and other inadequate behaviors, is not accepted within the work environment. b) The reputation of Petronect collaborators must never be damaged by prejudiced judgment, perjury, inconsistent information or any other subterfuge. c) Violent behavior or the threat of violent behavior among Petronect collaborators, its clients and other individuals, are never adequate and will not be tolerated. Anyone involved in such kind of behavior within the work environment or that brings a dangerous or threatening material to the work environment or that, in other ways, gets involved with this kind of behavior outside the work environment is bound to the disciplinary action described in the item 4.1.11 of this Code. d) Every collaborator must watch over its physical integrity and its colleague s, respecting and following the rules and advises about personal security and work environment patrimony security within Petronect. In case it is identified any conditions in the work environment that are presented as unsafe or that might cause damage or risk to health or life, these must be immediately revealed to a superior or the competent collaborator of local security of Petronect. The collaborators must also know and follow the security and emergency procedures applicable to them. e) The collaborators must always seek in their activities the best global result to Petronect, keeping a transparent attitude of respect and collaboration with its colleagues, clients and suppliers. f) Collaborators must exercise their functions and authorities always with entrepreneur spirit, seeking to overcome challenges according to Petronect interests. g) Petronect collaborators must always exercise their assignments with maximum effort and responsibility, eliminating situations that may lead to mistakes or delays in the delivery of their services. h) Every Petronect collaborator must avoid the violation of any statute, regulation or contractual obligations and of any information security requirements established by the Petronect Security Information Policy, during its professional activities, inside or outside Petronect. i) The collaborators must cooperate fully with internal and external investigations. 4.1.4. Conduct and ethic regarding the information treatment a) Every collaborator must acknowledge the training on Petronect Security Information, which describes the tag and treatment to be applied to the information and apply it to their daily activities, in order to ensure the correct management and protection to this information along its lifetime (processing, transmission, information storage). b) Every Petronect collaborator regardless of hierarchical level, must keep confidentiality about their daily operation, as well as about their clients, suppliers and service providers information, of which they are aware due to their professional acting. c) Every service provider company must formalize confidentiality deal so they can be granted access to the information processing resources. This deal has as its objective to ensure that confidentiality is kept about any confidential or strategic information of Petronect, and that no information is revealed to third parties, except in the strict company interest of Petronect or in compliance with legal norms. In this case, always with pertinent authorization. d) Every collaborator and service providers must watch over the information of property of external parties so that they are treated according to the orientations of the information owner. e) The collaborators must not, under any circumstance, to alter or misrepresent the tone of any document, information or data that may come to compromise the integrity or confidentiality of information from Petronect, its clients or suppliers. f) The collaborators must not comment or storage confidential information, or comment about the company business in public spaces, media or further unprotected or unauthorized places. g) The use or the publication of any confidential or company information for any personal interest purposes, with benefits do one s self is prohibited. h) All the collaborators and service providers have the responsibility regarding the information safeguarding, even if it is out of the Petronect dependencies, for an example, in cases of home office. Also, have an ethical and legal responsibility to protect business information which are under their care, even after the closure of their Petronect activities. i) Collaborators can only share information or business secrets of the Company upon proper approval and formalized justification. Will be approved only the really necessary information for the performance of planned functions and activities documented processes and approved by their respective managers. Protection mechanisms should be used to access, transmission and keep this information. j) Under no circumstances, the collaborators should share their passwords with anyone. k) When printing or copying a document, collaborators should remove it immediately from the copying machine, printer or fax. 4.1.5. Interest Conflicts a) The Petronect should avoid situations that might encourage his collaborators to act in the opposite direction to the company interests. b) The Petronect collaborators cannot participate or perform external activities of individual interest that has a negative impact on the performance of their functions, that conflict with their Petronect obligations or has an adverse impact on the business, image and reputation of the company. The hierarchical position in the company, your contacts and your knowledge of the Petronect can not be used for personal gain. 4.1.6. Competitors Treatment a) Petronect will always treat its competitors fairly and providing its services and solutions based on their merits, not unworthy of their competitors and not providing them misleading information. b) Although collect information about Petronect competitors is a legitimate activity when done lawfully and ethically, the Petronect collaborators should never obtain competitive information by inappropriate methods such as the use of false identity, competitors collaborator induction to provide unauthorized business information, or obtaining access to such competitor information directly or through third parties. 4.1.7. Client Relationship a) The services provided and delivered to the Petronect customers should always attend the expectations and needs for which they were hired. b) The customer information should be used responsibly, respecting the privacy rights and keeping them in a safe place. c) During the communication with a client don t let transpire any information regarding any other client. d) All the collaborators and services providers must be conscious about the client importance and the total dependence of their satisfaction with the receipt of contracted services. 4.1.8. Relationship with suppliers and service Providers. a) The contracting services providers and suppliers selection process must always be based on criteria which aim provide the best level of professional care and ethical according the Petronect needs. b) For the contracting services and suppliers, the Petronect and his collaborators should always use assessment procedures to ensure the most cost-effective. c) Employees can t receive gifts or gratuities from suppliers or service providers in exchange for personal advantages or favors that may endanger the image of Petronect. The illicit supply and improper exchange of information may jeopardize the Company's information and may be understood as gratuity or corruption. 4.1.9. Decision-making regarding the Ethics Conduct a) The Ethic Code aims the collaborators regarding the correct actions to be taken in different situations. b) When wondering about the best decision to be taken, the collaborator must evaluate if their decision fits in the ethical values and if it is within the laws. Must evaluate if it is the best to the most, if it can be served as an example to others and if it will result in fair people treatment. c) In case of any doubts regarding the best decision to be taken, the collaborator must clarify it consulting and communicating his leadership. 4.1.10. Code compliance a) All the Petronect collaborators have the responsibility to report to their superior or the Administration in case of any illegal, doubtful or contrary to ethics conducts defined in this Code. b) All the collaborators must formalize the knowledge and acceptance of the rules described in this Ethic Code. 4.1.11. Disciplinary Action a) The violation of this Ethic Code may imply the adoption of measures and disciplinary penalties. Such sanctions may result in contract terminations, legal responsibilities and removal of the responsible Petronect collaborator. 5. PEOPLE TRAINED IN THIS STANDART All the Petronect Team. 6.
