1. AGC Group Purchasing Policy AGC Group values the idea of the Group Vision Look Beyond and the AGC Group Charter of Corporate Behavior and will regulate our performances on purchasing which are explicitly stated in the following AGC Group Purchasing Policy. 1. Basic Purchasing Principle 1. Fair & Equitable trade Our procurement policy is to consistently search for innovative technologies, product and services with a Fair and Equitable manner globally. 2. Compliance to related Laws & Regulations, and Pro-environment behavior AGC Group will comply with the applicable laws and regulations of each country where our procurement takes place, and give due regard to safety and environment. 3. Partnership AGC Group will establish a long-term, mutual prosperous partnership, based on our shared vision, to produce a better product with our business partners. To this end, we shall endeavor to keep close communication with our business partners to build and enhance our trusting relationship. 4. Protection of information, intellectual property and other assets AGC Group will properly manage and protect the proprietary information, intellectual property and assets of our business partners while procuring goods and services. 2. Criteria for Selecting Business Partners AGC Group will apply key criteria to evaluate and select business partners, as follows. 1. Sound management, Steady supply and Flexibility to match with the fluctuating demand. 2. Appropriate Quality, Pricing, Delivery date punctuality and technical service level. 3. Expectation of Business Partners Established in 2009 The AGC Group strives to be a company trusted by all its stakeholders, a company that meets the expectations of the world business community to grow and develop responsibility, and a company that significantly contributes to a healthier global society. Essentially, CSR activities are performed on voluntary basis initiated by each individual company. However, for the AGC group, to pursue the CSR policy, it is imperative for all the supply-chain linked companies to pursue their individual CSR activities as well. Accordingly, to enable us to jointly work with our business partners, we kindly ask our partners to understand our policy and to cooperate. The factors related with our Business Partners are, 1. Concentrate to supply products and services with good quality, considering Safety & Environment and Compliance to Laws & Regulations of each country. 2. Secure and proper managing of Proprietary information and Intellectual property. 3. Not to be engaged to forced labor or child labor and never tolerate infringements of human rights. 4. Make efforts to environment preservation and ensuring safety and security. 5. Maintain adequate level of occupational health and safety. 2

2. Survey Sheet for CSR implementation To promote CSR implementation in our supply chain, the AGC Group requests our business partners to understand AGC Group Purchasing Policy and to answer the CSR implementation survey. Question items 1.CSR management in your company (policy, internal publicity, confirmation, etc.) 2.Deployment status of your company s CSR policy to your suppliers 3.Operational situations for each CSR issue in your company 1) Operational situation in your company 2) Deployment situation to your suppliers 3) Preventive action against reoccurrence and remediate each CSR related problem and violation (Note) As for details of each issue, please refer to the following pages. (Note) Standards and guidelines listed in the following pages are for reference and not required to obtain or comply with. 3

Concentrate to supply products and services with good quality, considering Safety & Environment and Compliance to Laws & Regulations of each country. a. Legal compliance Comply with laws and regulations including their spirits of each country and region, and respect international norms of behavior such as the Universal Declaration of Human Rights, ILO (International Labor Organization) Declarations and United Nations Global Compact. For the through compliance, systems such as the policy, organization, notification, training and internal audit are established and implemented. b. Compliance with wages related regulation Pay compensation to workers in compliance with all applicable local wage laws and regulations including those relating to minimum wages, overtime hours and legally mandated benefits. Compliance with working time related regulation Regulate employee s working hours including overtime, not to exceed the local statutory limit. Provide employees with at least one holiday per week as well as the rights of a vacation leave as specified in the local laws. SA 8000 d. Fair trade Not being involved in cartel or collusive bidding that impede fair and free competition. Not unilaterally determine or change trading conditions with suppliers and imposing irrational requests or obligations on suppliers by abuse of a superior position as a purchaser or outsourcer. 5

Anti-corruption Maintain a sound and normal relationship with politics and government administration without committing bribery or making illegal and inappropriate political donations. Proper management of proprietary information Control and protect confidential information from customers and third parties properly Control and protect personal information of customers, third parties and employees properly and use them in an appropriate manner. Take protection against various threats in information security, and prevents damages to your company and others g. Secure intellectual property Respect the intellectual property including patent rights, utility model rights, trademark rights and design rights of other companies or individuals without infringement. Not copy and utilize articles in newspapers or magazines, books, software or another copyrighted works illegally. 7

Prohibition of forced labor Employ all workers on a voluntary basis and not commit forced labor. Ensure that workers are free to leave work at any time. Not require to surrender any government-issued identification, passports or work permits as a condition of employment SA 8000, United Nations Global Compact, ILO Declarations i. Prohibition of child labor Not employ children who are under the lowest labor age. The minimum employable age refers to the oldest among the following criteria; A. the age of 15 (or under 15 where the local laws permit), B. the minimum age for employment of the local laws, C. the age for completing compulsory education. Not let employees under the age of 18 engage in work that is likely to jeopardize the health or safety. Implement job training or apprentice within the limits of the local laws. Prohibition of infringements of human rights Respect human rights of employees and prohibit harsh and inhumane treatment such as maltreatments and various harassments. Enable employees to report any act of harassment without fear of reprisals. Also, conduct prompt investigation into the report and implement appropriate countermeasures as necessary. Elimination of discrimination Not engage in discrimination based on race, ethnicity, religion, nationality, gender, disability or any other legally protected group in hiring and employment practices such as promotions, rewards and access to training. Promotion of environmental activities Complying with local laws and regulations of environment in each country and region, promote environmental concern activities and enhance continuous improvement.
