Main financing conditions and payment arrangements and/or reference to the relevant provisions governing them: No prefinancing payment will be made for the implementation of the ensuing service contract. An interim payment of 30 % of the total contract value shall be made following the first progress review meeting, more specifically, on delivery and acceptance of the initial report including the validation activities set in WP 1 (paragraphs 2.6.2, 2.6.5 and 2.6.6 of the tender specifications). Under the conditions set out in the draft contract, payment of the balance equal to 70 % of the total amount shall be made following acceptance of the final report and the executive summary (paragraphs 2.6.5 and 2.6.6 of the tender specifications). Legal form to be taken by the group of economic operators to whom the contract is to be awarded: Consortia, may submit a tender on condition that it complies with the rules of competition. A consortium may be a permanent, legally-established grouping or a grouping which has been constituted informally for a specific tender procedure. Such groupings (or consortia) must specify the company or person heading the project (the leader) and must also submit a copy of the document authorising this company or person to submit a tender. All members of a consortium (i.e., the leader and all other members) are jointly and severally liable to the contracting authority. In addition, each member of the consortium must provide the required evidence for the exclusion and selection criteria (see Section 3 of the tender specifications). The participation of an ineligible person will result in the automatic exclusion of that person. Other particular conditions 2/6

3/6 III.2) III.2.1) III.2.2) III.2.3) The performance of the contract is subject to particular conditions: no Conditions for participation Personal situation of economic operators, including requirements relating to enrolment on professional or trade registers Information and formalities necessary for evaluating if the requirements are met: Tenderers must not be in any of the exclusion criteria indicated in Section 3.1 of the tender specifications and must have the legal capacity to allow them to participate in the tender procedure. Tenderers, including all consortium members and all subcontractors where applicable, shall provide a declaration on their honour (model in Annex IV of the tender specifications), duly signed and dated, stating that they are not in one of the situations referred to above. The tenderers, including all consortium members and all subcontractors where applicable, are asked to prove that they are authorised to perform the contract under their national law as evidenced by inclusion in a trade or professional register, or a sworn declaration or certificate, membership of a specific organisation, express authorisation or entry in the VAT register. Each tenderer, including every consortium member and every subcontractor where applicable, shall provide a duly filled in and signed legal entity form (Annex V of the tender specifications) accompanied by the documents requested therein. Economic and financial ability Information and formalities necessary for evaluating if the requirements are met: The tenderer which according to the law of the country in which it is established is required to publish the balance sheet shall complete and include in the offer a financial statement form as in Annex VIII to the tender specifications. If, for some exceptional reason which the EDA considers justified, the tenderer is unable to provide the information requested by the contracting authority, he may prove his economic and financial capacity by any other means which the EDA considers appropriate. EDA reserves the right to ask subcontractors to prove their financial capacity should their share of work be substantial. Minimum level(s) of standards possibly required: The tenderer, including every consortium member and every subcontractor (where applicable), must be in a stable financial position and have the economic and financial capacity to perform the contract. Technical capacity Information and formalities necessary for evaluating if the requirements are met: The following documents or information must be presented as evidence of compliance with the technical and professional criteria: a list of the principal services (contracts/projects, studies) corresponding in terms of scope and complexity to the services of the present call for tenders provided in the past 10 years showing the requested experience above, a description of the proposed project team and experts: a concise presentation of performance record in similar projects showing the required knowledge and experience as described above (list of CVs of project team members). The use of Europass CV template found in Annex III of the tender specifications is strongly recommended, information on which parts or tasks of the assignment will be assumed by a consortium partner or a subcontractor. The respective subcontractor or consortium partner should be specified for each part or task, any other document which could demonstrate tenderer's technical and professional capacity according to the requirements set in this paragraph, a commitment from the tenderers and the subcontractors already identified that they hold or are in a condition to obtain by the date of the awarding, where required, a facility security clearance (FSC) at the level 'Confidentiel UE/EU Confidential', and that they will appropriately safeguard the confidentiality of all classified information in their possession or coming to their notice throughout the duration of the contract and after 3/6

4/6 III.2.4) III.3) III.3.1) termination or conclusion of the contract, in accordance with the basic principles and minimum standards of security laid down in the Council Decision of 31.3.2011 on the security rules for protecting EU classified information (2011/292/EU) and the contract-specific security requirements that will be mentioned in the security aspect letters (SAL) of the future contract, EDA, as contracting authority, shall receive, by the date of the awarding, confirmation from the national security authority (NSA)/designated security authority (DSA) or any other competent security authority of the EU Member State in which the potential contractor or subcontractor concerned is registered, as appropriate in accordance with the abovementioned requirements, that a facility security clearance (FSC) at the level 'Confidentiel UE/EU Confidential' has been issued, to make possible that the contracting authority receives confirmation of an FSC by the NSA/DSA or other competent security authority where the tenderers and its subcontractors already identified are registered, the following information shall have been provided by the applicants and potential subcontractors to the contracting authority in the tender: 1. full facility name, 2. full facility physical address, 3. mailing address (if different from 2), 4. zip code/city/country, 5. facility security officer's name, phone, fax and e-mail, (see model information letter in Annex IX to the tender specifications). The technical and professional capacity will be assessed in relation to the combined capacities of all the consortium members (leader and member(s)) and the subcontractor(s), if any, as a whole. Minimum level(s) of standards possibly required: The tenderer shall demonstrate the necessary know-how, experience and reliability to successfully conduct the study. In particular, the tenderer should have previous experience (at least 5 years' track record) in the following domains: analysis and development of defence scenarios with a focus on ISR operations; development of ISR collection capabilities and related sensors and applications analysis and design of systems in a modelling and simulation environment; assessing systems design in terms of cost, benefit and risk; critical defence and dual use component technologies in the ISR domain; interacting with defence stakeholders. The tenderer should have experts with a proven knowledge of and experience (i.e. at least 5 years) in spacebased and unmanned (MALE/HALE) collection systems (as those mentioned in WP 2). All the team experts shall be computer literate, familiar with project management and shall have presentation, communication and report preparation skills. All experts must be independent and free from conflicts of interest in the responsibilities entrusted to them. The potential main contractor, and potential co-contractors and subcontractors which may be provided with EUCI at level 'Confidentiel UE/EU Confidential', must hold a facility security clearance (FSC) with safeguarding capabilities, before the awarding of the contract, up to and including the level of 'Confidentiel UE/ EU Confidential'.
