( Capgemini ), to the general public and others.the CSR Policy will also be displayed on Capgemini s website. 2. Version History 0.2 3. Objective The objective of this document is to articulate Capgemini CSR Policy and outline the relevant processes for adhering to the same. 4. Scope This policy shall apply to all CSR initiatives and activities being undertaken at the various Capgemini work centers across all locations in India. The initiative and/or activities shall be directed towards the benefit of different segments of the society, specifically covering the deprived, underprivileged and differently abled. It is aimed at providing equal opportunities and, thereby empowering them towards a dignified life. 5. Policy Details and Guidelines 5.1. Concept 5.1.1 Short Title: This policy encompasses the company s philosophy for delineating its responsibilities as a Responsible Corporate Citizen. It lays down the guidelines and mechanism for undertaking socially useful program for welfare and sustainable development of the community at large. The policy is titled CAPGEMINI INDIA CSR Policy ( CSR Policy ). 5.1.2 CSR Goal Statement, Commitment & Objective: CSR Goal Statement: Enhance our identity and reputation as a Responsible Corporate by mobilizing and contributing with our skills and resources in building a better and harmonized society.

We seek to collaborate intensively and cooperate with our multiple stakeholders including communities, customers, governments and employees to achieve our goals. Capgemini continues to enhance value creation in the society and community where it operates for the fulfillment of its role as a Socially Responsible Corporate. 5.1.2. A] CSR Commitments: The driving force behind our CSR commitment would be partnership and engagement with community. Capgemini believes that a collaborative effort can create and deliver sustainable solutions that would meet the needs of communities and fulfill their aspirations. As a responsible company, Capgemini stands committed to the causes of education, employability and environment. Capgemini would also support employees to contribute their time and skills towards causes that they feel passionate about. 5.1.2. B] CSR Objectives: The objectives of the CSR Policy are: To ensure increased commitment at all levels in the organisation for operating their business in an economically, socially and environmentally sustainable manner, while recognizing the interests of all its stakeholders To take up programs that benefit the communities in and around Capgemini s work centre and further result in enhancing the quality of life and economic wellbeing of the local populace Establish relevance of potential CSR activities to Capgemini s core business and create an overview of activities to be undertaken, in line with Schedule VII of the Companies Act, 2013 To generate community goodwill for Capgemini and help reinforce its image as a positive and socially responsible corporate entity 5.2 CSR Committee Composition, Meetings and Duties and Responsibilities 5.2.1 CSR Committee Composition The CSR Committee of the Board shall be composed of at least three (3) Directors. The CSR Committee shall include one (1) independent director effectively within the time period prescribed under law. Members of the CSR Committee may be replaced by any other member of the Board. 5.2.2 CSR Committee Meetings The CSR Committee shall meet as often as its members deem necessary to perform the duties and responsibilities, but not less than quarterly.

5.2.3 Responsibility of Board a) Approve the CSR Policy and the CSR Expenditure after taking into consideration the recommendations made by the CSR committee b) Ensure the yearly CSR spending of at least 2% of average net profits made during and immediately preceding 3 financial years, in pursuance with the Policy c) Ensure that CSR activities included in the CSR Policy are undertaken by Capgemini and that such activities are related to the activities specified in Schedule VII of the Companies Act d) Ensure disclosure of the contents of the CSR Policy on the Capgemini website e) Directors Report for FY 2013-14 onwards to include: i. Contents of the CSR Policy and Composition of the CSR committee; ii. An annual report on the CSR in the format prescribed by the Ministry of Corporate Affairs iii. Reasons for failure (if any) to spend required amount on CSR activities f) Capgemini shall undertake the CSR activities through not-for-profit entities. The Board may, in the future, decide to undertake and implement its CSR activities through a registered trust or registered society or a Section 8 company (Non-profit entity) established by the Capgemini 5.3. Resources 5.3.1 Funding For achieving its CSR objectives through implementation of meaningful and sustainable CSR programmes, Capgemini will allocate 2% of the average of last three (3) years net profit, as its annual CSR budget Depending on the need, Capgemini may also provide additional resources for the fulfillment of its CSR mandate 5.3.2. Allocation Allocation of resources to various projects and programs would be done by CSR committee of Capgemini Board at the beginning of every financial year.

5.4. Planning Identification of Thrust Areas and Strategic Initiatives: In pursuance with the rules laid down under the Companies Act 2013, Capgemini would broadly work in following areas for the next five financial years (2015-19) within cities / states in which Capgemini has presence within India: Promoting access to and quality of primary, secondary and tertiary education; Enhancing livelihood and employability skills of the youth Ensuring environment sustainability and conservation of natural resources; and Supporting communities and regions affected by natural disaster The above mentioned thrust areas would be continued for consecutive financial years unless updated in the policy with due approval from Board. For implementation of projects and activities, greater emphasis would be given on the use of digital technologies and inclusion of people with disabilities and women. 5.5. Implementation: CSR programs will be undertaken by various work centers of Capgemini to the best possible extent within the defined ambit of the identified Thrust Areas. The time period/duration over which a particular program will be spread will depend on its nature, extent of coverage and intended impact of the program. Programs, which involve considerable financial commitment and are undertaken on a timeframe of 2 5 years, will be considered as flagship programs and will be accorded enhanced significance. By and large, it may be ensured that at least 70% of the CSR programs will be implemented in and around the cities where Capgemini facilities are available. Initiatives of state governments, district administration, local administration as well as Central Government departments/ agencies, self help groups ( SHGs ), etc. would be dovetailed and synergized with the initiatives taken by Capgemini. Project activities identified under CSR are to be implemented by Special Purpose Vehicle ( SPV ), created by Capgemini in the form of societies/trusts/not for Profit Company under section 8 of thecompanies Act, 2013. For specialized input under any project, the SPV thus created may involve other agencies. 5.5.1 Process of Implementation The process for implementation of CSR programmes will involve the following steps:

5.5.1. A] Identification of programs Programs at corporate and work centre level will be identified by means of: Need identification studies by professional institutions/agencies; Internal need assessment by cross - functional team at local level; Receipt of proposals from SPV and Discussions and request with local representatives/civic bodies/citizen s forums/other non governmental organizations ( NGOs ). 5.5.1. B] Geographical Area of CSR activities: CSR works will be focused in the areas adjoining work centers. The programs identified should normally fall within a radius of 0 50kms from Capgeminifacilities/offices. 5.5.1. C] Project based approach: Capgemini work centres will follow a project-based accountability approach to stress on the long-term sustainability of CSR projects. The action plan will be distinguished as: Short Term Medium Term Long Term 6 months to 1 year 1 year to 2 years 2 years and above (Flagship programs) While identifying long-term programs, dedicated efforts will be made to define following: Program objectives Baseline survey It would give the basis on which the outcome of program would be measured Implementation schedules Timelines for milestones of the program will be set responsibilities and authorities Major results expected and measurable outcome 5.5.1. D] Powers for approval CSR programs, as may be identified by each work locations/corporate office, will be consolidated at corporate CSR level and will be required to put up to the CSR committee of the Board at the beginning of each financial year with due recommendations of the Corporate CSR Team of Capgemini.

5.5.1. E] Executing agency/partners: Capgemini will seek to identify suitable programs for implementation in line with its CSR objectives. This would ensure optimum benefit to stakeholders and community for which the programs are intended. These works would be done through: NGOs/Trust/Section 8 Companies Institutes/ Academic Organizations Contracted agencies for civil works Professional Consultancy Organizations 5.6. MONITORING AND FEEDBACK To ensure effective implementation of the CSR programs undertaken at each location, a monitoring mechanism will be installed by the CSR core team. The progress of CSR programs that are under implementation at locations will be reported to the corporate office on a monthly basis for short-term and, quarterly for medium and long-term projects. The CSR department at the corporate office will conduct impact studies/social audits on a periodic basis, through independent professional third parties/professional institutions, especially on the strategic and high value programs Appropriate documentation of the CSR Policy, annual CSR activities, implementing partners, and expenditure entailed will be undertaken on a regular basis and the same will be available in public domain CSR initiatives will also be reported in the annual report of Capgemini 6. General Any surpluses arising out of the CSR activity would not be a part of business profits of Capgemini In case of any doubts with regards to any provision of the policy and in respect to matters not covered herein, a reference would be made to the corporate CSR department In all such matters, the interpretation and decision of the CSR Leader shall be final and abiding to all Any or all provisions of the CSR Policy would be subject to revision/amendmen Capgemini reserves the rights to modify, cancel, add, or amend any of these rules
