Purpose This document describes the Corporate Responsibility Program about Quality, Ethics, Labor, Health and Safety, Environment The Corporate Responsibility Policy is described in the Technoprobe Code of Business Conduct, prepared by the company Shareholders The Technoprobe Code of Business Conduct is released and distributed by Technoprobe S.p.a. (TPI) The purpose of this program is to implement the Corporate Policy in all the local sites All the local Technoprobe sites must share the same Corporate Responsibility Policy The responsibility of the application of this program is in charge to the local General Manager The principles of the Code must be shared to all the workers in their own language by specific training sessions and explicitly subscribed The same Responsibility Policy is required to Suppliers TPI s Procurement is in charge to involve and manage key Suppliers 2
Quality Each local TP site is responsible of its own Quality Management System (QMS) Each local TP site has its own QA Manager The ISO 9001 International Quality Standard is the reference for Technoprobe Technoprobe has to guaranty an identical quality standard of the products and the process whatever is the TP manufacturing site: Copy Exactly! The design has to respect the same set of specification of the Customers, to follow the same design rules and to guaranty the same functionality of the products Products manufactured starting from the same project must be identical All the manufacturing processes must be identical among all the TP sites; manufacturing processes are transferred from TPI Any deviation in terms of processes or equipment must be evaluated in advance with TPI: a dedicated Internal Engineering Change Request (IECR) must be addressed to Transfer & Training Assistance team Design and management SW tools and data repositories are defined at Corporate level 3
Ethics Technoprobe business practices need to be governed by the fundamental principles of honesty, integrity, fair dealing and full compliance with all applicable laws Refer to the Technoprobe Code of Business Conduct for all the details A management system is required, even if not third party certified The local sites are required to develop their own management systems The system must at least require to implement a practice that allows a free and anonymous feedback to Human Resources about all the topics mentioned inside the Code of Business Conduct A register of the violations must be in place at the Human Resources department; there must be evidence of all the corrective actions taken and their effect 4
Labor Technoprobe upholds the human rights of workers and treats them with dignity and respect Refer to the Technoprobe Code of Business Conduct for all the details A management system is required in compliance with applicable national laws, even if not third party certified The local sites are required to develop their own management systems The system must at least require to implement a practice that allows a free and anonymous feedback to Human Resources about all the topics mentioned inside the Code of Business Conduct A register of the violations must be in place at the Human Resources department; there must be evidence of all the corrective actions taken and their effect 5
Health and Safety, Environment Technoprobe requires that Health and Safety of all its workers must be best ensured Refer to the Technoprobe Code of Business Conduct for all the details The impact of the company activities to the environment must be reduced as much as possible Refer to the Code of Business Conduct for all the details A management system must be in place according to national laws, even if not third party certified Periodically all the health, safety and environment risks need to be analyzed and reviewed by the Top Management Goals need to be defined and actions taken to reduce the safety risk and the impact to the environment All the workers need to be periodically informed, involved and trained; the best practices must be carefully documented All the emissions, waste and consumption of water and power need to be monitored A register of the violations must be in place; there must be evidence of all the corrective actions taken and their effect 6
Suppliers TPI is responsible to select, qualify, manage and develop key suppliers about Direct materials and components Equipment Manufacturing tools Product development software TPI Procurement monitors key suppliers with respect: ISO9001 certification Criticality Ship-to-line Supplier: suppliers of parts/components supplied going into the products Critical technology: suppliers with critical technology are qualified and materials/parts are submitted to IQC Single source for a specific material/part Amount of annual expense CE! management Suppliers are committed to notify all the design changes and any internal modifications of the products, including the manufacturing processes, before to be applied to the supplied materials/parts Company Responsibility Suppliers are required to subscribe the Technoprobe Code of Business Conduct 3TG suppliers must assure a conflict free minerals supply chain 7
Confidentiality The confidentiality policy of Technoprobe requires to protect its own information and all the proprietary information of all the Third Parties involved in the business (Customers, Suppliers, partners, ) Customer's proprietary information must be kept confidential: the access to the proprietary information of Customers need to be limited to the TP sites directly involved with the business in order to ensure that dissemination of Customer s proprietary information within its own organization is made on a strict "need to know" basis. TP s proprietary information must be kept confidential: the access to the proprietary information of TP need to be limited and protected in order to allow the continuation of business activities based on continuous innovation. 8
