2. About the Company Overview MQS is a limited liability company registered in in 1998. MQS was originally the base of the Central Operating Laboratory for welding and testing for the Caucuses Energy Installation Trust. MQS was founded to ensure that the valuable work experience acquired during the life of the COL was not lost. The COL was actively involved in the construction of large-scale power stations and nuclear power plants throughout all the territories of the former Soviet Union. The main areas of MQS operations today are oil, gas, Construction, petrochemical renewable energy projects, roads, and accommodation modules in the Caspian region which includes Design, Construction, and Procurement and operations. The "Customer Satisfaction" and "Business Excellency" strategy of the Company allows growth through various partnerships and shared resource management. The main purpose of establishing this policy is to meet and exceed clients expectations and requirements through provision of flexible, high quality and cost-effective services. MQS is a flexible and customer focused company and has a policy of continuous improvement. In order to offer a complete service to customers, MQS owns fabrication facilities, Construction Laboratory, Construction Equipment s and Machineries etc. which has been refurbished to international standards. HSE It is the policy of MQS to promote the occupational health and safety of all its employees and to comply with the requirements of the UK Health & Safety at Work Act 1974 and the Management of Health & Safety at Work Regulations 1999. To ensure compliance MQS has developed a Safety Management System that meets or exceeds all the requirements of both HASAWA and HASAWR. The complete SMS is available for inspection on request. MQS has achieved accreditation by ABS for OHSAS 18001-1999. Page 4 of 23
Quality MQS recognizes that it must provide a quality of service that meets or exceeds clients expectations. To meet this objective MQS has developed a QMS that meets the requirements of BS EN ISO 9000 1994 and accreditation to ISO 9001-2008 has been achieved for our NDT activities by Moody International & ABS Baku Branch and for the fabrication business by ABS Houston. The MQS QMS is available for inspection on request. MQS is already in possession of ABS Service Provider accreditation for NDT services and hold several State Licenses for inspection services and for radioactive isotope importation, storage and transportation. Copies of all these documents are available for inspection on request. In addition to the above MQS has the Accreditation Certificate from State Committee for standardization, Metrology and Patent of Republic of for Testing of Quality Characteristics of soils and Concrete Mix. Language All safety, quality and project documentation is produced in English & Azeri languages. A large number of employees have good English language skills and training programs are in place to teach English to as many employees as possible. Training MQS is committed to ensuring that all its employees are trained in all the latest inspection and Construction techniques and have extensive training facilities in house. All the MQS installation workforces hold current offshore medical and survival certification. Page 5 of 23
3. The Vision The MQS vision for the future is to provide as complete a service as possible for the oil & gas and non-oil & gas sectors, Construction sectors within the Caspian region, electro power and energy sites. To achieve this goal MQS are entering alliances with stockholders and suppliers of complementary services. MQS have already reached advanced stages of negotiation with several companies with the intent of putting alliance agreements in place. These additional services include non-welded pipework, non-ferrous pipe-work, in-situ pipe-work repairs, specialist construction equipment, Civil Constructions works, Roads and Bridges, Hydro electrical Structures, Tunnels, High rise Buildings, Sewage treatment Plants, accommodation Buildings and cathodic protection to name a few. MQS has a Garage area has a territory in excess of 3000 metres² and is fully equipped with modern plants and computer system for all kind of heavy machinery and cars repair works. MQS has the heavy machinery on hand for rental purposes, such as: Mobile Crane Bulldozers, Low Beds Excavators, Off-road Kamas s Hydro Winches, Tractor Units Forklifts, Pick Ups. MQS employs skilled, competent supervision and trades personnel who are all fully qualified to the required standards. All personnel qualifications including offshore survival and medical certification are available for inspection if required. All MQS facilities have main security entrances manned 24 hours a day, 7 days a week and equipped with video control system, a formal registration system and safety induction training for all visitors is in force. To maintain continuity of supply, all MQS facilities have standby power generation facilities to cover all its electrical requirements. Page 7 of 23

6. HSE Policy Statement. MQS are committed to providing a proactive and dynamic engineering support service to the offshore / onshore oil and gas industry worldwide. Through commitment to the requirements of their HSE Management System MQS are dedicated to the protection and maintenance of Health, Safety and the Environment as a primary business objective. The safety of personnel is fundamental to the success of MQS s business and projects. All tasks undertaken will be assessed for risk and those risks removed or mitigated by the use of physical or procedural measures. By setting targets for performance MQS will measure the effectiveness of the HSEMS and act upon feedback to continually improve the system and its implementation. A positive safety culture will be encouraged where all involved parties will be empowered to comment and set HSE objectives with the support and leadership of senior management. The MQS HSE Management System has been audited by ABS and in March 2005 the certificate for OHSAS 18001-1999 was awarded to the Company for all operations. MQS s suppliers and sub-contractors will be subjected to thorough examination to ensure that their HSE systems, performance and culture meet similar standards. MQS will comply with all applicable legislation and industry standards. MQS ensures that this policy is understood, implemented and maintained at all levels in the organization through the systematic implementation of the HSE Management System. 7. Quality Assurance. The object of the management of MQS is satisfy in all aspects the requirements of its customer s orders and specifications, and meet or exceed the expectations and needs. This shall be achieved by the preparation and implementation of this quality policy and documented standards to ensure that consistent and informed control of activities is established and maintained. MQS shall ensure that all management and personnel are fully conversant with these quality objectives through ongoing training and education, and that the policy is implemented and maintained at all levels throughout MQS. Compliance with the policies and procedures as described in the Quality Manual and Procedures Manuals shall be considered mandatory requirements of all personnel engaged by MQS and it is the responsibility of each individual to comply with the elements appropriate to their role within that Company. It is acknowledge by the Company that its continued success is dependent upon the requirement to provide consistent quality within all MQS s activities, and all personnel are not only required to be constantly aware of the quality requirement of MQS, but are also actively encouraged to contribute to the continued development of the quality culture. It is the policy of MQS to organize, develop and apply its quality management systems in a manner which meets the requirements of BS EN ISO 9001: 2008 and to continuously improve its method and practices. The policy of MQS is to supply quality products and services to its internal and external customers, which are free of defects and on time, every time. The MQS Director has responsibility and the authority to ensure implementation of the MQS Quality Manual and the authority to appoint a quality representative to act as the management representative on his behalf.
