4 MERCHANDISE DISCOUNT PROGRAM FOR VRR EMPLOYEES We encourage our employees to actively participate in the sports that we represent and accordingly we offer our staff the privilege of discounts on purchases. Vendors also offer Pro- Forms discounts on their merchandise. Please contact your Store Manager to obtain Pro- Forms. Employee discounts are to be used only on purchases for the employee s personal use, personal use by the employee s spouse or registered domestic partner, personal use by a related dependent of the employee, or as a gift from the employee where no reimbursement is to be received, for the gift. Standard Employee Discount Program For Store And Distribution Center Operations Non-management employees are eligible to receive a 30% discount off of the Manufacturers Suggested Retail Price (MSRP), as listed in the POS system providing the resulting price is at least 10% above cost. After 6,240 service hours, non-management employees are eligible to receive cost plus 10%. Assistant and Store and Distribution Center Managers are eligible to purchase merchandise at cost plus 10%. Standard Employee Discount Program For All Non-Store/Non-Distribution Centers Operations The employee discount for all non-store and non-distribution centers operation employees (includes Corporate, field management and support teams) is based upon the employee s career stage/grade and is in alignment with the store/distribution center discount policy. Grade 24 and above employees receive cost plus 10%. All other employees receive a 30% discount off of the MSRP until 6,240 service hours is reached at which point they become eligible to receive cost plus 10%. Additional Employee Discount Policies 4 P a g e No store-owned merchandise may be worn or used at any time prior to being purchased by the employee. No employee may ring up his/her own purchase or return. With the exception of food and beverage purchases, or equipment rentals, a member of store management must ring up every employee sale and employee return transaction. Store Managers are responsible for ensuring that all employee purchases, returns and rental transactions, are correctly discounted, documented and accurate. Every employee purchase, return and rental transactions must be rung under the correct employee number, as assigned by the VRR Payroll Dept. Use of random or multiple employee numbers is not allowed. The employee is required to show an active employee pass when making a purchase or rental. Purchasing merchandise from any VRR location, for the purpose of reselling such merchandise, constitutes a direct conflict of interest and a gross violation of Company rules. Employees are not allowed to purchase merchandise using their employee discount or employment status, with the Company, to purchase directly from suppliers, (pro-deals, etc.) in order to acquire merchandise for resale. The purchasing and resale of such merchandise, either through traditional means or over the Internet (i.e. E-Bay or other Internet sites) regardless of the purchaser s geographic location, will subject the employee to disciplinary action, up to and including termination. Only active employees are eligible to make purchases using employee discounts.

5 Regional Directors must approve the distribution, to employees, of free and promotional merchandise. Promotional items, showing a zero dollar cost, are to be sold using the discount appropriate for the employee, not to exceed 40%. Professional Deals Occasionally vendors will offer special discounts, referred to as Pro-Deals, to our employees that may be below the VRR merchandise discount. This benefit is available to current employees who have completed 30 days of service and are for personal use only. Pro-Deals cannot be used to purchase items for friends or family without specific authorization from the Chief Operating Officer. Employees must submit any Pro-Deal purchase request to their Regional Manager for final review and approval. Seasonal employees may order items from vendors carried only during the season in which they are working. Employees may only get Pro-Deals from their specific region. Merchandise purchased through a Pro-deal must be shipped through your local distribution center. The number of Pro-deals allowed to employees on certain items may be limited. Employee Equipment Rentals and Demos All employees may rent skis or snowboards, for their personal use only, for $1 per day. You must present your employee pass and be an active employee. All appropriate rental forms must be filled out and all transactions must be run through the rental POS. As with any other rental transaction, a credit card will be required as a security deposit. Rental and demo equipment insurance is not available to employees. If the equipment is damaged, the employee will be required to pay for the repair or purchase of that product. Beginning in November of each year, VRR employees will receive a coupon with their bi-weekly paycheck for complimentary ski / snowboard rentals, or ski / snowboard tuning. The coupons are transferable, which provides the employee the opportunity to provide friends, family, or anyone else with either a free equipment rental, or an equipment tune-up. In order to encourage employees to participate in the activities we promote and utilize the products that we sell, VRR provides the availability of these discount programs. Please direct any questions to your Supervisor, Area Manager / Regional Manager or Human Resources for clarification. Any use of equipment outside the above policies must be approved in writing by the Regional Manager or Chief Operating Officer. PERSONAL TELEPHONE USAGE Personal telephone calls are not to be received at work. The placement of calls is highly discouraged and must be kept short and to a minimum. The Company s toll-free telephone service ( 800 number) usage is limited to Company business. Unauthorized long distance calls are considered in the same category as theft and will not be tolerated. Store employees are prohibited from receiving personal calls via cell phones while working on the sales floor. Store Managers and Assistant Managers may use cell phones on the sales floor only for emergency calls. In the event a Manager determines an employee s need to carry a cell phone, it must be set to vibrate only. Non-emergency personal calls may be returned during an employee s work break. There should be no interruptions in any sales process with customers. 5 P a g e

6 Personal texting and/or ing from hand-held devices or cell phones is prohibited while working on the sales floor. SECURITY Vail Resorts Retail is a Company that believes every team member has the opportunity to work in an honest, ethical store environment. These Security Rules were created so that every team member can help contribute to maintaining this environment. Off-duty employees are not permitted to re-enter the interior of the Company s buildings or any other non-public work areas after normal business hours. It is a best practice for employees not to enter or occupy a store alone for safety and security reasons. Violation of the following rules will not be tolerated. This is a representation of the types of security procedures to be followed by all employees. It is not intended to be all-inclusive. No store-owned merchandise, which has not yet been purchased, may be worn or used at any time. Employees shall not falsify any written Company document (employment application, sales records, time sheets, rate of pay or hours, expense reports, rental contracts, shop tickets, inventory records, accident reports, etc.). Employees shall not disclose any confidential information concerning the operation of VRR, including sales figures. No team member shall misuse the discount privilege including Experticity. A check of employees purses, outerwear, backpacks or lockers may be conducted at any time. No one other than Vail Resorts Retail employees scheduled to work is permitted in a store before or after business hours. No person, other than employees, shall be permitted in non-sales areas unaccompanied. A member of management must be present in the store during all operating hours. No funds will be removed from the register without proper documentation being placed in the register at the time of removal. All trash must be removed from the store in the presence of management. Management may personally inspect the contents of each container for Company owned property. Store keys must be in possession of authorized management at all times and not passed to others. A Manager must complete all management designated POS purchases and related transactions. Employees are not permitted to cash personal checks or payroll checks in our stores. All employees must enter and exit through the front door entrance or designed entry/exit door. Only Managers are authorized to approve voids, returns without an original receipt, and no-sale transactions, unless otherwise authorized by Regional Director in People Soft. Management must complete reference and background checks on designated new employees. No team member may be hired before reference checks are completed. Managers are responsible for ensuring the retail/rental & repair areas are consistently monitored. Passwords for computers, registers, store access alarms, software programs, etc. are not to be shared. Weapons including firearms and knives exceeding 3 inches are not permitted on Company property at any time. Additional discounts are not allowed without Manager approval. 6 P a g e

7 Only salaried Managers are permitted to transport deposits to drop locations or banks. All daily deposits must be concealed from the public. Tips may never be solicited from a guest or vendor for services rendered. For your own safety and for that of those around you, be cautious when handling cash. Follow the procedures carefully to ensure the security of the Company. In case of an emergency such as a robbery, use caution to ensure your own safety and the safety of those around you first. Do not resist the perpetrator, cooperate fully, and call 911/notify the police after the situation appears to be safe. If possible, write down the description of the perpetrator and the description of perpetrator s vehicle with license plate number and direction of travel. Never pursue a robbery outside of the store. When going to the bank to make a deposit, vary your schedule and route so as not to have a predictable routine and go with another person whenever possible. Conceal the deposit bag and follow the rule of two when transporting deposits after store opening/closing hours. When faced with external threats such as shoplifters or irate customers, remain calm, be accurate in your observations and actions and use your best judgment to protect Company assets and ensure personal safety. Call your Manager and Loss Prevention immediately or when it is safe to do so. SAFETY The Company is strongly committed to providing a safe work environment. The safety and health of employees as well as our guests, customers, and the general public is of the highest priority. No task must ever become so routine or urgent that every safety precaution is not observed. The prevention of accidents, injuries, and property damage must always remain uppermost in the mind of every employee. We require that every employee adhere to all safety policies and partner with management in maintaining a safe working environment. Our Company strives to provide and maintain a safe working environment for employees. Each team member s cooperation is important in accomplishing this goal. You are encouraged to be aware of safety practices and to report any unsafe conditions to your Manager immediately. Shown below are safety guidelines to be followed: Learn and follow the safety procedures that apply to your job and work location. Use the specified personal protective equipment (PPE) and machine safety guards. Report all unsafe conditions promptly to your supervisor. If there is any doubt in your mind about the safety of your job, consult your Manager at once. Follow the STOP process. If you must work alone in an isolated part of the facility, make sure your Manager knows where you are, the nature of your assignment and anticipated time of completion. Report all on-the-job injuries to your Manager immediately and in writing no matter how minor the injuries appear to be. Incidents must be reported with appropriate forms filled out within 24 hours. 7 P a g e
