3 Frequently Asked Questions To assist you further, there are a number of "frequently asked questions" we receive at APMA that you may also be wondering about When is move-in time? June 5 th, 2018 (11:00 am to 6:00 pm). Larger displays should arrive earlier and should be coordinated with Stronco Show Services. 2. What hours should the booth be staffed? June 6 th 7:30 am to 6:00 pm (most traffic occurs during breaks and receptions) 3. What is the earliest time Exhibitors may dismantle booths? June 7 th at 8:00 am 4. Is Overnight Security provided? Yes. Security will be provided from 5:00 pm on June 5 th to 8:00 am on June 6 th and 6:00 pm on June 6 th to 8:00 am on June 7 th. 5. Are there facilities/means for handling heavier displays? Yes. Your booth fee will include limited drayage service. Accordingly, please advise Stronco Show Services should you have special handling needs. (Section 6.1). Additional fees may apply. 6. How many individuals may staff the booth? We recommend no more than 2 individuals per 10 ft. x 10 ft. booth at any given time. 7. May an Exhibitor attend the Conference and Meals portion of the program? Yes, APMA offers an exclusive discounted full conference registration rate. Please see Section 1.2 of the Exhibitor Manual. 9 Section APMA ANNUAL CONFERENCE & EXHIBITION CAESARS WINDSOR - JUNE 5-7, 2018 Appetite for Disruption EXHIBITOR AGREEMENT (Includes Exhibitor Registration Form, this page, the next 4 pages and all Supplemental Rules and Regulations referenced herein) As a confirmed exhibitor (herein referred to as exhibitor ) at the APMA Annual Conference & Exhibition, I agree that I am subject to all terms, conditions and regulations governing the show and its productions as set forth in this Agreement and all Caesars Windsor Exhibit Rules & Regulations and Fire Regulations (available from APMA). NOTE: Due to facility regulations, no heavy equipment is permitted in the exhibit hall. If you are unsure, please contact APMA at for clarification. EXHIBIT SPACE ASSIGNMENT & ALLOCATIONS Exhibit space will be assigned by Show Management (APMA) according to verbal or written agreement and based upon payment received. Show Management reserves the right to relocate space of exhibits that may be affected by a change in the floor plan, or in the interest of optimum traffic control and exhibit exposure, or to avoid having competitive firms adjacent to or opposite each other. Show Management's determination with respect to assignment of exhibit space is to be binding on all parties. 2. PAYMENT OF EXHIBIT SPACE As indicated on Exhibitor Registration Form. 10 Section CANCELLATION Should the Exhibitor decide to withdraw their participation, the Show Management shall have the right to retain as a cancellation fee, the payments made by the Exhibitor. 4. SUBLETTING OF SPACE The Exhibitor shall not assign, sublet, or apportion the whole or any part of the space assigned to him or have representatives, equipment or materials from firms other than his own in his assigned exhibit space without the written consent of Show Management. 5. EXHIBITOR PASSES An Exhibitor Staff List is required from each Exhibitor stating their staffing for their booth (section 1.3). Only Full Conference Registrants are permitted to attend meetings and meals. Discounted Full Conference registrations are available to Exhibitors. Consult Sections 1.2 of this manual for registration details. 6. SECURITY Caesars Windsor security will be on duty from closing to opening times each day of the show. However, Show Management does not assume responsibility for losses that might be incurred from pilfering or in any other manner during the show. The Exhibitor must arrange for special security needs separately. 7. INSTALLATION & DISMANTLING OF EXHIBITS Information on installation and dismantling of exhibits will be sent in ample time to prepare for these activities. Set up and take down of booth space must be completed prior to established time. The Exhibitor shall be responsible for any expenses incurred by Show Management and caused by Exhibitor's or his agents' delay in removing exhibit material or equipment at the close of the show, estimated at 11:00 am, and out by 4:00 pm, June 7, GENERAL BEHAVIOUR Each Exhibitor will exhibit their wares in a proper and ethical manner. Exhibitors will keep their exhibit open and staffed at all times during show hours. Show Management reserves the right to restrict exhibits to a reasonable noise level, and to suitable methods of operation and display of materials. If for any reason Show Management deems an Exhibitor, exhibit, or its contents objectionable, the exhibit will be subject to removal. This reservation includes persons, things, conduct, and printed matter of any item or attire which the Show Management may consider objectionable to the show's intent. In the event such an eviction or restriction is enforced, Show Management will not be liable for refunding rental fees or funds paid for exhibit equipment rental. 9. STORAGE There is no storage available. Exhibitors are requested to refrain from storage requests. If special storage is required, please make arrangements with your Show Services company beforehand. 10. DECORATION The Exhibitor is to make use of his exhibit space only and will not insert nails, hooks, screws or other similar items in the walls or floors of the building. Each Exhibitor will be held responsible for any damage caused by his employees or agents. 11. FIRE REGULATIONS Each Exhibitor will agree to comply with local, city and provincial laws, ordinances and regulations and the regulations of the exhibition hall covering fire, safety, health and all other matters. All exhibit materials and equipment will be reasonably located and protected by safety guards and devices where necessary. Only fireproof materials shall be used in displays and Exhibitors will Exhibitor Agreement - Page 2 of 5

11 Section 3.0 take the necessary fire precautions in regard to their vehicles. Gas caps must be taped or locked. Batteries must be disconnected. Drop sheets and tire mats must be used per Caesars Windsor s regulations. As stated in the facility s rules, all decorations and displays must be non-flammable or treated for fire prevention by approved methods. Further information of this nature can be obtained through the Show Management. Fire hose cabinets must not be obstructed and must be entirely accessible and in full view at all times. All fabric, cellulose and cardboard display material must be flame-proofed and is subject to inspection by the Windsor Fire Department. No flammable fluids or similar substances may be used or displayed in booths. No hazardous display of any nature will be permitted in any exhibit area of Caesars Windsor. This refers inclusively to open flames, hot coals, LPG lighters and cylinders, charcoal grills, flammable liquids, toxic liquid or gases, hazardous chemicals, etc., or any hazardous liquid, solid, or gas of a similar nature. 12. UNOCCUPIED SPACE The Show Management reserves the right, should any part of an Exhibitor's space remain unoccupied on the opening day of the show, or should any space be forfeited due to failure to make proper payment, to rent said space to any other Exhibitor or use said space in any other manner. 13. INSURANCE & LIABILITY Exhibitors must have insurance for liability. Please contact your agent and ensure that you are covered during the dates of the show. Neither the APMA, its service contractors, its agents, servants, contractors or employees, are liable for injuries to any person nor for damage to property owned or controlled by the Exhibitor or the Convention facility, which claims for damages or injuries may be incident to, or arise from, or be in any way connected with the Exhibitors' agents, servants, contractors, or employees. Exhibitors agree to insure themselves and their contractors/agents against property loss/damage and liability for injury. It is understood that the consignment of goods is entirely at the risk of the Exhibitor. 14. CLEANING & MAINTENANCE APMA will provide total aisle cleaning and one complimentary cleaning of the booth space (Evening of June 5, 2018). 15. INABILITY TO PERFORM If Show Management should be prevented from holding the show by any cause beyond its control or if it cannot permit Exhibitor(s) to occupy rented space due to circumstances beyond its control including, but not limited to, strike, fire, civil disobedience, inclement weather, lockouts, acts of God, the Show Management will refund to the Exhibitor the amount of the rental paid by him, less a proportionate share of the show expenses, and Show Management shall have no further obligation or liability to the Exhibitor. 16. AMENDMENTS The Show Management shall have full power in the interpretation and enforcement of all rules contained herein and the power to make such amendments thereto and such further rules and regulations governing participation in the show as shall be considered necessary for the proper conduct of said show. 12 Section 3.0 Additional Information Note: APMA s Show Contractor is Stronco Show Services and the Electrical Services provider is Caesars Windsor Electrical General illumination in the exhibit area is adequate. However, should you desire extra lighting or other electrical for any reason, Caesars Windsor will provide you with the necessary service per a schedule of rates given in the order forms. Identification tags or labels must be attached to all crates and boxes. All packaging containers, excelsior, wrapping paper, etc., must be removed from the floor and must not be stored under tables or behind booths during the exhibition period. Stronco Show Services and Caesars Electrical Services have service and information desks in Caesars Windsor. FLOOR The Exhibition occurs in the Augustus Ballroom of Caesars Windsor. Floor surface is broadloom. ELECTRICAL REGULATIONS All illuminated display booths and operating electrical equipment on display in the facility must be CSA approved. Please refer any questions in this regard to Caesars Electrical Services. Booths will be inspected by Fire and Electrical inspectors for safety adherence. SHOW CLOSING After the show, all Exhibitors shall ensure that proper instructions have been received regarding the removal and return of all exhibit material. All shipments left in the building after 6:00 pm on June 7, 2018 may be transferred to storage at the expense of the Exhibitor. RESTRICTIONS Exhibits in conventional booth spaces are not limited in terms of the type of exhibit equipment installed. However, the approved maximum height for all regular booth display space is 8', including signs. There can be NO EXCEPTIONS to this height limitation, so that the display value of an adjoining booth is not disturbed. Sidewalls, fixtures and other display material may be erected to the maximum of 8' only in that portion of the booth extending not more than 48" from the back wall. From that point to the front of the booth, fixtures, tables, counters and other display material must not exceed 42" in height. CARE OF FACILITY As stated in the Caesars Windsor rules, any damage will result in a surcharge to the Exhibitor. Exhibitors agree to surrender space in the same condition it was in when occupation commenced. Exhibitors are responsible for any damage they may cause to the exhibit hall, and for any and all claims and demands on account of any injury or death or damage to property occurring in or upon the Exhibitors' booth space, or because of the acts of the Exhibitor or the employees, servants, agents, licensees or contractors of an Exhibitor; and the Exhibitor agrees to indemnify and hold harmless, the APMA from and against all liability and claims and demands which may arise from or be asserted in connection with the foregoing undertakings and responsibilities of the Exhibitor. 13 Section 3.0 SECURITY APMA will not guarantee Exhibitors against loss of any kind. An Exhibitor or official representative must present proper identification and credentials to gain entry into the exhibit area. Exhibitors are required to provide the APMA with a list of their official representatives by May 4, General overnight security is provided. CANCELLATIONS OF EXHIBITS BY THE APMA Should any situation beyond the control of the APMA arise to prevent the opening of the Annual Meeting, the holding of the Annual Meeting, or the exhibit portion thereof, the APMA will not be liable for any expenses or losses incurred by the Exhibitor, except refund of the rental fee received for booth space. MISCELLANEOUS The management reserves the right to restrict exhibits which, because of noise or any other reason, become objectionable, and also to close without indemnity, the exhibit of any Exhibitor who shall refuse, after notice, to conform to the regular rules that apply to all other Exhibitors. When in operation, certain equipment may cause vibrations or noises which could be disturbing to other Exhibitors and meetings in adjoining rooms. Therefore, such equipment will not be permitted to operate and will be acceptable for display purposes only. Exhibitors shall not infringe upon the rights and privileges of any other Exhibitor. The exhibits must be kept clear of the aisles. All interviews, demonstrations, distribution of literature, etc., must be made inside the Exhibitor's booth. Unethical conduct or infraction of rules on the part of Exhibitors or their representatives will subject Exhibitors and/or their representatives to dismissal from the exhibit hall. In such an event, it is agreed that no refund shall be made by the APMA, or Caesars Windsor and, further, that no demand for redress will be made by Exhibitors or their representatives. Under certain circumstances, the CBSA will require a security deposit on goods temporarily imported to Canada. These goods are normally documented on the Temporary Admission Permit (Form E29B). At the time of exportation, goods granted temporary admission on a Form E29B or Carnet must be presented along with importer s/owner s copies of the appropriate documentation to CBSA for verification and certification. This presentation may occur at a CBSA office inland or at the port of export, depending on the circumstances involved and is necessary for you to receive a refund of any securities posted. Please note that the refund is not immediate. It has been noted that you have designated Academy Customs & Traffic as the official customs broker to effect customs clearance of goods destined for your event. CBSA requires everyone seeking admission into Canada to properly declare themselves to CBSA by providing accurate identification. CBSA will accept a valid passport as proof of citizenship. SPECIAL HANDLING SMALL PACKAGE SHIPMENT WEIGHTS Material that requires additional handling, including ground unloading, stacked or constricted space unloading, designated piece loading, alternate delivery location, loads mixed with pad wrapped material and shipments without proper delivery receipts. Shipment consisting of any number of pieces not exceeding a combined weight of 30 lbs, and is received collectively on the same day, from the same shipper and delivered by the same carrier. If no weight ticket is provided, Stronco s weight estimates are final and binding when shipment is received in the warehouse. Shipments may be calculated by Stronco using cubic weight (dimensional weight) or actual shipment weight (pounds) for billing purposes. INSURANCE Shipments should be adequately insured by the exhibitor for coverage when out of care, custody and control of Stronco. LIABILITY Stronco will not be held responsible for concealed damage upon delivery to advance warehouse, or damage or loss of merchandise after delivery to booth, before or during installation time, or at conclusion of show prior to delivery to common carrier. Stronco will not be responsible for damages while handling loose or inadequately packed exhibit materials. The condition, count, and contents of the materials at the time of removal will be final and binding. 53 Guidelines Insurance is the responsibility of the Licensee. Non-official suppliers must provide evidence of public liability and property damage insurance for at least $5,000, issued by an insurance company licensed to transact business in North America and in a form acceptable to Caesars Windsor, naming Caesars Windsor and Related Companies as the Additional Insured. Show Management Appointed Contractor, Rules & Regulations Show Management using outside services from other that Caesars Windsor including any installation and dismantling company, sound and lighting firm, production or promotion company, florist, or any person or company providing direct services, must notify Caesars Windsor in writing and conform to the Caesars Windsor Contractor Rules & Regulations Unions These services shall not conflict or violate existing labour regulations, agreements or contracts. Such contractors shall adhere to the regulations established by Caesars Windsor regarding entrance to and exit from the exhibit space. Liability Insurance The contractor shall possess a public liability insurance policy for a least $5,000, combining single-limit bodily injury and broad-form property damage coverage, including board-form contractual liability coverage, covering the dates of the occupancy (including set-up and tear-down). The contractor shall be a signatory and shall conform with current and acceptable labour contracts. All policies must designate Caesars Windsor and Related Companies as the Additional Insured. Copies of such endorsements must be sent by the insurance carrier to Caesars Windsor in order for a contractor to operate in the exhibit space.

54 Damages If the contractor fails to conform to Caesars Windsor regulations and requirements and there is damage to the facility or exhibit areas that is caused by the contractor, they will take full responsibility of fixing the damaged property at the Contractor s expense. More specifically; a) The contractor is responsible for adherence to all Display Regulations and Caesars Windsor regulations in a timely, professional manner and shall complete the assigned service within the prescribed occupancy period of the show contracted. b) The contractor shall cooperate fully with the official service contractor, specifically the contractor must refrain from placing undue burden on the official contractor that may interfere with the efficient utilization of labour by the official contractor. c) Prior to starting work, the appointed contractor shall apply for badges for all management personnel and any labour hired by the contractor. The appointed contractor must ensure to provide badges to all of its workers before entry to the building. All contractors must use the security entrance and follow procedures outlined in Caesars Windsor Rules & Regulations for Appointed Contractors & Event Suppliers.
