File no /2017 INVITATION TO TENDER FOR THE SUPPLY OF CONSULTANCY SERVICES TO DEVELOP A FIVE- YEAR TOURISM STRATEGIC PLAN ( ), A THREE- YEAR PROMOTION PLAN ( ), AND A YEARLY PROMOTION PLAN FOR 2019, AS WELL AS TO IMPROVE THE TOURISM MONITORING UNIT The Tourism Board of the Republic of San Marino, based in San Marino (RSM), Contrada Omagnano, no. 20, HEREBY ANNOUNCES that it intends to entrust companies specialised in consultancy and marketing activities in the tourism sector with the supply of strategic consultancy services aiming at improving and spreading the image of San Marino as a tourist destination, as well as at increasing its economic development. Such goal shall be achieved through the integrated enhancement of the value of the territory and its historical, cultural, environmental, food&wine and human resources, which make the tourism supply of the Republic of San Marino more competitive pursuant to the provisions of Law no. 22/2006 (Framework Law on Tourism). 1. 2 2. SUBJECT OF THE STRATEGIC CONSULTANCY SERVICE TO BE SUPPLIED The subject of the strategic consultancy service will be the following: 1. Work out a new Strategic Plan for the development of tourism in the Republic of San Marino for five- year period. Such plan shall redefine the future of San Marino as a tourist destination; 2. Redefine the Three- Year Tourism Promotion Plan for the period , as provided for by art. 7 of Law no. 22 of 2006 (Framework Law on Tourism), according to the new Strategic Plan worked out; 3. Support the definition of 2019 Tourism Promotion Plan coherently with the Strategic Plan and the Three- Year Promotion Plan as provided for by art. 8 of Law no. 22 of 2006 (Framework Law on Tourism); 4. Provide suitable strategic support for the reactivation of the Tourism Monitoring Unit and definition of its working method based on the statistical data processed by the competent office as provided for by art. 12 of Law no. 22 of 2006 (Framework Law on Tourism) and Regulations no. 6 of 10th April 2008 (Regulations for the Implementation of the Tourism Monitoring Unit). 3. CONTENT, ACTIVITIES, TIMESCALES AND MAXIMUM BUDGET FOR THE SUPPLY OF THE SERVICE 1. The following are the main points of the Five- Year Strategic Plan: - Analysis of the situation of the tourism system of San Marino and its competitors: identification of external and internal factors which may influence this sector, as well as tourism development trends worldwide, in Italy and in San Marino; - Strategic view of the destination: positioning of San Marino as a tourist destination; identification of the assets to develop and of critical points to solve; definition of the opportunities and tools to enhance the value of the destination; - Goals: to be defined according to the aforementioned strategic view and achievement of the desired scenario in order to increase tourist positioning, multi- sector integration, territorial promotion and appeal of the Republic; - Definition of working and action guidelines: to be adopted to achieve the goals set in the Plan also through medium/long- term regulatory policies; - Constant updating of the Plan according to expected innovations and development of the sector; - Identification of the guidelines for a general update of tourism norms coherently with the defined scenario. 2
3 The aforementioned activity shall be carried out and completed in agreement with and involving all stakeholders in the period between the end of September and the end of December of The maximum budget made available for this activity is 80, (gross). 2. The Three- Year Promotion Plan ( ) shall be an operating tool developed according to the general guidelines of the Strategic Plan and it shall include the following items pursuant to art. 7 of Law no. 22 of 2006 (Framework Law on Tourism): - a) strategic guidelines for local tourism promotion and marketing activity to be carried out after listening to the opinion of public entities and the representatives of tourism professional associations; - b) action to achieve the goals set; - c) criteria to grant subsidies and financial support to private bodies and individuals for development projects and activities for the promotion of tourism and accommodation in San Marino; - d) guidelines for the development of demand and to improve supply quality through the definition of goals and criteria of promotion; - e) monitoring activity on the implementation of the Plans; - f) definition of the budget for the implementation of each Yearly Promotion Plan; The aforementioned activity shall be carried out and completed in agreement with and involving all stakeholders in the period between January and March of The maximum budget made available for this activity is ,00 (gross). 3. The 2019 Yearly Promotion Plan shall detail the following coherently with the Strategic Plan and the Three- Year Promotion Plan, as well as in compliance with art. 8 Law no. 22 of 2006 (Framework Law on Tourism): a) guidelines and strategies for tourism policies; b) action, organization, tools and entities of tourism promotion; c) plans and programmes; d) criteria and conditions for granting subsidies and financial support; e) procedures to assess projects in relation to goals set The aforementioned activity shall be carried out and completed in agreement with and involving all stakeholders, in particular San Marino s Tourism Board, by the end of May The maximum budget made available for this activity is ,00 (gross). 3
4 4. Strategic support for the reactivation of the Tourism Monitoring Unit and the definition of its working method in order to obtain a correct analysis and monitoring of statistical data, as well as of tourism supply and demand. The starting- up activity shall be carried out by the end of February of The maximum budget made available for this phase is 15, (gross). The following monitoring activity shall be adjusted on a multiannual basis and the maximum budget made available for each year is 10, (gross). All the aforementioned activities shall be carried out in Italian. 4. HOW TO TENDER AND REGISTRATION DEADLINES Any company that intends to tender for the supply of the strategic consultancy services described in points 2 and 3 above, shall send its bid in a closed envelope to San Marino s Tourism Board by 18th August 2017 at 2.00 p.m. The object of the bid shall read: Bando per l'affidamento di un servizio di consulenza strategica per lo sviluppo del turismo della Repubblica di San Marino. The bid, signed by the bidder s director or legal representative, shall be sent in a sealed envelope signed across the seal. The bid can be handed in, mailed by registered letter with acknowledgement of receipt, or delivered by courier. The entire responsibility for the delivery of the envelopes by the aforementioned deadline will rest on senders. Bids received after the deadline will be automatically excluded and not considered. The bid shall include: a) A statement by which the bidder s director or legal representative declares that he/she has perfectly understood all general and particular conditions as set in this public invitation to tender and that he/she accepts the norms and clauses herein unconditionally. b) A copy of the bidder s valid business licence from which it is possible to infer the bidder s business purpose, which must comply with the activities requested by this Announcement. c) A photocopy of a valid ID of the bidder s director or legal representative. d) Documents proving the fulfilment of the following requirements: d1) The bidder s director or legal representative fully enjoys civil and political rights; d2) The bidder s director or legal representative being in office on the date of application or that has withdrawn from his/her office during the year preceding the date of application has not been notified a final judgement for crimes against the Republic of San Marino, its Public Administration, property, public trust and economy, also as a member of a criminal organization, or for breaking laws about safety at work; d3) The bidder s director or legal representative has not been committed to trial for the crimes mentioned in letter d2) above; 4
5 d4) The bidder s director or legal representative being in office on the date of application or that has withdrawn from his/her office during the year preceding the date of application is not an unsuitable party pursuant to article 1, paragraph 1, point 9) of Law no. 47of 23rd February 2006 and following amendments; d5) The bidder is not a unsuitable party pursuant to article 1, paragraph 1, point 9) of Law no. 47of 23rd February 2006 and following amendments; d6) The bidder has an active business licence; d7) The bidder is filed in the Register of Companies held by the Chamber of Commerce; The requirements established at points d1), d2), d3), d4) d5), d6) and d7) shall be proved by certificates and statements issued by competent organizational units and bodies supplying public services in the Republic of San Marino. If such documents refer to foreign citizens residing abroad or to companies with their registered office in foreign countries, they shall be issued by competent national bodies of the latest place of residence, as for natural persons, and by competent national bodies of the place where the company has its registered office, as for enterprises. Certificates and statements referring to foreign citizens residing abroad shall be in the form provided for by article 3, paragraph 2 of Law no. 159/2011. The parties mentioned in article 3, paragraph 1 of Law no. 159/2011 can replace the aforementioned certificates and statements with other declarations in compliance with the provisions of Law no. 159/2011. By analogy with article 44 of Law no. 189 of 22 December 2015, the fulfilment of the requirements set in points d1), d2), d3) and d4) by the bidder s director or legal representative, even in case of foreign citizens who are not resident in San Marino, can be proved by way of a self- declaration signed solely by the bidder s director or legal representative. By analogy with article 5, paragraphs 4 and 5, letter b) of Regulations no. 9 dated 10 July 2015 and following amendments and additions, companies having their registered office in foreign countries - should their director or legal representative state that no certificate or statement is issued by the country where the company is based or that it would take too long to obtain such documents compared to the deadline of the bid set below - can prove the fulfilment of the requirements set in letters d5), d6) and d7) by way of a statement given by the bidder s director or legal representative before a competent administrative or judicial authority, a notary or a qualified professional body in the country of origin. In case of false or deceiving statements, the bidder s director or legal representative who signed the aforementioned statements will be prosecuted pursuant to article 24 of Law no.159/2011. e) Evidence of proved specific expertise in the field of tourism consultancy as for strategic planning and tourism programming with special reference to the development of local tourism policies, cultural heritage and activities, accommodation, enhancement of the value of tourism system, strategic coordination of aggregating tourism systems, integrated territorial planning, analysis, research and study of innovative and top- quality tourism projects, also interregional ones, and methods for the collection of statistical data. 5
6 It is hereby requested that bidders supply a company s summary report highlighting its financial standing and technical and professional knowledge. In particular, such report shall include: A list of the main services related to the object of this tender supplied in the last 5 years, detailing amounts, dates and the name of public or private clients; The name of a coordinator of the consultancy services to be supplied and that of a marketing expert, annexing their detailed CV proving their expertise. Such people shall be suitable to perform the task specified in this Announcement; A list of the technicians and technical staff (average number of people employed yearly) directly managed by the bidder who will deal with the service herein together with the coordinator/person in charge. A description of technical tools to be used is also required so that the aforementioned experts can be immediately identified and traced, as well as a list of the measures to be adopted to ensure high quality standards together with research and investigation tools available. f) Technical bid to implement the service together with a complete list of requirements and specifications detailed in the previous points, especially in points 2 and 3. The text of such bid shall not be longer than 12 pages written on A4- size paper, Times New Roman font, (font size 11), 1.5 spacing and a maximum number of 50 lines per page, including annexes. Contents exceeding 12 pages of text will not be considered even though they contain essential elements for the assessment of the bid. g) Economic bid for the supply of the service described in previous points e) and f). The bid shall be rounded off downwards, that is it shall be lower in percentage than the maximum budgets set in point 3 of this Announcement. As for the technical bid specified in point f), should the company need to use software, licenses and any other technical tool, which the State is supposed to buy or pay a fee for, such costs, shall be detailed separately. It is hereby specified that any and every travel expense to and in San Marino to carry out the consultancy service herein will be charged to the bidder. Should bidders submit statements to replace certificates and declarations as provided for above, the Awarding Committee mentioned in point 5 of this Announcement can award the service and the Government of San Marino (State Congress) can enter any related agreement and execute the contract for the supply of strategic consultancy services even pending any check on the fulfilment of the requirements set in point d) above. Such checks shall be carried out even by requesting the contractor to submit any necessary certificate and declaration. The Awarding Committee can ask the San Marino s Chamber of Commerce to verify that the requirements established herein are fulfilled and to check the certificates and declarations submitted. Should even just one of the aforementioned requirements be unfulfilled, the contract will be terminated and, besides criminal consequences for giving false statements, the Public Administration will not pay anything for any service already supplied. Furthermore, the Public Administration will be entitled to start proceedings to claim for damages. 6

AWARDING COMMITTEE In compliance with resolution no. 30 dated 26 June 2017 issued by San Marino s Congress of State, the Awarding Committee is formed by: - A Chairperson: the Manager of San Marino s Tourism Board, Ms. Nicoletta Corbelli, as a full member; the Manager of the Department of Tourism and Culture, Ms. Gloria Licini, as a deputy member; - A representative of San Marino s Ministry of Tourism, Minister s Assistant, Ms. Marina Tamagnini, as a full member; Ministry Officer, Mr. Marco Tamagnini, as a deputy member; - A representative of San Marino s Ministry of Finance: the Manager of the Department of Finance, Mr. Davide Gasperoni, as a full member; Minister s Assistant, Ms. Marilisa Mazza, as deputy member; - Two representatives of San Marino s Trade Associations: Mr. Riccardo Vannucci, of USOT, as a full member; Mr. Francesco Brigante, of USOT, as a deputy member; Ms. Romina Menicucci, of ANIS, as a full member; Ms. Erika Faetanini, of OSLA, as a deputy member. 6. INCOMPATIBILITY OF THE MEMBERS OF THE AWARDING COMMITTEE Any member of the Awarding Committee shall be replaced should any bidder: be one of the members of the Awarding Committee or his/her spouse, relative or in- law up to the 4th grade included; be an employee of or have any permanent and well- known work or collaboration relation with San Marino s Public Administration; have any permanent and well- known work or collaboration relation with the members of the Awarding Committee. The members of the Awarding Committee will verify any alleged incompatibility once bids have been received. 7. AWARDING COMMITTEE S WORK The Awarding Committee can meet more than once to assess the content of the bids received. The Awarding Committee will assess the documents received and draw up rankings of bidders. The Committee can ask an Officer of the San Marino s Tourism Board to draw up the minutes of the meetings but without giving him/her any right to vote. 8. USEFUL DOCUMENTS: 7

EVALUATION CRITERIA OF BIDS Bids will be evaluated according to the following parameters: 1. Assessment of the technical bid mentioned in letter f) of paragraph 4 of this Announcement: up to 35 points out of 100; 2. Assessment of the economic bid mentioned in letter g) of paragraph 4 of this Announcement: up to 30 points out of 100; 3. Assessment of proved expertise of the bidders as mentioned in letter e) of paragraph 4 of this Announcement: up to 35 points out of 100. The opinion of the Awarding Committee will be final and unappealable. The Committee may reserve the right not to award the contract. 10. BEGINNING OF THE WORKING RELATION After obtaining expenditure approval from San Marino s Congress of State, the contractor shall enter an agreement with the Ministry of Tourism detailing all the conditions of supply of the services of strategic consultancy. Such agreement will become effective after it has been officially approved by the competent body and filed at the San Marino s Registry Office, and the contractor has paid all the fees due as provided for by the laws in force. It will be possible to enter a multiannual agreement of three years, renewable for two years more. The contractor will receive amounts for the supply of consultancy services net of withholding tax as provided for by the laws in force. Should not the contractor be a San Marino company, the tax rate amounts to 20%. 8

This Announcement aims to implement market researches pursuant to the principles of non- discrimination, equal treatment, proportionality and transparency. San Marino s Public Administration will not be bound in any way and it will be entitled not to start this procedure should not the bids received be compliant with the needs expressed herein. The bids submitted shall not be construed as binding for the Public Administration by bidders. The San Marino s Tourism Board will not reimburse bidders for the documents submitted. All the documents will be filed with the minutes of the Awarding Committee and they will not be returned to bidders. Bids submitted by intermediaries or trading agencies will not be accepted or taken into consideration. Personal information will be processed in compliance with Law no. 70 of 23 May 1995 only for the tendering purposes detailed in this Announcement. Such information will not communicated or disclosed to third parties. Therefore, by sending their bid duly signed, bidders give their consent to the aforementioned processing. Any and every dispute arising in relation to the content of this invitation to tender will be submitted to the Civil and Criminal Court of the Republic of San Marino.
