2 Exchange Of Engineering Communications (including Technical Data) Between Rolls-Royce & Suppliers: Using Engineering Coordination Memorandums (ECM) Purpose To define the process for the exchange of formal engineering communications (including technical data) between Rolls-Royce, and suppliers, by means of Engineering Co-ordination Memorandum (ECM). The purpose of the ECM format is:» To provide a consistent and traceable document.» Formal transfer of information between Suppliers and Rolls-Royce.» A disciplined channel for communications.

3 Memorandums (ECM). Process Description l l This process provides the means for the formal management (receipt, issue, tracking, monitoring, traceability and progression) of an ECM, together with a library system and long term storage as defined by SABRe, allowing traceability and retrieval of information. Exchange of an ECM between RR and supplier companies is either via electronic or physical media with the supplier. Within the framework of engineering communications with the supplier there are many forms of data exchange, e.g technical clarification and instruction, design analysis and review, programme definition and control etc. All these forms of engineering communication by the suppliers will only have formal standing if conducted in accordance with an agreed co-ordination memo procedure. Transfer of data etc by person to person is not considered to be formally binding.

4 Memorandums (ECM) Process Description (continued) l An ECM is not a contractually binding document; however it is admissible evidence in the event of a legal dispute. l Advice on the applicability of this process can be obtained from the Rolls-Royce ECM Co-ordinator (Process Owner). l If an ECM process has already been set up and agreed within the Design and Development Quality Plan (DDQP)/Engineering Supplier Interface Document (ESID) then this can be used as an alternative to this process. l It is expected that both the customer and supplier respond to incoming ECM s in a timely manner, i.e. less than 10 days. Exception to this is where a response date is requested on the incoming ECM.

6 Memorandums (ECM). Records - Current Documents - Outgoing ECM A fully signed hard copy (either original or scanned) is stored by ECM Co-Coordinator in a retrievable filing system. - Incoming ECM A copy is printed and stored in a retrievable filing system.

7 Memorandums (ECM). Records - Archive Documents - Records are retained in accordance with category A requirements as described below: - The generic retention period for category A records relating to products is ten years after the product type is withdrawn from use (For civil aerospace products this means ten years from withdrawal of the type certificate and for military aerospace products this means ten years from the date that Rolls-Royce notifies customers that Rolls-Royce will no longer support the product). Other category A records need to be retained permanently.

8 Memorandums (ECM) Joint Declaration - All ECMs transmitted between the supplier and Rolls-Royce shall have the following statement added: This document contains Supplier Name and Rolls-Royce (RR) PROPRIETARY INFORMATION and shall at all times remain the property of the Supplier and/or Rolls-Royce as appropriate; no intellectual property right or license is granted by the Supplier or Rolls-Royce in connection with any information contained in it. It is delivered on the express condition that said document and the information contained in it shall be treated as confidential, shall not be used for any purpose other than that for which it is hereby delivered, shall not be disclosed in whole or in part to third parties and shall not be duplicated in any manner, without prior written consent from the Supplier and/or Rolls-Royce as appropriate. Rolls-Royce will not accept any charge as the sole result of the contents of a ECM. Any Supplier action involving a charge to Rolls-Royce will only be authorised by a Rolls-Royce purchase order. - Include appropriate export control rules/regulations.

9 Memorandums (ECM). Authorisation - A list of approved signatories shall be maintained by both Rolls- Royce and the design sub-contractor and kept up to date as necessary. Serial Numbering - All Engineering Coordination Memorandums shall be uniquely identified by a serial number. - Blocks of numbers to be used by the supplier and Rolls-Royce shall be mutually agreed. - The supplier and Rolls-Royce shall allocate a serial number from within the allocated blocks as necessary.

10 Memorandums (ECM) Revision Numbers - Each ECM shall have a revision identifier along with the serial number. - The recommended revision number process is as follows: - 1) An ECM initiated by Rolls-Royce will start with R0. The supplier response to a R0 ECM will be *1. Rolls-Royce response to a *1 ECM will be R2 and the supplier response to a R2 ECM will be *3. etc. 2) An ECM initiated by supplier will start with *0. The Rolls-Royce response to a*0 ECM will be R1. The supplier's response to a R1 ECM will be *2 and the Rolls-Royce response to a *2 ECM will be R3. etc. * Supplier code letter

11 Memorandums (ECM) ECM Format - The format for an ECM shall at least contain the following: Be dated Be uniquely identified Carry applicable part numbers where appropriate Identify the correspondence initiator Be sent/received through identified points of contact Establish and meet agreed targets for communication responsiveness. Compiling - The ECM can be either a complete message in itself, or be used as a cover sheet to formalise the transmission of separate documents, including the minutes of meetings. Use must be made of the revisions to answer and maintain continuity of discussion on a subject.

12 Memorandums (ECM). Transmission of an ECM - ECMs shall be transmitted either directly between the nominated ECM approver(s) or the agreed points of transmission/distribution. ECM Addressee - Rolls-Royce and the supplier shall nominate the primary addressee to whom a respective ECM shall be sent. - An ECM shall be sent via a designated point of contact. Register - Both Rolls-Royce and the supplier shall maintain a register that records the creation, transmission and closure (when actions are requested) of each ECM
