3 GENERAL TERMS AND CONDITIONS OF DELIVERY RECITALS BCAuto Enchères, a business corporation (French SA) with capital of 1,000,000, registered on the Créteil Trade and Companies Register under number , having its registered offices at 5 rue Charles de Gaulle in Alfortville (94140), specializes in the organization, implementation and running of voluntary public auction sales of vehicles, in accordance with the provisions of Articles L et seq. of the French Commercial Code (Code de Commerce). In addition to its main activity of public auctions, BCAuto Enchères has been appointed by an automotive professional to organize the delivery of one or more vehicle. This mission is governed by these General Terms and Conditions of Delivery. IN FURTHERANCE WHEREOF, THE GENERAL TERMS AND CONDITIONS ARE AS FOLLOWS: 1) Definitions Order form means that the document, whose models adapted to each package are attached to these General Terms and Conditions of Delivery, by which the automotive professional appoints BCAuto Enchères to organize the delivery of one or more vehicles. General Terms and Conditions of Delivery means these general terms and conditions governing the mission entrusted to BCAuto Enchères to organize the delivery of a vehicle in the name and on the behalf of the automotive professional. Package means one of the various delivery packages (shuttle delivery, direct delivery) that the automotive professional may choose to take out. Opening bid means the auction starting price used in the public auction organized by BCAuto Enchères of the vehicle concerned. The opening bid is different from the reserve price. Reserve price means the minimum price set by the seller professional under which the vehicle, the public auction of which was entrusted to BCAuto Enchères, may not be sold. Automotive professional means professionals carrying on, in particular, a regular business of automotive trade, repair, or import export, including automotive professionals carrying on a business of used parts dealing, demolition and crushing which, within the meaning of articles R , 164 and 165 of the French Environmental Code (Code de l Environnement), of the decree of 4 February 2011 and the order of 2 May 2012, are the sole holders of the ELV Prefectorial accreditation valid for one year. Vehicle covers Second Hand Vehicles, Damaged Vehicles, Broken down Vehicles, " 50 Opening Bid" Vehicles and Endof Life Vehicles. Second hand vehicle means any passenger motor vehicle that is not in new condition within the meaning of Article 298(e) of the French General Tax Code (Code Général des Impôts). Damaged vehicle means any damaged motor vehicle, whether or not it is capable of running. Broken down vehicle means any motor vehicle not capable of running, other than Damaged Vehicles. End of Life vehicle (ELV) means any motor vehicle destined for demolition. 50 opening bid vehicle means all motor vehicles whose opening bid is 50 within the framework of the auctions organized by BCAuto Enchères. Vehicle capable of running means any second hand vehicle or damaged vehicle capable of running. Vehicle not capable of running means any Damaged vehicle not capable of running or broken down vehicle or end oflife vehicle. Public auction means the voluntary public auction sales referred to in Articles L et seq. of the Commercial Code organized by BCAuto Enchères in room or electronically on the website. 2) Purpose of the General Terms and Conditions of Delivery The purpose of the General Terms and Conditions of Delivery is to define the conditions under which BCAuto Enchères is appointed by the automotive professional to organize, in its name and on its behalf, the delivery of one or more vehicle(s). These General Terms and Conditions of Delivery cancel, replace and take precedence over any other condition or document issued by the automotive professional or BCAuto Enchères regarding the delivery of one or more vehicles. 3) Instructions for the delivery of the vehicle: 3.1 General principles:

4 The possibility of appointing BCAuto Enchères to organize the transport of the vehicle is based on the assumption that the automotive professional is a customer of BCAuto Enchères. Automotive professionals whose customer account has been suspended or closed, for whatever reason, in application of the provisions of the General Terms and Conditions applicable to the account in question, may not sign up for delivery packages. Automotive professionals who intend to appoint BCAuto Enchères to organize the delivery of one or more vehicle(s) must accept, beforehand and unreservedly, these General Terms and Conditions of Delivery. Unless these General Terms and Conditions of Delivery are accepted automotive professionals cannot have the vehicle transported and must comply with all contractual documents that may then apply. BCAuto Enchères is only bound by a best endeavours obligation in terms of organizing the transport. BCAuto Enchères may not be held liable for the conditions of transport entrusted to a carrier. BCAuto Enchères, acting in its capacity as agent of the automotive professional, has the status of principal in its relations with the carrier. The automotive professional is hereby informed that the relations with the carrier are governed by the provisions of Decree No of 19 July 2001 approving the model contract applicable to the public road transport of wheeled vehicles or, as applicable, to the provisions of Decree No of 6 April 1999 approving the model contract applicable to the public road transport of goods for which a specific model contract does not exist. 3.2 Delivery services Automatic Delivery Service Definition: Automotive professionals may choose to appoint BCAuto Enchères to organize the delivery of its vehicles automatically. By signing up for the automatic delivery service the professional authorizes BCAuto Enchères to organize automatically and without any other formalities the delivery of the automotive professional s vehicles within the framework of a shuttle delivery (to a BCAuto Enchères centre) or a direct delivery (delivery address). Activation of the automatic delivery service: Automotive professionals who wish to sign up for the automatic delivery service must: send BCAuto Enchères the automatic delivery contract, as provided for in Appendix 4 of these General Terms and Conditions of Delivery, signed and returned with these General Terms and Conditions of Delivery choose the delivery package either by shuttle (to a BCAuto Enchères centre) or direct (any other delivery address) which will then apply to all transport. The automatic delivery service is activated as soon as BCAuto Enchères receives the automatic delivery contract signed by the automotive professional, which then receives an e mail notifying it that the automatic delivery service is implemented. Destination: The destination will be that which matches the type of transport the automotive professional chooses when it signs up for the automatic delivery service, i.e. Either by shuttle. The provisions of article of these General Terms and Conditions for the pickup of the vehicle will then apply. Or direct. The provisions of article of these General Terms and Conditions for the delivery will then apply. Prices: The applicable prices are those given in the automatic delivery contract. The automotive professional is hereby informed that the prices may be increased in compliance with the provisions of article 3.4 below. The prices may be revised at any time by BCAuto Enchères which will notify the automotive professional of the fact by sending it a new automatic delivery contract. The new prices will come into force within one month. If the automotive professional does not accept the new prices the initial automatic delivery contract will be suspended a month after the date on which the new contract is issued. The automotive professional will be notified of the fact by a registered letter with acknowledgement of receipt. Suspension of the automatic delivery service by the automotive professional: The automotive professional may suspend the automatic delivery service at any time provided it notifies BCAuto Enchères of the fact by registered letter with acknowledgement of receipt. The automatic delivery service will be suspended as of when the aforementioned registered letter with acknowledgement of receipt is received. The automotive professional acknowledges and accepts that the automatic delivery will be implemented for all vehicles the transport

5 organization of which was the subject of performance commencing before BCAuto Enchères received the aforementioned registered letter with acknowledgement of receipt Occasional delivery service In order to appoint BCAuto Enchères to organize the delivery of one or more vehicle(s), the automotive professional must contact BCAuto Enchères which will send it an order form specifying the vehicle(s) concerned as well as the package chosen, in compliance with the models provided in Appendix 1 and 2 according to the package chosen. The automotive professional accepts the offer by paying the transport price requested by BCAuto Enchères. The automotive professional will be solely liable for any lack of information making it possible to identify or locate the vehicle(s) or destination, such that BCAuto Enchères may not be held liable on these grounds. Payment of the order form implies acceptance of the General Terms and Conditions of Delivery in force at the time. The organization of the transport of the vehicle(s) concerned is only implemented by BCAuto Enchères once it has received full payment by the automotive professional for the service in application of the prices applicable for the package chosen. Payment must be made within two days of receiving the order form. Unless payment is made within the aforementioned deadline the order form will be considered null and void. The automotive professional is then responsible for picking up and transporting the vehicle(s) itself, in compliance with any contractual documents that may apply. Once full payment is received the automotive professional will be informed by BCAuto Enchères that the transport of the vehicle(s) concerned has been implemented under the conditions and according to the terms and conditions described below that apply to the chosen package. The order form paid by the automotive professional is considered authorization granted to BCAuto Enchères to organize, in its name and on its behalf, the delivery of the vehicle(s) specified on the order form. 3.3 Delivery packages: by shuttle and direct Shuttle delivery package: Definition: Shuttle delivery consists in transporting the vehicle from the place where it is located and which is specified on the order form, to the BCAuto Enchères centre chosen by the automotive professional or, otherwise, to the BCAuto Enchères centre nearest to its registered office. Prices: The prices applicable to the shuttle delivery package are set according to: the distance to the BCAuto Enchères centre, vehicle category, and the condition of the vehicle, i.e. whether the vehicle is capable of running or not. The automotive professional is hereby informed that the prices may be increased in compliance with the provisions of article 3.4 below. The price list applicable to the shuttle delivery package is that in force at the time the order form is issued. On the day these General Terms and Conditions of Delivery is signed, the price list applicable to the shuttle delivery package is that given in Appendix 2 hereto. The automotive professional acknowledges having been informed that the prices given in the price list applicable to the shuttle delivery package may be increased. The automotive professional hereby irrevocably agrees to comply with the prices in force on the day of the order form concerned. Pickup of the vehicle: The vehicle is picked up from the BCAuto Enchères centre to which the vehicle was delivered, on presentation of an issue voucher and/or a waybill (CMR) and the identity papers of the person who is collecting the vehicle. The automotive professional alone shall assume full responsibility for collecting the vehicle, at its own risks, particularly as regards its insurance obligations and compliance with the French Highway Code (Code de la Route). Any carrier or person not having an issue voucher and/or waybill (CMR) and/or the appropriate equipment for loading the vehicle, especially for damaged vehicles, broken down vehicles and end of Life vehicles shall be denied access to the vehicle. BCAuto Enchères may not be held liable for any damage whatsoever, irrespective of the cause, when the vehicle is picked up. The vehicle must be picked up no later than 10 days after the vehicle is delivered to the BCAuto Enchères centre. In addition, parking and insurance fees shall be charged per additional day of custody in accordance with the price list in Appendix 6 of the General Terms and Conditions. In any event, automotive professionals failing to collect a vehicle paid within one month of receiving and failing to act upon notice sent by registered letter with

6 acknowledgement of receipt irrevocably gives BCAuto Enchères power of attorney to put the said vehicle on sale without any reserve price. In such a case, BCAuto Enchères undertakes to return to the Purchaser who has not picked up the vehicle, the balance of the price of the auctioned vehicle, minus by way of legal set off the fixed selling, parking, insurance and cancellation costs as defined in Appendix 6 to these the General Terms and Conditions without prejudice to any damages. The automotive professional will not entitled to claim any compensation whatsoever Direct delivery package: Definition: Direct delivery consists in transporting the vehicle from the place where it is located and which is specified on the order form, to the delivery point stipulated by the automotive professional or, otherwise, to its registered office. Delivery point: The delivery point is that specified by the automotive professional on the order form. The delivery point must be: a place precisely identified. In this respect, the professional undertakes to issue all the information needed to provide a complete, detailed delivery address, a place suitable for the envisaged delivery, easily accessible and without any particular constraints or risks. In the event of delivery on the public highway the automotive professional is responsible for ensuring that the delivery is compatible with the traffic rules and for obtaining, if necessary, all the necessary administrative authorizations, a place where the automotive professional is physically present or represented by its legal representative or any other physical person with all the powers needed to make commitments on behalf of the automotive professional. If the delivery is prevented, particularly due to the fact that the delivery point fails to comply with the criteria described above or in the absence of the automotive professional or its representative, the delivery may be refused. Under these circumstances the automotive professional will be irrevocably bound to pay the transport price as well as all the direct and indirect costs and expenses resulting from the prevented delivery. Prices: The prices applicable to the direct delivery package are set according to: the distance to be covered, the vehicle category, and the condition of the vehicle, i.e. whether the vehicle is capable of running or not. The automotive professional is hereby informed that the prices may be increased in compliance with the provisions of article 3.4 below. On the day these Special Terms and Conditions were signed, the price list applicable to the shuttle delivery package is that given in Appendix 3 hereto. The automotive professional acknowledges having been informed that the prices given in the price list applicable to the direct delivery package may be increased. The automotive professional hereby irrevocably agrees to comply with the prices in force on the day of the transport order. 3.4 Price increase The automotive professional hereby acknowledges having been informed that the prices for the shuttle delivery package and the direct delivery package may be increased, as specified in the respective price lists attached to these General Terms and Conditions of Delivery. The automotive professional hereby acknowledges having been informed in particular that a price increase is applied for the categories of vehicles specified in the list in Appendix 5. This list is merely indicative and non exhaustive. The professional hereby acknowledges that the classification of the vehicle in one of the aforementioned categories is decided at BCAuto Enchères discretion, which does not have to give reasons for its decision. If the automotive professional disputes the classification chosen by BCAuto Enchères, it is considered to have waived the transport. The automotive professional hereby acknowledges having been informed that, in particular, a price increase will be applied to deliveries in mountainous or border areas. 4) Interruption and temporary or definitive suspension of the delivery packages (by shuttle or direct) and the automatic delivery service BCAuto Enchères reserves the right to interrupt or temporarily or definitively suspend the delivery packages and automatic delivery service at any time without giving reasons. BCAuto Enchères will notify the automotive professional by any means it chooses.

7 The automotive professional will then have to pick up and transport the vehicle in accordance with any contractual documents applicable at the time. The automotive professional must accept any interruption or temporary or definitive suspension of the delivery packages and automatic delivery service, irrespective of the cause and duration, without any entitlement to indemnity. 5) Delivery performance 5.1 Timelines The delivery timelines are given as an indication only. In addition, in the direct delivery package any time slots or appointment times are also given as an indication only. The automotive professional hereby acknowledges that BCAuto Enchères may not be held liable for failure to comply with the said lead times. The automotive professional hereby acknowledges that its own opening times to the public are not binding in the framework of the vehicle delivery. 5.2 Pickup loading A carrier is responsible for picking up the vehicle from the BCAuto Enchères centre. 5.3 Transport Vehicles are delivered uncovered (without tarpaulin). In the event of difficulty during delivery or if transport is prevented, BCAuto Enchères will notify the automotive professional of the fact as soon as possible. If the vehicle is damaged during delivery BCAuto Enchères will have the vehicle repaired or compensate the automotive professional for the cost of damage or the value of the vehicle (on the basis of the reserve price or purchase price). 5.4 Unloading The carrier is responsible for unloading the vehicle. 5.5 Pickup/Delivery The terms and conditions for picking up or delivering vehicles are those stipulated for the package chosen by the automotive professional, as described above. If it proves impossible to pick up or deliver a vehicle BCAuto Enchères undertakes, other than in cases of force majeure as defined by law and French case law, to refund the price paid by the automotive professional. The automotive professional will not be entitled to claim any indemnity or sums whatsoever. 6) Reservations and Complaints As a reminder, the vehicle is transported as is. When a vehicle is picked up or delivered within the framework of one of the delivery packages, the automotive professional hereby agrees to sign any issue voucher or waybill recording pickup or delivery. Any reservations made as regards the vehicle must be indicated in writing, when picking up the vehicle, on the issue voucher or waybill. Otherwise, the Purchaser shall be deemed to have unconditionally accepted the vehicle and shall not be entitled to make any complaint whatsoever. If reservations are mentioned on the issue voucher or waybill, the automotive professional shall have a maximum of 48 hours from the pickup or delivery of the vehicle to make its complaint to BCAuto Enchères. Otherwise, it will be considered to have waived the reservations stipulated on the issue voucher or waybill. Only complaints respecting the above provisions will be considered, provided: that they concern elements not mentioned by the auctioneer or the description form of the vehicle or on the Technical Assessment or other documents and that a photo of the mileage counter is provided 7) Invoices and payment 7.1 For the shuttle delivery and direct delivery packages: The services are payable in advance, as set forth in these General Terms and Conditions. 7.2 For the automatic delivery service: Invoices must be paid in cash upon receipt. Exceptionally, later payment may be granted at the discretion of BCAuto Enchères. The fact that BCAuto Enchères have granted later payment must be proved in a written document issued by BCAuto Enchères. No discounts will be granted. In any event, no later payment may be made more than 30 days after the issue date of the invoice. If BCAuto Enchères agrees to payment in instalments within the limits of the maximum time as set out above, failure to pay a single instalment will make all sums due payable. No other formalities will be required, in particular no prior formal notice will be issued. In the event of failure to pay on reception or on a due date granted by BCAuto Enchères, no other formalities being required, in particular no prior formal notice being issued,

8 lateness penalties will be applied the value of which will be the equivalent of the interest rate charged by the European Central Bank in its most recent refinancing operation plus 10 percentage points. In addition, flat rate compensation for recovery costs of 40 will be applied without prejudice to any damages or costs claimed by BCAuto Enchères. 8) Limitation of Liability As concerns organizing the transport of vehicles, BCAuto Enchères has a best endeavours obligation. In any event, BCAuto Enchères liability is limited to this service. Under no circumstances may BCAuto Enchères be held liable for any incident, damage, deterioration or event that may occur during loading, transport, pickup or delivery, for which the carrier or automotive professional, whichever is used, is solely liable. amended on 6 August 2004 (law on data protection and civil liberties). In this respect, and in accordance with the law on data protection and civil liberties, any automotive professional has a right to access and modify their personal data featured on the website. Personal computerized files are declared to the CNIL in accordance with legislation in force. 12) General provisions, Governing Law and Jurisdiction The non validity or unenforceability of any one of the provisions of the Special Terms and Conditions shall not affect the remaining provisions hereof. For any dispute, only French law is applicable and the Commercial Court of Paris shall have exclusive jurisdiction In any event, the carrier is not liable for any incident, damage, deterioration or event, of whatever type, that affects the mechanical functions of a vehicle not capable of running. More generally, BCAuto Enchères may not be held liable in any way for any material damage, whether tangible or intangible, direct or indirect of whatever type occasioned to the automotive professional. 9) Insurance BCAuto Enchères hereby attests that it holds insurance covering all the acts and missions it undertakes as part of its activity organizing and running voluntary public auctions of second hand vehicles. Any automotive professional warrants BCAuto Enchères that it has taken out all and any insurance policies necessary for its business and more particularly to cover the vehicles from the award through to their pickup/delivery. 10) Intellectual property BCAuto Enchères remains the owner of all of its information, tools, systems, software, documentation, data, databases, trademarks, and other Intellectual Property Rights used for the organization of transporting vehicles. Therefore all documents issued by BCAuto Enchères remain its sole property and may not be reproduced without express permission from BCAuto Enchères. 11) Law on data protection and civil liberties Access to personal data BCAuto Enchères warrants that it complies with its obligations, including those concerning security and confidentiality, under French Law No of 6 January 1978 relative to data protection and civil liberties as
