( the Publisher ) reserves the right to refuse placing any Advertisement ( Ad ) at its discretion including but not limited to which the Publisher believes is or may be of an illegal or libelous nature or may be an infringement of the proprietary or other rights of a third party or is otherwise unsuitable for placement on web. 2. The Publisher further reserves the right to remove any Ad for any reason including but not limited to those set out in #1. In which case the Publisher s sole obligation shall be to so inform the Client ( Advertiser ) and the Publisher shall have no liability whatsoever in respect thereof. 3. Early termination of any insertion order is subject to full payment of the current package to the Publisher. 4. Once the Advertiser s booking is confirmed, they will be responsible to provide the visual/text to be used in the Ad, as well as the URL to be linked; if the Advertiser does not have its own website, the Publisher will offer a free profile web page link to the Publisher s Website () with a one-time production cost of $100, the content is to be provided by the Advertiser. If the Advertiser needs to update the web page content, the Publisher will offer two (2) free updates service every month based on the monthly package only; further amendment will be charged $50 each. 5. The Ad Service Rates are subject to change without prior notice and to all applicable taxes. All prices are in gross and Canadian dollars. All recognized advertising agencies will be entitled to a 15% Agency Commission. 6. All Ad s are set with rotation policy except on specific positions as outlined in the rate sheet. As a consequence, all Ad s of one location has same exposure times and same average exposure rate. 7. Ad spaces are on a first-come-first-serve basis at the first place. The Advertiser has priority to renew its existing Ad positions contract if there are other advertisers bids. 8. If the Ad is postponed on Publisher s Website due to the Advertiser s fault, Ad contract is still effective and related fee and payment will be applied to the Advertiser. If the Advertiser s fault causes over one week delay, the Publisher reserves the right to retract the Ad position and charge the Advertiser for consequent loss. 9. If an Advertiser or Advertising Agency fails to submit material on time, the Publisher reserves the right to repeat a previous advertisement of the correct size or run a house advertisement and Advertiser or Advertising Agency will be responsible for full payment. 10. All advertisements are accepted and advertised on web entirely upon the representation that the Advertising Agency and Advertiser are authorized to advertise the entire contents and subject matter thereof. In consideration of the web advertisements, the Advertiser and Advertising Agency will indemnify and render the Publisher harmless from and against any loss or expense arising out of such web advertisement, including, without limitation, those resulting from claims or suits for libel, violation of right of privacy or right of publicity, plagiarism or copyright infringement. In consideration of the Publisher s reviewing for acceptance, or acceptance of, any web advertisement, the Advertising Agency and Advertiser agree not to make promotional or merchandising reference to Ming Pao Daily News, in any way except with the expressed written permission of the Publisher for each such use. 11. The Publisher shall not be liable to the Advertiser or Advertising Agency or any other persons for damages or loss resulting directly or indirectly from the advertisement not being advertised on web by the Publisher, its agents, or servant including, without limitations: failure to advertise on web, mistakes, omissions, delays, errors, or defects in colour whether or not such damages or loss resulted from a breach of obligations or contract (whether or not such breach is considered to be fundamental), or from negligent tortious or delictual conduct of the Publisher, its servants or agents, or any other act or omissions which might give rise to any cause of action. 12. The Publisher reserves the right to reject or cancel any advertisement for any reason at any time.
