Terms and conditions SAP Business One HANA Innovation Award 1. General Statements SAP (hereinafter the "Organizer" or "SAP") is launching a free contest (hereinafter the contest") for all those Partners that comply with all the requisites referred below ("the Partners") and that intends to participate in the Contest in the Market Units defined below and only for the participant countries therein. The participation of the Partners in the contest is completely free and does not imply an obligation to directly or indirectly purchase any product or service. 2. Territory: This contest will be available for those B1 Partners that wish to participate within the following countries exclusively: Argentina, Brazil, Bolivia, Chile, Colombia, Costa Rica, Ecuador, El Salvador, Guatemala, Honduras, Jamaica, Mexico, Nicaragua, Panama, Paraguay, Peru, Puerto Rico, Dominican Republic and, Uruguay. 3. Requirements to participate in the Contest 3.1. Must be an active SELL PE of SAP Business One Partner, with current PE contract 3.2. Partner must not be on credit hold. 3.3. Projects must be registered by the Partner by completing in its entirety the on-line registration form available in the portal http://www.saplatam.com/sap_business_one_on_hana in accordance with the dates set forth in the Timeline section. Entry is deemed submitted by the authorized account holder of the e-mail address used as the user name at the time of registration. Authorized account holder is defined as the legal representative natural person who is assigned to the e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. lf your registration form is incomplete; you will not be eligible for the Contest. SAP assumes no responsibility for computer system, hardware, software, network program, or other errors, failures, or' malfunctions of any kind, whether human or technical in nature, in the transmission or receipt of entries or registrations. Submission of an entry constitutes your acceptance of the conditions and rules of the Contest. 4. Generals of the Contest This contest aims that the participants present analytical visualizations in SAP BUSINESS ONE developed through modeling tools in HANA platform. Such visualizations must comply with the terms and conditions that are mentioned in the present document. 5. Contest Requisites 5.1. Analytics Project must be completely created using SAP Business One on HANA.
5.2. Notwithstanding point 4, Partners are allowed to use B1 Schemes and certificate add-on schemes. 5.3. Analytical projects must be a real business case that apply to SAP Business One customers 5.4. Are only allowed to submit one Analytics projects by Partner which will have to be created by a consultant(s) of the Partner. 5.5. Projects must be registered in the portal http://www.saplatam.com/sap_business_one_on_hana on the date set forth below. 5.6. Registered Projects must be loaded in the portal before due date on terms and conditions defined. 5.7. The winners will be recognized in the Innovation Summit award ceremony. 6. Project Registration When the project is registered in the portal, it will have to comply with the following requirements: Partner Name Consultant(s) name(s) Project Industry Project Brief description 7. Project Presentation The project will have to be presented in PDF format using the form defined in the portal http://www.sap-latam.com/sap_business_one_on_hana with the SAP Business One HANA Cockpit or SAP Lumira visualization. Modeling documentation generated from HANA Studio. HANA packages with the views and procedures created for the analytics Short video in mp4 format (<= 5 min) explaining the project showing the modeling views and calculations, as well as the cockpit value proposition. 8. Restrictions 8.1. No Development projects can participate in the Contest, only analytical projects based on HANA modeling. 8.2. Participating projects will have to be presented in time according to the timeline section defined herein. 9. The jury will carry out the evaluation of the projects taking into account a quality and creativity criteria as detailed below. The decision of the jury will be unappeasable in all matters relating to the contest. 10. Qualification and Creativity criteria: In order to be considered a winner, the Partner will have to achieve all the following criteria: 10.1. Innovative business impact. 10.2. Advanced modeling scenarios. 10.3. Use of the HANA unique capabilities (PAL, BFL, etc). 10.4. Use of the modeling best practices 10.5. A twist of specific business-oriented. 10.6. Tendency to be able to be reused. SAP reserves the right to cancel or suspend the Contest should virus, bugs or other causes beyond SAP s control corrupt the administration, security, or proper judging of the contest. lf SAP detects harmful system activity, harmful network activity, or use of the systems for activity beyond the scope of the Contest, SAP reserves the right to remove system resources or to revoke user lds from the Contest. SAP will not responsible for technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software, except if they are directly attributable to SAP and caused due to willful misconduct or gross negligence from SAP. 11. Awards: SAP will award one Partner per Market Unit (Mexico, North, South and Brazil). The winner of the first place of each Market Unit will receive the following awards: Award per Market Unit: Memorial Galvano in the Innovation summit award ceremony; Recorded video with a success story and promotion at sap.com and SAP social channels; Local recognition of the PARTNER in SAP media communication; and An e-gift card of USD $700 at Amazon. The award will be provided to each Market Unit winner by SAP throughout the subsidiary or the company of the SAP group it may deem appropriate. No cash value or substitutions of awards except by SAP who may change awards or make such substitutions as necessary to meet export/legal requirements. Awards will be delivered to confirmed winners. By accepting awards, winners further agree to release SAP and its subsidiaries, affiliates and related companies and each of their respective officers, directors, employees and agents, from any and all liability, loss or damage of any kind arising out of or in connection with winners' participation in this Contest, or with respect to awarding, receipt, possession, use and/or misuse of any prize, or to participation in the Contest or in award-related activities. By accepting awards, winners further acknowledge that SAP and its subsidiaries and affiliates have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied in fact or in law, relative to award or to any portion thereof, including but not limited to its quality, merchantability, mechanical condition, or fitness for a particular purpose.
Except where prohibited by law, by accepting award, winner consents to the use of its name, and information for advertising and promotional purposes worldwide without limitations and without compensation. 12. Timeline Contest Launch: November 1, 2017 Partner participation Confirmation: November 21 nd, 2017 Project delivery according the specified in the point February 10 th, 2018 at 12 EST. Finalists Evaluation by the jury: February 02/2018, March 03/2018. Presentation of the winners and awards event: April, 2018 SAP Businesses One Innovation Summit. 13. Terms and Conditions Acceptance: The participation in this Contest implies full acceptance of all the terms and conditions contained herein. 14. Copyright Each Partner claims to be the author of intellectual property rights of the analytical project developed by it. The Partner acknowledged and agrees to give SAP the exclusive and irrevocable, right free of obligations, charges and limitations, who accepts the rights of promote, publish, communicate or distribute publicly by any analog or digital means included interactive networks (including the Internet) and at any time the result of modeling (visualizations) around the world without exception. The Partner also represents and warrants to SAP that: The assignment of rights to promote the visualizations does not violate, any rights of third parties, including secret, image, confidentiality and intellectual property rights. The Partner is and will be the sole, legitimate and exclusive owner of all economic rights the project and/or modeling. That Partner will not create or use any material which infringes any person's intellectual or industrial property rights. The Partner recognizes and accepts that o Reservation of Rights. Participant recognizes and accepts that the SAP Materials and SAP Confidential Information and all title, rights and interest, especially, without limitation, any Intellectual Property Rights embodied therein are the sole and exclusive property of the SAP SE, SAP Group or their licensors, subject to any rights, title or interest expressly granted to Participants under the Contest o Protection of Rights. Participant is not entitled to copy, translate, disassemble, decompile nor reverse engineer the Software or other SAP Materials. Participant must not create or attempt to create the source code from the object code of the Software or other SAP Materials. Participant must not change or remove SAP s copyright and authorship notices attached to or relating to the Software or other SAP Materials; o Confidential Information. Participant must treat SAP s Confidential Information in a manner that is at least as protective to SAP as the rights and restrictions set forth below.
15. Antibribery The Partners shall observe and enforce, by their directors, employees, suppliers and subcontractors, the highest ethical standards throughout the life of the Contest for the subsequent 12-month period, (i) by committing themselves to comply with all applicable laws and regulations. For the purpose of this instrument, especially those involving the prevention of money laundering and anticorruption activities, the Foreign Corrupt Practices Act ("FCPA") and the UK Bribery Act 2010 ("UKBA"), as well as any provisions applicable under the laws of the countries where the Contest will take place, and all dispositions of Inter-American Convention Against Corruption (B-58) of the Organization of American States (ii) not to offer or receive monetary or any kind of benefit, which is not justified by the nature of the activity carried out; (Iii) not to use child labor or subject its employees to conditions of inhuman, forced or slave-like work, as well as to respect environmental and consumer laws and (iv) not to use or disclaim, any trademark of the other party without the proper authorization of the holder of the use rights. Notwithstanding to the set above the Brazilian Partners will be compliant with all dispositions and also the Law 12.846/13. 16. Applicable law: These terms and conditions will be interpreted and enforced according to the laws of Philadelphia.
