June, 16 th CONFERENCES June, 17 th & 18 th EXHIBITION 2015 CNIT - La Défense General conditions of sale ORGANIzATION GENERAL COMMISSION The Siec trade fair is organized by CICC SARL, a company with a capital of 50,000 Euros and head office at 3, rue la Boétie, 75008 PARIS, entered under No B431 423 144 in the Paris Register of Commerce and Trade. Siec15 OPENING HOURS, DATES AND LOCATION June 16 th, 17 th & 18 th 2015 CNIT La Défense, Paris. Opens at 09:00 Closes at 19:00 PAYMENT Payment shall be made to CICC. Reservations made without payment will not be approved. Amounts outstanding as on the settlement date specified on the invoices, whether identical or different to the settlement date specified in the participation documents, will entail penalties amounting to 3 times the legal interest rate, accrued as from the day after the settlement date specified on the invoice. In the event of non-payment of the balance on the final settlement date, the organizer reserves the right to make use of this advertising space as it deems fit, in particular displaying the phrase «This space is reserved by» followed by the name of the advertiser, who will not be entitled to claim reimbursement of the order, nor to any compensation. Advertiser/sponsor who defaults on full payment of the price will not be authorized to apply for any future event held by the organizer. CANCELLATION Cancellation of advertising/sponsoring order will not provide grounds for reimbursement of the amounts paid, which will remain payable in full. Failure to settle the amounts due within the specified terms of payment does not relieve the exhibitor of its commitments. In the event of default on payment within the specified term, the Organization Committee reserves the option to relieve itself of all commitments in respect of the exhibitor with regard to the availability of the reserved stand and the exhibitor will not be entitled to claim reimbursement of all or part of the amounts which it has undertaken to pay. CANCELLATION OF THE EVENT In the event of force majeure circumstances as defined by case law preventing the organizer from gaining access to the premises as required to hold the event, the organizer reserves the right to cancel the event at any time, notifying the advertisers/sponsors in writing. Advertisers/ sponsors will not be entitled to any compensation or indemnity in these cases. For this reason, the amounts remaining available after payment of all committed expenditure will be distributed among the exhibitors and advertisers/sponsors in proportion to the amounts they have paid. In these cases the exhibitors, by express agreement, will not be entitled to lay claims of any kind or for any reason against the organizer. CLAIMS AND DISPUTES Claims must be laid by sending a registered letter with a return receipt within ten days of closure of the event. In the event of a dispute, only French law applies and the Courts of Paris are the only competent authority. ADVERTISING IN TRADE FAIR STANDS Items comprising advertising (images, texts, hyperlinks, etc.) must be provided by the advertiser and must correspond to the technical characteristics provided by CICC. The latter bears no liability for any delay in the appearance of an advertisement arising from failure of the advertiser to comply with the required technical characteristics. Advertisers bear sole liability for the appearance of their advertisements and CICC bears no liability under any circumstances for non-compliance or modification of all or part of the advertised products or for cancellation or failure to implement or deliver the advertised products. In particular cases where an advertiser, having ordered advertising space on an advertising facility provided by the organizer, fails to provide the latter with the information and documents required for the advertisement to appear within the specified deadline, the organizer reserves the right to make use of this advertising space as it deems fit, in particular displaying the phrase «This space is reserved by» followed by the name of the advertiser, who will not be entitled to claim reimbursement of the order, nor to any compensation. Documents used for publishing the advertisement will only be returned to participants or their agents on request. As the organizer is only required to keep such documents for one (1) year, it may destroy them after this term expires. CICC reserves the right to purely and simply refuse to display advertisements which by their nature, their text or their presentation may give rise to objections on the part of readers. The above is assessed at the sole discretion of CICC and the advertiser explicitly foregoes the right to any claim in this respect. The size of advertising space offered by CICC is always subject to availability in the publications. Some spaces can by definition be sold in limited amounts only. Advertisers/sponsors are responsible for paying for advertising under the conditions agreed with CICC. No advertisement may be disseminated without the explicit agreement of CICC and before payment of the amount due in full. SPONSORSHIP Sponsorship actions offered by CICC are always subject to availability. Advertisers are responsible for paying sponsorships under the conditions agreed with CICC. No action may be implemented without the explicit agreement of CICC and before full payment of the amount due. Some events held by the organizer may be sponsored by advertisers in accordance with the details specifying the event characteristics as defined in the participation contract. Sponsorship is not exclusive unless otherwise specified. In the event that several participants sponsor one and the same event, they will be promoted by the organizer in proportion to the size of their contributions. The organizer reserves the right to modify the characteristics of the event or to require the participants to alter items intended for dissemination, in particular so as to comply with legal requirements or in relation to the general organization of the event and/or more generally the interests of all participants. INTELLECTUAL PROPERTY AND IMAGE REPRO- DUCTION RIGHTS Advertisers/sponsors must provide guarantees to the organizer that they hold authorization and intellectual property rights pertaining to the materials/products/designs and brands exhibited during the event and must comply with the legal provisions in force. APPLICABLE LAW AND JURIDICTION These regulations are governed by French law. The advertiser/sponsor acknowledges that he/ she is familiar with the French version of these documents (published on the event website and/or provided by the organizer on first written request by the advertiser/sponsor) can only be challenged by parties that the latter explicitly recognize. Advertisers/sponsors undertake to attempt to settle disputes amicably with the organizer before referring to the competent courts. IN THE EVENT OF LITIGATION CONCERNING THE VALIDITY, IN- TERPRETATION OR IMPLEMENTATION OF THE STIPULATIONS DESCRIBED HEREIN, THE PARTIES EXPRESSLY ACCEPT THAT THE COURT WITH JURIS- DICTION OVER THE HEAD OFFICE OF THE ORGA- NISER IS THE ONLY COMPETENT AUTHORITY TO HANDLE THE CASE. DISPUTES All litigation to which this contract may give rise, concerning its validity, interpretation, implementation, realization, consequences and results shall be submitted to the competent courts under conditions of common law. ACCEPTANCE BY THE ADVERTISER/SPONSOR The advertiser/sponsor acknowledges that he/she if fully acquainted with, and expressly approves and accepts these General Conditions of Sale and undertakes to comply with its provisions. On this account, the advertiser/sponsor undertakes not to refer matters to any contradictory documents and, in particular, the exhibitor s own general conditions, which cannot challenge the organizer.
