Organizational Changes (as of April 2, 2010) To respond to changes in the business environment in the short term and build a system to execute the Fourth Medium-Term Business Plan starting in fiscal 2011, the Company will establish three divisions (,, and ) dealing with three management issues (business policy, operating base and operating structure). Each Division will incorporate its essential departments respectively. With the establishment of the three divisions, the Company will set up Financial Enterprise Sales, Business Enterprise Sales, Solutions Promotion, and Sales Control Departments and Tokyo Branch to bolster its operational structure. 1) Establishment of The is positioned as a division responsible for developing the Company s strategies and business policies and reforming the business structure based on those strategies and policies. The Division will incorporate the Corporate Planning, IR & PR, General Affairs, Human Resources, Corporate Social Responsibility Promotion, and Information Systems Departments. 2) Establishment of The is positioned as a division developing the base of the Company s business to improve its administrative efficiency. The Division will improve efficiency of the operation of the Company together with the development of its key information processing system of the next generation. The Division will incorporate the Operations Planning, Operations Service, and Asset Management Departments. 3) Establishment of The is positioned as a division quickly building an operational system of the Company to accelerate its unique solutions business. The Division will incorporate the Business Strategy, Sales Control, Solutions Promotion, Financial Enterprise Sales, and Business Enterprise Sales Departments. 4) Outline of new Departments - Financial Enterprise Sales Department The Financial Enterprise Sales Department will seek to gain diverse corporate needs in collaboration with regional banks, megabanks, investment banks among other partners. The Department will develop specialty one-stop financial solutions in collaboration with RISA Partners. - Business Enterprise Sales Department The Business Enterprise Sales Department will develop relationship management business contributing to expanding the customer base of the NEC Group and will promote the sales of solution models linked to the solutions of the NEC Group.

5 - Solutions Promotion Department As a sales department, the Solutions Promotion Department will develop unique asset finance models and asset investment and management models and will promote the launches of these models. - Tokyo Branch The Tokyo Branch will provide sales finance primarily for NEC and the NEC Group distributors in Tokyo. - Sales Control Department The Company will consolidate sales management departments, which are in charge of the management of sales policies and goals, progress management, and knowledge sharing for all sales departments in the Company, into the Sales Control Department. The Department will perform agile sales monitoring and will develop sales tactics in response to market circumstances in collaboration with the Business Strategy Department developing business strategies. 5) Change of the name of a department With the establishment of the Tokyo Branch, the Company will change the name of Tokyo Business Department to the Specific Merchandise Sales Department to avoid confusion.
