2 My background and role Employed by ENVIRON; an international Environmental Consultancy Provide environmental and social impact and management expertise to project developers (or lenders) on major international developments Assistance project developers in meeting requirements of host countries and relevant lender standards Supported other transboundary gas pipeline projects e.g. Nord Stream Assisting South Stream Transport BV (SSTTBV) with their approach to environmental and social management since Q4, 2011
3 The South Stream Pipeline Offshore pipeline developed by South Stream Transport B.V.
4 Environmental and social requirements Subject to national environmental legislative requirements in all three host countries; prompts the preparation of Environmental Impact Assessments (EIA) In addition, SSTTBV is seeking financing from Commercial Banks and Export Credit Agencies. As a result additional environmental and social standards and guidelines will be applied to the Project including: Equator Principles III OECD Common Approaches, 2012 Accordingly, Environmental and Social Impact Assessments (ESIA) consistent with these international standards and guidelines are also being prepared
5 SSTTBVs approach and strategy SSTTBV has taken a proactive approach to the management of E&S issues; included the appointment of three international environmental consultancies with comparable and complementary skills 1. URS Independent ESIA consultants 2. ERM - E&S Advisors 3. ENVIRON - E&S Advisors ENVIRON was engaged at a very early stage to provide strategic advice i.e. prior to appointment of ESIA consultants. This has allowed SSTTBV to: develop a mechanism for an integrated approach to the development of Environmental and Social Management Plans (ESMP) clarify SSTTBV s E&S management expectations of construction contractors during the bidding process

8 Importance of the ESMP A key document (suite of plans) that will be scrutinised by the Lenders independent consultant during environmental and social due diligence. The ESMP must: capture all commitments made by the Project be a plan that can be used by the Contractors SSTTBV s approach draws from lessons learned on other large financed projects. Difficulties encountered include: inadvertent disclosure of unrealistic mitigation measures inconsistencies between the EIA/ESIA and ESMP lack of awareness/reluctance of Contractors to implement commitments made in the ESMP contractors unable to work with ESMPs cannot be readily integrated into their own management systems/plans
9 SSTTBVs approach and solutions Difficulties Unworkable/unrealistic commitments Inconsistency between the ESIA and ESMP Lack of awareness/ reluctance of Contractors to implement commitments in the ESMP Contractors unable to use the ESMPs Compatibility with upstream/downstream projects SSTTBV solution Commitments committee established regular meetings during preparation of ESIA Concurrent review by experienced Advisors Contractors made aware of requirement during the bid process Tailoring of ESMP to align with contractors scopes/activities e.g. Landfall CMP, Offshore CMP etc. SSTTBV is actively engaging with upstream and downstream parties
10 Summary SSTTBV has considered E&S management from the onset. It has been proactive in the development of a strategy that draws from lessons learned during other similar large-scale transboundary Projects. The approach requires some additional upfront effort, but should ultimately: result in smoother Lenders due diligence process; and better implementation of environmental and social management actions and therefore better Environmental and Social performance.
