Evaluation Criteria The evaluation criteria are not listed in any order of significance or are necessarily given equal weight. The Evaluation Criteria for this RFQ will be based on the following: -. a. Respondents proposal to address the statement of works and methodology to achieve the desired outcome within the time objective b. Quality and skills of the staff proposed to complete the task c. Capability and experience of the respondent d. 5 Request for Quotation Conditions (Part A) RFQ DECTAFE GENERAL CONDITIONS 1 Conditions of RFQ 1.1 Conditions Each RFQ Response should be submitted in accordance with: a) these Conditions; b) the mandatory requirements set out in the Requirements (except in the case of an Alternative Response delivered in accordance with section 5.1.2); c) all other attachments to this RFQ; and d) any additional terms and conditions that the Department may notify on the Website, or otherwise provide to the Respondent in connection with this RFQ, otherwise the Department may not consider the RFQ Response or may reject it on that basis. 1.2 Respondent to inform itself By submitting a RFQ Response, the Respondent acknowledges that: a) it has examined all information relevant to the risks and contingencies and other circumstances having an effect on the RFQ Response; and b) it has satisfied itself: (i) 1.3 Validity Period that the RFQ Response, including all price information, is correct and complies with section 1.1 above; and (ii) that it is financially and practically viable for it to provide the Deliverables. Any RFQ Response submitted by the Respondent will remain open for acceptance by the Department for the Validity Period. 1.4 Prescribed form of RFQ Response The RFQ Response must comprise a completed Response and include any attachments to the Response as may be necessary. Any attachments should be labelled to identify those numbered paragraphs of the Requirements to which they relate If a Contract is attached to the RFQ document, the Respondent must confirm agreement with the terms of the Contract, or indicate in the RFQ Response which provisions of the Contract it does not agree with or cannot comply with Prices, responses and other information provided in the RFQ Response are to be in writing and in English. All pricing information must be in Australian dollars and be expressed exclusive of GST. 1.5 Discrepancies, errors or omissions The Respondent should notify the Contact Support Office in writing on or before the Closing Time and Date if it finds any discrepancy, error or omission in this RFQ. 1.6 Inconsistencies If there is inconsistency among any of the parts of this RFQ, the following order of priority will apply so that the higher ranked document will prevail to the extent of the inconsistency: a) any Addenda (in date order for multiple Addenda); then b) the Requirements; then c) the Contract; then d) these Conditions. 6 1.7 Respondent s risk Request for Quotation Conditions (Part A) RFQ DECTAFE The Respondent acknowledges it is participating in this RFQ at its sole risk and cost and that the Department is not liable to it for any expenses or costs incurred by it in connection with this RFQ, including where the RFQ has been discontinued. 1.8 The Department's rights The Department, at its absolute discretion, may discontinue the RFQ process; reject any Response; decline to issue any contract; or procure the Deliverables separately from this RFQ process. 2 Respondent eligibility 2.1 Legal entity of Respondent The Respondent may only submit a RFQ Response if it is a legal entity with the capacity to enter into and perform the Contract The Department may ask the Respondent to provide evidence of its legal status or capacity to enter into and perform the Contract. If the Respondent proposes to contract in its capacity as a trustee, such evidence may include copies of the relevant trust deeds. Any evidence requested is to be provided within 3 working days of the request. 2.2 Financial capability of Respondent If, in the opinion of the Department, the Respondent does not to have appropriate financial capability, the Department reserves the right to: a) reject any RFQ Response of the Respondent; or b) accept any RFQ Response conditional upon the Respondent entering into a bank, parent company or personal guarantee, or an unconditional performance bond in a form satisfactory to the Department. 2.3 ABN Requirements The Respondent must have an ABN, unless otherwise approved in writing by the Department. 2.4 Joint response If a RFQ Response is to be jointly submitted by more than one party, a reference to Respondent in this RFQ means all parties submitting the joint Response. If the parties to a joint Response are successful, the Contract must be entered into by all parties to the joint Response. 2.5 Sub-contractors If any part of the Deliverables is to be supplied by a sub-contractor, the Respondent must identify the subcontractor and clearly state which goods or services are to be provided by the sub-contractor. If the Respondent is successful, the contract would be entered into by the Respondent and the Respondent will be responsible for the sub-contractor's performance of the contract. 2.6 Small and Medium Enterprises The Department encourages participation of Small and Medium Enterprises, including Aboriginal Businesses and employers of disabled people (Australian Disability Enterprises) wherever this is applicable to the requirements. This participation may be through direct engagement or through the Respondent s supply chain. Respondents should clearly indicate their status or inclusion of these business types as parties in the engagement for this requirement. The Contact Support Officer should be notified if any aspect of this RFQ provides unnecessary barriers that effectively prohibit participation by these businesses. 7 Request for Quotation Conditions (Part A) RFQ DECTAFE RFQ information 3.1 Respondent briefing If required, a Respondent briefing will be held on the date, time and place indicated in the Key Dates. Representatives from the Department will be available at that time to receive any queries regarding this RFQ Unless otherwise approved by the Department, no more than 2 persons from the Respondent will be permitted to attend the Respondent briefing. The Respondent must provide the Contact Support Office with the names of persons attending the Respondent briefing no later than 3 working days prior to the date of the Respondent briefing. 3.2 Contact Support Office The Respondent should refer requests for information or advice regarding this RFQ to the Contact Support Office Any information given to a Respondent to clarify any aspect of this RFQ will also be given to all other Respondents if in the Department s opinion the information would unfairly favour the inquiring Respondent over other Respondents. 4 RFQ Response lodgement 4.1 Electronic lodgement All RFQ Responses are to be lodged electronically via the Website and must be fully received by the Department by the Closing Time and Date A Respondent, by electronically lodging a RFQ Response, is taken to have accepted the terms and conditions on the Website A Respondent must observe the following format for lodgements: a) the RFQ Response must be lodged in an Accepted File Format eg. Docx,. xlsx Other formats for the attachments are only to be submitted if an arrangement has first been made with the Contract Support Office prior to lodgement of the RFQ Response; b) the Respondent must not submit self-extracting (*exe) zip files. If the Respondent compresses files, it must be possible to decompress the files using WinZip; c) the Respondent must not change pre-existing text in the Response other than to insert the requested information; d) the Respondent must not include any macros, applets, or executable code or files in the Response; e) the Respondent must ensure that electronically lodged files are free from viruses by checking the files with an up to date virus-checking program before lodging; f) the Respondent may break down the lodgement of large RFQ Responses into smaller packages if clearly identified e.g. package 1 of 3; 2 of 3; 3 of 3; and g) all file names must have an extension and not have invalid characters or file names/loading pathnames too long for the system as detailed on the Website. 4.2 Issues with electronic lodgement If a Respondent experiences any persistent difficulty with the Website in submitting a RFQ Response or otherwise, it is encouraged to advise the Contact Support Office promptly in writing If there is an extended defect failure of the Website or etendering system and the Department is advised, the Closing Time and Date may be extended provided that, in the view of the Department, the RFQ process will not be compromised by such an extension. 8 4.3 Supporting items Request for Quotation Conditions (Part A) RFQ DECTAFE Items provided by the Respondent in support of its RFQ Response that cannot be lodged electronically should be: a) clearly designated as supporting items to the RFQ Response; b) delivered in a sealed package or envelope during normal building opening hours of 9:00am to 4:30pm Monday to Friday (excluding public holidays) to: Tender Box Procurement Solutions Directorate NSW Department of Education and Communities 35 Bridge Street Sydney NSW 2000 RFQ Name: RFQ Number: If a package is large in physical size and cannot be separated into more than one package, or delivery personnel require a signature as evidence of delivery, the package must be delivered only by prior arrangement with the Contact Support Office. The Department s personnel will not take delivery of any packages that present a work health and safety risk in terms of size or weight. 5 RFQ process 5.1 Non-Conforming Responses and Alternative Responses Non-Conforming Responses may be excluded from the RFQ process without further consideration at the Department s absolute discretion The Respondent may submit an Alternative Response. Alternative Responses will only be considered if submitted in conjunction with a RFQ Response that conforms with all aspects of this RFQ (with the only exception of any non-mandatory parts of the Requirements). An Alternative Response must be clearly marked Alternative Response. 5.2 Late Responses A RFQ Response received after the Closing Time and Date (a Late Response) will not be considered by the Department unless the Department, at its absolute discretion, is satisfied that the integrity and competitiveness of the RFQ process will not be compromised. 5.3 Multiple lodgements If a Respondent provides multiple lodgements, the last RFQ Response received before the Closing Time and Date will be the RFQ Response to be considered unless the Respondent provides clear directions to whether the lodgement is: a) an Alternative Response; b) supporting items to a RFQ Response; or c) a further part of a RFQ Response that has previously been lodged. 6 Addenda to RFQ If for any reason the Department, at its absolute discretion, requires the RFQ to be amended before the Closing Time and Date, an Addendum will be issued In each case, an Addendum becomes part of the RFQ The Department, during the RFQ period may issue Addenda altering the RFQ. In such cases, it is the obligation of the Respondent to verify if any addenda were issued prior to the Closing Time and Date, even if a RFQ Response has already been submitted by the Respondent. 9 Request for Quotation Conditions (Part A) RFQ DECTAFE Respondents must check the Website address, and download the Addendum. 6.2 Receipt of RFQ Responses On receipt of RFQ Responses lodged electronically to the NSW Government etendering system, RFQ Responses are encrypted and stored in a secure electronic tender box For reasons of probity and security, the Department and its agent are prevented from accessing the electronic tender box to ascertain whether RFQ Responses have been received or for any reason, until after the Closing Time and Date The receipt that is automatically generated to the system user upon successful lodgement of the RFQ Response on the NSW Government etendering system is the only receipt of lodgement provided. 6.3 Variations to RFQ Responses The Respondent may only vary its RFQ Response with the consent of the Department provided that, in the Department s view, it would not: a) substantially alter the original RFQ Response; or b) result in the revising or expanding of a RFQ Response in a way that would give the Respondent an unfair advantage over other Respondents. 6.4 Site inspections and presentations The Department may at its absolute discretion, during the consideration of RFQ Responses: a) undertake site inspections of the Respondent s or its subcontractor s proposed premises on reasonable notice to the Respondent; and/or b) invite the Respondent to make a presentation regarding its RFQ Response If the Respondent complies with a request under section above, it does so at its own cost and expense, and acknowledges that a request under section does not represent a commitment by the Department to accept any aspect of the Respondent s RFQ Response. 6.5 Consideration of RFQ Responses In the consideration of RFQ Responses, the Department may take into account any information about the Respondent that the Department receives from any source, including but not limited to any site inspections and presentations. 6.6 Post RFQ Negotiations Before making any determination as to the acceptance or rejection of a RFQ Response, the Department may, at its absolute discretion, conduct limited negotiations with the Respondent The Respondent acknowledges and accepts that the Department may, at its absolute discretion, conduct such negotiations with more than one Respondent. 7 Method of acceptance Acceptance of a RFQ Response or part of a RFQ Response will be subject to the execution of a formal Contract. To clarify, until the Department and the successful Respondent(s) execute a formal Contract there will be no legally enforceable agreement concluded between them. 8 Corruption, laws and policies and ethical conduct 8.1 Compliance The Respondent must comply with the law and NSW Government and Department Procurement Policies The Respondent must disclose any conflict of interest in its Response. 10 Request for Quotation Conditions (Part A) RFQ DECTAFE If the Respondent, or any of its officers, employees, agents or contractors is found to have: a) offered any inducement or reward to any public servant or employee, agent or subcontractor of the Department or the NSW Government in connection with this RFQ or a submitted RFQ Response; b) not complied with any laws or NSW Government and Department Procurement Policies; c) breached these Conditions; d) an improper conflict of interest; e) committed corrupt conduct in the meaning of the Independent Commission Against Corruption Act 1988; f) proposed goods or services (including components of these) that have been or will be produced using 'the worst forms of child labour' as defined under ILO Convention 182; or g) a record or alleged record of unethical behaviour, it may result in the Department rejecting and not further considering the RFQ Response, or if a Contract has been signed, then the Department may terminate that Contract without liability for any damages The Department may, at its absolute discretion, invite a relevant Respondent to provide written comments within a specified time before the Department excludes the Respondent on this basis. 8.2 Department to be notified of issues The Respondent must provide the Department s Chief Procurement Officer with information concerning any matters referred to in 8.1.3, findings of dishonest, unfair, unconscionable, corrupt or illegal conduct against the Respondent, its directors or management. The Respondent must provide this information as soon as it becomes aware of it. 8.3 Worst Forms of Child Labour The Department will not accept any or all of the Respondent s proposed Deliverables either proposed to be supplied by or sourced by the Respondent (including components of these) been produced using 'the worst forms of child labour' as defined under ILO Convention Disclosure of information 9.1 Disclosure of information obligations Following the Department s decision, the Respondent will be notified in writing of the outcome of its RFQ Response(s) Details of this RFQ and the outcome of the RFQ process may be disclosed if required in accordance with the Government Information (Public Access) Act 2009 (NSW). An outline of these requirements can be found in Details of Deliverables provided through the Contract may be published on the Department s internet site. 9.2 Exchange of Information between Government Agencies Lodgement of a RFQ Response will itself be an authorisation by the Respondent to the Department to make available, on request, to any NSW government agency information, including but not limited to, information dealing with the Respondent s performance on any contract that may be awarded. Such information may be used by the recipient NSW Government agency for assessment of suitability for pre-qualification, selective tender lists, expressions of interest or the award of a contract or termination of contract. 11 Request for Quotation Conditions (Part A) RFQ DECTAFE The provision of the information by the Department to any other NSW Government agency is agreed by the Respondent to be a communication falling within section 30 of the Defamation Act 2005 (NSW), and the Respondent shall have no claim against the Department and the State of New South Wales in respect of any matter arising out of the provision or receipt of such information, including any claim for loss to the Respondent arising out of the communication. To clarify, information that may be collected, exchanged and used in accordance with this provision includes personal information about the Respondent for the purposes of the Privacy and Personal Information Protection Act Lodgement of a RFQ Response will be an authorisation by the Respondent to the Department to collect such information from third parties, and to use and exchange such information in accordance with this section Complaints Procedure It is the NSW Government s objective to ensure that industry is given every opportunity to win Government contracts. Aboriginal Businesses Addendum Alternative Response Australian Disability Enterprises Closing Time and Date Conditions Contract Contact Support Office Department Deliverables Key Dates Non-Conforming Response NSW Government and Department Policies Respondent is defined in the NSW Procurement Board Direction as being one which: is certified as an Indigenous business by Supply Nation (formerly the Australian Indigenous Minority Supplier Council), or is certified as an Indigenous business by the NSW Indigenous Chamber of Commerce, or meets the definition of an Indigenous business under the definition used in the Australian Government s Indigenous Opportunity Policy (the Indigenous Opportunities Policy currently defines an Indigenous business as a business that has an ABN and 51 per cent Indigenous ownership). means an addition to this RFQ made by the Department before the Closing Time and Date. a Non-Conforming Response that is intended to offer a different method of meeting the object and intent of the Requirements. are defined on the NSW Procurement procurepoint website as being commercial businesses that provide employment for people with a disability. They have been included in a register through an order made by the Minister for Disability Services. 15 STATEMENT OF REQUIREMENTS Request for Quotation Statement of Requirements (Part B) RFQ DECTAFE TAFE NSW New Business Model 1 Background/General Information 1.1 The NSW TAFE Commission (known as TAFE NSW) is a statutory authority established by State legislation. TAFE NSW is the NSW public vocational education and training (VET) provider and has an essential role to play in strengthening the skills base of the NSW economy and supporting economic growth for NSW communities. It is recognised as a provider of the highest quality of vocational education. 1.2 TAFE NSW is in the process of a profound transformation of its governance and business model, motivated by both external and internal factors, to enable it to establish strong foundations for a sustainable future in a deregulated training market 1.3 TAFE NSW operates in a competitive environment. NSW alone has over private vocational education and training (VET) providers within a national market of approximately providers. From 2015, competitive pressure on TAFE NSW will intensify as the NSW Government implements Smart and Skilled and initially approximately 30 per cent of the previous TAFE NSW State Recurrent Allocation will be subject to contestability. The introduction of a new government pricing and fee structure for publicly subsidised places from 2015 will also impact on student demand and institute viability. Experience of interstate TAFE systems undergoing similar changes indicate the loss of market share and considerable financial vulnerability. 1.4 In the context of changes to the NSW training market, the NSW Government issued the Statement of Owner Expectations for TAFE NSW in August The Statement articulates the need for TAFE NSW and its institutes to adapt and become more flexible, with a stronger focus on customers and with increased accountability to the NSW Government as its owner. 1.5 The Government's Statement requires TAFE NSW to transform its business model so it remains viable. It must continue to reduce dependency on public funding and seek new opportunities to grow commercial revenues in areas that add public value for NSW. 1.6 The Statement also authorises TAFE NSW, with the support of its Board, to implement governance reforms agreed by Government. Individual TAFE NSW Institutes are to be established as separate legal entities, wholly owned and controlled by TAFE NSW. They will operate as part of the TAFE NSW network. Institutes will have authority to manage their finances, assets and workforces, to develop and respond to business opportunities and to strengthen their commercial capability so they can thrive in an increasingly contestable VET market. 1.7 Legislative amendment is envisaged in 2015, to enable the establishment of a TAFE NSW governing Board and institutes as statutory bodies. It is further envisaged that the proposed TAFE NSW governing board will assess institute viability and capacity and monitor progression to more autonomous governance 1.8 (see Attachment A for a description of current corporate and financial context) 2 Scope 2.1 The scope of the project is to assist in shaping a new era for TAFE NSW as it trends to an efficient and commercially focussed government business. The successful respondent will work with TAFE to define the deliverables and agree on a cost structure for the project. The second phase will involve the full analysis and completion of the deliverables as defined in the project objectives. 3 Objectives 3.1 The objective of the RFQ is to select a service provider to conduct a review of the critical deliverables for this assignment and develop a report that outlines recommendations, financial diagnostics and analysis to substantiate a competitive business model (or model options) for TAFE NSW and institutes. 3.2 Phase 1 Initial scoping and Project definition The successful service provider will be required to develop a detailed plan within the first two weeks after commencing the project. TAFE NSW will work with the successful service provider to agree on the terms for Phase Phase 2 Delivery of the Project The report should include advice on the following: TAFE asset, ICT, workforce, service delivery, marketing or other related strategies or operational reforms required to support the business model, How TAFE will effectively leverage the value of being a networked organisation with devolved governance, Savings opportunities and costs associated with the model's implementation, Produce a suite of KPIs and measures to validate the performance of the proposed business model, including institutes' progressive steps to local governance arrangements, and A transition and implementation plan aligned to governance reform milestones Additional requirements: The service provider is expected to take an evidence-based approach to this project, and underpin analysis and proposals with financial and non-financial diagnostics, comparative benchmarking, and modelling of possible business model scenarios TAFE will provide access to internal information, data and internal systems as necessary during Phase 1 and 2 of the delivery The service provider will be expected to consult extensively with nominated members of the NSW TAFE Commission board, TAFE Executive Group,key staff and external stakeholders. The service provider will be required to brief and advise the project reference group guiding the project. This implementation plan should also identify key staff nominated for delivery phases of the plan. 7 Pricing 7.1 The price component proposal is request to be submitted in two elements: Phase 1 Fixed price to conduct initial scope of the project, it is expected that this phase will be no more than two weeks and should only involve a desk top integration of available information to scope Phase two of the project Phase 2 Estimate of cost for the completion of the project based on the information provide within the RFQ scope. This price estimate should outline all conditions applied to the costing proposal for this phase. 7.2 All prices must exclude GST 8 Contract Management The Service Provider will nominate a skilled Manager who will be the main point of contact between the Department (through TAFE NSW) and the Service Provider. The Service Providers Manager is responsible for the following: 8.1 Representing the Service Provider in relation to the contract and making appropriate decisions on day-to-day issues in respect to the contract; 8.2 Coordinating the technical aspects of the contract; 8.3 Monitoring the Service providers compliance with its obligations in relation to the contract and actioning any issues that arise; 8.4 Providing contract management reporting to the Department in accordance with the contract management Plan. 23 COMMERCIAL IN CONFIDENCE Attachment A to DECTAFE TAFE NSW New business model EXISTING CORPORATE AND FINANCIAL CONTEXT TAFE NSW is part of the NSW Department of Education and Communities (DEC) cluster. From 1 July 2014 TAFE NSW has been financially and administratively separated from DEC and now receives a separate budget as a Government agency. This change allows TAFE NSW to operate as a distinct financial entity with greater transparency and accountability for its financial outcomes. A memorandum of understanding between TAFE NSW and DEC underpins the fee paid to DEC for specific corporate services. TAFE NSW Institutes TAFE NSW operates through its network of ten institutes. Each institute is a registered training organisation (RTO) and is regulated by the Australian Skills Quality Authority for compliance against national standards. There are four metropolitan and six regional institutes with a total of over 130 campuses and approximately 170 sites across NSW. As at October 2013, TAFE NSW has approximately staff, or a full time equivalent of Over forty percent of staff are in rural and regional NSW. In 2013 TAFE NSW had 500,000 enrolments. Whilst each institute is part of the TAFE Commission, Institutes are the key interface and the contact point for enrolment of TAFE NSW customers. The delivery profile of an institute is determined by it in response to the needs of customers, industry partners and the local community. The institute is responsible for the programs it delivers and the staff it engages to deliver its programs. TAFE NSW institutes compete for a range of business including government contestable funds, international students, fee for service programs including higher education courses and commercial contracts with employers. Institutes have extensive business and community partnerships and customise their training and services to the specific needs of the industries and regions they serve. As well as the TAFE NSW website, each institute has its own website providing information about it and the range of courses and services offered. The NSW TAFE Commission Board The NSW TAFE Commission Board is currently an advisory body to the Minister. It makes recommendations to the Minister regarding policies, the management of TAFE NSW 1 23

24 COMMERCIAL IN CONFIDENCE including its commercial activities, corporate plans and establishing relationships with other education sectors. Budget The TAFE NSW budget as published in the State Budget papers includes a core allocation of funds from the State Government as well as an estimate of all revenues from a range of other sources including student fees, fee for service activities, Commonwealth and State contestable funds and other commercial revenues. Over a quarter of the TAFE NSW budget is currently made up of contestable revenues: non State Recurrent Allocation (non SRA) revenues for which Institutes compete. The TAFE NSW budget for is $1.862 billion. Operations The Managing Director of TAFE NSW is responsible for the day to day and major strategic directions of the NSW TAFE Commission and is supported by the TAFE Executive Group a body comprising all ten Institute Directors, and the Executive Directors of corporate units. This body provides advice, governance and leadership on matters affecting TAFE NSW. TAFE Institutes corporate, financial and business systems are largely administered by the Department via the MOU referred to above and/or TAFE corporate units, specifically: Human resources, payroll, financial and assets management systems are administered by the Department Student services and systems, including enrolments and records management, are administered by TAFE Customer Support Performance reporting is centrally coordinated by TAFE Finance and Strategy Strategic planning and accountability for business development and performance, budget management, human resources and ICT services is managed by Institutes. 2 24
