1 Private sector investment in the Power Sector of Bangladesh: Role of Private Sector Cross Border Energy Trade in South Asia. Manzur Ahmed, Adviser, FBCCI Bangladesh India Power Trade is being inaugurated to day on 5 th October, 2013, (at about now) by the two Prime Ministers, Sheikh Hasina and Manmohon Singh. Let us all celebrate this occasion and commemorate this day every year as the SAARC ENERGY SOLIDARITY DAY. Bangladesh started drawing power from Indian grid on through a 103-kilometre high-voltage transmission line between Baharampur in West Bengal and Bheramara in Kushtia. Commercial transmission begins on October 1 with 175MW of power after a three-day test transmission. However PDB would start importing 500MW of power from November when substation in Bangladesh will be ready for commercial transmission of 500MW of power. The power board has made three months payment amounting to Tk 3.59 crore (250 MW/day/Tk 52 crore/month) to Indian state-run company NTPC Vidyut Vyapar Nigam in advance. Out of the 500MW of power, 250MW is to be supplied from Indian central government s unallocated quota, which is usually supplied to different states of India. The rest 250MW of power will be imported from Indian private sector. Indian Central Electricity Regulatory Commission has set the price of the public sector power. NTPC Vidyut Vyapar Nigam will supply 250MW of power for 25 years for over Tk 6/KWH (at the rate supplied to Indian states) until CERC re-fixes the price. Private sector PTC India Limited will supply the rest 250MW of power to Bangladesh for three years at Tk 6.70 a unit. The power board, however, is yet to sign a power purchase contract with PTC. The contract, not being signed, yet would not hamper the beginning of power import because the price has been set. What remains to be done is signing the papers. Bangladesh has completed laying a 29-kilometre high-voltage interconnectivity transmission line at Bheramara in Kushtia in Bangladesh while India has laid a 74-kilometre transmission line in its part. Electricity From Tripura: Chief Minister Manik Sarkar : We are indeed very grateful to Honourable Chief Minister of Tripura Manik Sarkar for offering "to supply at least 100 MW of power to Bangladesh if the central government allows the state government as the northeast Indian state will be power surplus by February, 2014, CM Sarkar: "If we help our best neighbour in all respects, then relations between India and Bangladesh would be closer and helpful and both the nations can grow further," "Bangladesh badly needs electricity for domestic, industrial and irrigation purposes. We must cooperate with Bangladesh, because it is our best friendly neighbour."

2 CM Manik Sarkar, who was bestowed with Muktijuddha award in 2012 by the Bangladesh government for his role in the 1971 Liberation War, said that Bangladesh helped India a lot to carry heavy machinery and turbines through its territories for the Palatana power project (726 MW) in Tripura. According to Sarkar, after the commissioning of the 726 MW Palatana and 104 MW Monarchak power projects by February next year, Tripura's availability of electricity would be 410 MW against its current peak-hour demand of 240 MW. The Palatana project is a hallmark of cooperation between India and Bangladesh, which ensured the smooth passage of heavy project equipment and turbines to Palatana through its territory by road and waterways from Haldia port in West Bengal. Customs duty on electricity energy (HS Code 2716): Electricity energy is considered to qualify as a good and by that subject to the rules of the World Trade Organization (WTO). Electricity energy trade contract: The standard trade contract concerning electricity energy has at least two clauses worth consideration for the national Customs authority when trying to obtain the transaction value, price actually paid or payable: 1) Commitment of payment for mininum contracted quantities, known as take-orpay provisions and 2) Payments relating to construction and maintenance of the transmission system in the exporting country. Customs clearance is done, as per WTO provisions, after the entry of the electricity in the territory on the basis of per unit cost according to measurements at the receiving power station along with wheeling charge (similar to C&F basis). In Bangladesh currently 5% Customs duty and 15% VAT (total 21%) are fixed on Electricity energy under HS Code Electricity energy (HS Code 2716) should be immediately declared as a duty free commodity under the SAFTA trading regime. PDB-NTPC Joint Venture Coal based 1320 mw Rampal power plant (Bangladesh-India Friendship Power company BIFPC ): According to the feasibility study report estimated project cost of the project is 201 crore 45 lac and 60 thousand $. PDB and NTPC will finance 15% each and the rest 70% shall be met from loan. PDB and NTPC have signed three agreements in April, They are power purchase agreement (PPA), implementation agreement (IA) and joint investment agreement (JIA). PDB will by electricity from the project for 25 years under a guide line adopted to fix the price of electricity. NTPC may, if and when it decides, off-load its share to the government of Bangladesh. NTPC have been granted tax holiday on its share of profits fro 10 years. Bangladesh NBR has also exempted NTPC from paying corporate tax which will, however, be paid by PDB. Funding Rampal project: PDB has requested MoF for arranging the fund as decided by a committee headed by the Prime Minister. It sought tk 80 crore or 1 crore $ for the year , tk 1624 crore or 20 crore 30 lac $ for the year and rest in the after completion of the EPC agreement with the contractor constructing the power plant.

3 About Concerns on BIFPC BIFPC Rampal is 14 km from Sundarbon and 4 km away from its buffer zone. Land acquired 1834 acre instead of 700 acre as determined in an Indian Study. It will require more than 10,000 MT coal daily. Sustainable long term supply and transportation of coal on regular basis will be very difficult task. There is hardly any economic, technical and environmental option to establish coal based power plants other than near the coal mine or near a deep sea port or near an established sound railway network. However, environmental concerns are turning out to be the toughest challenge in the implementation of the project in its current location SAARC Energy Cooperation: Despite having 200,000 mega watt hydel-power generation capacities, the South Asian Association for Regional Co-operation (SAARC) region is facing acute energy shortfall of over 60,000 mega watt. Key challenges faced by the energy sector in SAARC include increasing energy deficits, single fuel dominance in the energy mix, rising import dependence, and lack of requisite energy infrastructure. Augmenting the energy supply and diversifying the fuel basket requires inter- and intra-regional energy trade. Harnessing Regional Energy: The 16th South Asian Association for Regional Cooperation (SAARC) summit declaration on energy should be the launching pad for initiating the most prospective energy drive in the sub- Himalayan region to meet the ever-growing needs of Bangladesh, India, Nepal and Bhutan. The 16th SAARC summit declaration on energy: "On energy sector, the leaders recognised the need to enhance cooperation in the energy sector to facilitate energy trade, development of efficient conventional and renewable energy sources including hydro-power. They emphasised the need to undertake studies to develop regional energy projects and promote regional power trade." Studies have estimated that Nepal (80,000mw), Bhutan (30,000mw) and Indian state Arunachal Pradesh (80,000mw) have the potential to generate over 200,000 mega watts of electricity, using steep rivers in the hilly region. Bhutan has already agreed with India to build a hydro power project by 2020 with the capacity to produce 10,000 mega watts. Investment for the hydro power project has been done mainly by India. India, the lone importer of hydro-electricity, has grid connections with Bhutan and Nepal. India has an agreement (2008) with Bhutan to commission ten hydro-electric project to generate about 10,000MW of Electricity by Nepal Exports 50 MW of hydro-electricity to India. 4 Bangladesh will have to construct distribution lines from Bhutan through 34 kilometers of territories in the Indian state of Arunachal Pradesh to it (Bangladesh) and back to India again, to bring power to Bangladesh. An ADB funded electricity transmission interconnection of 500 megawatt (MW) capacity between Bangladesh and India is being inaugurated today. Work is also going in setting up of two Bangladesh India joint venture coal based power plants in Mongla and Chittagong region. There is also a 100 KM pipe line project initially to export 10,000 million tons of high speed diesel to Bangladesh from Assam. Overview Bangladesh power sector: Bangladesh is now in the midst of a serious power crisis. Power generation has failed to keep pace with demand, and, in the last two years, increasing shortages of natural gas, the primary fuel used in power generation, have added to the sector s problems. Bangladesh is struggling due to power shortage for many years as its demand is surging well ahead against lower pace of generation. The current generation of power in all the stations is nearly 6,500mw per day against the (suppressed) demand for more than 7,500 mw. Total Rental, quick rental and peaking plants were undertaken on a fast-track basis to address the nagging power crisis. Due to rental power plants with high per unit cost, the government has to bear a huge cost per year for buying electricity from the private sectors. These plants, however, are not free from controversies.

5 To refuel these power plants, the additional cost for the current fiscal year, as projected by the World Bank, is between Tk million and Tk million, which is about 0.6 per cent or 0.7 per cent of the GDP. As on July 30, 2013 out of total due to 17 QRPs is tk 399 crore out of which Taka 202 crore have been realised by PDB and balance 197 crore taka still remains due. Captive power plants (CPP) producing 1,700 megawatts are facilitating uninterrupted industrial output: Captive plants licensed under Bangladesh Energy Regulatory Commission (BERC) are producing electricity and almost the whole of it is used by the plant owners themselves. CPP owners enjoy Tax holiday. Initial registration and renewal has been reduced to Tk 5,000 from Tk 5lac. The number of CPP with the generation capacity below 1.0 megawatt is 998. CPP with the generation capacity above one megawatt each total 334. BERC data shows only 60 to 70 per cent of the CPPs are getting gas supplies. But they have to pay higher price for gas than that paid by the IPP and other units. CPPs using oil for want of gas supply have to bear much higher cost of power around tk above the normal tariff averaging tk 6/keh. Most of the garment factories have their own generators to ensure uninterrupted power supplies. Only REB is purchasing power from some CPPs, but PDB have little interest in purchasing power from the big captive plants. According to the BERC, Out of the 1,700 mw, only 10 to 12%, is sold to the Rural Electrification Board (REB). Some big captive plants are generating up to 35 megawatts of electricity and they are selling the surplus to the REB. The REB is purchasing the surplus electricity at cheaper costs from the captive power plants located under its grid while some big captive plants like the Rahim Steel Mill are selling their surplus to the REB.

6 A CPP owner: "My plant generates 34 mw electricity and there remains a surplus amount after use at the factory.".."i want to sell the surplus to the PDB grid as the REB grid is far away from my plant. But the PDB is not showing any interest." Sustainable Power for Development: The industry structure of the power generation transmission and distribution system should be clearly defined to ensure commercially sustainable operation and development of the Power sector. BPDB should privatize its power generation utilities to provide for joint ventures with Bangladesh private sector, non resident Bangladeshis and foreign investors. All existing power generating units of the [country/ BPDB] should be transformed in to public limited companies under the Companies Act 1994 with [51 %] share for BPDB, 45% for Bangladesh private sector, non resident Bangladeshis and foreign investors and [4 %] for the officials and workers of the respective utilities BPDB may take up, with the fund obtained by selling 49% of its existing shares and GoB allocations, short and long term power generation programme through joint ventures with Bangladesh private sector and foreign investor participation with at least 51% shares remaining with BPDB. Single Power Purchaser: Each generating company, IPPs including Captive and Co-generators shall sale electricity to the single purchaser and transmitting authority [BPDB] under the power purchase agreement which shall be finalized by the BERC as shall be prescribed in Regulations to be made in this behalf. PDB should be sole importer of power at least for the time being. Distributed Energy: Distributed energy resources describe a variety of smaller electricity-generating options will suited for placement in homes, offices, and factories, or near these facilities. Distributed energy systems have the distinet advantage of being brought on line faster than new central power plants. Better integrating electricity supply systems and customers can produce a variety of benefits for tight energy markets, including reducing peak demand loads, bypassing congested areas of transmission by placing new generating capacity closer to the consumer, and thus achieving greater overall system efficiencies. Clustered Industrial and SME zones, Market Complexes, Housing Estates and other bulk consumers of power should be encouraged to set up co-generation and captive power plants by ensuring:- Low interest (<5%) funding with three years interest freeze Sustained supply of duty free coal, gas or LNG for power generation. Duty free procurement of all inputs. Technical and HRD Assistance for operation and maintenance. Power Distribution: Each of the existing distribution assets and marketing units of BPDB, DESA, and DESCO etc. should be converted into public limited companies under the Companies Act 1994 with 55 % share remaining with the BPDB, 30% for Bangladesh private sector, non resident Bangladeshis 10% and 5% for the employees of the respective utilities

7 Supply of fuel to power stations: Regular and predictable supply of coal, gas or other fuels to power stations in Bangladesh is feasible and possible only through long-term sovereign contract with the supplying countries or Internationally Credible suppliers otherwise no power project will be able to procure required funding. A National Authority comprising Ministry of Power and Energy, Bangladesh Bank, a consortium of Banks including International funding agencies should be established to for the purpose. The National Authority shall procure and build up a buffer stock and supply line to ensure regular and predictable supply of coal, gas or other fuels to power stations in Bangladesh through long-term sovereign contract with the supplying countries or Internationally Credible suppliers. Maximum Recovery of Coal: The mine is to be planned and developed with a view to achieve maximum recovery at reasonable cost per ton and the minimum loss of coal in extraction, without ignoring safety of men, mine and the environment. Established and proven technologies suitable in the context of socio-economic condition of Bangladesh are to be employed. Coal gasification and other technology should be explored. Investment: A consortium of Banks including International funding agencies should be set up to expedite special banking facilities to finance the projects in the power & energy sector at the marginal simple rate of interest. Government of Bangladesh (Bangladesh Bank) and International and Regional Funding Agencies must jointly underwrite power projects in Bangladesh. To realize Vision 2021, the government of Bangladesh (GOB) has adopted Power System Master Plan (PSMP) 2010 as the basis for future projects to be undertaken in this sector. As per PSMP 2010, electricity generation would reach to 39,000 MW by 2030 with an additional generation of 36,000 MW. Financing: Finance Ministry lays down phased plan of setting up a total of 57 smaller (up to 150 mw) and 12 larger (200 mw and higher) new power plants by year 2015, with total generation capacity of mw. Of these, 25 plants with 3780 mw capacity are planned to be solely public financed, 5 plants of total 2820 mw capacity are planned to be financed in Public-Private Partnership (PPP), and 39 plants of total 4141 mw capacity are expected to be financed solely by private sector. In the roadmap document, the total cost is estimated at about USD 9.0 billion, of which USD 8.0 billion is expected as private sector investment. The roadmap plans for 20 new smaller plants of total 2010 mw capacity and 5 new larger plants of total 1770 mw capacity by year 2015 financed solely by public sector. Besides, 3 smaller plants of total 220 mw capacity and 2 larger plants of total 2600 mw capacity are planned to be financed partly by public investment, in partnerships with the private sector (PPPs). The financing plans for power sector investments will need to welcome and attract external equity and longer term debt investments, besides local investments to the extent the domestic markets can provide without undue strain. For the bulk of the foreign exchange component of the public sector outlays in power sector infrastructure (including transmission lines, natural gas import terminal and power plants), GOB can approach multilateral and bilateral official development partners for concessional long term loans.

8 FISCAL INCENTIVES for Power Sector in Bangladesh: 1. The private power companies shall be exempt from corporate income tax for a period of 15 years. 2. The companies will be allowed to import plant and equipment and spare parts up to a maximum of ten percent (10%) of the original value of total plant and equipment within a period of twelve (12) years of Commercial Operation without payment of customs duties, VAT (Value Added Tax) and any other surcharges as well as import permit fee except for indigenously produced equipment manufactured according to international standards. 3. Repatriation of equity along with dividends will be allowed freely. 4. Exemption from income tax in Bangladesh for foreign lenders to such companies. 5. The foreign investors will be free to enter into joint ventures but this is optional and not mandatory. 6. The companies will be exempted from the requirements of obtaining insurance/reinsurance only from the National Insurance Company, namely Sadharan Bima Corporation (SBC). Private power companies will be allowed to buy insurance of their choice as per requirements of the lenders and the utilities. 7. The Instruments and Deeds required to be registered under local regulations will be exempted from stamp duty payments. 8. Power generation has been declared as an industry and the companies are eligible for all other concessions which are available to industrial projects. 9. The private parties may raise local and foreign finance in accordance with regulations applicable to industrial projects as defined by the Board of Investment (BOI). 10. Local engineering and manufacturing companies shall be encouraged to provide indigenously manufactured equipment of international standard to private power plants. OTHER FACILITIES AND INCENTIVES FOR FOREIGN INVESTORS 1. Tax exemption on royalties, technical know-how and technical assistance fees, and facilities for their repatriation. 2. Tax exemption on interest on foreign loans. 3. Tax exemption on capital gains from transfer of shares by the investing company. 4. Avoidance of double taxation in case of foreign investors on the basis of bilateral agreements. 5. Exemption of income tax for upto three years for the expatriate personnel employed under the approved industry. 6. Remittance of upto 50% of salary of the foreigners employed in Bangladesh and facilities for repatriation of their savings and retirement benefits at the time of their return. 7. No restrictions on issuance of work permits to project related foreign nationals and employees. 8. Facilities for repatriation of invested capital, profits and dividends. 9. Provision of transfer of shares held by foreign shareholders to local shareholders/ investors. 10. TAKA, the national currency, would be convertible for international payments in current account. 11. Re-investment of remittable dividend to be treated as new foreign investment. 12. Foreign owned companies duly registered in Bangladesh will be on the same footing as locally owned companies with regard to borrowing facilities. Problems of private sector power projects are mainly relate to land acquisition, environmental clearance, funding arrangements, sustainable fuel supply, maintainace and above all a complete set of domestic and regional rules of business including transparent, secure and streamlined mode of transactions along with appropriate dispute settlement procedure.

9 Way Forward: Power sector stakeholders of SAARC should work in cohesion with SAARC Energy Centre (SEC) and build a network with the common objective. The SEC agenda extracted below should be the common agenda for implementation. Established in 2006 at Islamabad to initiate, promote and facilitate cooperation in energy sector of SAARC Member States for the benefit of all Funded by SAARC Member States and supervised by a Governing Board comprising all Member States Professional staff selected on merit from Member States Expert services also obtained through outsourcing International Cooperation established with ADB, ASEAN, UN, ESCAP, Japan, US, Germany. Thematic Programme Areas of SAARC Energy Centre: Energy trade Integrated assessment of energy, transport, and environment Energy efficiency and renewable energy Technology transfer and sharing best practices Rural electricity for poverty alleviation Regional Electricity Trade: Legal Framework of South Asia: This study critically reviewed electricity acts, laws, regulations, policies and guidelines of SAARC Member States and also reviewed the documents of South African Power Pool a success story in the area of regional energy cooperation. Recommendations of Japan Study on Review of Electricity Laws and Regulatory Framework of SAARC : The Draft Study proposed the establishment of the followings for Cross Border Electricity Transit and Trade: SAARC Regional Electricity Legal Framework (SELF) SAARC Regional Power Projects (SRPP): SAARC Investment Facilitation Program (SIFP) SAARC Electricity Trading Mechanism (SETM): SAARC Template Documents (STDs): South Asia Regional Power Exchange (SARPE): SAARC Electricity Regulatory Commission (SERC): A consensus with regard to the legal, regulatory, technical and commercial aspects amongst the Member states; will help in handling cross border electricity trade and transit in a well defined manner. It will remove the uncertainties. Energy Trade: A Vision for South Asia Energy Network Nepal and Bhutan have hydro-eclectic potential more than their requirement which can be tapped and traded among SAARC countries Central Asian countries and Iran has huge gas reserve which can be imported through pipeline to the SAARC countries. This gas in phases, may be transported to other South Asian countries in the similar fashion as the Trans-Siberian Pipeline extended in the Europe Electricity trade with resource-rich Central Asian countries (Tajikistan, Kazakhstan, Uzbekistan Turkmenistan) may expanded through Afghanistan to Pakistan and India. Initially the energy trade can progress in two clusters- east and west cluster- with ultimate goal to merge into greater South Asian Energy Network

10 SAARC Regional Energy Trade Study (SRETS) funded by ADB identified four regional or subregional trade options: 1. Power Market, 2. Petroleum Refinery, 3. LNG Terminal and 4. Power Plant A follow up study on South Asia Regional Power Exchange conducted with assistance of ADB: DRAFT INTER-GOVERNMENTAL FRAMEWORK AGREEMENT FOR COOPERATION IN ELECTRICITY: Draft of a SAARC Inter-Governmental Framework Agreement for Energy Cooperation (Electricity) endorsed by Energy Ministers Meeting in Dhaka (15th September 2011) is under consideration of SAARC Member States. Draft IGFA provides to allow for: 1. Unrestricted cross-border trade 2. Commercial negotiation of PPAs 3. Non-discriminatory open access 4. Private sector trading 5. Participation in power exchanges 6. Ultimate objective is to create a SAARC Market for Electricity: SAME SAARC ENERGY RING: a Vision given by SAARC Leaders at the 2004 Islamabad Summit. Vision being translated into reality by SAARC Energy Centre. Four Expert Groups preparing way forward based on dynamic concept of energy ring considering the followings: 1 Oil and Gas 2 Electricity 3 Renewable Energy 4 Technology Transfer (including Coal and Energy Efficiency) SAARC Energy Cooperation: SAARC Memorandum of Understanding on Regional Hydro Power Plants and SAARC Power Grid : ARTICLE II GENERAL PROVISIONS: Member States shall: 1. Establish cooperation on multilateral basis, on the various aspects of the development of the common SAARC policy on regional hydro power plants, power interconnection and trade, technology transfer and the realization of the SAARC Power Grid; 3. Encourage cooperation and pooling of resources by the governments and/or private sector for joint projects subject to commercial viability pertaining to the regional power plants and SAARC Power Grid; ARTICLE III CROSS-BORDER ISSUES: 2. Financing: Available modes or arrangements for the financing of the construction, operation and maintenance of the regional hydro power plants and SAARC Power Grid. In this respect, SAARC recognize the important role that would be played by the private sector or through public-private partnership in some Member States. SAARC Expert Group on Electricity (SEGE) : Different SMS have their own focal organization to look after the matter related to electricity sector. On the basis of the Concept Paper on SAARC Energy Ring, approved by the 3rd Energy Ministers Meeting held in Colombo on January 29, 2009, the 5th meeting of the SAARC Working Group on Energy held at Thimphu, Bhutan on April 2009, formed Expert Group on Electricity.

11 This SAARC Expert Group on Electricity (SEGE) may be considered as a nodal agency to carry forward all the activities related to SAARC Electricity Trade until Special Purpose Vehicle (SPV) is established. Functions and activities of SGE may be as follows: 1. Act as technical advisor of SAARC with responsibility of overall planning and its implementation; 2. To develop SAARC Electricity Grid Code; 3. To develop SAARC Electricity Trade Code; 4. To develop safety standards for cross-border electrical business; 5. To act as technical advisor to FSERC; 6. To specify structure, functions and institutional arrangements of FSERC and Appellate Tribunal; 7.
