PRODUCT/SERVICE: Installation of approximately 30,000 feet, three (3) 10,000 foot spools, of 288 strand fiber optic cable for the Caroline County Office of Information Technologies.. II. STATEMENT OF WORK: The VENDOR will provide construction per the Caroline County Purchasing Documents (Attachment A ) and the VENDOR S proposal dated 25JUN15 (Attachment B ). All work will be performed in compliance with the technical specifications in Attachment A and the standards required by the State of Maryland and Caroline County where the highest standard shall prevail. In the absence of such specifications, all work shall be performed to the highest standards of workmanship. All work shall be warranted against defects in material and or workmanship for a period of one (1) year unless otherwise specified. All work will be supervised by County CIO, James D. McCormick Jr. ALL WORK MUST BE COMPLETED BY NOVEMBE 1, 2015 III. DELIVERABLES: a. The first part of this installation will be using existing conduit from 411 Franklin Street, Denton MD, to the intersection of Holly and Holsinger Roads, located in Caroline County, MD. Approximate length of first part of pull is 23,000 feet. (Refer to Attachment C ) b. The second part of this installation will require the underground installation of approximately 4500 feet of 2 conduit, including locating wire and necessary vaults, from the Holly Rd \ Holsinger Rd intersection to the Holly Rd\ River Road Intersection and pulling remainder of the 288 strand fiber through this newly installed conduit. (Refer to Attachment D ) c. All state road right of way and bridge parapet use permits are issued. (Refer to Attachment E ) d. Any traffic control is the responsibility of the vendor. e. The fiber optic cable is in a storage facility located near 411 Franklin Street, Denton, MD

BUDGET: Construction TOTAL CONTRACT AMOUNT NOT TO EXCEED $76, ADDITIONAL INFORMATION: BILLING INFORMATION: VENDOR is to submit a copy of this contract and ALL DELIVERABLES with each invoice to Caroline County Government. Final invoice is to be submitted within 60 days of completion of this contract. Caroline issues checks on a biweekly basis. Payment will not be made until all deliverables are received The VENDOR agrees to operate and provide services in accordance with the provisions of this agreement, with all assurances, terms, and conditions included. 2. The VENDOR assures Caroline County Government that it possess the legal authority to enter this agreement and that its governing body has authorized the signatory official to enter this agreement and any subsequent modifications. 3. The VENDOR further assures Caroline County Government that neither it nor its principals are presently debarred from receiving federal, state or local funds and shall disclose before execution of this contract any litigation or potential litigation the VENDOR may be subject to. 4. The VENDOR must comply with the ethics provisions contained in Chapter 33, Ethics, of the Code of Public Local Laws for Caroline County. 5. The VENDOR shall indemnify and hold harmless the County from any loss, cost, damage or other expenses including attorney s fees and litigation expenses incurred due to the VENDOR S negligence or failure to perform any of its contractual obligations. 6. Caroline County Government reserves the right to cancel this agreement should the VENDOR fail to fulfill in a timely and proper manner its obligations under this agreement. 7. Caroline County Government, the State of Maryland, and any other duly authorized governmental agency shall have the authority to audit, examine, and make excerpts or transcripts from records pertaining to this agreement. 8. The VENDOR will supply reports and paperwork as required by Caroline County Government and will retain records pertaining to this agreement for a minimum of three (3) years. 9. The VENDOR will obtain and keep in force, during the terms of the Contract, insurance required by law and such additional amounts as deemed reasonable or prudent by the County. 10. The benefits, obligations hereunder shall not be sublet, assigned, delegated or otherwise disposed of by either party, except with prior written consent of the other party. 11. Any sublease, assignment, delegation or other disposal in violation of the section shall be null and void. 12. All disputes under this Contract, if not resolved by the parties, shall be resolved by the courts of competent jurisdiction in accordance with the laws of the State of Maryland. 13. If any provisions hereof shall for any reason be held to be invalid or unenforceable, the invalidity or unenforceability of such provisions shall not affect any of the remaining provisions hereof, and this contract shall be construed and enforced as if such invalid or unenforceable provisions had not been contained therein. 14. This contract merges and supersedes all prior negotiations, representations, and agreements between the parties hereto relating to the subject matter thereof and constitutes the entire agreement between the parties hereto in respect thereof. 15. In the event of violations or breech of the requirements of this Agreement by the VENDOR, Caroline County Government may pursue any legal remedies or sanctions as may be appropriate. 2

McCormick Description of Work: To perform work in the State Highway Administration's right-of-way for the purpose of installing fiber optic cable utilizing existing conduit located along MD 404 (Bus) (Franklin Street) and MD 328 (New Bridge Rd). Work to begin at address 411 Franklin Street in Denton MD where cable will head in a westerly direction utilizing existing conduit. At the intersection of MD 328 and MD 404 Business installation will head north along New Bridge Road to the intersection of MD 404 (Shore Highway) and MD 328 (New Bridge Rd.). Cable will cross under MD 404 then leave the SHA right-of-way for service connection to North Caroline High School. For details and exact work location see plans furnished by Commissioners of Caroline County, Office of Information Technologies. Special Conditions: Conduit/cable to be installed utilizing existing conduit only. A lane closure permit will be required for MD 404 and MD 328. Permit will expire one (1) year from date of issue. Working hours shall be from 9:00am to 3:00pm Monday thru Thursday. The contractor is responsible for coordinating with local police, fire companies, schools and EMS as to the status of lane closures that could affect public safety. Closure of driveway/commercial entrances must be coordinated with the property owner at least one (1) week in advance. Before any excavation the permittee must contact "MISS UITLITY" for Caroline County at If work is not complete at the end of the day, all open trenches must be backfilled or covered with traffic bearing steel plates and be marked with reflective orange/white drums. All areas that are disturbed by daily plowing/trenching/boring operations must be stabilized at the end of the work day by seeding, topsoil and matting. Any signs/structures removed for the installation of conduit/cable must be reinstalled the same day. 1

The permittee has designated Joe Smith to be the Traffic Manager for the permit and the Traffic Manager may be reached at (410) , 24 (hour emergency number). b. The traffic control standards expected to be used for this project are: MD , MD , MD , MD and MD c. All work for this permit shall be in conformance with the above referenced documentation supplied by the utility company. d. The permittee shall obtain necessary approvals from the SHA Highway Hydraulics Division, Remedial Bridge Repair Division, office of Environmental Design, Maryland Department of Environment, Maryland Department ofnatural Resources, local, state, federal and all other permits and approvals necessary to conform to the SHA District permit requirements. e. The State Highway Administration reserves the right to modify or expand the methods of traffic control specified and to restrict the working hours if in the opinion of the SHA Engineer the contractors operations are detrimental to the safe and efficient flow of traffic. f. A pre-construction meeting shall be held on site with a minimum of 7 days notice prior-to the start of any work in the SHA right-of-way to address maintenance of traffic/safety concerns. g. This permit covers only the work being performed in the SHA right-of-way. THIS PERMIT IS ISSUED WITH THE REQUIREMENT THAT IT WILL BE ENFORCED BY THE GENERAL PROVISIONS, SPECIAL PROVISIONS, AND PERMIT REGULATIONS AS OUTLINED IN THE FULL LENGTH SHA MASTER UTILITY PROVISIONS WHICH MUST BE FOUND ON THE JOB SITE AT ALL TIMES.
