8 DEALER PRICE LIST POLICIES Effective: NOVEMBER 1ST, 2013 TERMS AND CONDITIONS Supersedes: November 1st, 2012 Manitoba SCOPE - These Marketing Policies apply to all Interior Finishing Products and Accessories listed herein. - Interior Finishing Products include: Joint Treatment, Textures, Paint, Tape, Paperfaced Bead and Trim and Plaster Systems. TERMS AND CONDITIONS - All orders are subject to the terms and conditions printed on the back of the invoice. A copy is available on request. - All sales of product are F.O.B. point of shipment. CLASSES OF TRADE - Direct sales will be made to authorized dealers and distributors. We may also sell to approved O.E.M. accounts. PRICING - Prices shown include freight costs when delivered in full truckloads of CGC products except where stated otherwise. - Prices exclude any Federal and Provincial sales taxes where applicable and are subject to change without notice. DELIVERY NOTES - Truckload minimum weight to obtain delivered price is 50,000 pounds or 16 lifts (Paperfaced Bead and Trim truckload = 20 lifts). This 50,000 pound minimum must be adhered to, except when the trailer is loaded to full cubic or visible capacity. - Shipments will be from our Winnipeg facility, or at our option, from other manufacturing locations. - Pick-up of Interior Finishing Products and Accessories at our Western Distribution Centres is permitted. Minimum order is 1 lift or 1,400 pounds. -Confirmed order and appointment date and time for pickup is required. Please contact your CGC Customer Service Specialist for details. - Truck service via our contract carrier is available only to a dealer's warehouse located on a serviced highway. - Job site or curb side delivery is not permitted. - Interior Finishing Products and Accessories can be combined with other CGC products to meet weight requirements. - Heated service is available at no extra charge to the dealer or distributor, when CGC deems it is warranted based on temperature/ delivery conditions. - All Paperfaced Bead and Trim products are sold in carton quantities only. SHIPMENT OPTIONS - Stop-off shipment for up to three dealers is permitted on full truckloads only (truckload minimum weight to obtain delivered price is 50,000 pounds or 16 lifts - Paperfaced Bead and Trim truckload = 20 lifts). The stop-off must be within 125 km of the final destination. - Pooled loads for up to three dealers will be allowed when consigned to one dealer at one destination (truckload minimum weight to obtain delivered price is 50,000 pounds or 16 lifts -- Paperfaced Bead and Trim truckload = 20 lifts). Each dealer will be invoiced separately. - LTL shipments are permitted, and will be invoiced at the delivered price and full LTL destination freight will be prepaid and charged to the customer's account along with any crating charges. PALLETS & DUNNAGE - CGC returnable Pallets will be charged to the customer on the invoice at time of shipment and a credit will be issued on return of the pallets to a CGC facility. - Customer service must be notified in advance to request pickup of dunnage/pallets. Drivers won't pick up without authorization noted on the order. - Pallets must be CGC returnable pallets in reusable condition. Broken stringers or deck/deckboards are rendered unusable and will not be accepted for return. - Minimum quantity for return is 10 pallets. - The following constitutes an "acceptable" returned dunnage: All dunnage will be USG/CGC produced ONLY; kept clean and dry stacked neatly; stacked with 10 pieces per level up to a maximum height of 48" or 4 feet; started on three pieces of dunnage to allow fork truck accessibility; piled according to size - pallets mixed with 54" and 48" dunnage will not be accepted; a partial pallet of 54" dunnage wil be accepted if necessary; pallet must be stretch wrapped to prevent movement for safe transportation. SHORTAGE OR DAMAGED GOODS - When shortage or damaged goods occur, this situation must be noted on the bill of lading by the carrier and by the customer at the time of unloading. Please notify your CGC Sales Representative within 24 hours if a claim is pending. TERMS OF PAYMENT - 1% Cash Discount when paid by the 15th of the month following shipment; net end of month following. RETURNED MATERIAL - Before any material is returned, approval must be obtained from your CGC Sales Representative. - Unless the cause of return is due to faulty manufacture or shipping error, credit for material returned in saleable condition will be at invoice price less a 10% handling charge, less any freight paid by us. - We will not accept return for credit any non-standard products manufactured to order. SPECIAL ORDERS - For special order requests, including product availability, pricing, minimum quantities and lead times on products or lengths not shown in your price guide, please contact your CGC Sales Representative or CGC Customer Service Specialist. - For any special orders, the following conditions apply a) order must be firm; non-cancelable b) 5% over-runs must be accepted, and c) products must be shipped with a full truckload of CGC products.
