9 1. Every contractual relation with Worldwide Flight Services Belgium is governed by the present General Conditions. Departures from these General Conditions are possible only through explicit, written agreement. 2. Unless agreed otherwise, all invoices from Worldwide Flight Services Belgium are payable upon receipt into the bank account number given by Worldwide Flight Services Belgium, within a maximum period of 15 days after the invoice date. Every payment that has not been made on the agreed due date will legally and without reminder be increased by a fixed compensation equalling 10% of the invoice amount, with a minimum of per unpaid invoice, in order to cover costs and efforts caused by the late payment. Moreover, every delay in payment gives rise to an interest on overdue payments equalling the interest rate as defined in Article 5 of the Law regarding Arrears of Payment increased by 3%. 3. All payments of WFS Belgium invoices must be executed in Euro, additional bank costs due foreign payments or payments with cheques must be included in the payment. This to avoid that additional exchange rate charges or extra bank charges will be on behave of WFS Belgium. If therefore short payment on our invoices should be received, all related bank costs shall be reinvoiced with additional minimum administration fee of 35,00 euro. Paid invoices are considerd as approved and charged amounts accepted by the payment can never be under dispute or review for reimbursement. 4. Worldwide Flight Services Belgium cannot be held responsible for the damage suffered by the Other Contracting Party, unless it is proven that the damage was caused by personal deceit or the deliberate fault of Worldwide Flight Services Belgium. Worldwide Flight Services Belgium is not responsible for the damage caused by a fault on the part of its appointees or agents, even when the fault is a deliberate fault. 5. In no event can Worldwide Flight Services Belgium be held responsible for indirect damage whatsoever including loss of profit or damage claims filed by third parties. 6. The Other Contracting Party will compensate Worldwide Flight Services Belgium and protect it from claims of third parties, unless the damage results from a proven deliberate fault of Worldwide Flight Services Belgium. 7. In the following cases Worldwide Flight Services Belgium can end the contractual relation by registered letter with immediate effect and without prior notice: in the event that the Other Contracting Party has filed the petition for bankruptcy or in the event that the Other Contracting Party is declared in bankruptcy; in the event that the Other Contracting Party's firm is liquidated; in the event that a considerate part of the Other Contracting Party's capital is seized and in the event the Other Contracting Party can no longer be considered being capable of respecting its contractual obligations. In the event that the Other Contractual Party has filed for the concordat judicaire, Worldwide Flight Services Belgium is entitled to suspend the obligations resulting from the present agreement. 8. Worldwide Flight Services Belgium will only deliver workorder services upon explicit request from the client, and cannot be hold responsible for any kind of damage or liability whatsoever. Moreover the client commit himself with acceptance of this workorder to protect and defend Worldwide Flight Services Belgium against all claims. 9. Administration charges will be raised on external costs and invoices with a minimum of 15% on the total amount. 10. For Collect Charges the exchange rate into EURO will be issued as published by IATA, or as per exception and instructed only by the carrier, other exchange rates and collect fees can be issued. 11. In case of dispute the courts of Antwerp only are competent. Belgian law is applicable.
