3 MANAGEMENT Jean-Claude Labrune Chairman & CEO, Founder of the Cegedim Group Jean-Claude Labrune graduated from the Ecole Nationale Supérieure des Arts et Métiers. Cegedim (for CEntre de GEstion, de Documentation, d Informatique et de Marketing) was founded in 1969 by a group of pharmaceutical companies that wanted to pool their IT resources and document research expertise. In short order, Jean-Claude Labrune, who initiated the project, saw that the concept could be applied to other pharmaceutical company activities, such as physician database and, more generally, collecting information for sales and marketing departments. Today, Cegedim is an international Group that has retained a family company aspect. Pierre Marucchi Managing Director Mr. Marucchi is graduated from the Ecole Nationale Supérieure des Télécommunications, Stanford University (USA), and the Centre d Etudes Supérieures Bancaires. He was also Member of the Institute of French Actuaries. Mr. Marucchi began his career in 1977 at Crédit Lyonnais, where he held various technical and commercial positions. Deputy Managing Director of Cegedim, which he joined in 1984, Pierre Marucchi is very involved in the Group s external growth operations both in France and abroad and supervises the Financial, Legal, Quality, and HR Departments. 7 AN INTERNATIONAL CULTURE CEGEDIM AFFIRMS ITS PRESENCE IN MORE THAN 80 COUNTRIES 2008 revenue s distribution: CRM and strategic data Cegedim started developing its historical core business activities internationally in the 1990s. These CRM businesses gradually expanded throughout Europe, with the company opening subsidiaries in the following countries: : Belgium : Italy, Spain and Portugal : Germany and England : the Netherlands and Switzerland : Greece, Turkey, Hungary and the Czech Rep : Poland : Romania, Slovakia and Austria At the same time, these international subsidiaries launched doctors databases in these countries. Insurances and services The Insurance and services activities, which originated in France, expanded at the international level in 2006 with the creation de Cegedim Morocco, intended to bring this offering to the African continent. 9 RECENT HIGHLIGHTS EXTERNAL GROWTH, NEW BUSINESS UNITS In the CRM and strategic data sector CRM: Acquisition of the Turkish company Ultima In February 2008, Cegedim acquired the company Ultima, a supplier of CRM and SFA solutions in Turkey, enabling it to make OneKey even more powerful through the inclusion of the Ultima database and positioning it as a major player in that country. In July 2008, Cegedim acquired Reportive, a publisher of business intelligence software with more than 130 customers, including 16 of the world s 20 largest pharmaceutical companies. Its platform, Reportive, is an innovative solution for rapid development of reporting, analytical, and SFE (Sales Force Effectiveness) applications. It is set to become the tool for producing statistics and field activity reports for the Cegedim CRM division and will be used to complement and enhance the existing solutions. Reportive will also continue the marketing of its products. In the Healthcare professionals sector Acquisition in April 2008 of 01 Santé With the acquisition of 01 Santé, publisher of the "MegaBaze" healthcare software, and leveraging its strong position in oncology, among the most leading-edge of all medical sectors, Cegedim reaffirms its commitment to developing this sector both in France and abroad. Creation of the Cegedim Healthcare Software (CHS) Business Unit (BU) This new BU, created in early 2009, groups the following divisions: Cegedim Logiciels Médicaux, Alliadis, RM Ingénierie, Resip, AGDF Cegedim RS, Stacks, INPS, Cegedim Rx, HDMP, and the monitoring of Cegedim s involvement in Millennium. Through the creation of this entity, the software business activity holds a place of its own and represents a major stake for the Group, offering new opportunities for the future. In the Insurances and services sector Acquisition in January 2008 of Protectia, publisher of the healthcare software of the same name, managing nearly 1.5 million people: Cegedim therefore strengthens its offering in the middle market segment of personal insurances. 10 NEW PRODUCTS In the CRM and strategic data sector For CRM: the pursuit of synergies between the offers of Dendrite and Cegedim, including the combination of OneKey databases, the focus of the Group s CRM activities, and the new global coverage of sales force management software, adapted to the requirements of the different countries and continents. In 2009, Cegedim Dendrite also innovated with the launch of the Mobile Intelligence Key Account Management solution designed to optimize relations between pharmaceutical companies and their key accounts, allowing them to integrate all stakeholders involved, for example, in the referencing of a drug. For strategic databases: the expansion of Cegedim Strategic Data (CSD) solutions and the development of new lines of study, particularly with the acquisition of Reportive, whose Business Intelligence solution has already replaced the existing one. Also, CSD has launched its 9 th longitudinal patient database in Korea and is thus able to offer Korean businesses a broad range of analyses based on data from the longitudinal follow-up of patients collected during its epidemiological observations. This offer allows pharmaceutical companies to define and refine their strategic options, particularly in terms of opportunities related to the management of product life cycles. They can also obtain information such as: market shares, co-prescriptions, patient profiles, and dynamic segments. During the second half of 2008, Cegedim Communication Directe (CCD) also began offering new online services for marketing targeting and data reliability, available with free access or with rights. In the Healthcare professionals sector With its new LC 2009 (Logiciels Cegedim 2009) line, Cegedim Logiciels Médicaux guarantees clients using different software (Crossway, MédiClick! Studio, Doc ware, Cardiolite, Eglantine, Medigest) the same level of technological performance and functionality: agenda and coordination of meetings, administrative management and patient file history, typical consultations, management of care pathways, etc. In the Insurances and services sector The field of insurance: In late 2008, Cegedim Activ announced the marketing of its new line of ACTIV Insurance Suite solutions to respond to the issues of its market players. In addition, with mid-2008's opening, in France, of a new, state-of-the-art (Tier IV) Data Center on the Toulouse-Labège site, Cegedim Activ has reinforced its outsourcing expertise and has met the most stringent requirements of its clients in terms of hardware and data security. For services: In 2008, Cegedim SRH was granted SOX Type II accreditation under Statement on Auditing Standards No. 70 (SAS 70), known as Sarbanes Oxley, for all its processes, thus validating the company s know-how. 12 2008 REVENUES AND RESULTS On April 22, 2009, Cegedim published its results for the year 2008: 2008 Sales revenue: M % 2008 Operating income: 90.2 M 2008 Operating margin: 10.6% As most of its customers operate in the world of healthcare, Cegedim is not subject to strong effects of the deteriorating global economy. The continuation of a high level of research and development allows the Group to continue to offer solutions adapted to global demand, currently with an ideally positioned offering covering all of the market segments. The 2008 published sales revenue was negatively affected by exchange variations (dollar and pound sterling, in particular) and the anticipated reduction of activity of Dendrite s main customer in the United States. Operating income meeting expectations Operating income amounted to 90.2 M, which is approximately the same as last year, with the margin totaling 10.6% compared to 11.9% in This anticipated decrease was due to the decline in the operating income of the US subsidiary following the drop in activity from its main customer. Operating income before interest and taxes amounted to 96.6 M, also at a level similar to that of last year. The margin was 11.4% compared to 12.7% in For 2008, all restructuring and integration income and expenses (IFRS and non-ifrs) reached 14.9 M, in line with the published budget. Considering these elements, operating income decreased to M, i.e. a margin of 12.4%, similar to that of Outlook for 2009 Cegedim is maintaining a steady course and sees its revenue growth outlooks shifting from the "slight growth" objectives announced during the publication of the 2008 annual sales revenue to growth of approximately 6%, i.e. an objective of 900 M for In addition, all of the cost-reduction policies implemented in 2008 should, all things being equal, have a positive impact on the margins.
