1 Job Title: Reports To: FLSA Status: Approval Date: Member, Board of Directors POSITION SUMMARY Members of the Jicarilla Apache Nation Economic Development Holding Company ( JANCO ) Board of Directors will supervise and direct the JANCO Chief Executive Officer and the Chief Financial Officer in all aspects of the management and operation of JANCO. Members of the JANCO Board of Directors will serve a staggered four (4) year term, and may be removed for cause by the Jicarilla Apache Nation ( Nation ) Legislative Council. ESSENTIAL DUTIES & RESPONSIBILITIES Essential duties include the following. Other duties may be assigned based upon various business factors. Supervise and direct the JANCO Chief Executive Officer on all aspects of the management and operation of JANCO; Supervise and direct the JANCO Chief Financial officer on all aspects of the fiscal health and recordkeeping of JANCO; Exercise and demonstrate sound business judgment, a commitment to the highest level of business ethics, and a commitment to obtain a reasonable return on JANCO s investments and preservation of JANCO s financial resources; Prepare and present quarterly reports to the Nation s Council and attend all regular and special Council meetings concerning JANCO-related matters; Select among themselves official positions consisting of a Chairperson, Vice- Chairperson, Secretary, and Treasurer. Upon selection, each person serving in the role of an official should faithfully discharge the duties thereof; Establish the scope of employment, duties, and compensation of the Chief Executive Officer. Hire a Chief Executive Officer to manage the general day-to-day management of JANCO. Provide leadership and direction to the Chief Executive Officer related to the long-term strategic plans of JANCO and to evaluate the effectiveness thereof; Establish the scope of employment, duties, and compensation of the Chief Financial Officer. Hire a Chief Financial Officer to oversee the fiscal health and recordkeeping of JANCO, such as ensuring proper accounting protocols are implemented. Provide leadership and direction to the Chief Financial Officer related to the fiscal impact of Board decisions and preparation of quarterly and annual reports; Page 1 of 5

2 Attend regular JANCO Board of Director meetings, consistent with applicable governing documents, and actively participate in the development of policies and other recommendations related to JANCO business, and address and resolve JANCO issues needing Board action and direction; Conduct regular and comprehensive performance evaluations of the JANCO Chief Executive Officer on at least an annual basis; Conduct regular and comprehensive performance evaluations of the JANCO Chief Financial Officer; Maintain a fiduciary responsibility in overseeing and controlling funds and assets of JANCO; Prepare an annual operating budget and capital budget and present to the Council for approval in accordance with the Nation s laws and as required by JANCO governing documents; Work cooperatively with the Nation s government and other corporate entities; Provide advice and recommendations to the JANCO Chief Executive Officer on issues involving JANCO business; Work closely with the JANCO Chief Financial Officer to ensure accurate records and to ensure knowledge of fiscal impacts related to JANCO decisions; Work in conjunction with various organizations active in Indian Country to advance JANCO s interests, including but not limited to: National Congress of American Indians; Review and approve management policies and procedures for the operations of JANCO; Attend workshops and seminars to enhance knowledge in the management, operation, regulation and legislation of Nation economic activities; and Ensure sufficient management expertise to administer the operations of JANCO by retaining a Chief Executive Officer and qualified management staff. SUPERVISORY RESPONSIBILITIES JANCO Chief Executive Officer JANCO Chief Financial Officer QUALIFICATIONS, EDUCATION &/or EXPERIENCE To perform this job successfully, an individual must be able to satisfactorily perform on a consistent basis each essential duty and responsibility listed above. The requirements listed above and below are representative of the knowledge, skill, and/or ability required. Must possess strong leadership and team-building skills. Must possess experience in working with governmental entities, preferably in the tribal context. Must have experience in one or the more of the following industries: accounting, business management, business law, investment banking, and/or finance. Either: o Hold an advanced post-graduate degree such as an M.B.A, J.D., M.P.A., Ph.D, or equivalent degree from an Accredited college or university; or o Have 10 years of experience of management experience in a business. Knowledge of administrative and clerical procedures with great attention to detail. Excellent communication skills, strong telephone and etiquette. Ability to manage projects of varying complexity and follow-up to complete tasks in a timely manner with minimum supervision. Ability to establish and maintain effective working relationships as well as gain the cooperation of colleagues, vendors, clients, etc. At least two (2) Directors must be members of the Nation. At least three (3) Directors must be Independent Directors as defined in the JANCO Charter. At least two (2) Directors must be members of the Legislative Council. Page 3 of 5

4 COMPUTER/TECHNICAL SKILLS This position requires a working knowledge of personal computers, the Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, OneNote, etc.), and various other software systems typical of those found in a diverse business/transactional environment. LANGUAGE SKILLS The ability to read, analyze, interpret, and edit various materials written in English is required. Similarly, the ability to effectively communicate in English is required, as is the ability to effectively present information and respond to questions from colleagues, clients, potential clients, vendors and the general public. MATHEMATICAL SKILLS The ability to add, subtract, multiply and divide with all numbers, and work with mathematical concepts such as numerical correlation is required. In addition, the ability to apply concepts such as fractions, percentages, ratios and proportions to practical scenarios is necessary. REASONING ABILITY The ability to define problems, collect, develop, and analyze data and information, establish facts and draw valid and supported conclusions is required. PHYSICAL DEMANDS The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.
