1 NTA Metropolitan Mass Transit System Ltd October 5, 2016 NTA Tender No. 0140/2016 For the Tel Aviv Metropolitan Area Feasibility Study Report Addendum #002 Minutes of Bidders' Conference held on September 27 th, 2016 Metro Network Reference is hereby made to the invitation to bid in the Tender for the Tel Aviv Metropolitan Area Metro Network Feasibility Study Report, published on September 5 th, 2016 (the "Invitation to Bid"). Capitalized terms used herein and not defined herein, shall have the meaning ascribed to them in the Invitation to Bid. The Tender Committee held the Bidders' Conference on September 27 th, Pursuant to Clause of the Invitation to Bid, the Tender Committee shall not be bound by, and Bidders shall not rely on, any oral presentation made during the Bidders' Conference. Attendees: NTA: Nir Kugel, Judith Nissan, Avital Himmelstein Dagan, Keren Katz, Yamit Sror Avitan. NTA's advisers: Tadmor & Co. Yuval Levy & Co. (legal advisers): Alon Ziv and Benjamin Nashpitz MNS Consulting (financial advisers): Moshe Haviv. The Bidders' Conference was held at NTA's offices and was comprised of three parts: Part 1: Introduction & S.O.W. presentation made by Nir Kugel, VP of Design. Part 2: Summary of the legal aspects of the Tender, including with respect to the Tender procedure, professional threshold requirements, Quality Proposal and the Consultancy Agreement, presented by Benjamin Nashpitz. Part 3: Summary of the financial aspects of the Tender, including with respect to financial thresholds, Price Proposal, payment mechanism, retention, additional compensation and liquidated damages, presented by Moshe Haviv. The abovementioned presentations are attached hereto as Exhibit A. For the avoidance of doubt, it is hereby clarified that such presentations are provided for purposes of convenience only and include partial information with respect to all issues mentioned therein. In any event of contradiction between such presentations and the Tender Documents or where information not included in such presentations is included in the Tender Documents the provisions of the Tender Documents will always prevail. 7 Tel Aviv Metropolitan Area Tel Aviv metropolitan area is the largest metropolitan area in Israel approx. 3.6 million residents 43% of the population of the State of Israel.

8 Tel Aviv Metropolitan Area 47% of all people employed in Israel (approx. 1.0 million people) work within the metropolitan area Every work day approx. 440,000 vehicles enter the metropolitan area. An increase of 20,000 vehicles per year is expected.

10 Existing mass transit plan The existing plan includes five (5) LRT lines and two (2) BRT lines. The Red, Green and Purple lines are LRT lines providing radial service. The Yellow line is planned as LRT line providing service at the North-East corridor. The Brown line provides non-radial local service in the South. Two BRT include the Blue line from Rehovot to Tel Aviv and the Pink line in the North.

11 The Strategic Plan Study A strategic plan was carried out for Tel Aviv metropolitan mass transit. The main objective was to examine the long term plans for mass transit in the metropolitan area and their compatibility to strategic goals set by the government for public transportation. The main conclusion was that the existing plan is not sufficient in several key aspects and does not provide the necessary levels of service required to shift passengers from private cars to public transportation.

12 The New Plan The new plan includes three (3) main metro corridors: Metro 1: Service between the northern and southern median rings through the CBD. Metro 2: Service between the east median ring and the CBD. Metro 3: A peripheral semi-circular service of secondary development areas in the inner ring

18 Tender General The Invitation to Bid (ITB) sets out the rules of the Tender. Requests for clarifications shall be submitted via the Tender s address: tlv-metro@nta.co.il Tender s Schedule: Bidder's Conference September 27 th, 2016 clarification and questions October 16 th, 2016 Bids Submission Date November 10 th,

19 Bids Submission Each Bid shall contain 3 sealed envelopes, in accordance with the provisions of Annex 2 (Contents of the Bid): Envelope 1 Threshold Requirements; Tender Documents; and general information. Envelope 2 Quality Proposal Envelope 3 Price Proposal

20 Evaluation Stages Evaluation stages for selection of the Successful Bidder: 1. Compliance with Thresholds Requirements; 2. Scoring of the Quality Proposal (80% of the Final Score); 3. Scoring of the Price Proposal (20% of the Final Score); 4. Determination of the Final Score. 80% Quality Proposal score 20% Price Proposal score

21 The Bidder A Bidder shall be a duly incorporated and registered company in Israel or in a country that maintains diplomatic relations with Israel. The term "Bidder" shall be deemed to include any entity which exercises control over such Bidder, any entity under the common control of such Bidder, and any entity controlled by such Bidder. Each Bidder may submit only one Bid.

22 Professional Thresholds The threshold requirements mentioned in this presentation are provided in essence only and do not cover all the applicable provisions of the Tender Documents. Bidder are required to carefully follow the provisions of Annex 3 (Threshold Requirements) with respect to interpretations and other terms and conditions concerning the Threshold Requirements. Without derogating form the foregoing, the term detailed feasibility study report with respect to the Threshold Requirements shall mean a detailed feasibility study report for the development of a mass transit metro rail system. Calculation and conversion of amounts in currencies other than New Israeli Shekel or United States Dollar shall be made according to the exchange rates published by the Bank of Israel on the Submission Date.

23 Professional Thresholds The Bidder and the following members of the Bidder s Management Staff shall be required to comply with the threshold of the professional requirements: Project Manager Deputy Project Manager Transportation Expert Urban Planer

24 Professional Thresholds The Bidder 1. For a period of at least 2 consecutive years within a period of ten (10) years it has served as the PMC and was in charge of the planning and design stage of a mass transit metro rail project with an estimated construction costs of at least 1,000,000,000 USD; and 2. it has prepared a detailed feasibility study report, which included a scheme or a preliminary design and the planning of the introduction of a metro line in dense urban area and preliminary operation plans and environmental assessment

25 Professional Thresholds The Project Manager 1. Has professional experience of at least 20 years in the field of planning or design or construction of mass transit systems; and 2. has served, for a period of at least 2 consecutive years within a period of 10 years as the project manager of the design stage of a mass transit metro rail project, the estimated construction costs of which were at 500,000,000 USD; and 3. has taken a significant part in the preparation of a detailed feasibility study report. (including, at minimum, a scheme or a preliminary design and the planning of the introduction of a metro line in dense urban area and preliminary operation plans and environmental assessment).

26 Professional Thresholds The Deputy Project Manager 1. A certified engineer or architect registered under the Israeli Registrar of Engineers and Architects. and 2. has professional experience of at least 15 years, prior to the Submission Date, in the field of the design of transportation projects; and 3. has served, within 15 years prior to the Submission Date as chief (lead) designer in: a) at least 2 transportation projects where the estimated construction costs of each such project were at least 250,000,000 NIS; or b) at least 1 transportation project, the estimated construction costs of which were at least 500,000,000 NIS.

27 Professional Thresholds The Deputy Project Manager Within the framework of the services provided as a chief (lead) designer in the demonstrated projects, the Deputy Project Manager shall have been in charge for the implementation of: (a) geometric design of roads and/or rails; (b) traffic and transportation design; (c) infrastructure design and coordination; and (d) environmental and landscape design.

28 Professional Thresholds The Urban Planer 1. Has at least 10 years of professional experience in the field of urban planning; and 2. is a certified architect registered under the Israeli Registrar of Engineers and Architects.

29 Professional Thresholds The Transportation Expert 1. Has at least 15 years of professional experience, in the field of traffic and transportation planning of mass transit systems; and 2. has taken a significant part, as a transportation planner, in the preparation of at least one detailed feasibility study report; and 3. Has a Degree in Traffic and Transportation Planning or in Civil Engineering or in Architecture or in Urban Planning.

30 Professional Thresholds Employment Each of the following members of the Management Staff: (1) Project Manager; (2) Deputy Project Manager; (3) Urban Planner; and (4) Transportation Expert: 1. is employed by the Bidder; or 2. has entered into an agreement with the Bidder, to provide the services under the Consultancy Agreement.

Without derogating form the foregoing, the term detailed feasibility study report with respect to the Quality Proposal shall mean a report for the development of a mass transit metro rail system or light rail transit system.

32 Quality Proposal Professional Experience Professional experience of the Bidder. Evaluation Criteria a. Experience in preparing a detailed feasibility study reports. b. The Bidder has been the PMC in the design stage of a mass transit metro rail project for a period of at least 2 consecutive years during the past 15 years. Construction costs of such project were estimated at minimum of 500,000,000 USD. Total Weight 4 points for the preparation of each detailed feasibility study report and up to 12 points in total. 2 points for each project and up to 8 points in total. Up to 20 points

33 Quality Proposal Professional Experience Professional experience of the Project Manager. Evaluation Criteria a. Experience in preparing a detailed feasibility study reports. The Project Manager must have taken a significant part in the preparation of a detailed feasibility study report in order to be scored. b. The project manager has served as the project manager in the design stage of a mass transit metro rail project for a period of at least 2 consecutive years during the past 15 years. Construction costs of such project were estimated at minimum of USD 500,000,000. Total Weight 3 points for the preparation of each detailed feasibility study report and up to 9 points in total. 2 points for each project and up to 6 points in total. Up to 15 points

34 Quality Proposal Professional Experience Evaluation Criteria Weight Professional experience of Transportation Expert. the Experience as a transportation planner in preparing a detailed feasibility study report. The Transportation Expert must have taken a significant part in the preparation of a detailed feasibility study report in order to be scored. 3 points for the preparation of each detailed feasibility study report and up to 15 points in total

35 Quality Proposal Professional experience of the Deputy Project Manager. Professional Experience Evaluation Criteria a. Transportation projects in which the Deputy Project Manager functioned as the chief (lead) designer and the estimated construction costs of such project were at least 150,000,000 NIS. b. For each Transportation project specified above of which the statutory plan which applies thereto was also approved at the time that the Deputy Project Manager functioned as the chief (lead) designer. Total Weight 2 points for each project. 1 point for each project. Up to 13 points

36 Quality Proposal Professional Experience Evaluation Criteria Weight a. Projects in which the Urban Planner functioned as the architect or the urban planning team leader and was directly in charge of the planning of neighborhoods or urban districts of over 2,000 housing units with Professional integrated transportation infrastructure and where the experience statutory plan which applies thereto has been approved, of the Urban since the year Planner. b. Projects in which the Urban Planner functioned as the architect or the urban planning team leader in charge of preparing a statutory Master Plan ( מתאר (תכנית which defines, inter alia, land uses, and that has been approved for execution by the applicable authorities. Total Up to 12 points Projects scored under the requirements of Clause (a) will not be scored under Clause (b), and vise versa. 1.5 points for each project. 1.5 points for each project.

37 Quality Proposal Professional Experience Evaluation Criteria A general impression of the Bidder and each of the following members of the Management Staff: Weight General Impression (1) Project Manager; (2) Deputy Project Manager; (3) Urban Planner; and (4) Transportation Expert. All the abovementioned will be required to demonstrate his/her professional knowledge and experience relevant to all aspects of the Scope of Services. * The interviewees shall be expected to provide a demonstrated understanding of the objectives of the Services, including the Scope of Services. Up to 15 points in total

38 Quality Proposal Methodology Evaluation Criteria Within its methodology, the Bidder shall provide: a demonstrated understanding of the objectives of the Scope of Services, the approach that will be taken to accomplish the Services, the methodology for carrying out the activities and obtaining the expected output, and the degree of detail of such output. highlight of any foreseeable difficulties in providing the Services, and their level of severity, and shall demonstrate the approach (technical and otherwise) it intends to adopt in addressing such difficulties. organizational chart indicating a clear reporting structure with a breakdown for the provision of the Deliverables, including examples of drawing deliverables, comments and suggestions. Weight Up to 10 points in total

39 Presentation The Tender Committee reserves the right, subject to a fourteen (14) days' prior written notice, to request each of the Bidders to make a presentation regarding their Bids which may include personal interviews with each of the following members of the Management Staff: (1) Project Manager; (2) Deputy Project Manager; (3) Urban Planner; and (4) Transportation Expert. Bidders are required to carefully follow the provisions of Clause 8.4 (Request for Presentation) of the ITB.

40 Consultancy Agreement Management Staff The Management Staff shall manage and direct the execution of the Services, with the Project Manager as the head of the Management Staff. All members of the Management Staff must be present in Israel during the entire time of the Fixed Services Period. The Consultant shall not change the composition of the members of the Management Staff (other than in the occurrence of unique justified circumstances, to be determined at the sole discretion of NTA). The Consultant will be required to set up offices in Israel located in proximity of not more than 25 KM (aerial distance) from NTA's office in Holon, Israel.

41 Consultancy Agreement Miscellaneous The Tender Documents, interpretation thereof, rights and obligations of the parties and any matter arising in connection with the above shall be governed by the Laws of the State of Israel and the competent court of Tel Aviv shall have exclusive jurisdiction with regard to any matter relating to the Tender Documents. This presentation is made for purposes of convenience only and includes partial information with respect to the threshold requirements and to other issues mentioned herein. Bidders are required to read and understand all the provisions of the Tender Documents in order to participate in the Tender. In any event of contradiction between this presentation and the Tender Documents or where information not included in this presentation is included in the Tender Documents the provisions of the Tender Documents will always prevail.

44 Price Proposal Final Score The Final Score is composed of: (1) 80% Quality and (2) 20% Price Final Price Quality Score, 80% Final Price, 20% Base Rank Rate, 15% Service Price proposal, 85% The Base Project Cost is 30 million NIS 85% of the Final Price is based on the discount on the service 15% of the Final Price is based on the discount for Rank Rates for Non Israeli Personnel Maximum discount rate is limited to 30% * For Israeli Employees the rates to be used are the Israeli Accountant General rates

45 Payment Mechanism The payment is divided into two parts: 1 50% payable as monthly Retainer Fees 50% MS * 17 Milestone % Payment 2 50% payable according to milestones I Data Collection 10% II Design Guidelines 15% III Detailing of Technical Parameters - Draft Report 15% IV Alternatives Report 20% V Feasibility Study Submission of Draft Report 10% VI Feasibility Study Approval of Final Report 30% * "MS" shall mean the result of the Price Proposal for the Services being multiplied by the Base Project Cost

46 Retention 5% of the total monthly payments would be held as Retention Money and would be used as a collateral The Retention Money would be released two months from the successful completion of Phase VI - Approval of Final Report No other guarantees required

47 Additional Compensation Additional compensation would be payable under the following circumstances Delay of more than 45 days Beyond 45 days of delay which is not due to the consultant fault, the consultant would be entitled to additional compensation, based on the direct cost incurred by the consultant The schedule has been shortened If the scope of service was not reduced and early completion is achieved, the consultant will be entitled to 50% of the remaining monthly retainer, up to maximum of 3 months Modified scope of services Entitled to payment for the additional personnel hours, based on Personnel Rank Rates after discounts and on the Israeli Accountant General published rates

48 Liquidated Damages Liquidated Damages are going to be paid in each of the following cases Management staff has not been appointed within 30 days 1,500 NIS/Day (2,000 NIS for the project manager) Delay in excess of 3 Business Days in achieving NTA's approval of the Final Report 40,000 NIS/Day Management staff is not present in Israel for any amount of time 1,500 NIS/Day (2,000 NIS for the project manager) Delay in 1 Day in complying with requirements for achieving the Order to Commence 40,000 NIS/Day Management staff does not provide the Services 1,500 NIS/Day (2,000 NIS for the project manager) The total accumulated amount of LDs for delays in a specific service or delivery shall be limited to 10% of the total service price
